Abstract:The development of Internet banks puts forward the new challenges to our present laws. Market access and quitting of Internet banks, the protection to the right of privacy of Internet banks' customers, the conflict of Internet banks and legal system of commercial instrument, supervision about Internet banks, legal effect of electronic signature and the legal responsibility of Internet banks. The safety of Internet banks can be guaranteed by passing the legislation of electronic signature law, strengthening supervision, regulating the behavior of Internet banks and enhancing the practical standard of Internet banks.
Reflection of the Banking Crisis Management in China from a Legal Perspective

Abstract:We can't deny the fact that banks play a key role in our society, while it is impossible to avoid banking crisis even under the strictest supervision. The current legal system in China for banking crisis management is imperfect. It lacks both sufficient means to resort to, and enough protection for individual depositors in case of a crisis. The main practices in foreign developed countries are the lender of last resort (LOLR), the deposit insurance system and Market-withdrawal system. LOLR aims to save the banks which run into payment crisis temporarily. Usually this operation is performed by a country's central bank. The deposit insurance system is designed to divert the risk. Once a bank crisis occurs, the deposit insurance institution will repay the depositors' deposit in certain proportion. In order to make banks adaptable to market competition, we should enact banks market withdrawal legislation.We need to improve our bank crisis management mechanism in following aspects: (a) improving the restructuring mechanism; (b) constructing the emergency measures; (c) improving the merge and bankruptcy system; (d) reforming the lender of last resort system; and (e) establishing the deposit insurance system as soon as possible. We need to enact detail rules to regulate the take-over system, including the definition, precondition, object, terms, limitation and redress of the take-over action. Apart from take-over system, we should form certain short-term contingency plans. Banks tend to merge to improve their competitiveness and some of them can't avoid bankruptcy in market economy, so we should enact relevant laws and regulations. Since abuses of LOLR system will result in disrupting the market competitive system and lead to moral hazard, it is necessary to formulate strict standards in order to apply LOLR system cautiously. The deposit insurance system, which has proven satisfactory in western developed countries for decades, needs to be established in our country as soon as possible.

Abstract:With the development of China's economy and social progress, enterprises have put forward new requirements for their own management ability. In order to better adapt to the development needs of the current market economy, state-owned enterprises must strengthen the internal control construction. In this process, we should start from many aspects and take corresponding optimization measures to improve its internal control level. This article mainly analyzes and discusses the internal control environment of state-owned enterprises. Taking H Enterprise as an example, it analyzes some common problems and causes of state-owned enterprises at present; At the same time, it also points out that there are still some deficiencies in the internal control environment of state-owned enterprises at the present stage, and then puts forward specific measures to further improve the internal control environment of state-owned enterprises, in order to effectively improve the status quo and existing problems of the internal control environment of state-owned enterprises through these measures.

Abstract:With the development of society, enterprises in China has become an indispensable pillar, and much attention has been paid to the quality control of internal audit. Under the background of research on enterprise internal audit quality control, this paper expounds the importance of enterprise internal audit quality in strengthening management norms, maximizing enterprise interests and maintaining the enterprise's own reputation. The shortcomings and problems of enterprise internal audit quality are analyzed. It also puts forward some solutions around the low comprehensive quality of personnel, the lack of independence of audit institutions, imrigorous review procedures, imperfect laws and regulations and so on.

Abstract:Based on the actual situation of centralized ownership structure(COS),this paper summarizes on the control of COS over corporate governance risk of commercial bank.Respective methods are presented to solve the problems,such as,big shareholders infract interests of small shareholders,managers can't be effectively monitored by small shareholders but excessively monitored by big shareholders and special problems exist in the commercial bank controlled by government.The methods are as follows: residual claims should be given to the internal controllers,several big shareholders should share the control rights,the managers should be monitored by big shareholders with enough shares,control rights should be decentralized,shares of and intervene from government should be reduced,and supervision should be enhanced.

Abstract:In recent years, the external Sino-US trade war has become increasingly fierce. Domestic Internet Finance has a strong impact on Chinese traditional Banking Industry, which has severely squeezed the business growth model of commercial banks with interest rate differentials, making the domestic financial industry increasingly competitive. The environment at home and abroad is becoming more and more complex, and the Chinese banking industry is facing a severe transformation crisis and challenge. This paper analyzes the market value of China’s listed commercial banks by arranging the data of China’s listed commercial banks, using descriptive analysis, correlation analysis and regression analysis, then studies the relationship between ownership structure and market value of listed commercial banks in China from three aspects: ownership concentration check-and-balance of ownership and separation of ownership and control. It is concluded that the shareholding ratio of state-owned shares in China’s listed commercial banks should be reduced, and social capital should be introduced. At the same time, the state should seek more control chain to strengthen the control over Chinese listed commercial banks.

Abstract:In recent years,the rapid development of China's trade has made trade financing continue to show the tendency of being specialized and complex.Competition between the commercial banks in this field is becoming more and more intense.The commercial banks face both the operational risks from the banks internal and the regulatory environmental risks external.This not only severely restricts the launching of China's trade financing business,but also is very likely to cause great losses to the commercial banks.This paper proposes that in order to prevent the trade financing risks of the commercial banks,we should establish information disclosure systems and tracking management systems after financing through optimizing legislation,define the bank customer credit review obligations,regulate financing guarantee and improve the rules of interbank competition.

Abstract:China has maintained government control over major banks through its holding of controlling shares, leading to concerns about their possible policy burdens. In the case of the Agricultural Bank of China (ABC), the explicit policy mission of serving the rural economy and farmers has been assigned along its public listing in stock markets. Although it has adopted strategies to redefine the scope of rural business and implemented organizational and regulatory reforms to reduce the costs of implementing the policy missions, the contradiction between policy and commercial objectives has not been reconciled.

At the same time, risk factors in financial activities are always following, and if there is no reasonable avoidance and prevention of financial risks, it will affect and threaten the survival of financial institutions. In such a situation, commercial banks should attach great importance to the prevention and control of loan risks, establish reasonable control strategies based on the actual situation, optimize the risk management system, continuously improve the level of risk management and control, ensure that the healthy operation of the financial system has good depth and breadth, and lay a solid foundation for the sustainable development of commercial banks.
