Abstract:This article follows recent development on the socioemotional wealth perspective to examine the impact of family involvement on corporate charitable donations. Based on data collected from 2,821 Chinese private firms, we find that (a) family ownership and the duration of family control positively affect charitable donations and (b) when the next generation is unwilling to take over the business, the positive relationship between family ownership and charitable donations becomes weaker. These findings show that firms’ proactive stakeholder engagement is susceptible to family involvement. They also highlight the possible existence of the “dark” effect of certain socioemotional wealth dimensions on firms’ proactive stakeholder engagement.

Abstract:To stimulate economic growth,the Chinese government implemented three consecutive policies between 2016 and 2019 to reduce the corporate endowment insurance contribution ratio(CEICR),the highest payment item for Chinese companies.Using China's CEICR reduction policies as a quasi-natural experiment,this paper evaluates the impact of corporate payment burden reduction on employee wages.Generally,reducing CEICR appears to prompt companies to increase employee wages.Corporate cash flow is a possible channel of influence.Moreover,the positive effect is found to be more pronounced in companies that are more labor intensive,performing better in labor payment compliance,and located in regions with higher pressure for elderly care.This paper offers evidence in favor of implementing CEICR reduction policies from the perspective of improving the well-being of employees.

Abstract:Based on the dataset of 572 family members in the 187 real familycontrolled public firms during the year 2008,the paper aims to explore the mechanism of power allocation among family agents from the aspects of ownership,voting rights and management.It has been found that,the kinship effect is very significant on the allocation of ownership and the voting rights.However,there is no differential pattern on the allocation of management.Besides,family member's ability has stronger positive effect on the allocation of management than on the ownership and voting rights,while the ability does not have moderating effects.

Abstract:This study identifies a new economic benefit of common institutional ownership, which refers to the increasingly contentious phenomenon of U.S. firms sharing stockholders with their industry competitors. We find a significantly negative relation between common ownership and insider trading profitability. The disciplinary effect of common ownership on opportunistic insider trading is particularly evident when the information effects of common ownership are greater, when common owners are more likely to benefit from positive governance externalities, and in the subset of trades made by opportunistic insiders. Using the exogenous variations in common ownership induced by financial institution mergers, we conduct a difference-in-differences analysis and find consistent results. We also provide evidence that common owners encourage firms to impose ex-ante restrictions on insider trading and take ex-post actions to discipline opportunistic insiders by voting against management. Overall, our findings suggest that common institutional shareholders have information advantages, governance incentives, and effective means to constrain opportunistic insider trading.

Abstract:A major theoretical objection against employee share ownership is that workers are exposed to excessive financial risk. Theory posits that 10 to 15% of a typical worker’s wealth portfolio can be prudently invested in employer stock. The authors analyze employee share ownership in US family portfolios using the 2004 to 2016 Survey of Consumer Finances. Overall, 15.3% of families with private-sector employees held employer stock in 2016, and one in six of these families exceeded the 15% threshold. Employee share ownership appears to generally add to, rather than substitute for, both pension and overall wealth. Employee share owners express higher risk tolerance and financial knowledge and greater understanding of the value of diversification. While financial risk does not appear to be a substantial problem for most employee share owners, a small minority may face excessive risk, and the authors suggest approaches to reduce such risk.

Abstract:This paper presents new evidence on the economic benefits arising from common institutional ownership. We find a negative and significant effect of common institutional ownership on stock price crash risk. This effect is robust to a battery of robustness checks and is causal according to some identification tests, including difference-in-differences (DiD) analyses on financial institution mergers. We find evidence that the negative effect is attributable to the monitoring role of common institutional owners—a role that is enabled by common owners’ lower information processing cost and greater monitoring incentives owing to governance externalities. We also find that common owners negatively influence crash risk through constraining bad news hoarding and that common owners are more likely to force chief executive officer (CEO) turnover when a firm has higher crash risk. Overall, our results suggest that common institutional shareholders play a unique and effective monitoring role that fends off stock price crashes.

Abstract:Using a sample of Chinese non-financial listed firms from 2007 to 2021, we investigate the impact of common institutional ownership on corporate financialization. The results show that common institutional ownership generates the "synergy effect" by restraining corporate financialization. Mechanism tests demonstrate that common institutional ownership plays dual roles as "information disseminator" and "governance practitioner," effectively curbing financial investment by enhancing information acquisition abilities and mitigating managerial myopia. Heterogeneity tests indicate that common institutional ownership, without business affiliations and with larger network sizes, is more likely to create the "synergy effect." Furthermore, this effect is more pronounced in firms with lower state and management ownership. Economic consequences analyses show that common institutional ownership constrains all types of financial investment, especially speculative ones. Additionally, common institutional ownership guides firms toward developing the core business while enhancing firm value. These conclusions have potential implications for regulatory authorities in guiding the benign interaction between real and virtual economies and preventing systemic financial risks.

Abstract:Employing a unique dataset of Chinese non-listed firms, this paper investigates the effects of the presence of 19 governance structures on 20 employees’ interest indicators. In general, we find that firms with the governance structures pay workers higher hourly wages, require less monthly working hours, and have a smaller chance of wage arrears. Meanwhile, the shares of total wage and welfare expenditures in total sales revenue are lower in these firms, which results in higher profitability. Moreover, firms with the governance structures invest significantly more into training and provide employees with better fringe benefits. Considering the low labor protection standard and the weak external regulations of China’s labor market, we explain the positive findings thusly: corporate governance structures induce managers to adjust wage payments to the “efficiency wage” level, which is the best balance point for the interests of both shareholders and employees and, therefore, for maintaining the stakeholder relationships. We also find the governance structures that give blockholders superpower are negatively associated with employees interests. These results highlight the importance of giving enough discretion to managers in order to successfully find the common ground for creating mutual values for shareholders and employees.

Abstract:The rapid growth in index funds and significant consolidation in the asset-management industry over the past few decades has led to higher levels of common ownership and increased attention on the topic by academic researchers. A consensus has yet to emerge from the literature regarding the consequences of increased common ownership on firm behavior and market outcomes. Given the potential implications for firms and investors alike, it is perhaps not surprising that policy makers, legal scholars, finance and accounting academics, and practitioners have all taken a keen interest in the subject. In this article, we provide an overview of the theoretical underpinnings of common ownership and critically review the empirical literature. Measurement issues and identification challenges are detailed, and a discussion of plausible causal mechanisms is provided. Across the newest papers employing the most credible identification techniques, relatively little evidence has been found that common ownership causes lower competition. However, further research is necessary before broad conclusions can be reached.

Abstract:The survival of zombie firms severely crowds out healthy corporate investment and employment growth, eventually undermining economic growth potential. Hence, how to properly address the problem of corporate zombification is an essential part of achieving high‐quality economic development in China. In recent years, the phenomenon of common institutional ownership has become increasingly widespread in the capital markets and has a significant impact on the strategic decisions of companies. There are currently two views on the corporate governance role of common institutional ownership: the synergistic governance effect and the collusive fraud effect. Using data from Chinese‐listed firms from 2009 to 2021, this paper finds that common institutional ownership can significantly inhibit the formation of zombie firms. The higher the degree of their linkage and the greater the shareholding, the more pronounced the synergistic effect. The findings remained valid after considering the endogeneity issue and conducting robustness tests. Furthermore, the mechanism test suggests that common institutional ownership inhibits the formation of zombie firms by improving internal control quality and reducing agency costs. This paper contributes to the study of how to inhibit the formation of zombie firms by identifying common institutional ownership from the perspective of external governance mechanisms. In addition, this paper enriches the research on the economic consequences of common institutional ownership. Finally, various practical implications for policymakers may be realised, which may help curb the trend of corporate zombification through equity‐based instruments.

Does pension fund ownership reduce market manipulation? Evidence from China

Abstract:This study demonstrates that Chinese stock pension funds have similar investment preferences to mutual funds (pensions and mutual funds are managed by the same group of fund managers) but consistently underperform (outperform) their mutual fund counterparts in growth (value) stock investing. We call this contradiction China's pension fund puzzle. To solve this puzzle, we provide evidence that stocks with low pension fund ownership have undertaken high price manipulation risks and should be compensated by a risk manipulation premium. We designed a logit (probit) Model training method using four different datasets to train the Model. The results show that the pension fund shareholding variable significantly reduced the probability of price manipulation (logit: −6.37, t = −4.13; probit:−1.72, t = −4.63). In the asset pricing framework, we constructed a price manipulation factor and evaluate its pricing performance. The Chinese market had a significant price manipulation premium of 1.9% (t = 2.006).

Abstract:Drawing upon the deregulation of initial public offerings (IPOs) in China, our study reveals a substantial and negative correlation between shareholder bargaining power and the labor income share. This association is particularly pronounced in companies with a higher proportion of institutional investor holdings, within more competitive industries, and those grappling with more severe financing constraints. For scholars exploring the distributive impact of capital market regulatory policies, we emphasize a cautionary note: shareholder capitalism could expedite the erosion of the labor share, potentially exacerbating inequality.

Abstract:This study examines the relation between earnings management and block ownership of same‐industry peer firms by a common set of institutional investors (common institutional ownership). This relation is important given the tremendous growth of common institutional ownership and the significant influence of blockholders on financial reporting. We hypothesize that common institutional ownership mitigates earnings management by enhancing institutions' monitoring efficiency and by encouraging institutions to internalize the negative externality of a firm's earnings management on peer firms' investments. Consistent with our hypothesis, we find that higher common institutional ownership is related to less earnings management. Analyses of a quasi‐natural experiment based on financial institution mergers show that this negative relation is unlikely to be driven by the endogeneity of common institutional ownership. Cross‐sectional tests provide evidence that the negative relation is stronger among firms for which common institutional ownership is likely to generate a greater reduction in institutions' information acquisition and processing costs, and among firms whose severe financial misstatements are more likely to distort co‐owned peer firms' investments, supporting both mechanisms underlying our hypothesis. Our findings inform the ongoing debate on the costs and benefits of common institutional ownership by highlighting an important benefit: the enhanced monitoring of financial reporting.This article is protected by copyright. Abstract:This paper examines the implications of common ownership on pricing and quality decisions in supply chains. Our results indicate that the presence of common ownership enhances the quality investment but increases the wholesale price. However, the presence of common ownership induces the retailers to charge lower sales price. Because of higher wholesale price and lower sales price, the manufacturer always benefits from the common ownership but the common ownership always hurts the retailers. The presence of common ownership always benefits consumer surplus and social welfare. The benefits of common ownership are more significant as the common ownership level becomes strong.

Abstract:Using data from Chinese listed companies between 2012 and 2019, this study examines the effect of social trust on corporate social security contributions. From the perspective of informal institutions, social trust increases the level of corporate social security contributions, and it is more significant in non-state-owned enterprises and strong legal and institutional environments. Based on the analysis of motivation for corporate social responsibility, we find that under the influence of egoism motivation, social trust can promote corporate social security contributions by lowering financing constraints, and it can also promote corporate social security contributions by raising corporate agency costs. Under the influence of altruistic motives, social trust can promote corporate social security contributions by reducing corporate violations.

Abstract:Drawing upon a distinctive dataset derived from the equity relationships between Chinese A-share listed firms and banks, this article provides an empirical analysis of the influence and mechanisms of common ownership between firms and banks on firm organizational resilience. Our findings reveal that common ownership between firms and banks can help firms develop in the long term and improve their resilience by alleviating financing constraints and boosting R&D investment. Our research broadens and deepens existing studies on the influence of firms and banks common ownership, offering fresh insights into the determinants of firm organizational resilience.

Abstract:A large body of literature has examined how managerial ownership affects corporate strategy and risk-taking. The present study extends this literature by investigating the effect of other forms of corporate ownership on a firm’s equity risk (measured as the volatility of a company’s stock returns) and stock returns in the People’s Republic of China (PRC) – an important emerging economy that is rich in various forms of corporate ownership. We find that the various types of corporate ownership appear to have important but different impacts on equity risk and returns. In particular, companies with more state ownership tend to have higher stock volatility and lower stock returns; in contrast, companies with more legal-person ownership tend to have lower stock volatility and higher stock returns. Foreign and managerial ownership are found to have little effect on firms’ equity risk and returns. These findings support the predictions of agency theory – for example, that state ownership increases agency conflicts in companies because bureaucrats and state agencies do not have the same economic incentives to maximize the value of firms. We believe that our study contributes to the international business literature on investment strategy and risk assessment in developing markets such as China, and as a result our findings could have important implications for international investors.

Does Ownership Affect Corporate Social Responsibility? Evidence from Chinese Companies' Response to Targeted Poverty Alleviation

Abstract:With the Chinese economy's development and growing wealth disparity, enhancing corporate social responsibility (CSR) has become a crucial issue for the government. Existing research has mainly focused on the impact of factors such as firm size, CEO characteristics, and industry affiliation on CSR. However, this study explores the impact of ownership on the amount of corporate donations from a different perspective. Using Difference-in-Differences (DID) approach with data from A-share listed companies between 2010 and 2020, this study analyzes how ownership affects donation amounts. The results demonstrate that ownership structure significantly affects donation amounts. The findings indicate that private enterprises are more likely to increase their donation amounts after the implementation of targeted poverty alleviation policies, with a growth rate that is 13.03% higher compared to non-private enterprises. The study also identifies firm size, the years of company listing, growth, and asset-liability ratio as factors affecting donation amounts. Furthermore, through mechanism analysis, return on assets, bank loans, and financing constraints are identified as the main mechanisms through which ownership influences donation amounts. The research has important implications for understanding how corporations can enhance their CSR performance, and government agencies can develop relevant policies to promote CSR among enterprises.

Abstract:This paper empirically investigates the effect of mandatory pension contributions on firm innovation. We find that firms with mandatory contributions experience a decline in their innovation output. This effect is stronger for firms with financial constraints, more short-term institutional investors, higher levels of managerial short-termism. We also document that mandatory pension contributions result in a reduction in firm research and development expenditures and an increase in firm debt-to-asset ratio. Moreover, we report that firms with mandatory contributions increase their alliance activities to pursue innovation with external partners.
