Abstract:In this paper, we examine whether and how board gender diversity impacts firms' cost of equity. We predict that firms with greater board gender diversity enjoy a lower cost of equity than firms with less gender diversity due to a larger investor base, less information asymmetry among investors, and more conservative accounting disclosure. We use staggered worldwide boardroom gender diversity reforms as a quasi-natural experiment to conduct a difference-in-differences analysis. Using a large sample of firms from 43 markets, we obtain empirical evidence in line with our prediction. Our results are robust to tests involving alternative samples, specifications, and explanations. Cross-sectional analyses show that the effect of board gender diversity on the cost of equity is less (more) pronounced when firms are more (less) gender-equal, transparent, and conservative in accounting.
The Even-Odd Nature of Audit Committees and Corporate Earnings Quality

Abstract:We apply voting theory to the context of audit committees and examine how the even–odd nature of audit committees is related to earnings quality. We hypothesize that an audit committee with an odd number of directors can improve the committee’s voting efficiency by better aggregating directors’ information and thus enhance the quality of committee decisions, as compared with an audit committee with an even number of directors. Supporting this implication, we find that an odd audit committee is associated with lower likelihood of financial restatements than an even audit committee, and that this relation is stronger when the committee members have more heterogeneous opinions, hold less equity ownership, are in a smaller audit committee, and face a more entrenched management.

Abstract:Emerging economies suffer from severe principal-principal conflicts. Past studies usually focus on independent directors, and argue that the board of directors only plays negligible monitoring roles. This study highlights that as boards of directors are often composed of different directors that represent different shareholders, their monitoring effectiveness rests largely on their compositions and processes. Specifically, taking the perspective of faultline theory, we propose that faultlines of the board along inside directorship can affect board monitoring through the impact on board members' categorization and identification. We pick the context of corporate financial fraud in emerging economies to test our hypotheses. Our empirical results indicate that board faultline strength is negatively related to corporate financial fraud, but such effect can be weakened by the firm's performance relative to social aspirations. It contributes to the corporate governance literature by enriching our understandings of boardroom processes and searching for effective ways to reduce principal-principal conflicts.

Abstract:In the corporate governance literature, it has been long debated on whether boards can effectively monitor executives’ behavior. Drawing on the factional faultlines research, this study proposes that the greater the magnitude of the faultline between inside and outside directors, the lower the likelihood of corporate financial fraud; this effect is weaker when outside directors sit on more other boards. An analysis of a sample of Chinese publicly-listed firms for 2003–2015 renders support to our predictions. Our results are robust for various model specifications and alternative measures of key variables. The implications of our findings to the corporate governance and faultline literatures are discussed.

Abstract:Extant literature suggests that bank monitoring improves corporate governance. This paper demonstrates that inefficiency in banking can also significantly reduce the equity capital markets' disciplinary power. Specifically, we show that in an environment in which the banking system is dominated by inefficient state-owned banks, controlling shareholders' tunneling activity is positively associated with firms' bank loan access. This relation is particularly strong in firms with high borrowing capacity, as measured by tangibility, and in regions where the banking industry is severely inefficient. As firms with high tunneling can continue to receive new loans with interest cost compatible to others, equity capital market disciplinary forces do not apply to them. Indeed, we further show that through tunneling, bank financing is negatively associated with future firm performance. These results suggest that, for an economy to develop mature capital markets, it is imperative to improve banking efficiency because its inefficiency dilutes the monitoring role of the market.

Abstract:This paper examines the gender diversity in corporate boardrooms in Asia and the Pacific and how the diversity affects corporate performance. We find that boardroom gender diversity is low in Asia with 7.5% female representation on average in 2012, but showing a 1.8% improvement in 2013. The appointment of female directors and a gender-diverse boardroom are on average positively associated with a firm’s subsequent performance, but with large cross-country and cross-measurement differences. Firm performance is the highest when there are two females on the board. Using two-stage analyses, we find that (i) a firm’s past performance does not predict its choice to add female directors; (ii) cross-country differences in female corporate leadership respond to its economic demand and supply as measured by gender equality in college education, labor participation, wages, and infant survival; and (iii) female representation on the board, when determined by these economic factors, is a significant predictor of a firm’s future performance.

Abstract:In the presence of dominant shareholders, it remains uncertain whether the introduction of cumulative voting (CV) in board elections can elevate board representation of non-controlling substantial shareholders and curb the expropriation of minority shareholders by dominant shareholders. With hand-collected director-level data, we conduct DID-style analysis of China's CV reform. We find that non-controlling substantial shareholders cooperated in voting to raise their board representation, and CV implementation curbed tunneling activities and enhanced firm value. The results are especially strong in a subsample of firms whose second largest shareholder has a sufficiently large ownership proportion to elect her/his favored candidates onto boards.

Abstract:This study aims to identify whether a relationship exists between the controlling shareholders’ voting power and outside directors’ effectiveness in maximizing firms’ financial performance. We analyze a panel data with 3057 observations for the 2000–2012 period using a random effects model, logit and probit regressions, and the two-stage model of Heckman in the Brazilian stock market. Our findings show that firms whose controlling shareholders use dual class shares to leverage their voting power have less independence from the board and worse financial performance and market value. Further, the percentage of outside directors tends to be ineffective in increasing the firm’s value, and in changing the firm’s chief executive officer (CEO) when (1) the controlling shareholder’s voting power is leveraged, or (2) when the CEO assumes a position on the board of directors simultaneously. We interpreted that these results are in line with the arguments in favor of the existence of a new agency cost, which is related to the undue obedience of board members to authority, such as the largest controlling shareholder or the CEO in Brazilian listed firms.
Political Capital Vs. Constraint: Evidence from CEO Turnovers in Chinese Private Firms

Abstract:Previous theoretical and empirical studies suggest that CEOs’ political connections are valuable to firms. We examine whether such connections become constraints if the expected political capital fails to materialize and the firm lacks other type of political power in place. Using a sample of listed firms in China, we show that politically connected CEOs in privately controlled (i.e., not state-owned) firms have longer tenure, lower turnover, and weaker turnover-performance sensitivity than non-politically connected CEOs. Further identification tests show that these turnover patterns are not consistent with alternative explanations for turnover patterns such as superior managerial ability or reduction in managerial myopia. The turnover patterns are less pronounced in firms that have alternative political power, such as connected boards or state ownership. Following the turnover of politically connected CEOs, performance improves only for the state-owned firms. Our results call for new theories that comprehend both values and costs of political connection.

Abstract:This paper investigates 763 companies listed in SHSE,explores statistic relation between board structure and corporate performance.Our empirical result shows that board structure has significant effect on corporate growth.Board size and non-duality of COB and CEO have positive effect on corporate performance.Outside directors' percent has negative effect on corporate performance.The author argues that positive effect of board size stems from management's scale economy while outside directors lack of effective incentive.
The Independence of Independent Directors:Evidence from Board Voting Behavior

Abstract:Chinese listed firms are required to disclose the board voting results on management proposals.Using the unique data,we explore the independence of outside directors.We document that only 4% of firms have dissenting directors who vote against management proposals at least once,which is consistent with the claim by Mace(1986) that outside directors are not quite effective.Furthermore,we find that independent directors are more likely to vote against management proposals when firms perform poorly,and when independent directors have higher reputation,have financial or accounting background,and with a longer tenure.We further document that the firms with dissenting directors enjoy higher market value.Our findings suggest that independent directors become more effective during crises,and the monitoring by independent directors improve firm value.
Regulatory Reform of Cumulative Voting in Corporate China: Who Were Elected and its Impacts

Abstract:In emerging markets characterized by weak institutions, the expropriation of minority shareholders by large shareholders is the primary concern in corporate governance. One important way to indurate the protection of minority shareholder rights is the implementation of cumulative voting (CV) scheme for board election. China carried out an experiment of regulatory reform to introduce the CV rule to many listed companies in China. In 2002, the Chinese Securities Regulatory Commission released the "Code of Corporate Governance for Listed Companies'', aiming to elevate minority shareholder rights and to improve corporate governance. In this paper, based on our unique hand-collected data set, we investigate whether the use of CV has substantial effects on board composition and the characteristics of elected board directors, corporate policies and further on firm value. To mitigate the "endogeneity'' or "self-selection'' problem, this paper adopts matching methods to construct control groups and conduct DID style analysis to further reduce econometrical confoundedness. To increase the robustness of our main empirical results, we employ two different matching methods (Barber and Lyon method and "Coarsened exact matching'' method) to construct two samples. To assess the efficacy of the implementation of CV, we examine whether the directors elected via CV are different from those elected via straight voting in terms of personal characteristics of directors including their education qualifications, professional experiences (accountant, lawyer, engineer, economist, etc.), managerial experiences (CEO/chairman experiences), work experiences in the same industry, and political connections (former central, or local government officials). We find that the proportion of directors as representatives of the second largest shareholder significantly increases under the CV rule based on a clean subsample where the top ten shareholders are unrelated. We also find that the implementation of CV has created some positive changes in the quality of directors and the "independence'' of independent directors. But the incremental improvements are not significant enough to curb tunneling activities and generate substantial positive effects on firm performance. Our findings imply that the CV reform has achieved some success, bringing some positive changes to corporate boards, but the success is still limited to a large degree. The broad institutional and legal environment in China remains weak, which imposes constraints on the functioning of the reform scheme.

Abstract:Based on the Panel data and annual dummy variables,the paper empirically studies the effect of the structure of the Board of Directors and Supervision on the company's performance.The conclusions are as follows.Firstly,in general,the board of directors has a significant effect on the company's performance,but the board of supervision doesn't have.Secondly,the number of independent director has a significant positive effect on the company's performance,which is different form the existing resuh.Thirdly,the education of the director has a significant positive effect on the company's performance,but the number of the directs,the frequency of meeting and the ratio of shareholding directors have no significant effect on the company's performance.Fourthly,all correlated variables of the Board of Supervision do nut have significant effect on the company's performance at all.
Effective Corporate Board Structure and Agency Problems: Evidence from China's Economic Transition

Abstract:1.IntroductionThe corporate board serves the most important role in corporate governance. Exploring factors influencing board structure are fundamental in understanding the role of board directors in improving corporate governance. Previous studies suggested that a corporate board is constituted jointly by reconciling two conflicting views (Boone et al., 2007). One is the efficient board hypothesis that board structure is efficient and there is no need to regulate. The other is the inefficient board hypothesis, which argues that a corporate board is naturally structured inefficiently. Firms should adjust board structure according to the cost and benefit of board monitoring and firm-specific characteristics in order to achieve the optimal board structure. Based on these two competing views, previous studies were of the view that in most cases, the corporate board structure is jointly determined by the scope of operation hypothesis, monitoring hypothesis and bargaining hypothesis (Hermalin and Weisbach, 2001; Arthur, 2001; Iwasaki, 2008; Combs et al., 2007; Lehn et cd., 2009).Studies of this topic on the developing economies are few. This is certainly the case for China, with some studies of Chinese board governance covering only the initial stages of Chinese economic transition (Chen and Al-Najjar, 2012). Recently, however, Chen's (2014) study on Taiwan, Germain et al.'s (2014) study on Malaysia and Iwasaki's (2008) study on Russia have begun to shed light on the developing and transforming countries with institutional settings and characteristics that differ from those in advanced economies. This study makes comparisons with existing studies by addressing particular issues related to Chinese board structure during the period from 2000 to 2012.This study focuses on China because its corporate sector has grown to include some of the largest firms in the world,1 and the country has been undergoing economic transition during the last three decades. Chinese economic transition is a gradual process and follows the path of partial privatization of state enterprises. The largest enterprises are also increasingly seeking listing in China's and foreign stock exchanges. While, Chinese listed firms are divided into state and private enterprises, there are also firms for which ownership is unclear (Cheong et al., 2014). However, because this ownership ambiguity is hard to clarify, this paper has to rely on the official definitions of state-controlled and private-controlled enterprises. Still, China's split-share structure reform in 2005 that converted non-tradable shares into tradable shares has moved Chinese corporate governance closer to that characterized by market-orientation. In addition, agency theory-based government regulations towards hiring independent directors is another driving force for listed firms to adjust their board structure.The structure of this paper is as follows. Section 2 reviews the literature on the determinants of board structure. Section 3 examines China's corporate governance issues, including the split-share structure reform and enterprises. Section 4 provides the specification of the research methods and the data used for estimation. Section 5 shows the empirical findings. Section 6 concludes by drawing several implications.2.Literature ReviewThe literature on the determinants of board structure is generally framed by three basic theories, namely the resource dependent theory, agency theory and power circulation theory. The resource dependent theory argues that the main function of the corporate board is to give advice and information needed to facilitate the firm's decision-making and strategic choice (Hillman and Dalziel, 2003; Pugliese et al., 2014). An Empirical Analysis on the Structure of Board of Director and the Performance Evaluation of Listed Companies of Electronic Information Industry in China

Abstract:Under certain legal norm constraints,this paper,from four dimensions and with the introduction of the concept of absolute compliance independent directors number,analyzes the relationship between the structure of board of director and the performance evaluation based on data from 171 Chinese listed companies of electronic information industry in 2010.The results of statistics and regression reveal these: companies with big board of director always show better performance evaluation than companies with small board of director;small board companies always have unstable performance evaluation;the performance evaluation of a company is not directly decided by the proportion of independent directors in the board of directors,but is correlated with the proportion of independent directors that exceed the compliance independent directors;because of the imperfect market of professional managers,the performance evaluation of the enterprises with a combined position of CEO and the chairman of BOD is better than that with separated positions,and more companies would like to take the separated structure;equity incentive of board of directors shows proactive impact on the performance evaluation.

Abstract:Using a dataset of listed companies in China, this article finds strong evidence suggesting that academic independent directors on boards have statistically significant and economically substantial promotion effects on corporate innovation. On average, professor directors increase invention-type patent applications and grants by 11% and 7%, respectively. We use Heckman two-stage estimation to address selection bias, and we design two quasi-natural experiments taking advantage of China's regulatory requirement of six-year tenure expiration for all independent directors and exploiting sudden departures of professor directors due to their personal reasons, respectively, to abate endogeneity. Our results endure these econometric treatments and a series of robustness checks. Furthermore, we document evidence that the advice, conduit, and connectivity channels all work in forming the professor director's promotion effects on corporate innovation. Moreover, we find that other two types of independent directors, politicians and business people, have hardly any effect on the promotion of corporate innovation.

Abstract:This paper systematically reviews 314 empirical studies that examine the relationship between board leadership structure and firm performance. The results show that the mixed research findings are due to different firm performance measurements, research designs, sampling practices and approaches of dealing with endogeneity issues. Studies utilizing multiple‐country data, multinational companies, small firms or regions covering Africa, the Middle East, Eastern Europe and South America are under‐represented. It critiques the methodological weaknesses of some empirical studies and proposes that future researchers should use multiple firm performance measurements, a longitudinal research design and an integrative framework to better control the direct and moderating factors. Future researchers may advance the robustness of research by using multiple theoretical lenses to consider how various governance factors moderate the relationship between board leadership structure and firm performance, particularly the different ownership structures, managerial discretion contexts and national institutional factors.

Abstract:Using a sample of Chinese A-share listed companies from 2002 to 2013, we investigate how multiple-board independent directors allocate their effort and the consequences. The results indicate that: (1) Multiple-board independent directors do have a preference in their effort allocation. Specifically, more effort is allocated to companies which have a higher reputation and closer distance. (2) When directors are far from the firms they work for, their bias among companies with different reputation is easier to generate. (3) The multiple-board independent directors are more likely to leave firms with relatively lower reputation and farther distance due to poor accounting performance, even though their tenure has not expired.
