Abstract:Previous theoretical and empirical studies suggest that CEOs’ political connections are valuable to firms. We examine whether such connections become constraints if the expected political capital fails to materialize and the firm lacks other type of political power in place. Using a sample of listed firms in China, we show that politically connected CEOs in privately controlled (i.e., not state-owned) firms have longer tenure, lower turnover, and weaker turnover-performance sensitivity than non-politically connected CEOs. Further identification tests show that these turnover patterns are not consistent with alternative explanations for turnover patterns such as superior managerial ability or reduction in managerial myopia. The turnover patterns are less pronounced in firms that have alternative political power, such as connected boards or state ownership. Following the turnover of politically connected CEOs, performance improves only for the state-owned firms. Our results call for new theories that comprehend both values and costs of political connection.

Abstract:This paper examines the effect that political connections have on firm’s dividend policy of Chinese private owned firms. We find that political connections have negative relationship on firm’s dividend ratios and probability of dividend payout. We also find that such relationship is dominated by politically connected chairman rather than general manager (CEO). Our findings indicate that both political connections and lower dividend payout in previous year result more expropriation from controlling shareholder. We argue that political connections, especially politically connected chairmen encourage expropriation from controlling shareholder by providing external protection to such behaviour. Therefore, political connections impair corporate governance and the interest of minority shareholders.

Abstract:Using 29 recent high level anti-corruption cases in China as a natural experiment, we examine the patterns in merger and acquisition (M&A) decisions and performance in Chinese non-state owned enterprises (non-SOEs) before and after the exogenous severing of political connections. We identify a set of listed related non-SOEs whose managers bribed or had connections, through past working and educational experience, with corrupt bureaucrats from 2005 to 2011. We document that, after the arrest of corrupt bureaucrats, corruption related non-SOEs lose their competitive advantages in the M&A market. We observe a significant reduction in the likelihood of conducting M&As and the ability to access local and state-owned targets for these firms. They pay a higher takeover premium and consequently have worse post-M&A performance. Our results are robust when we exclude bribing firms, and firms whose related corrupt bureaucrats are arrested within a year before the announcement of the M&A. Furthermore, the influence of anti-corruption events varies across regions that have different levels of corruption index and industries with different levels of government support and competition. Overall, our study provides direct evidence to the question of why firms seek to establish connections with government officials through bribery or personal connections, and we reveal the benefits and costs of such connections.

Abstract:This paper examines the effect of political connections on firms’ access to Chinese IPO market. We find a positive relationship between CEO/chairman’s political connections and the probability of IPO approval of entrepreneurial firms. We provide evidence that connected independent directors and PE/VC investors bring important networks which facilitate firms’ access to the IPO market, albeit the former complements and the latter substitutes the CEO/chairman’s connections. We argue that in emerging markets where government intervention is still prevalent, entrepreneurial firms usually build political connections in order to facilitate their access to both the private financing market and the public equity market.

Abstract:This study examines the impact that political connections have on Mergers and Acquisitions (M&A) performance and the decisions of Chinese listed firms. We find that political connections destroy (create) value in SOEs (non-SOEs). Our findings show that connected SOEs are more likely to acquire local targets, especially when the local unemployment rate is high and when the firms are controlled by the local government, and they are less likely to conduct vertical mergers. M&A decisions of connected non-SOEs are less influenced by the government; instead, political connections in non-SOEs help bidders to integrate vertically and obtain external financing support.

Abstract:This study investigates the impact of CEO social capital on involuntary CEO turnover. We measure CEO social capital in two dimensions, social networks and political connections, which are both crucial factors of social capital in China. We find that both types of social capital are negatively associated with CEO involuntary turnover but work in different ways. Consistent with the resource-based view, CEOs with more extensive social networks have better access to external resources, particularly when firms face drastic economic scenarios. Consistent with the entrenchment perspective, having political connections reduces the likelihood of CEO involuntary turnover by increasing managerial entrenchment. To address endogeneity concerns, we employ the instrumental variable approach and the PSM approach, and our main findings continue to hold.

Abstract:This paper investigates the impact of political ties on top managers' turnover from a combination of re-source based view and dynamic capabilities. It uncovers how firms manage their political ties in the emerging mar-kets of China, from a dynamic perspective. The main findings are that, firstly, the incumbent manager faces a higher dismissal rate when his or her successor has political ties. However, in the long run, managers who have political ties encountered higher dismissal rates when their political ties had been fully exploited. Finally, after the dismissal of managers with political ties, the successor always is a person with political ties. Employing the data of small and middle size enterprises (SMEs) in the listed market of China, our hypotheses are supported.

Abstract:In China, the prevalence of strong political connections among a significant number of boards of directors and CEOs highlights the importance of cultivating such relationships. This is particularly relevant when considering the Chinese political system where officers holding higher political ranks wield dominant, or even absolute, power in decision‐making. Our findings reveal that the political power differential (PPD) between a board of directors and its CEO plays a pivotal role in mitigating CEO entrenchment associated with political power. Specifically, when directors possess more political power than their CEOs, they can effectively fulfil their disciplinary role, leading to the dismissal of underperforming CEOs. Our study substantiates a significantly positive relationship between PPD and the probability of a forced CEO turnover, as well as the sensitivity of CEO turnover to performance. Notably, as PPD increases by one standard deviation from its mean level, we observe an approximate 30% increase in CEO turnover‐performance sensitivity. These findings confirm a higher likelihood of replacing underperforming CEOs in firms with a politically powerful board. Our results also highlight that a higher proportion of either independent or female directors alone does not guarantee effective monitoring. The key lies in ensuring that these directors possess stronger political power than the CEO.

Abstract:This study examines how board leadership structure affects CEO turnovers when firms are experiencing different financial performance.It is shown that:(1)CEO duality protects CEO from the abnormal forced turnover in out-performing firms;(2)among average- performing firms,CEO duality entrenches CEOs from normal forced turnover;(3)there is no relationship between CEO duality and forced turnover in lose-making firms.Based on the different nature of CEO turnovers within different performance levels,this study provides a new framework which suggests that the agency theory and the stewardship theory of CEO duality are not mutually exclusive.We also try to give some suggestions on the ongoing corporate governance reform.

Abstract:We investigate how political influence affects executive compensation using a sample of publically listed Chinese firms. Our dataset allows us to examine the interplay between manager political influence that arises through government service and owner political influence that arises through state ownership, as they affect executive compensation. We find that politically connected executives receive greater excess compensation from non-state owned firms, but not from state owned firms. Furthermore, our findings indicate that politically connected managers are rewarded for improved performance only when owners do not have substantial political influence, which is consistent with manager political influence being related to a form of managerial entrenchment that can be mitigated by owner political influence. Conceptually, this study adds to the agency theory literature in the field of corporate governance, as it highlights the owner–manager conflict of interest using political influence as a balance of power.

Abstract:CEO dismissal is one of the most important decisions in that it critically impacts firm performance. According to the theoretical lens of power circulation theory, power determines the rate of CEO dismissal. Drawing on this theory, this study investigates the impact of political ties and power distance on CEO dismissal within the Chinese context. The current article advances existing research and theory by addressing these two underexplored areas, namely, power circulation theory-related factors such as political ties and power distance, as determinants of CEO dismissal within the Chinese context. Our results display that the two power factors, political ties and power distance, are essential determinants of CEO dismissal in China. Specifically, we find that these two factors decrease the likelihood of CEO dismissal in China. This study also finds that local political ties have a more significant impact on CEO dismissal than do central political ties.

Abstract:This paper examines empirically the quality of the governance mechanisms of Chinese state-owned enterprises from 1994–1999, a period marked by substantial changes in policies affecting the governance structure of these firms. It shows that the restructuring of these enterprises according to corporate law improved the effectiveness of their governance system. Specifically, restructuring strengthened the links between manager turnover and firm performance. The results indicate that firm performance was significantly and negatively related to manager demotion for incorporated state-owned enterprises, while this relationship was insignificant for unincorporated enterprises. They also indicate that manager turnover was a viable incentive mechanism for improving future enterprise performance.

Abstract:The political connection of managers can not only strengthen their competitive advantage but also weaken the effectiveness of corporate governance mechanism.From the perspective of irregularities and the managers' turnover, this paper uses both the Bivariate Probit model and the mediating effect model to study how the political connection of managers affect the effectiveness of corporate governance mechanism.The results are as follows: Those companies whose managers have political connections are more inclined to commit violations, which is especially true with private enterprises;Political connections of managers can help to reduce the likelihood of investigations into the companies' violations, which is especially true with the state-owned enterprises;The political connection helps the manager to establish the position trenches and reduce the probability that the manager is forced to leave.However, after the enterprise's illegal behavior is inspected, the probability of manager's turnover will be significantly improved.The results also prove that the political association of the managers weakens the pre-regulation of the enterprise's irregularities, but the audit of the enterprise's irregularities has significant governance effect in ex-post supervision.

Abstract:A firm's risk-taking behavior can have powerful implications for its employees and shareholders, and even surrounding communities. Corporate risk-taking may associate with firms' affiliation with the government and the incentives of their highest-ranking executives, rather than with strategic choices calculated to maximize firm value. This study addresses a novel sample of Chinese firms, controls for a set of firm and manager characteristics, and finds that firms' political ranking significantly affects their corporate risk-taking behavior. This effect is strong among firms with younger managers, and becomes insignificant when the highest-ranking manager is near retirement age. The findings indicate that the political connections of the highest-ranking manager (i.e., whether the manager is a former or current government bureaucrat) do not independently affect corporate risk-taking. However, the interaction between political connections, the firm's political rank, and the manager's age can affect corporate risk-taking.

Abstract:Based on the data of CEO turnover in all Chinese listed companies from 1995 to 2000,we analyze which factors influence CEOs' turnover by empirical study using single-index semi-parametric method in this paper.The research results are:there exists a negative relationship between forced executive turnover rate and corporation performance,also between forced executive turnover rate and the level of bank short term loan financing;when the largest shareholder is state-owned business organization, the probability that CEO is forcedly took placed is little;the share holding rate of the largest shareholder can not significantly explain the forced CEOs' turnover.Overall,corporate governance is effective,but the bank should strengthen supervision to the listed company as a creditor.

Abstract:Do external uncertainties hold back or accelerate firms' strategic change? To examine this issue, we develop a theoretical framework on the relationship between policy uncertainty caused by political turnover and the level of a firm's strategic change and also theorize how political connections and financial resources affect firms' response in the form of strategic change to environmental uncertainty. We test our framework with 16,451 firm-year observations of listed firms in China from 2008 to 2015 and find that political turnover has a negative influence on the level of a firm's strategic change. Moreover, this influence is mitigated by political connections and/or financial resources.

Abstract:To better understand the relationship between different types of firm ownership and management turnover, this study classifies ownership along two dimensions: the type of owner and the concentration of ownership. Within this framework, a unique data set is used to study the impact of management turnover on a company's performance. This study, in addition to confirming some of the results from previous studies, includes interesting and important new results. Most importantly, it finds evidence that the sensitivity of CEO turnover to performance is weaker in state-controlled firms than in non-state firms, and varies according to different subtypes of private ownership. We also demonstrate that the turnover–performance relationship is curvilinear in ownership concentration, but that this relationship moves in opposite directions under state and private ownership. Important policy implications of these findings are discussed.

Abstract:Wage is almost the most important way to motivate employees,and also could be one way to hurt shareholders' value.By studying the change of employee wage during CEO turnover,we analyze that how corporate politics based on implicit contract are formed and their consequences.It is found that the higher the level of employee wage in previous period,the less likelihood that CEO change in following period.In the first year of new CEO,employee wage has a significant growth,and this effect is more pronounced for firms if their new CEOs are from outside.When we separate wage growth into two parts,the formal part and the informal part.The formal part is more likely determined by firm's efficiency factors,and the informal part is more likely determined by firm's political factors.We find that the formal part of wage growth has a positive effect on future performance,while the informal part has a negative effect on future performance.This indicates that new CEOs may increase wages to please the employee to protect their position at the cost of shareholders.
