Abstract:In the modern corporations,a series of institution arrangements of corporate governance constitute an important part of enforcement mechanisms of accounting standards,and which has significant impact on the quality of accounting information.In this paper,we evaluate the quality of corporate governance system through principal component analysis.On the basis of the evaluation,we empirically investigate the relation between corporate governance and the value-relevance of earnings.Our finding is that the better corporate governance is,the higer value-relevance of earnings is.

Abstract:Shareholder -supremacies are the core of corporate governance in Anglo-Saxon system.Some management paradoxes emerged because this thought has been neglecting the stakeholders' claims.The stakeholder theory,however,argues that whether or not a firm can survive and develop depends on how effectively it deals with various stakeholders,among which shareholder is just one.In the era of new economy characterized by knowledge,information and globalization,the stakeholders' participation determines the corporate performance.In this context,it is argued that enterprises should abandon shareholder -supremacies,focus on fostering and developing human capital value of employees,and satisfy stakeholders' interests appropriately.

Abstract:There are lots of arguments for and against the convergence of corporate governance models in globalization. With 6 indexes in analyzing the evolution tendency of 4 typical corporate governance models in the past 20 years, empirical results don't hold with the convergence view. It is implied that globalization will induce different models learning from each other, but not necessarily being convergent. The implication for the transition economy is that we should not imitate one model painstakingly, but should select a specific corporate governance model adaptable with Chinese political, legal, economical, historical and cultural elements.

Abstract:It has been, in recent years, a hot point at issue over the tendency of corporate governance model: being assimilated or diversified? On the basis of sorting out different view points on it, this paper makes a comparison, from the global perspective, between the Anglo-American model countries and the inland model ones in three aspects of the role of capital market, enterprise equity structure and the system of directoration. From the comparison it finds that there should be variation in assimilation, and gives suggestions of how to make choice of Corporate governance model in our country.

Abstract:In these two years, there are heated discussions on the tendency of global corporate governance model, congruence or diversification.we, therefore, study the different styles on the tendency of global corporate governance model, and compare the role of capital market, equity structure of enterprises and board system between the Anglo-Saxon model and Rhineland model. We find the tendency of it that every country should keep the distinguishing features in the period of congruence, this can give us the implication when we choose corporate governance model.

Abstract:I propose a construct to consider the debate over a corporate governance model that emphasizes stakeholder interests. The debate is relevant to the extent that a stakeholder focus prompts different corporate actions than a shareholder focus. I use this construct to consider the benefits and costs of three rationales for a stakeholder focus based on enlightened self-interest, moral imperative, and externalities. Of these, the externalities rationale holds the most promise as a motive for a stakeholder focus. Evidence, however, indicates that the potential benefits are limited to corporate activities for which social costs are not already internalized. Potential benefits must also be weighed against the costs, which include an increased potential for conflict, waste, and managerial self-dealing. I conclude by advocating for the traditional shareholder interests model of governance, with guidance for managers to deviate from this model in limited cases when the external impacts on stakeholders are large.

Abstract:Corporate governance originates from the agency problems caused by the separation of ownership and control.Its main idea is to maximize the shareholder value by managerial incentives and large shareholder control.With its goals aiming at maximizing the stakeholder value,there are no objections to the goals advanced by the proponents of stakeholder model of corporate governance.However,the stakeholder model has its critical defects on the design of managerial incentives,financing and decision making,since its main idea is to internalize the negative externalities of shareholder behavior with multiple managerial missions and sharing of control.So,it is not a good system to protect the interest of stakeholders.While we should insist on the shareholder value paradigm,contractual and legal apparatus are better for the protection of stakeholder interest.

Abstract:The relationship between philanthropy and corporate value is a hot topic in corporate social responsibility research. The paper analyses and makes an empirical test on the moderating impact of stakeholder satisfaction on the value effect of corporate philanthropy. Using China＇s listed companies＇ panel data from 2002 to 2008, the results reveal that philanthropy＇s value effect is made in the condition of stakeholder satisfaction .And the higher stakeholder satisfaction, the more obvious value effect of corporate philanthropy. Further research suggests that enterprise resources, board governance and marketization respectively strengthens and weakens the moderating impact of stakeholder satisfaction. The paper is not only of great importance to deeply understand the value of corporate philanthropy but also of enlightenments for better performing philanthropic responsibility.

Abstract:The traditional evaluation system of corporate performance by maximizing stakeholders’ value has increasingly shown its limitations, and the establishment of performance evaluation system based on stakeholder theory is particularly important. This paper describes stakeholders’ focuses on corporate performance evaluation and analyzes the importance of each of these concerns. Finally, based on the summary of the preceding analysis, this paper analyses the performance evaluation system based on the stakeholder theory, which is oriented by the maximization of corporate value, and proposes different focuses of the corporation according to different sectors and different circumstances.

Abstract:There is a dearth of configuration analysis on the factors that constitute corporate governance mechanisms within the framework of corporate sustainable goals in existing literature. Specifically, the impact mechanisms related to various combined mechanisms have not been comprehensively defined. This study employs Qualitative Comparative Analysis (QCA) approach to explore the effects of various configurations of corporate governance mechanisms on sustainable development, based on a sample of 2959 Chinese listed companies. Our analysis identifies four distinct pathways that facilitate the achievement of sustainable development goals: 1) enlarging board size, providing managerial incentives, establishing sustainability committees, and enhancing corporate transparency; 2) promoting board diversity, providing managerial incentives, establishing sustainability committees, and enhancing corporate transparency; 3) reducing ownership concentration, providing managerial incentives, establishing sustainability committees, and enhancing corporate transparency; 4) encouraging individual investment, providing managerial incentives, establishing sustainability committees, and enhancing corporate transparency. Additionally, a comparative analysis of different pathways has revealed substitutional relationships between board size and diversity, ownership concentration and investor structure, while highlighting the complementary relationship of managerial incentives, sustainability committees, and corporate transparency. Challenging the erstwhile linear research paradigm, this study contributes to understanding the pathways for achieving sustainable development goals from a configurational perspective and elucidates the relationships between corporate governance mechanisms. It offers novel and comprehensive evidence for examining the intricate nexus between corporate governance mechanisms and sustainable development. Abstract:Although the concept of corporate governance began with the emergence of corporations, the concept of governance can be traced back to ancient China. Currently, discussions of this topic focus mainly on the differences between approaches to and theories about corporate governance and examine their effectiveness, an integrated view that draws on Chinese theories and cultures is missing. This paper attempts to address the gaps by conceptually synthesizing insights from ancient Chinese philosophies to construct an integrated framework; it further defines the legal and ethical constraints while incorporating both an ancient Chinese (i.e., Eastern) philosophical perspective and Western governance elements and both national-level and firm-level variables. Drawing on institutional theory (Scott, 1995, 2004, 2008a, 2008b) and considering the interaction of legal and ethical constraints, a model — the ethical-legal model — constructs and categorizes corporate governance approaches into four types driven by different types of institutions and compares how these approaches are related to different governance perspectives (agent, stewardship and stakeholder). An autonomous (Wu Wei) governance approach is trigged when the cognitive institution is formed as a result of high levels of both legal and ethical constraints and drives autonomous corporate governance with a shift in focus from compliance to commitments

Abstract:The author points out that shareholding reform is the target of China corporate reform, and corporate governance is the core contents of shareholding reform. The arrangement of stakeholders is one of the necessary principles in corporate governance, namely, their right, role they play and the protection. Based on international experience, we should take the following three factors into consideration,such as the factors of mobilizing the initiative of employees, especially high quality people, giving full play to the role of employees in the participation of management, and giving full play to the role of employees in supervision and warning. In China,we should do better job in improving employee,s position and encouraging them to participate in management, which will in turn be beneficial to the sound development of science and technological enterprises, manpower-intensive enterprises and knowledge-oriented enterprises.

Abstract:ABSTRACT We develop a stakeholder framework that examines how firms respond to the conflicting demands that arise from governments and investors in the context of corporate philanthropic giving. We argue that firms that experience such conflict exhibit a decoupling response in philanthropic giving. Furthermore, we identify the boundary conditions of the relationship between the conflicting pressures and the decoupling response. Drawing on stakeholder salience literature, we argue that this relationship will be weakened when CEOs perceive government demands as more salient (such as those with a communist ideology) and when CEOs are less sensitive to investor claims (such as those with fewer career concerns). We find empirical support for our arguments using a sample of 8,857 Chinese listed firms from 2006 to 2015. Our study contributes to the literature on stakeholder theory, decoupling, and corporate philanthropy.

Abstract:As an important aspect of corporate governance,stakeholders governance has great influence on corporate harmony.In this paper,we set up index system to appraise status quo of stakeholders participation in corporate governance and stakeholders harmony of Chinese listed companies,then get stakeholders governance index(CCGI).The further empirical researches show that CCGI is positively associated with ROE,NAPS,EPS,OPE and ITA.These indicate that good stakeholders governance mechanisms and high level of stakeholders governance help corporations develop harmoniously and improve profitability,and growth and development potential of listed companies.At the same time,concrete aspects of stakeholders governance mechanisms also have important influence on corporate performance.So,we suggest that the company should pay attention to rights and interests of stakeholders,and encourage stakeholders properly and effectively to participate in corporate governance and management in order to enhance corporate harmony.
