Abstract:The independent director system in China has many weaknesses. Independent directors might not be truly independent, and they are not always equipped with the necessary information and expertise. The controlling shareholder ownership aggravates problems of the independent director system. Particularly, it is highly likely that the system based on rubber-stamp directors is used to justify corporate policies and transactions in favor of controlling shareholders. Nonetheless, independent directors in China can bring positive effects to society. Some tainted proposals are screened out before submission by corporate insiders to a formal board meeting since independent directors sometimes raise objections during informal sessions or private conversations (independent directors’ “direct deterrence”). Controlling shareholders, due to the concern of revealing negative information to a capital market and enforcement agencies, would not fully demand independent directors to approve egregious transactions (a controlling shareholder’s “selfcensorship”). In addition, regulations on the business role of individuals with government/party or education experience should be carefully reviewed. On the one hand, these regulations can facilitate anti-corruption campaigns that the Chinese government currently pursues. On the other hand, there is no guarantee that alternative groups are more capable, independent, and ethical than the group with government/party or educational experience.

Abstract:The independent director system first appeared in the Investment Company Act of the United States in 1940, and the main purpose of the system is to check and supervise the major shareholders and executives of enterprises, while playing a positive role in the normal operation and higher profits of the company. In 2001, the Securities Regulatory Commission of China officially issued the Guidance on the Establishment of Independent Director System in Listed Companies, which also explored the way of independent directors’ the system. China's independent director system was implemented late and it is not mature enough. For example, there are still problems such as lack of independence professionalism of independent directors. Although China belongs to the socialist legal system, which is essentially different from the common law system, the independent director system in China is essentially an imported product, so the independent director system in the United Kingdom and the United States has a strong significance to learn from. This paper compares the current independent directorship in China with that in the U.S. through a controlled variables approach in the hope of drawing substantive suggestions and inspiration. Our proposal is divided into two parts firstly, from the perspective of addressing the independence of independent directors themselves, and then analyzing the possible upgrading of the operating environment of independent directors. In particular, we emphasize the advantages of the U.S. independent director system in terms of comprehensive talent training, selection and recruitment mechanisms, so as to provide implications and solution strategies for Chinese independent director system, in order to improve the role of the Chinese independent director system in corporate governance.

Analysis of Independent Director System and Effectiveness of Company Management

Abstract:The establishment of independent director system can effectively supervise and manage, safeguard the rights and interests of legal shareholders, and improve the effectiveness of company management. In the meanwhile, the practice of independent directors in China still has a lot of problems and deficiencies, which requires continuous improvement and development. On the basis of relevant theories, this paper analyzes the current situation of independent directors in China and puts forward an empirical analysis on the effectiveness of the independent director system of company management. In addition, according to the conclusion of the empirical study, some policy suggestions are put forward on how to play the role of independent directors to achieve the purpose of improving the effectiveness of corporate governance. 1. Literature Review 1.1. Literature Review of Foreign Countries 1.1.1. Ineffectiveness of Independent Director System With the study of the independent directors and company performance based on 217 non-financial listed companies in Vietnam from 2010 to 2014, Thi TuyetMai Nguyen、Elaine Evan and Meiting Lu[1] used regression estimation method, and found that independent directors negatively impacted company's operating performance. 1.1.2. Effectiveness of Independent Director System Abidin[2](2010) took a random sample of listed companies in Malaysia and selected 75 companies as research samples. The research found that the size of the company's board of directors has an impact on performance, especially the size of the sole director has the most significant impact on performance. 1.1.3. Relationship between the Proportion of Independent Directors and Company Performance Bouzouk [3](2011) , taking all listed companies on the Istanbul Stock Exchange of Turkey as samples, considering factors such as the size of the companies as controlling variables, concluded that the proportion of independent directors and their performance presents an obvious positive correlation. 1.1.4. Relationship between Independent Director's Compensation and Company Performance Through research, Tian and Lau[4](2001) found that there is no correlation between the remuneration of independent directors among external directors and the effective management of the company. 1.2. Literature Review in China Experts and scholars in our country have different opinions on the effectiveness of the independent director system. 1.2.1. Ineffectiveness of Independent Director System Dongzhi Yu and Wang Huacheng [5] (2003) compared the before and after of the introduction of independent director system through research, and found that the introduction not only had unobvious improvement of the current financial situation, but had the opposite effect. Abstract:In China, in default of the reputation incentive system, the salary system for independent directors plays an important role in improving corporate governance. In this paper the salary system for independent directors is thought of as an issue of the formation of equilibrium price in the process of market transaction. In terms of market transaction, the paper makes a probe into the formation of our independent director mechanism and gives the reasons why our independent director salary is on the low side, holding that only if by restructuring the salary system, can our corporate governance structure be improved.
Reconstruction of Independent Director's Rights and Responsibilities in China——From the Perspective of the Differences between Independent Director and Inside Director

Abstract:China has not achieved pre-set targets since adopting a system of independent director in 2001. By checking the legal system, this paper holds the view that the disadvantage of independent director system lies on unclear distinction between independent director's nature, characteristics and rights and that of inside director. Based on this view, the author reconstructs the independent director's rights and responsibilities in the following ways: independent directors should exercise their supervisory rights by constraining inside directors with the help of stock; their obligations should differ from that of inside director; a certain insurance system and statutory exemption mechanism should be set up to avoid over pursuing legal actions against independent director.

Abstract:As a supervisory system, the independent director system should be a fair third party. However, for a long time, due to "soft mouthed and short handed", it has gradually become a "vase", and even a channel for major shareholders of some companies to share benefits with "relatives and friends". In the recent case of corporate financial fraud, independent directors were sentenced to assume joint and several liability for compensation, and then dozens of enterprises saw the resignation of independent directors, which aroused the attention of the society to independent directors. A large number of scholars also wrote about their thinking on the independent director system.

Abstract:From three different perspectives, namely, the basic characteristics of independent directors, the percentage of independent directors on board and its relation to company performance, and the remuneration for independent directors and its relation to company performance, we could summarize implementation characteristics of the independent director institution in China: the age distribution of independent directors is relatively even and the majority of them are academic staff and researchers with business administration backgrounds; a positive relationship between the independent director’s remuneration and company performance, as well as between the number of independent directors on board and the company performance.

Abstract:As we all know, Chinas listed companies have distorted the accounting information in their annual reports seriously because of their underdeveloped governance structure. To protect the profit of the most middle and small shareholders, improve the disclosure of accounting information and develop the stock market in a healthy way, China should establish the independent director system. However, it is worthy being discussed deeply how to implement this system efficiently and avoid it becoming a mere formality. Abstract:When China Securities Regulatory Commission required the practice of independent director system, no specifications were made for independent directors' responsibilities and restrictions. A heated nation-wide argument of the responsibilities and restrictions was, however, brought forth when Lu Jiahao, an independent director of ST Zheng Baiwen, made a legal complaint against China Securities Regulatory Commission for an unreasonable fine of RMB$100,000 as a punishment of his financial cheating. The new Company Law guarantees more chances for lodging an appeal, and the issue of responsibilities and restrictions will soon become sharp. Since the functions and responsibilities of independent directors are different from those of other directors, it is both unfair and unreasonable to punish them over-strictly and over-severely. Instead, their responsibilities should be properly mitigated. Japan's modification of laws, especially its 2005 Company Law, provides experience for reference.
