Value Relevance of Mergers Blocked by Shareholder Lawsuits According to the German Stock Corporation Act: An Event Study

Abstract:This paper analyses lawsuits against shareholders’ resolutions according to the German Stock Corporation Act (AktG) and the German Reorganisation Act (UmwG). A merger passed at the General Annual Meeting will not move forward as long as any lawsuit is pending with a court. In particular, mergers have to be implemented without any delay. The minority shareholders often file lawsuits in order to extort the majority shareholder. If they receive compensations, they withdraw their suits. We wanted to measure the blocking effects on the value of the firms by constructing an event study. The focus was put on blocked mergers in between 2003 and 2009. The first part of this paper lays out the following theoretical approach: We assume the possibility to merge as a real option of the majority shareholder. Also assumed is that lawsuits increase the factual voting power of minority shareholders and create incentives to use the real option inefficiently. Therefore, the majority shareholder is not free to exercise over his property and to merge without any delay. The blocking effect of lawsuits decreases the economic value of the majority interest. Both assumptions are based on Property Rights Theory and are fundamental to generating hypotheses for the event study, which is the second part of the paper.
