The Synchronization Trap: Cross-border Acquisition Pacing during Institutional Transition

Abstract:To address global competition serial acquirers from emerging markets undergoing significant institutional transition are largely motivated by strategic asset seeking and capability upgrading. Within this context, we adopt a temporal perspective to examine two questions related to the pacing and synchronization of emerging market multinational corporations' (EMNC) cross- border acquisitions of MNCs in developed countries (DMNC) and their effect on performance. First, we reason that fast pacing EMNCs can overcome the challenges of time compression diseconomies by leveraging strategic factor markets (i.e., capabilities) embedded in their DMNC cross-border acquisitions to increase productivity thereby reducing absorptive constraints. As a result, EMNCs are able to transform time compression diseconomies into time compression economies where fast pacing has a positive effect on performance although subject to diminishing returns. Second, creating a temporal fit between EMNC cross-border acquisition pacing and the pace of institutional distance change between EMNC and DMNC countries creates a synchronization trap: a potential pathology previously not discussed in the literature. Temporal synchronization leads to a trap because synchronizing in the present comes at the expense of the future. To gain access to strategic factor markets in the short term, synchronized firms have to assume the costs of internalizing institutional voids. Temporal synchronization is also associated with temporal myopia resulting from not resolving competing institutional logics. There is a dissipating effect for the synchronization trap as the institutional distance between two countries narrows. Using a sample of 117 BRIC EMNCs undertaking 575 acquisitions of DMNCs from 2001 to 2011, we find support for our hypotheses. Our theory and findings highlight an important tension in the strategy literature; do research findings from developed markets transfer to emerging markets.
