Abstract:This article try to combine the culture and efficiency arguments of explanation of family firm in the way, that the cultural argument help us to understand family firm as it is and the efficiency argument explains its change in the process of evolution. With a short description of development of family firm in Mainland China after 1978, we investigate the relationship between family firm, corporate governance and performance by researching into over 300 firms in manufacturing industry in Zhejiang Province, China. We examine the stake of the largest family shareholder, the leadership structure and the characters of management impact on family firm performance. We find that family firm perform better than Non-family firm through estimating production function model. Among family firms, nepotism is negatively correlated with the productivity of the firms, while the first in command’s education level have an insignificant effect on productivity improvement. There is no significant relationship between CEO duality and family firm performance.

Abstract:Abstract Pressure to meet or beat earnings forecasts from securities analysts leads managers of publicly traded firms to improve short‐term earnings by cutting strategic investments at the expense of long‐term competitiveness. Drawing on the behavioral theory of the firm, we explore how different dimensions of performance feedback moderate managerial responses to this pressure. We find that the negative impact of earnings pressure on a firm’s strategic investments is strengthened when it receives performance feedback from lower stock returns but is weakened when the firm receives performance feedback from lower sales growth. When both dimensions of performance feedback are present, we find that sales growth has a stronger moderating effect. Our paper contributes to the developing literature on multiple dimensions of performance feedback by demonstrating how stock price and sales growth differentially influence managerial responses to earnings pressure. From a management standpoint, we highlight the possibility that performance feedback influences managerial responses to earnings pressures in ways that managers may not fully consider.

Abstract:Some of the constructs in the field of performance management are intuitive or not empirically validated. This study provides a data-driven framework for measuring and improving the performance through synchronized strategies. The ultimate goal was to provide support for increasing business performance. Empirical research materializes in an exploratory case study and a statistical analysis with econometric models. The case study revealed that a company can improve its performance, even in periods of growth, being characterized by consistent investments. The statistical analysis, performed on a restricted sample of companies, confirmed the results that were provided by the case study. The measurement of performance was made by capitalizing on financial and non-financial data precisely to intensify the interest for corporate sustainability. The obtained results, contrary to previous research that showed that economic value added (EVA) is negatively influenced by the increase in invested capital, open up new research perspectives to find out whether, at the industry level, performance appraisal that is based on EVA stimulates the development of a business’s economic capital. The research has a double utility: scientific (by providing an overview of the state of the art in the field of performance management) and practical (by providing a reference model for measuring and monitoring performance).

Abstract:Stein(1989) and Shivakumar(2000) document that earnings management may reflect the firms' rational response to anticipated discount.Fan(2007) finds that issuers manipulate earnings to differentiate themselves from each other.Thus,we argue that,performance difference among issuers influence the issuers' earnings management,which to deal with mimickers and market discount.We show that,SEO issuers engage in accrual management,and the higher the SEO performance threshold the lower the discount and earnings management.Our finding indicates that as higher performance threshold signals lower difference among issuers,it decreases issuers' earnings manipulation,that higher performance threshold can improve issuers' quality.We extends the earnings management framework of Stein(1989),Shivakumar(2000) and Fan(2007),and emphasizes that earnings management emerging as the result of an investor-issuer game is affected by the performance difference among issures.Our finding supports the performance threshold regulation issued by China Securities Regulatory Committee(CSRC) theoretically and empirically.

Abstract:This paper studies the decline in accounting performance after the earliest rights issues in China's capital market from 1998 to 2001.As for the listed companies not to continue to issue,the discretionary accruals'reversal around the rights issues provide the di- rect evidence for the opportunism of pre-issue earnings management.But the companies planning to subsequently issue continue to man- age earnings to maintain performance as high as possible.The deterioration of all companies'CFO implies the pre-issue earning manage- ment can only partially explain the underperformance of the rights issues.Our evidence shows that it is not unique way to protect inves- tor through limiting the opportunism of pre-issue earnings management.Another important way is companies'investment efficiency fol- lowing the rights issue.

Abstract:This study investigates the impact of performance commitments on the earnings management levels of acquiring firms in the three years following mergers and acquisitions (M&As), as well as the resulting performance reversal phenomenon. The empirical results indicate that listed companies significantly increase their earnings management levels in the three years after making performance commitments. This suggests that firms may engage in upward earnings management during the commitment period to inflate profits and achieve the promised performance. Moreover, our findings reveal that M&A transactions involving stock payments and performance commitments exhibit even higher levels of earnings management. However, such practices are unsustainable; once the commitment period ends, the previous earnings management behavior is gradually rectified, leading to a performance reversal. Further analysis demonstrates that performance commitments result in a significant decline in companies' return on assets (ROA) in the fourth and fifth years post-M&A.

Abstract:One contribution of my paper is to establish the link between the literature of earnings management and earnings timeliness. Under the assumption of market efficiency, I use earnings sensitivity to returns to test earnings management for firms with good and bad stock market performance. I find supporting evidence of income-decreasing earnings management for such firms independent of sample choice or sample periods. Another contribution is to test whether bonus maximization in part motivates such income-decreasing earnings management using the earnings timeliness framework. Results support bonus-motivated earnings management. Evidence for the largest firms supports income decreasing accounting choices motivated by bonus for firms with good stock market performance, but not for firms with bad stock market performance.

Abstract:Purpose This paper aims to contribute to the discussion on the executives’ team and firm performance by investigating the relationships between executives’ compensation, management gender diversity and firm financial performance in growth enterprises market (GEM) listed firms in China. Design/methodology/approach Data are collected from 461 companies listed on GEM boards during the period from the year 2016 to 2018. Specifically, executives’ compensation and female executives are set as the independent variables, and the proxy selected of corporate performance is Tobin’s Q ratio. Findings The results show that the correlation between corporate performance and executive cash payment is not significant, while executives’ equity-based compensation shows a significant positive correlation with firm performance. In addition, the participation of female executives is negatively associated with firm performance. Research limitations/implications The results have practical implications for governments, policymakers and regulatory authorities, by indicating the importance of women to corporate success. In particular, the findings of this paper emphasize the specific background of GEM in China and provide empirical support for the value of women’s participation in corporate governance. In addition, the finding on the relationship between executive compensation and corporate performance of GEM listed companies provides guidance for the establishment of a performance compensation system of GEM listed companies in China. Originality/value This paper provides new evidence for the current literature of executive team and corporate performance. This is the first paper to adopt triangulation in theories from different disciplines including optimal contractual approach, managerial power approach as new perspectives of agency theory, upper echelons theory, motivational-hygiene theory and women leadership style theory. The results will contribute to provide guidance for enterprises to formulate an efficient compensation system and build a reasonable senior management team structure.

The Relation between Earnings Management Using Real Activities Manipulation and Future Performance: Evidence from Meeting Earnings Benchmarks

Abstract:This paper examines the consequences of real activities manipulation. Using financial statement data, I identify firms that appear to engage in any of the following real activities manipulation (RM): reducing R&D to increase income, reducing SG&A to increase income, timing of income recognition from the disposal of long-lived assets and investments, and cutting prices to boost sales in the current period and/or overproducing to decrease COGS expense. I then examine whether RM is associated with firms just meeting two earnings benchmarks (zero and last year’s earnings). The results indicate that real activities manipulation of R&D, SG&A, and production are positively associated with firms just meeting these earnings benchmarks. Next, I examine the extent to which real activities manipulation affects subsequent performance. A negative association between just meeting earnings benchmarks by using RM and subsequent performance supports prior research suggesting managers opportunistically use earnings management to the detriment of shareholders (i.e., managerial opportunism). A positive association is consistent with managers using operational discretion to attain benefits that allow better future performance or to signal future firm value. I find that firm-years reflecting RM to just meet earnings benchmarks have higher subsequent firm performance (compared to firm-years that do not engage in RM and miss or just meet the earnings benchmarks). In this setting, using RM to influence the output of the accounting system is not opportunistic, but consistent with managers attaining benefits that allow better future performance or signaling.

Abstract:This study examines the effects of performance feedback on sales growth relative to social and historical aspirations on corporate merger and acquisition (M&A) decisions and M&A performance. A sample of 924 M&A deals announced by Chinese manufacturing firms between January 2006 and June 2022 is analyzed using logistic regression and multiple linear regression. Robustness tests are also conducted to show that the main results are consistent. We find that (1) negative performance feedback relative to social aspiration motivates acquirers to undertake more risk in M&A-related decisions such as choosing overseas targets and using non-deferred payments in deal structure; while negative historical performance feedback significantly encourages acquirers to choose deferred deal structure. Positive performance feedback does not have a significant impact on acquirers' choices; (2) In terms of M&A performance, both negative and positive performance feedback relative to social aspiration can have a positive effect on M&A performance; while historical performance feedback cannot affect M&A performance. This paper addresses the heterogeneity of the effects of performance feedback (which is divided into historical and social performance feedback) on firm behavior and contributes to the Behavioral Theory of Firms and Stewardship theory.

Abstract:In this paper, we use accounting index to measure the outstanding achievement,and regress the future accounting index to present accounting index and measurement of earnings management. In order to test the effect of earnings management,we test the sign and the significant of the coefficient before the measurement.We find that the income increasing by both methods of earnings management have bad effect to the future outstanding achievement of the company, and the effect of non-core ROE is more serious.

Abstract:Purpose Currently, most research studies focus on ownership reforms and governance reforms, while only a few research studies focus on management system innovations. Based on an evolution of state-owned enterprises’ (SOEs) performance appraisal systems, this paper investigates the influence of performance appraisal system on earnings management. Design/methodology/approach Using a natural experiment that central government-owned enterprises (CGOEs) carried out economic value-added performance appraisal (EVA-PA) in 2010, the authors adapt difference-in-difference method to analyze the relationship between EVA-PA and earnings management choice. Furthermore, the authors consider the situation which contained financial status, separation between decision-making rights and decision-control rights, separation between ownership and control and industrial characteristics. Findings The research finds that after carrying out EVA-PA, CGOEs prefer accrual-based earnings management to real earnings management, and there is substitution effect between the two types of earnings management. Moreover, further research studies reveal that enterprises suffering losses in the previous year and featuring higher separation between decision-making rights and decision-control rights and higher separation between ownership and control have stronger earnings management motive under EVA-PA. In contrast, enterprises achieving satisfactory financial performance in the previous year and engaging in businesses within protective industry have weaker earnings management motive under EVA-PA. After the implementation of EVA-PA, accrual-based earnings management and real earnings management both impair operating performances of CGOEs. Originality/value Theoretically, this paper enriches research studies on earnings management from the perspective of incentive mechanism and expands research studies on economic consequences of EVA-PA. In addition, it validates the relationship between the two types of earnings management. As an important mechanism of corporate management and control, performance appraisal system is an important part for establishing ownership management system and improving internal management system of SOEs.

Abstract:Since the Split Share Structure Reform took effect in China in 2005, holders of nontradable shares (controlling shareholders) have had to negotiate with holders of tradable shares (minority shareholders) to gain the liquidity right. In a typical deal reached, the controlling shareholder agrees to pay share compensation to minority shareholders and, in many cases, also pledges to meet a specific firm performance target (performance commitments). Using this reform setting, we examine the impact of performance commitments on earnings management behavior, and find the following results. First, less profitable firms have greater incentives to make performance commitments that help to reduce the share compensation that controlling shareholders have to pay. Second, firms entering into such commitments engage in earnings management to meet the promised performance target when actual performance falls short, and firms facing greater default costs tend to manage earnings more aggressively. Third, depending on the performance metric stipulated in the commitment contract, firms employ varying methods to manage earnings. We also find that firms that rely on earnings management to meet their performance targets display inferior performance in the postcommitment years relative to firms that do not. Overall, our evidence is consistent with performance commitment contracts (with costly defaults) between a firm's controlling and minority shareholders causing incentives for earnings management.

Abstract:We examine whether Chinese firms with better voluntary corporate social responsibility (CSR) disclosure and CSR performance engage in earnings management in their financial reporting. Our results show that Chinese firms with better voluntary CSR disclosure are more likely to engage in earnings management through discretionary accruals and less likely to engage in earnings management through real activities manipulation, while Chinese firms with better CSR performance are more likely to engage in earnings management through real activities manipulation and are less likely to engage in earnings management through discretionary accruals. Our evidence shows that consistent with opportunistic theory, the Chinese firms' engagement in CSR practices is based on opportunistic incentives, and voluntary CSR disclosure and CSR performance are being used by these firms as window-dressing tools for earnings management that infringes on the benefits of firm stakeholders.
