Abstract:The meanings of the corporate government model have two aspects contexts: the law and economics Using the experience of American, Germany, and Japan for reference, Chinese corporate government model has 6 drawbacks, and which is relative to the state system If we want to establish a standard model of corporate government, we should look the corporate as an community of the people with relevant interest At the same time, we should design the model synthetically by combing the four conditions of the macroscopic and microcosmic respects Firstly, the core of the corporate stock right should be bank and enterprise,which is concerned with operation Secondly, the model of the corporate organization should be constructed based on German model Thirdly, the model of management, the market of management should be established and taking specific measures prevent managers from moving frequently Fourthly, the model of staff members, the board of staff member's directors system should be set up Finally,a developed outside supervision system must be set up As far as the author is concerned, a feasible model, no ideal model should be established
