Abstract:Whether or not the fund-raising objects are specific will affect the nature of the fund raising in private sector.One of the necessary components for illegal fund-raising is raising funds from unspecific objects.Although there are rules on illegal fund-raising,the rules are so vague and simple and have many defects such as the vague standard for friend-relative,the improper characterization of spreading from mouth to mouth and so on.In the case of Wu Yin,these problems became the foci of the controversy,and furthermore,one cannot reach the correct conclusion by merely relying on criminal law.To perfect the standard for unspecific objects,the institution of ″safe-harbor″ in the U.S.securities law is of significant reference value.In order to achieve this goal,we should amend the criminal law,clarify the standards,change the legal regulatory architecture and transform the government's philosophy in regulation.

Abstract:The situation of domestic and foreign financial markets is turbulent. How to effectively guide residents to make financial investment, improve the quality of financial investment and prevent investment risks is a very important topic. Venture capital is a kind of investment behavior which aims to promote the commercialization of high-tech achievements as soon as possible in order to obtain high capital returns. Venture capitalists should not only invest capital, but also play their long-term accumulated experience and knowledge as equity owners, and use the information network to help enterprise management. This paper studies the avoidance method of risk investment through the analysis of risk investment cases. Through the study of the failure cases of venture capital, it is found that the problems of venture capital mainly appear in the failure of technology commercialization, internal disputes of equity, defects in business model, and fierce competition environment. The study suggests that when using high-tech venture capital, technical research must follow the commercial model. All rules and systems of shareholder cooperation are very important, such as equity distribution, entry conditions, exit mechanism, conflict resolution mechanism, profit distribution, etc. When an enterprise introduces investors or engages in financing, it must design the basic path to control the control of the company. Otherwise, once you lose control of the company, it will be difficult to return. Also, venture capital should have a clear understanding of the business model, keep up with the changing sales environment, and understand people's needs to make venture capital. Abstract:This paper lists, expounds and analyzes main measures that venture capitalists adopt to protect their venture investments. The measures include the use of composite investment instruments, management involvement and the design of exit strategy. The most commonly used tools of composite investments are convertible preferred stocks and warrants. Venture capitalists also participate in corporate governance of start-up ventures. They either present themselves on the board of directors or require contractual veto rights on making major corporate decisions. Finally, venture capitalists concoct several forms of quit strategies such as put option, restrictions on both buying and selling shares in private sales and public offerings. As soon as the financial situation is critically perilous to their presence, it is necessary for them to timely slip out of the banking predicament.

Limited partnership characterizes the industry of venture capital in US, whose success is attributed to economic entity of self－ management, self－ determination and bearing risk by themselves. Abstract:In this study, we examine the control and incentive mechanisms of domestic and foreign venture capital (VC) firms in China. Primary findings show that most VC firms use staged capital infusion, value reassessment based on subsequent performance, and other tools reflecting the flexible and dynamic characters of the investment systems and rarely replace management team. On the other hand, domestic VC firms are less active in monitoring, less likely to retain veto rights, and less likely to introduce stock options into target firms and for all employees. They are also less motivated to provide value-added services than their foreign counterparts. Instead, they concentrate their monitoring and participation on the financial aspects of the invested ventures. We discuss these findings and suggest directions for future research.

Abstract:Due to the factors of asymmetric information and inconsistent interests, venture capitalists and venture entrepreneurs have the problem of principal-agent relationship. This paper mainly explores the design arrangements of four transaction structures, namely, phased financing, choice of financial instruments, corporate governance structure and gambling agreement, and their local practices in China. The analysis results show that due to the imperfectness of our legal system, the immaturity of the capital market environment and other objective conditions, some good system designs, such as convertible equity and gambling agreements, are facing many difficulties in their implementation. Therefore, even though China’s current venture capital is developing rapidly, the interests of China’s venture investors have not been properly protected and venture entrepreneurs have not received sufficient incentives and supervision. If the current situation is not changed, it will be unfavorable to the development of China’s venture capital industry in the long term.

This paper analyzes the allocation of control rights between venture capitalist and entrepreneur by game theory, including their objective in the game during the allocation of control rights, the game between them before venture finance, during the negotiation on the allocation of control rights and on the enforcement of the control rights, which are instructive for venture capitalist participating in the allocation of control rights and making investment decision.

Abstract:There are many debates on whether China should take the form of the limited partnership to promote the development of venture capital. Through analyzing the governance efficiency of the limited partnership, the paper comes to the conclusion that other organizational arrangements could simulate the characteristics of the limited partnership in different law context. Recently, the mode of fund management company, a new venture capital institutional arrangement, has emerged in China, which testifies that the tax and compensation mechanism of limited partnership does not play the decisive role.

Abstract:In the process of venture capital, due to the influence of incomplete and asymmetric information, neither of the two sides can grasp all information, but have their own information superiority. Therefore, both venture capitalists and entrepreneurs have motives to seek private benefits, and their rational choice is speculation, which leads to double moral hazard. In this situation, their speculation will deviate from the Pareto optimal. Traditional research focuses on moral hazard of entrepreneurs and the incentives on their sides, but we consider more about the question of how to avoid double moral hazard effectively, and put the private benefit of venture capitalists into the design of the contract, thus solving this problem efficiently. © 2011 IEEE.

Abstract:Abstract Recent data suggest that venture capital investments concentrate in the high-tech sector only in those countries where banks are not allowed to offer equity financing. To explain this fact, I develop a simple principal-agent model of start-up financing with both private information and hidden actions in which the equity investor can vary the level of control over the firm and the debt investor cannot. The model shows that when three commonly documented characteristics of the high-tech industry coexist, namely: (i) a high degree of information asymmetry, (ii) a high level of uncertainty about returns, and (iii) a large amount of R&D investments preceding production, then the ability to reallocate control rights that are contingent on performance becomes the key. Unlike debt contracts, equity contracts specify detailed provisions regarding the allocation of control rights. Thus, venture capitalists as equity holders have a clear advantage in financing young high-tech firms in places where banks are not allowed to offer equity contracts; in countries with no such restriction, they no longer have such an advantage. This result helps explain why most European governments’ efforts in promoting venture capital activities failed to attract such investments in the high-tech sector.

Abstract:High risk of VC worsens the agent problem,which is brought about by asymmetric information.The absence of venture capitalist with high ability make the main agent problem,that is adverse selection and moral hazard,not to be settled simultaneously.The main finding in signal screening model is that,on the one hand,high risk demands the venture capitalist with higher ability,on the other hand,even if the venture capitalist with higher ability would demand higher fixed income.So in research of venture capital,it is important to regard high risk as key clue.Incentive systems model deducts the theoretic relation between the fund injection and profit sharing.
