Abstract:The meaning of the concept of illegal fund-raising has been changeable since it was created.During this process,it is confused with the concepts of illegal absorbing public savings and fraud in financing,which results in a serious logical flaw.Considering its meaning's evolution course,it is clear that the concept of illegal fund-raising has both broad and narrow senses.However,there is a deviation on the study of the narrow sense.In order to keep Non-governmental Finance develop in a healthy way,it is suggested that securities law should be used to regulate illegal fund-raising.The concept's development relies on the application of securities law theories.

Abstract:Whether or not the fund-raising objects are specific will affect the nature of the fund raising in private sector.One of the necessary components for illegal fund-raising is raising funds from unspecific objects.Although there are rules on illegal fund-raising,the rules are so vague and simple and have many defects such as the vague standard for friend-relative,the improper characterization of spreading from mouth to mouth and so on.In the case of Wu Yin,these problems became the foci of the controversy,and furthermore,one cannot reach the correct conclusion by merely relying on criminal law.To perfect the standard for unspecific objects,the institution of ″safe-harbor″ in the U.S.securities law is of significant reference value.In order to achieve this goal,we should amend the criminal law,clarify the standards,change the legal regulatory architecture and transform the government's philosophy in regulation.

Abstract:There is no appropriate definition of securities in our Securities Law and it is also lack of functional standards. Stocks, corporate bonds and the securities which identified by the State Department are the very securities listed by the Securities Law. With the narrow legal scope of securities, the essential activities can not be determined scientifically, enterprises are hard to apply other equity securities to financing, and the crackdown on illegal securities activities and illegal fund-raising is covering a wide range. Learning from the investment contracts, private placement and small issues exemption system in the U.S. Securities Act,broadening the range of securities, and giving discretionary power of identifying securities to regulators and courts can solve these problems.

Abstract:Investors in an open-end mutual fund can vote with their feet by withdrawing assets from or adding assets to the fund. This paper examines the effectiveness of this market monitoring mechanism in relation to the trading scandals erupted in 2003. With a sample of 92 fund families and 10220 funds*classes I find that the probability of being indicted is higher for younger funds, funds whose boards are excessively paid, and funds whose money flow is insensitive to past returns. In funds with higher flow sensitivity, there are less stale pricing and less abnormal flows, implying less opportunistic trading. These findings suggest that investors' ability to withdraw from or add assets to funds is an effective fund governance mechanism.

Abstract:We can't deny the fact that banks play a key role in our society, while it is impossible to avoid banking crisis even under the strictest supervision. The current legal system in China for banking crisis management is imperfect. It lacks both sufficient means to resort to, and enough protection for individual depositors in case of a crisis. The main practices in foreign developed countries are the lender of last resort (LOLR), the deposit insurance system and Market-withdrawal system. LOLR aims to save the banks which run into payment crisis temporarily. Usually this operation is performed by a country's central bank. The deposit insurance system is designed to divert the risk. Once a bank crisis occurs, the deposit insurance institution will repay the depositors' deposit in certain proportion. In order to make banks adaptable to market competition, we should enact banks market withdrawal legislation.We need to improve our bank crisis management mechanism in following aspects: (a) improving the restructuring mechanism; (b) constructing the emergency measures; (c) improving the merge and bankruptcy system; (d) reforming the lender of last resort system; and (e) establishing the deposit insurance system as soon as possible. We need to enact detail rules to regulate the take-over system, including the definition, precondition, object, terms, limitation and redress of the take-over action. Apart from take-over system, we should form certain short-term contingency plans. Banks tend to merge to improve their competitiveness and some of them can't avoid bankruptcy in market economy, so we should enact relevant laws and regulations. Since abuses of LOLR system will result in disrupting the market competitive system and lead to moral hazard, it is necessary to formulate strict standards in order to apply LOLR system cautiously. The deposit insurance system, which has proven satisfactory in western developed countries for decades, needs to be established in our country as soon as possible.

Abstract:Private equity funds have long been largely exempted from registration under the U.S.securities law framework in terms of issuance,vehicle and adviser.In recent years,in response to their enormous expansion in scale,risk exposure and retailization tendency,SEC has strengthened its supervision on PEFs by implementing or proposing new rules on adviser registration,anti-fraud,and investor qualifications.Such tightening on exemption brought in different results and hassles.Shadowed in the ongoing severe financial crisis,the newly proposed Congressional legislation may regulate the private equity funds into a new registration regime.

Abstract:In spite of the financial crisis, private equity has grown steadily in China and international private equity investors have ranked China as the most attractive destination for their future investments. China’s Silicon Valley success appears in conflict with the underlying feature of the typical US-type investment model, and brings out a China dilemma: why does private equity boom in China where neither company law nor capital market is strong enough to support its growth? This article reviews the mitigating strategies and transactional models private equity investors have taken in the Chinese market so as to interpret this dilemma, which reveals a real “piggybacking” case in company law theory.

Private equity firms were established in the US and expanded quickly behind the decade's brisk economic growth. This paper analyzes the pros and cons of private equity and leveraged buyouts, combining case studies, the legal basis and experience of various countries and government regulation, to discuss the problems of private equity investment, clarify the responsibilities of the government, improve relevant laws and regulations, and encourage the private equity market's growth.

Abstract:This article examines most of the key principles with respect to China's investment funds legislation as well as the amendments.Here are the conclusions:(i) rather than an unintended result,the current Securities Investment Funds Law is in fact a natural and logical product of the Chinese legislature's initial legislative intent;(ii) it is crucial to understand the differences among the three organizational forms of investment funds-companies,partnerships and unit trusts-and to avoid a narrow understanding that investment funds are all adopting the form of unit trusts;(iii) an investment fund is per se a"collective investment scheme"rather than a simple"pool of capital";(iv) any legislation and supervision should fully take into account the fundamental difference in risks posed by public offering and private placement investment funds respectively;(v) in order to regulate illegal fundraising activities,it is more effective to amend the Securities Law rather than the Securities Investment Funds Law;(vi) the elimination of various policy and regulatory obstacles impairing the development of investment funds should be achieved by improving the relevant legal system,rather than relying solely on amendments to the Securities Investment Funds Law;(vii) tax incentives should be accorded to venture capital funds instead of securities investment funds(which have already received outsized tax holidays);(viii) to promote private equity and venture capital investments,a more realistic approach would be to formulate specific legislation to govern this sort of activities,rather than using uniform legislation to cover all types of funds even though they are of fundamentally different natures;and(ix) even if uniform legislation is eventually called for,the legislature should take into consideration differences between private equity/venture capital fund and security investment fund and formulate laws accordingly.

Abstract:Host and investing countries are faced with a tradeoff between growth and volatility arising from capital flows. The host country seeks capital inflows for high growth, yet worries about accompanying volatility so much that it limits capital market opening due to its financial weakness. However, the investing country solicits quick and safe returns from capital outflows by requesting wide foreign openness. It is often observed that one side's push for opening encounters the other side's reluctance. We examine how this conflict of interest is resolved for international compromise equilibrium through sequential bargaining between the two sides with private valuations of capital flows. We find that openness bargaining can end up with strategic delay after information revelation. This finding sheds light on certain puzzles in international finance. (C) 2016 Elsevier Inc. Abstract:Private equity funds have been important participants of global capital markets, but they are still at early stage in China. Three feasible schemes for private equity funds under China's current law system are corporation, limited partnership and trust respectively. This paper compares them in respect of investor rights, tax status, incentive mechanism, fund raising, capital exit, capital commitment and supervising mechanism and finds out that corporation and limited partnership provides better systematic criterion and tax advantage. Therefore, corporation and limited partnership should become the major investment schemes for private equity funds of China in the future.

Abstract:In this paper, we present a model in an inefficient stock market, and find that the company can seize the benefit of new public investors through Seasoned Equity Offerings. We prove that the regulation on security issue can prevent a bad company financing for negative NPV projects, therefore can protect public investors from seizing. Moreover, the regulation is also necessary when the inefficiency of the market is serious. We also find the scale limitation on financing can reduce the low efficiency investment, thus is helpful to protect public investors.

Abstract:The so-called investment in China actually refer to the private equity investment funds,which itself is not a form of business organization. In fact,the organization form the fund takes will determine the risks it may assume,and the applicable law it will need to conform with. An industrial investment fund may take the form of a corporation,a trust,or a partnership,and each has its advantages and disadvantages. The author believes that the government shall guide the development of the industrial investment funds,and the relevant laws shall strictly regulate thereof;however,it may not be necessary to enact a separate Law on Industrial Investment Funds or a Law on Investment Funds. Instead,the private equity investment funds in China need to be regulated by the Corporation Law,Trust Law,and Partnership Law and their implementation rules,which should be revised and improved,as well as the state’s industrial investment policy and investment catalogue.
