Abstract:This study examines the effect of family control on the cash holding policy in China. We find that family firms with excess control rights tend to have high cash holdings that are tunneled rather than being invested or paid to shareholders. We further show that the incentive for controlling families to hold cash and for tunneling is exacerbated by the agency conflict between controlling and minority shareholders, i.e., it is weakened after the Chinese Non-tradable share (NTS) reform and strengthened by the presence of multiple large shareholders who probably play no monitoring role in Chinese family firms. Furthermore, family firms’ incentive to hold cash for tunneling is influenced by the unique characteristics of Chinese firms in the following ways: the incentive is stronger when the family founder has one child and face family succession problem, and when the founder has political connections and directly involves in firm’s management; while it is weakened by family founder’s social interpersonal trust with other entrepreneurs through their membership of Chambers of Commerce. Overall, we argue that family firms in China tend to hold high levels of cash for tunneling, which harms firm value, while the severe controlling-minority shareholder agency conflicts and unique Chinese family characteristics only make this situation worse.
Political Connections and Firm’S Dividend Policy: Evidence from Chinese Privately Owned Firms

Abstract:This paper examines the effect that political connections have on firm’s dividend policy of Chinese private owned firms. We find that political connections have negative relationship on firm’s dividend ratios and probability of dividend payout. We also find that such relationship is dominated by politically connected chairman rather than general manager (CEO). Our findings indicate that both political connections and lower dividend payout in previous year result more expropriation from controlling shareholder. We argue that political connections, especially politically connected chairmen encourage expropriation from controlling shareholder by providing external protection to such behaviour. Therefore, political connections impair corporate governance and the interest of minority shareholders.
Corporate Ownership Structure and Cash Holding in Family Controlled Firms: Evidence from the NTS Reform in China

Abstract:This study examines the effect of excess control rights on cash holding policy of Chinese family controlled firms. We find that excess control rights are positively associated to firms’ cash holding of family controlled firms and that the high cash holding are tunnelled by controlling families other than be invested or paid to shareholders. In addition, the high cash holding and tunnelling in family controlled firms are reduced after the NTS reform. We further show that the corporate governance mechanism in family controlled firms cannot properly reduce the tunnelling from controlling families because the second large shareholders actually collude with controlling family and controlling families increase their tunnelling through board control. Finally high cash holdings in family controlled firms with excess control rights are found to have a negative marginal effect on firm value. Overall, we argue that family control is harmful to firm value, while the weak corporate governance make the situation worse and proper reform in the capital market that aims to align the interest between controlling and minority shareholders helps to alleviate the issue.

Abstract:Numerous findings in the literature suggest that paying cash dividend mitigates agency problem between majority shareholders and minority shareholders. Many common law countries require mandatory cash dividend policy to protect minority shareholder's interest. This paper provides opposite evidence. We find that state dominant firms in China have high propensity to pay cash dividend but low propensity to subscribe rights offering. Furthermore, state dominant firms often increase cash dividend payment soon after rights offerings. As state-held shares in China are non-tradable, giving up subscription rights and using receipts from rights offering to pay cash dividend are equivalent to selling a portion of the non-tradable shares by the majority shareholders to the minority shareholders. The computed selling price is about three times higher than that of officially approved private placement. Market reacts negatively to the cash dividend announcement of state dominant firms, but positively to others. Our findings suggest that instead of alleviating agency problem, cash dividend might be used as a vehicle for tunneling in state dominant firms.

Abstract:This paper investigates how the state-controlling ownership and the ownership through corporate pyramid structures affect the dividend policies of publicly listed firms in China. We find that the state-controlled firms in China pay higher dividends (measured by the dividend yield and the dividend payout ratio) than the privately controlled firms. We also find that as the control chain of the firm lengthens, the firm pays lower dividends. We conclude that the privately controlled firms in China pay lower dividends than the state-controlled firms because the former are more capital-constrained in obtaining external equity and long-term debt, other things being equal, and depend more on internal equity to finance growth. The negative association between the length of the control chain and dividends comes from a greater use of investable funds among Chinese firms under corporate pyramids, which is one of the features of the internal capital markets for firms under pyramid structures.
Corporate Cash Reserves and Corporate Governance Mechanism: the Empirical Study of the Chinese Publicly Traded Corporations

Abstract:This paper,by presenting a sample of 254 firms from seven industries,tests the relation between corporate cash reserves and governance mechanism based on the cross-section data of publicly traded corporations in China.Findings show that the factors which affect the corporate cash reserves in developed countries also work on the ones in China.Whereas,these factors have opposite effects on the Chinese corporate cash reserves.On the base of the analysis of this phenomenon,we suggest that the different effects of variables are attributed to the difference of the composing of the cost and lucre of corporate cash reserves.In the perfect market economy,the motives of the precaution and the entrenchment effect of corporate cash reserves are more important to the agents than that to the ones in un-perfect market economy.The corporate managers in China care more about the current on-the-job consumption and prettifying performances through spending the cash reserves as quickly as possible.To sum up,the difference in the use of cash reserves is the major reason for the diverse effects of the agency problem.Furthermore,we show that Dittmar et al(2003)'s conclusion is wrong.The reason for why the corporate cash reserves is higher in poor-shareholder-protection countries than that in better-shareholder-protection countries is that the optimal cash balance under the condition of maximum shareholder's wealth is much lower in better-investor-protection countries.Contrarily,the agency problem diminishes the difference of corporate cash reserves level between the perfect and un-perfect market economy.

Abstract:In this paper, due to the important influence of corporate governance on corporate financial behaviors and from an angle of corporate governance, we develop six hypotheses based on overseas and home relevant researches and data of Chinese listed companies from 1999 to 2003, and then we do hypotheses testes with regression models to examine the impact of share percent of the top 5 shareholders and counterbalance mechanism among blockholders on cash dividend distribution of listed companies, and to explore influence and counterbalance mechanisms in tunneling of cash dividend which derived from the special phenomena of “same shares same rights but different price”. We find that share percent of top 5 shareholders, control ability (or combined control ability) and balance degree (or combined balance degree) of blockholders have important influence on tunneling of cash dividend distribution. Lastly, the paper proposes five suggestions to restrict controlling shareholders to enlist private benefits from tunneling of cash dividend and to protect rights and interests of small and medium shareholders.
The downside of blockholder exit threats: Increasing excess cash holdings

Abstract:This study examines the impact of blockholder exit threats on excess cash holdings following China's split‐share structural reform. Previous studies have confirmed the governance role of blockholder exit threats, but their effectiveness is limited to companies with greater private benefits. Using a sample of 2340 firm‐year observations of Chinese listed firms between 2002 and 2009, we find that the exit threat of blockholders increases the level of excess cash holdings. These results suggest that blockholders view exit threats as a means of collaborating with controlling shareholders to boost excess cash holdings and diversify corporate resources for private benefits. The collusion effect is more pronounced in firms with poorer investor protections, lower shareholding concentrations, and more severe agency conflicts. Additionally, in terms of economic consequences, blockholder exit threats decrease buy‐and‐hold abnormal returns and increase the occurrence of corporate scandals. Overall, this study provides empirical evidence of collusion among large shareholders, which harms small shareholders' interests from the perspective of excess cash holdings.

Abstract:China has some unique institutional features. For example, the shares of listed firms are segmented into negotiable and nonnegotiable ones. The controlling shareholders, usually connected to the government, hold nonnegotiable shares. We examine how these institutional features affected cash dividend payments in China during the period 1994–2006. We find that dividend payments are positively associated with the proportion of nonnegotiable shares in a firm and the proportion of nonnegotiable shares held by the controlling shareholder; moreover, the 2001 China Securities Regulatory Commission stipulation requiring cash dividend payments does not benefit negotiable shareholders. However, we also find that dividend payments are downside flexible, and controlling shareholders cannot force firms to pay or to pay more dividends when firms' earnings decline significantly. The conventional factors, especially profitability or the capability to pay, still play an important role in determining the dividend policy. The propensity to pay and the payout ratio in China are not high compared to those of other countries.
The Control Right of Ultimate Controlling Shareholder and Overinvestment of Free Cash Flow

Abstract:This paper studies controlling shareholder's expropriation and corporate governance through the perspective of investment.Theoretically this paper builds up two-period dynamic model to study overinvestment and expropriation,and finds out that the existence of controlling shareholder results to overinvestment,separation of control right and cash flow right further strenthens this action,and free cash flow also has positve effect to overinvestment.The improvement of cash flow right and corporate governance could constrain overinvestment.Empirically based on Richardson(2006),this paper uses the panel data of 2004—2007 to verify the theoretical predictions,and finds out that separation of control right and cash flow right has significant positive impact to overinvestment,and when the company is controlled by government,overinvestment is more serious.This paper explains the phenomena of high-level but low-efficiency investment since China economic reform,and also privides evidences for controlling shareholder's expropriation from the perspective of investment.

Abstract:With evidences from Chinese stock market the paper discusses the impacts of shareholding percents of top 5 shareholders and blockholders counterbalance mechanism on tunneling of cash dividend.And based on interaction effects between blockholders counterbalance mechanism and other governance mechanisms,it further analyzes the possible influences of external supervision and stakeholders governance on tunneling of cash dividend.The empirical results indicate that: 1) The controlling shareholders are inclined to the tunneling of cash dividend;while other blockholders resist the tunneling behaviors of the largest shareholders carried out through distribution of cash dividend.2) The other blockholders not only supervise and counterbalance,but also collude the largest shareholder(or top 2 shareholders).3) The external supervision is helpful to restrain the controlling shareholders to enlist self-interest through tunneling of cash dividend,enhance the harmoniousness between stakeholders,and cause other stakeholders to follow the controlling shareholders more probably.

Dividends for tunneling in a regulated economy: The case of China

Abstract:Some Chinese listed companies pay out high dividends, despite the weak legal and institutional pressure on them to mitigate agency problems by paying dividends. We conjecture that such a phenomenon is caused by the differential pricing for tradable and non-tradable shares during the IPO of these listed companies. Such companies might use high-dividend payments to divert proceeds from an IPO or rights issue to controlling shareholders' pockets. The empirical results support our hypotheses, showing that companies with more differential pricing in the IPO, a recent IPO or rights issue, or more concentrated ownership tend to pay more dividends. Similarly, companies that are ultimately owned by the government tend to pay more dividends. Furthermore, a dividend increase accompanied by large IPO price discounts, a recent-year rights issue, an ROE qualified for rights issue, or great dividend variation is associated with more negative stock returns than other types of dividend increases. These findings indicate that dividends are not used purely for signaling or distributing free cash flows in China. Instead, dividends might be used by the controlling shareholders to engage in tunneling.

Abstract:<p>I show that government subsidies facilitate recipient firms' dividend payout and stock market refinancing in China where there is a mandatory requirement of cash dividend payout for listed firms intending to make seasonal equity offerings. These effects are particularly strong among more financially constrained firms. Although seemingly counter-intuitive, we show that subsidized firms are more likely to make seasonal equity offerings. My findings shed some light on the joint effects of public subsidies and corporate governance policies in emerging market setting.</p>

Private placement and abnormal corporate payouts: evidence from large stock dividends

Abstract:Dividends should be used as the way firms reward their investors, but in the Chinese stock market, large stock dividends have been criticised for several years. In this paper, through a case study and large-sample empirical tests, we find that large stock dividends are used to cater to investors participating in a firm’s private placement. Further empirical tests document that during the unlocking periods of privately issued new shares, firms are more likely to pay large stock dividends, especially when outside private placement investors are able to sell their shares. Additional tests reveal that private placement investors do make stock sales after receiving large stock dividends. Furthermore, firms undertaking large stock dividends after private placement have more frequent connected-party transactions, are more tunnelled by other receivables and have more aggressive earnings management and lower investment efficiencies, implying that the governance role of private placement is largely attenuated because of large stock dividends. Large stock dividends after private placement are also shown to be opportunistic behaviour and irrelevant to future performance in our study. Overall, the large stock dividends result in wealth transferring between insiders and ordinary investors, and further reduce the efficiency of resource allocation in the Chinese capital market. From the results we insist that regulators should encourage cash dividends and keep a close eye on potential abuse through large stock dividends.
The nonlinear effect of shareholder ownership structure on a firm's cash holdings: Type I and Type II agency problem perspectives in China's split-share reform

Abstract:Leveraging China's 2006 split-share reform (converting previously non-tradable shares into tradable shares) as an exogenous shock, we use an agency conflict framework to examine the impact of a shareholder ownership structure on a firm's cash holdings. Our findings suggest that both the top shareholder ownership percentage and the checks and balances of other large shareholders (the ratio of second- and third-largest shareholder combined ownership to that of the top shareholder) positively affect a firm's cash holdings after the Reform. However, the increase in cash holdings exhibits a decreasing rate. The results are consistent with the notion that both Type I (between management and shareholders) and Type II (between controlling and minority shareholders) agency problem affect a firm's cash holdings. While both state-owned firms (SOEs) and non-state-owned firms (non-SOEs) exhibit qualitatively similar findings, the impact of the top shareholder ownership and the checks and balances of other large shareholder structure changes on cash holdings is more salient among non-SOEs.

Abstract:The average cash holdings of Chinese-listed firms decreased significantly after the split share structure reform in China, which specified a process that allowed previously nontradable shares held by controlling shareholders to be freely tradable on the exchanges. The reduction in cash holdings is greater for firms with weaker governance and firms facing more financial constraints prior to the reform. The reform also significantly reduced the average corporate savings rate, as measured by cash-to-cash-flow sensitivity. These findings are consistent with the premise that the reform removed a significant market friction, which led to better incentive alignment between controlling shareholders and minority shareholders and relaxed financial constraints. Additional analyses show that the reform affects firms' cash management policies, investment decisions, dividend payout policies, and financing choices differently in private firms than in state-owned enterprises.

Abstract:Chinese companies report year-end earnings and dividends simultaneously, so when the two sets of news are in conflict, the relative importance of earnings versus dividends can be disentangled. Chinese dividend announcements take precedence over earnings news, as revealed by Cumulative Absolute Returns for two-way earnings and dividend news sorts of the data, with investors reacting most favourably to stock dividend announcements, the least informative form of dividend.

Abstract:We examine the effect of corporate ownership structure on the market value of excess cash in Chinese listed firms. We find that state ownership has a positive effect, as the market value of excess cash is greater in state-owned firms (SOEs) than in privately controlled firms. Furthermore, we show that expropriation by controlling shareholders is significantly higher in privately controlled firms than in SOEs and increases with excess cash. The evidence is consistent with the view that the market believes private controlling shareholders are more likely to extract the private benefits associated with cash reserves.
