Abstract:The split-share structure reform cause a fundamental change to China's capital market.Many researches have unanimously affirmed its positive role.Whether the split-share structure reform has improved the corporate governance of China's listed companies? Using the principal component analysis,we construct the Corporate Governance Index(CGI) including the controlling shareholder,board of directors,managers,the information disclosure in four dimensions,then we analysis the role of the split-share structure reform on Corporate Governance Index.The empirical results find that:①The split-share structure reform has significantly improved the corporate governance of listed companies;②Within the four dimensions of corporate governance,the split-share structure reform have the most notable influence on the controlling shareholder;③Those companies having the ultimate ownership of the state-owned shares and those companies having the concentrated ownership have a bigger improvement on corporate governance;④Considering the stage of the split-share structure reform,after we control the self-selection of the sample,we find the effects of the reform are gradually manifested,those companies implemented the reform have a bigger improvement on corporate governance than those companies haven't implemented it.
Fama-French Three Factors Model and the Effect of the Split-share Structure Reform

Abstract:This paper used the Fama-French three factors model to examine the effect of China's split-share structure reform. According to the 1058 valid samples at the end of 2006 which have been successfully implemented the split-share structure reform,we found that:①the market's reaction to the split-share structure reform was positive significantly;②the more the consideration,the larger the reaction,which means the consideration is a good signal to the market;③The bigger the proportion of the first shareholder and the lower the check-and-balance of ownership,the smaller the reaction,which means the future corporate control market has a positive impact on the interests of the shareholders;④We also found that the companies at the full stage have bigger reaction than those at the pilot stage.

Abstract:This paper empirically studies the effect of split-share reform on voluntary disclosure in China,using difference-in-difference model,which can help us to judge whether split-share reform better corporate governance. The empirical evidences indicate the voluntary disclosure level has improved significantly after split-share reform. However,the further study finds that the improvement only happened to non-financial information voluntary disclosures,not to financial information voluntary disclosures,which we attribute the difference to the existing of proprietary cost of information disclosures. What's more,by calculating the corporate governance index (CGI),we find the direct positive relationship between split-share reform and CGI. Thus,split-share reform improves non-financial information voluntary disclosures by improving corporate governance.

Abstract:The worst weakness resulting from split-share structure in China is the inconsistency between controller's private benefits and firm's value,which induces serious agent-costs.The split-share structure reform that has been implemented from April 2005 removes market fraction and helps to eliminate the confliction from the view of theory.This paper constructs a "difference in difference" model by adopting the China's public trade firms ultimately controlled by families and the analysis framework of pyramidal ownership.The empirical results indicate the split-share reform indeed improves public-trade firms governance and help to remove the confliction between the ultimate controller's benefits and firm's valuation,regarding to those firms ultimate controlled by families.
Corporate Governance and Financial Reporting Quality : Evidence from the Split Share Structure Reform in China

Abstract:We examine the changes in financial reporting quality after the split share structure reform in China. The non-tradable shares of controlling shareholders were prohibited from trading before the reform, resulting in severe incentive misalignment and controlling shareholders’ strong motivations to manipulate earnings. The reform removes this market friction by converting non-tradable shares into tradable shares, therefore aligns the interests of controlling and minority shareholders. We measure financial reporting quality based on five proxies including discretionary accrual, earnings smoothness, earnings persistence, value relevance, and conservatism. The empirical results show that firms’ financial reporting quality increases significantly after the reform, especially for firms with weaker pre-reform corporate governance and non-SOEs. The findings imply that corporate governance causally affects firms’ information environment, and shed light on the consequences of privatization in emerging markets.
On the Impact of Activating Markets for Corporate Control on the Valuation of Listed Firms In China

Abstract:Markets for corporate control have been viewed as an important external governance mechanism. However,due to the existence of non-tradable shares and strict regulations on M&A activities,markets for corporate control were not active in China before.The Split Share Structure Reform in 2005 transfers non-tradable shares to tradable shares.The Administrative Measures on Acquisition of Listed Companies in 2006 reduces some restrictions on M&A activities.These two reforms working together activate markets for corporate control in China.In this paper,the author estimates the Difference-in-Difference model with the Propensity Score Matching method to examine the impact of activating markets for corporate control on the valuation of listed firms in China.It is found that activating markets for corporate control can enhance firm value.This positive effect is stronger for the industries with less active M&A activities before the reform,but is weaker for firms with state ownership.These findings suggest that activating markets for corporate control is an important channel to enhance corporate governance and hence firm value in China.Also,markets for corporate control may better solve agency problems in private firms than in state-owned enterprises in China.

Abstract:This paper investigates the relationship between two characteristics of corporate governance (concentrated and state ownership) and firm financial performance by bringing new and extensive evidence from an emerging market. Further, this study examines the impact of the recent stock split reform in China on the corporate ownership characteristics–firm performance relationship. The final sample of this study is comprised of 234 firms with 2340 annual observation values. The study hypotheses are examined using regression analysis of panel data. We found that concentrated ownership is positively and significantly related to firm performance. However, state ownership has a significant negative impact on firm performance. Further, we observed that the stock split reform has a substantial and positive effect on the ownership–corporate financial performance relationship. In particular, the positive relationship between ownership concentration and firm performance has increased following the split-share structure reform. The negative relationship between state ownership and corporate financial performance has been mitigated following the split-share structure reform. We contribute to the existing literature on corporate governance by investigating the ownership–corporate financial performance relationship in a unique research setting based on the impact of an exogenous regulatory change, namely, the split-share structure reform in China. The study presents implications for regulators, investors, and researchers interested in examining developing markets such as China. Our results imply that the institutional reform of the Chinese stock market has benefitted investors through enhancing corporate financial performance. The findings suggest that the reform of the Chinese stock market has significantly shaped the impact of ownership structure on corporate financial performance in a valuable way for effective capital allocation. Thus, collectively, the split-share structure reform enhances the quality of corporate governance, which is pivotal to the growth of the country's economy. This, in turn, has policy implications for other emerging economies.

Abstract:Drawing upon the deregulation of initial public offerings (IPOs) in China, our study reveals a substantial and negative correlation between shareholder bargaining power and the labor income share. This association is particularly pronounced in companies with a higher proportion of institutional investor holdings, within more competitive industries, and those grappling with more severe financing constraints. For scholars exploring the distributive impact of capital market regulatory policies, we emphasize a cautionary note: shareholder capitalism could expedite the erosion of the labor share, potentially exacerbating inequality.

Abstract:In the paper the authors find an abnormal return of-13% associated with the lookup expiration of the restricted shares converted in the split-share structure reform in China.A large portion of this abnormal re- turn was realized 40 days before the expiration date.Our information revelation hypothesis postulates that the tradable shareholders utilize the lockup period to evaluate the firm based on their ex ante expectation.They have the choice to quit the firm before the lockup expiration if information asymmetry remains,in order to avoid being taken advantage of by the insiders who hold the restricted shares.The regression analysis supports this hypothe- sis:Holding period returns axe higher for firms of greater information transparency;and they are positively cor- related with the improvement of firm fundamentals.The empirical results also show that the inter-temporal and cross-sectional variations of firm fundamentals explain stock prices.These findings offer evidence in support of the informational efficiency of China's A-share stock market.

Abstract:This paper examines how the removal of trading restrictions and ownership structures affect earnings informativeness by investigating the changes in the earnings-return relation around China's split share structure reform. I find the reform has a negative impact on the relationship between controlling shareholders' ownership and earnings informativeness, which is consistent with the idea that the removal of trading restrictions gives controlling shareholders incentives to influence the stock price through managing earnings. I also find that earnings informativeness decreases with the reduction in controlling shareholders' ownership. This dilution effect is more significant for firms with non-state controlling shareholders or with controlling shareholders that are not monitored by other large shareholders. The results are consistent with the notion that controlling shareholders provide less informative earnings in response to the dilution of their ownership to avoid the constraints arising from the increased monitoring by outside investors.

Abstract:Using China's split-share structure reform, we examined the effect of stock liquidity on investment efficiency. We found that enhanced stock liquidity results in more efficient investments and the effect is much more pronounced for under-investing firms than for over-investing firms. Additionally, we found that an increase in institutional ownership and price efficiency generated by a change in stock liquidity is positively associated with a reduction in under-investment. Thus, these findings suggest that under-investing firms with liquid stocks have more informed investors and face greater pressure to select an optimal investment level in the post-reform period.

Abstract:<span>This paper examines the motivation of dividend payout policies for Chinese listed firms before and after the Split Share Structure Reform in China from the corporate governance-related viewpoint. Analysis was carried out using panel data with random effect from a sample of firms listed on the A-share Chinese market in the period of 2001–2004 (before the reform) and 2014–2017 (after the reform). It is found that (1) the incentive of tunnelling via dividend by controlling shareholders is weaken after the reform; (2) dividends are taken as a measure to reduce agency problems caused by free cash flows after the reform; (3) dividends after the reform become more stable than those before the reform. (4) in general, the market reacts positively to the increase of dividend both before and after the reform. It can be concluded that dividend policies are taken as the measure of minority shareholder protection and signalling rather than expropriation after the reform. This paper contributes to the literature by comparing dividend payout policies during the full circulation era with that before the reform was initiated.</span>

Abstract:An econometric model based on a natural experiment and the difference-in-differences method is introduced to empirically investigate the impact of split share structure reform on capital structures. A total of 1026 listed companies in Chinese A-share during 2001-2011 are used as the sample for the research and interest-bearing debt ratios (BDRs) are taken as a representative indicator for capital structures. The theoretical and empirical analysis indicates that both market expansion effect and corporate governance effect caused by the split share structure reform are associated with an increase in BDR. As far as the timeliness is concerned, the effects of split share structure reform on capital structures will last 3-4years.

Abstract:We investigate the compensation plans during China's split share structure reform, a unique event that affected the entire market and in which investors' opinions over stock values can be measured. We find that anchoring effects and accruals biased investors' valuations. Although previous studies have observed investor's biased belief from their irrational trading behavior, our study provides direct evidence of their biases regarding stock values. In particular, the compensation ratio was lower for stocks with prices closer to the historical high and further from the 52-week high, for stocks with higher accruals and for stocks with higher misvaluations relative to industry peers. In addition, we find a strong herding effect for the compensation ratios of firms that had already completed the reform. These results are robust to control for the effects of risk sharing, differences in bargaining power, the price impact from the increased number of tradable shares and liquidity.

Abstract:This study investigates the effect of the 2018 regulatory reforms of share pledging by a controlling shareholder on firm value in China. Using a dataset spanning the period 2015 to 2020, we provide robust results suggesting that tighter regulations effectively reduce firms' crash risk, relax financial constraints, reduce bankruptcy risk, and mitigate the controlling shareholder expropriation of minority shareholders' wealth via tunnelling. Additionally, controlling shareholders, by investing more pledged funds in the listed firm after reforms, foster capital investment and R&D expenditure, which benefit firm growth and competitiveness and ultimately increase firm long‐term value.

Abstract:We document a prominent abnormal stock return of –14% during the [–120, +20] day window around 482 lockup expirations in the split‐share structure reform in China. The abnormal stock returns (selling volumes) are positively (negatively) correlated with firm information transparency and postreform performance improvement, but negatively (positively) related to the level of agency problems, suggesting the existence of information‐based trading during the lockups. We present important evidence that institutional investors, especially mutual funds, possess superior information discovering capabilities than that of individual investors. Our findings confirm the information roles of lockups as a tool to signal firm quality and a commitment device to alleviate agency problems.

Abstract:Abstract The split share structure reform removes a significant market friction in China's capital market by allowing previously non‐tradable shares to be freely tradable at market prices. Such a reform reduces the agency conflict between controlling shareholders and minority shareholders as the former now care more about stock prices. We find that state‐owned firms, but not non‐state‐owned firms, significantly increased their tax avoidance activities after the reform. We attribute this differential effect to the dual role of the government as state‐owned firms’ controlling shareholder as well as the tax claimant. Further, this effect is more pronounced for state‐owned firms that are more likely to be influenced by the government prior to the reform. Finally, the reform reinforces a positive association between tax avoidance and firm value. Overall, our study suggests that when controlling shareholders are more concerned about stock prices, state‐owned firms engage more in tax avoidance activities to enhance firm value.

Abstract:This study investigates the relationship between ultimate ownership and stock price crash risk for Chinese firms and the impact on this relationship by the implementation of the split share structure reform, which rendered previously non-tradable shares freely tradable. We find that government-controlled firms, especially local ones, have a significantly higher crash risk than privately controlled firms. After the reform, crash risk of all firms decreases significantly, with a greater risk reduction for privately controlled firms than for government-controlled firms. Further evidence demonstrates that government-controlled firms with stronger political incentives tend to have a higher crash risk.

Abstract:We examine the peer effects in financial decisions of Chinese listed companies for the period of 1998–2016 as well as around Split Share Structure Reform (SSSR). Consistent with the information‐based theory of learning, Chinese firms do adjust their capital structure in response to the changes in their peers' market leverage ratios. The industries that are more competitive, with more young firms, and high leverage volatility tend to exhibit stronger peer effects. Within industries, the firms with lower market share and profits, paying no dividends, and being financially constrained mimic their peers more strongly than their counterparts. The evidence around the SSSR reveals that firms tend to follow their industry peers and leaders more closely in making financial decisions after the reform. Finally, the mimicking behavior in financial decisions enhances firm value in the long run and this finding is more evident after the reform.
