Abstract:Since the foundation of ″rights capacity″ in the German civil code,this concept has been accepted by many nations in the world.However,there is a shortcoming neglected for a long time.In many scholars' works,rights capacity express not only qualification or status but the concrete scope of enjoying rights and taking on obligations,which has brought about many conflicts in theory and practice.Based on the origin of rights capacity and the viewpoints of the scholars,the paper introduces the double-layer theory of rights capacity that is classified into abstract rights capacity and concrete rights capacity.The former settles the problems of qualification that judicial person could be a civil main body from the angle of abstract civil legal relations;the latter settles the problems of the scope in which judicial person could take part in the civil intercourse from the angle of concrete civil legal relations.Furthermore,the former makes judicial person obtain the status of main body;the latter limits the scope in which judicial person could enjoy rights and take on obligations.Thus,the content contained in the system of traditional rights capacity is divided into two parts, establishing the rights capacity system characterized by layers.Based on the double-layer theory of rights capacity,the paper elaborates the relation between rights capacity and personality.In fact,the personality of judicial person is equivalent to abstract rights capacity,being independent of concrete rights capacity.Therefore,it is not proper to equate the personality with rights capacity.Regarding the application of the double-layer theory to corporation law,the paper addresses these three aspects:(1) The ultra vires act of corporation is just the enlargement of the concrete rights capacity,while the abstract rights capacity of corporation(namely,personality) is not negated at all;so the corporation should take on legal obligation for its ultra vires act.(2) The denial of corporate personality negates corporate personality(namely,abstract rights capacity) completely and the stockholders of the corporation shall directly be held responsible.Nevertheless,the corporation's concrete rights capacity is not necessarily affected,because the stockholders' irregularity act may not in the scope of intention.(3) None of the corporation's abstract rights capacity and concrete rights capacity is in forfeiture in liquidation.The former does not change at all and the latter is limited in the scope of liquidation. The two kinds of rights capacity die out only after the liquidation is over.So the corporation in liquidation could take part in the litigation and accomplish rights and debts in the name of its own.
