Abstract:Internal controls have hierarchy level in corporate organization structure.Governance controls act as superstructure of corporate internal control,as well as are basis and premise of management control and operational control.By establishing the game mode of block holder,manager and audit committee,we demonstrate the operation mechanism of audit committee in governance internal control.The result shows that the power and ability of audit committee are key factors in internal control mechanism designing.Finally,several suggestions in audit committee are brought out to perfect governance internal control.

Abstract:Green innovation has become an important support to promote the strategic goals of peak carbon dioxide emission and high-quality economic development. This paper systematically examines whether internal control can effectively drive enterprise green innovation and achieve the “win–win” result of enterprise economic development and environmental protection. We found that internal control can significantly improve the green innovation level of enterprises, which is mainly reflected in the mandatory disclosure stage of internal control information and the other four elements of internal control, except the control environment. The mechanism test found that internal control can promote green innovation by reducing enterprise risks, alleviating agency conflicts, relieving financing constraints, and improving the rationality of innovation investment. The heterogeneity test found that the promotion effect of internal control on green innovation is more significant in large enterprises and private enterprises; internal control can effectively supervise the maintenance of relationship resources, and relationship resources positively regulate the promotion effect of internal control on green innovation; excessive executive power will weaken the internal control supervision and punishment of executives, and weaken the positive effect between internal control and green innovation; internal control can improve the utilization rate of government subsidies, and government subsidies positively regulate the positive effect of internal control on green innovation. The research conclusions enrich the market-oriented research on the driving factors of enterprise green innovation, and provide empirical evidence for enhancing the competitiveness of enterprise green innovation and achieving carbon neutrality.

Abstract:This study conducts a comprehensive review of the literature published during 1989-2020 to identify the factors that can cause internal control weakness. This review is organized around five main groups, namely: 1) rapid growth and restructuring, 2) financial reporting complexity, 3) auditor tenure, 4) cultural differences, and 5) corporate governance. We perform an integrated literature review approach. Among the several factors found, some factors (the proportion of managerial ownership, Individualism, power distance, financial reporting complexity, rapid growth, and auditor-customer geographic distance) have a positive relationship with internal control weakness while others (the quality of the board of directors and auditing committees, directors’ compensation, and uncertainty avoidance) have a negative relationship. The findings contribute to future research by examining the factors that can cause internal control weakness from different perspectives, which will prove to be useful for investors, auditors, audit committee members, managers, and other stakeholders regarding the prevention of internal controls weaknesses through the application of solid internal controls as well as a path towards the improvement of existing problems of internal control weakness.

Abstract:Enterprises are key actors in green governance. Many studies have analyzed the factors that affect corporate environmental performance, but the impact of internal control on environmental performance has not been investigated yet. China's innovative internal control policies make this issue more meaningful for research. Unlike the general practices of developed market economy countries or regions which require enterprises to evaluate and disclose the effectiveness of internal control over financial reporting, China's policy focuses on multi-objective internal control. Using the instrumental variables regression method, this paper employs a moderated mediation model to study the relationship between internal control and environmental performance. This paper takes listed companies on the Shanghai and Shenzhen Stock Exchanges from 2013 to 2021 as the sample. Empirical results show that high-quality internal control is conducive to enhancing environmental performance, while the level of enterprise digitalization plays a mediating role in the relationship between the two, and ownership type moderates the effects of internal control on environmental performance. The conclusion indicates that China's internal control policy is of great significance for the green development of enterprises. Our study contributes to the literature on both the factors affecting environmental performance and the economic consequences of internal control. The study findings can be beneficial for managers in corporations, internal control policymakers and environmental regulators.

Abstract:In this paper we examine the effects of institutions on firms' management innovation. By proposing an externally embedded network perspective on firm performance, we demonstrate how the firms are influenced by the external institutional structure. In the framework of China's economic development, there are strong links between firm and local government, and these links will significantly influence the firms' management innovation ability. Thus, this paper focuses oil the firm-government network as a driving force to the firm management innovation ability and behavior. Furthermore, we study the network value of firms' internal and external networks in the effects of firm-government relationship using a simple game-theoretical model. In the end, some implications to the firms' management innovation strategies are proposed in the effect of firm-government relation.

Abstract:The utilities of performance measurement ( PM) can be seen from both lower-order technical and higher-order value perspectives. Value perspective implies the fundamental orientations of PM. Gov-ernment PM can be divided into two types from value perspective: external accountability and internal control. External accountability type of PM in developed countries has three main features:a clearly ar-ticulated sense of accountability; citizen-centered performance indicators; and active public participa-tion. Internal control orientation of PM in China demonstrates itself in three ways: government domi-nance and the lack of public participation;top-down and unidirectional approach in PM, and tactic use of PM as a tool of personnel reshuffle in some cases. A transformation of orientation of PM from internal control to external accountability therefore, should be a key task of reform in the foreseeable future.

Abstract:Strict and rigorous internal control system is a prerequisite for modern corporate governance to achieve its objective.Only under the full safeguard of internal control system can the efficient control of operating rights and its dynamic consonances with the shareholders' interests be realized.The social attention on corporate governance and the company's concern about its own governance is directly embodied in its attention on the company's internal control system.This paper makes a research on the degree of concern about internal control in Chinese society from four perspectives:laws and regulations,the company itself,accounting firms and investors,so as to make a general judgment on the recognition degree of Chinese corporate governance.Based on the research on the internal control concern,it can be found that the corporate governance in China is still lack of deserved recognition,which makes the corporate governance in our practice merely a shell and lacking in substance and effect and thus only a buzz word theory.

Abstract:Based on the analysis of the internal control theory of Listed Companies in China and the United States, it is found that there are some differences in the definition, objectives and elements of internal control between China and the United States. The analysis shows that the internal control of Listed Companies in China is generally effective from 2013 to 2017, but it is decreasing year by year. Comparing the operation of Chinese and American listed companies in 2017, it is found that there are still significant differences in performance and internal control early warning system of different industries. The empirical results show that corporate governance level, marketization, information disclosure, internal control evaluation and weak audit links are the main reasons for the performance differences between Chinese and American listed companies. Therefore, some reasonable suggestions are put forward to improve the corporate governance mechanism and internal control efficiency.

Abstract:Using Chinese A-share listed companies from 2007 to 2020, we find that board IT expertise significantly improves corporate internal control. Directors with IT backgrounds achieve this by promoting information technology and enhancing "Control Activities" and "Information and Communication" elements in the internal control system. This effect is more potent in firms with high product market competition, agency costs, and operational risk. We contribute to the literature on IT governance and corporate governance by highlighting the importance of board IT expertise in enhancing internal control.

Abstract:Purpose The purpose of this paper is to examine the effects of internal corporate governance mechanisms on the capital structure decisions of Chinese-listed firms. Design/methodology/approach Using a large and more recent data set consisting of 2,386 Chinese-listed firms over the period from 1998 to 2012, the authors use different statistical methods (OLS, fixed effects and system GMM) to analyse the effects of firm-specific and corporate governance influences on capital structure. Findings The authors find that the proportion of independent directors and ownership concentration exert significant influence on the level of Chinese long-term debt ratios after controlling for firm-specific determinants and split share reforms. Further analysis separating the sample of this paper into state-owned enterprises (SOEs) and privately owned enterprises (POEs) suggests that ownership concentration in the hands of the state leads to decrease in debt ratios. Research limitations/implications The finding implies that concentrated ownership in the hands of the state appears more efficient compared to their private counterparts in their monitoring role. Originality/value This paper extends prior literature, which has concentrated disproportionately on firm-specific influences on capital structure, to the effects of within-firm governance mechanisms on capital structure decisions. The paper contributes to the agency theory–capital structure discourse in an emerging country context where corporate governance system appears weak.

Abstract:Environmental, social, and governance (ESG) is a relatively new concept that emphasizes how to contribute to creating sustainable businesses. However, research on factors that influence ESG development is insufficient. This study explores how internal control influence enterprise ESG information disclosure, using 2009–2021 data from China's A‐share listed companies. The findings show a substantial positive correlation between internal control quality and corporate ESG information disclosure. Particularly, the internal control quality significantly affects corporate governance information disclosure. Moreover, the connection between internal control quality and enterprise ESG information disclosure is significantly and positively moderated by media attention. Specifically, negative media evaluations have significant impacts on enterprises. The main findings remain valid even after conducting multiple robustness tests, such as the lag test, propensity score matching, instrumental variable method, and alternative measurements for the key variables. This study widens the theoretical research frontier of internal and external supervision mechanisms.

Abstract:This paper selects an unbalanced panel data set comprised of 830 non-financial state owned companies listed in Shanghai and Shenzhen from 2009 to 2011,and classifies the ultimate controller of state-owned companies as the central government controled and the local government controled according to government levels.From the perspective of internal control elements,taking into consideration of government levels of listed companies,and based on the institutional background of the administrative system reform and the adjustment of the deployment plan for the state-owned assets,the paper analyzes the effects of the internal control quality on the investment efficiency.The results show that:(1) the internal control quality significantly improves the investment efficiency on the whole;(2) the improvement is more significant for listed companies controlled by the central government than those controlled by local government;(3) the above two conclusions are still robust under two cases that investment inefficiency has been divided into under-investment and over-investment.

Abstract:Stakeholder management researchers have recently put a lot of effort into figuring out why organizations facing extensive pressure respond differently to social responsibilities. In particular, ethics researchers believe that senior management must drive corporate social responsibility since their attitudes toward such issues are so important. In line with this sentiment, our study develops a framework of management power, composed of CEOs’ power and the organizations’ power, and explores how managerial power heterogeneity affects the corporate social responsibility (CSR) performance of a firm. Using sample data from the largest emerging market—China—for the period 2010–2018, we submit that CEOs with structural power and shareholders with the highest concentration tend to show a lower commitment to CSR activities. On the other hand, we recognize that the ownership, expertise, and prestige power of CEOs’, the supervision, monitoring, and political power of the board can improve a firms’ CSR performance. These results are also validated by using a fixed effect model, two stage least square (2-SLS) regression, and the propensity score matching (PSM) technique. Our results imply that the implementation of social policies fundamentally results not only from powerful CEOs, but also from powerful boards and shareholders. Moreover, our study provides useful implications with regard to the social outcomes of power authorized by CEOs and the organizations.

Abstract:The popularity of concentrated ultimate control rights and the deviation between cash flow rights and control rights around the world show that the logical starting point of corporate governance studies changes to study on the confliction of interests between real controlling shareholders and investors. Under the background of China's reality, integrating the private benefits of control and reputation mechanisms, a unified framework is built to study the conditions and influential factors of the real controlling shareholders' tunneling, monitoring, and propping behaviors. This research points out that the pyramid ownership structures determine the real controlling shareholders' behaviors and then affect the corporate performance. Thus, this research modifies the jump logic relationship between pyramid ownership structures and corporate performance.
