Abstract:This paper examines the relation between legal conditions and leveraged buyouts (LBOs) in 49 countries. The data indicate that sophisticated PE fund managers carrying out large international LBOs can only partially mitigate costs associated with inefficient legal protections. LBOs are more active in countries with strong creditor rights. Club deals are more likely to occur in countries with weak creditor rights. Cross-border LBO investment is more common from strong creditor rights countries to weak creditor rights countries. Premiums offered to shareholders are on average negatively correlated with creditor rights for both domestic and cross-border LBOs.

Abstract:The creditors' legal interest has not obtain the corresponding protection for the reason of legislation,system and the constitution,and under the risk of marketing,company operating,the unbalanced informed information,etc.This article analyzed the resource and reason of the company creditor's risk,and introduced several protection methods of mature foreign company system on this case,and finally,with an sufficient contemplate on our country's status and the company law,raised three suggestion: discard the shareholder's ultra vires invalidity,establish the creditor's derivative suits,and build the creditor meeting system.
Large Creditors and Corporate Governance: the Case of Chinese Banks

Abstract:PurposeBanks are the major suppliers of external funds for companies in China. The purpose of this paper is to examine whether Chinese banks exercise effective monitoring over borrowers in two lending decisions, including loan interest rates and loan renewals.Design/methodology/approachUsing a sample of Chinese public industrial firms from 2000 to 2005, the authors perform multivariate regression analysis to investigate whether banks adjust their loan interest rates and consider loan renewal decisions in response to borrowers financial performance. The authors also examine these bank lending decisions before and after 2003, when the major banking reforms started to take place in China.FindingsA negative relation was found between the loan interest rate spread and the financial performance of borrowers. However, a negative relation was found between loan renewals and the financial performance of borrowers, consistent with firms in financial difficulties being in need of more funding and hence more likely to get its bank loans renewed. Additionally, it was found that the factors banks consider when making loan decisions vary before and after 2003.Originality/valueThe authors' findings suggest that Chinese banks play a limited role in monitoring and disciplining borrowers through adjustments of loan interest rates, and that their loan renewal decisions for firms with poor financial performance highlight banks' financing, instead of monitoring role in this transition economy. These findings provide empirical evidence on bank governance in a transition economy dominated by state‐owned enterprises. The paper contributes to the literature by constructing an alternative loan renewal measure using financial statement information.

Abstract:The role of debt in corporate governance has been focused by the researchers of corporate governance issues.This paper have the theoretical analysis and the empirical test on moderating effect of government controlling that debt affect agency cost for managers.Using listed real estate companies'panel data from 2003 to 2008 for stock market A,The results reveal that government controlling be the fundamental reason of duality of debt's governance effect,That is,the bank debts and non-bank debt brought about the opposite governance effects.The conclusions developed the principal-agent theory and the capital structure theory to some extent;Meanwhile,the conclusions have important guiding role for reforming the property rights further for the banks & the state-owned enterprises,and choosing the types of financing for companies.

Abstract:Efficient corporate control should be adapted to the change of corporate performance. The dynamic process of corporate governance is defined as contingent governance. With the firm performance becoming worse, the corporate control will be gradually switched from manager - dominated pattern to shareholder - dominated and then to debtor - dominated pattern. Had bankruptcy point reached, it would be switched to bankruptcy committee and a clearing process will begin. The premises of such evolution are the clear definition of property right and corporatization while a competitive market system and high - developed financial system acts as the external institutional environment. There are many institutional barriers to efficient contingent governance and regime switching in China's institutional arrangement that need to be fully checked and optimized.
The Effect of Corporate Governance on Credit Ratings: Evidence from China's Bond Market

Abstract:This paper examines the association between firms' corporate governance and credit ratings (both bond ratings and issuer ratings) in China. In addition to considering the financial attributes of bond issuers, we ask to what extent do credit rating agencies consider the corporate governance attributes of issuers? In concept, bondholders are concerned with the financial effects of how corporate governance resolves the agency conflicts between bondholders and managers, majority and minority shareholders, and shareholders and bondholders. We find that corporate governance affects bond issuer credit ratings in China. After controlling for firms' financial attributes, we find that issuer ratings are positively related to dual-listing, whether the firm is a state-owned enterprise, the ownership of the second to the tenth largest shareholder; and negatively related to the relative scale of audit fees. We attribute the positive association between dual-listing and credit rating to higher quality and transparency of information reported by the dual-listed firm. The value to bondholders of the implicit government guarantee of debt payments more than offsets the negative association between firm value and being an SOE. Bond rating agencies expect that the change in agency costs with a reduction in the ownership of the largest shareholder benefits bondholders. To credit rating agencies, the scale of audit fees (relative to total assets of the accounting firm) signals interest binding between the client firm and the accounting firm that threatens the independence of auditing and the quality of financial reporting. We also find that bond-specific attributes: collateral and issue size, are positively related to bond credit ratings.

Abstract:In order to protect the interests of corporate creditors and hold the shareholders who violate the duty of contribution responsible,"Provisions of the Supreme People’s Court on Certain Issues Concerning the Application of the ‘Company Law of the People’s Republic of China’(Ⅲ) "has introduced the creditor’s subrogate right into company law.Nevertheless,differences exist between the application of this right in company law and in contract law.On the one hand,the differences show the importance of corporate law practice concerning this right,but on the other hand,problems such as multiplicity of suits and conflicts among creditors have also arisen.This paper proposes three possible solutions to the problems,trying to improve the application of the creditor’s abrogate right in company law.

Abstract:The countervailing power of the creditors has been paid little attention for controlling shareholder in academia. This paper have the theoretical analysis and the empirical test on effects that debt of bank affect agency cost of controlling shareholder , then have examined moderating effect of property rights for the two variables , and have examined the interaction effect between internal governance mechanisms&law environment and debt of bank. Using listed real estate companies' panel data from 2003 to 2011 for stock market A. The results reveal that bank debt of firms decreased agency cost of controlling shareholder significantly , and we found the moderating effect of property rights and the interaction effect between internal governance mechanisms&law environment and bank debt. The conclusions enriched the principal-agent theory and the capital structure theory to some extent, Meanwhile, the conclusions have important guiding role for reforming the property rights further for the banks & the state-owned enterprises , and choosing the types of financing for companies.

Abstract:Using a simultaneous equations model,this article analyzes the impact of external governance environment on creditor governance efficiency which provides further discussion of the reason for the systematic risk in banking markets and the agency problems of listed companies.There is overinvestment and expropriation behavior in Chinese listed companies which is induced by low creditor governance efficiency under government intervention.In the region with low government intervention,the creditor governance mechanism become more efficient in long term debt which is especially prominent in SOEs,but some listed companies makes use of short term debt to pursue overinvestment and expropriation in turn which poses a new challenge to creditor governance.

Abstract:This study examines the effects of corporate governance and corporate social responsibility (CSR) on credit ratings for firms in Taiwan. We examine this causal relationship using ordered logit regressions with two-stage least-squares estimates. We document that CSR performance demonstrates both moderation and partial mediation effects in the relationship between corporate governance and credit rating. Our results indicate that a firm should practice good corporate governance and engage in CSR activities to improve its credit rating. This study further shows that family firms with strong corporate governance and good CSR performance do not benefit from higher credit ratings. However, large firms with good corporate governance practices benefit from higher credit ratings.

Abstract:Enterprises in China are changing to the modern corporations by reorganization. But some debtors used reorganization process to escape debts. Depending on the environment of Chinese court system, the established rules can't deal with the situation. The Supreme Court of China developed a new principle to meet this new challenge: “Principle of Debt Changing with Assets of Enterprise.” The analysis tells more details of how to use the principle and some problems of the principle. So the court should use the principle with caution.

Abstract:Using difference-in-difference approach, we find that strengthening creditor rights, after the staggered enactment of anti-recharacterization laws that enhanced the ability of creditors to repossess collateral during bankruptcy, leads to higher CSR and improves CSR strengths and CSR areas that directly relate to firms’ primary stakeholders. Stronger creditor rights lead to more corporate social performance in financially constrained firms and in those with increased post-shock debt financing and risk taking. Our new evidence suggests that stronger creditor rights increase CSR of firms that value external financing, shifting the attention more squarely to access to finance as a driver of CSR and points that strengthening stakeholders’ rights and relaxing the financial constraints of firms can lead to improved CSR.
Corporate Cash Reserves and Corporate Governance Mechanism: the Empirical Study of the Chinese Publicly Traded Corporations

Abstract:This paper,by presenting a sample of 254 firms from seven industries,tests the relation between corporate cash reserves and governance mechanism based on the cross-section data of publicly traded corporations in China.Findings show that the factors which affect the corporate cash reserves in developed countries also work on the ones in China.Whereas,these factors have opposite effects on the Chinese corporate cash reserves.On the base of the analysis of this phenomenon,we suggest that the different effects of variables are attributed to the difference of the composing of the cost and lucre of corporate cash reserves.In the perfect market economy,the motives of the precaution and the entrenchment effect of corporate cash reserves are more important to the agents than that to the ones in un-perfect market economy.The corporate managers in China care more about the current on-the-job consumption and prettifying performances through spending the cash reserves as quickly as possible.To sum up,the difference in the use of cash reserves is the major reason for the diverse effects of the agency problem.Furthermore,we show that Dittmar et al(2003)'s conclusion is wrong.The reason for why the corporate cash reserves is higher in poor-shareholder-protection countries than that in better-shareholder-protection countries is that the optimal cash balance under the condition of maximum shareholder's wealth is much lower in better-investor-protection countries.Contrarily,the agency problem diminishes the difference of corporate cash reserves level between the perfect and un-perfect market economy.

Abstract:Abstract Banks are special, and so is the corporate governance of banks and other financial institutions. Empirical evidence, mostly gathered after the financial crisis, confirms this. Banks practicing good corporate governance in the traditional, shareholder-oriented style fared less well than banks having less shareholder-prone boards and less shareholder influence. The special governance of banks and other financial institutions is firmly embedded in bank supervisory law and regulation. Most recently there has been intense discussion on the purpose of (non-bank) corporations. For banks stakeholder governance and, more particularly, creditor or debtholder governance is more important than shareholder governance. The implications of this for research and reform are still uncertain. A key problem is the composition and qualification of the board. The legislative task is to enhance independent as well as qualified control. The proposal of giving creditors and even supervisors a special seat in the board is not convincing. Other important special issues of bank governance are for example the duties and liabilities of bank directors in particular as far as risk and compliance are concerned, but also the remuneration paid to bank directors and senior managers or key function holders. Claw-back provisions, either imposed by law or introduced by banks themselves, exist already in certain countries and are beneficial. Much depends on enforcement, an understudied topic.

Abstract:This paper uses the difference-in-differences model to research how the "piercing the corporate veil" system marked by the 2005 Company Law amendment affects the level of corporate creditor protection. The research results show that private enterprises and local state-owned enterprises are sensitive and significant to this legal amendment. In contrast, local state-owned enterprises are more sensitive and have a stronger motivation to protect the interests of creditors. The motivation of companies with weaker profitability for creditor protection lasts not only for the year of law revision but also extends to the year of implementation. With the law's implementation, the growth effect of creditor protection for local state-owned enterprises has become more significant. Further analysis shows that the main findings of this article are more significant in companies with larger debt scales, companies with a higher year-on-year growth rate of operating income, companies with controlling shareholders, and companies with higher stock market capitalization. From an empirical research view, this paper explains the economic effect and mechanism of the whole corporate personality under the complete system and adds economic evidence for how the law acts on the capital market.

Abstract:The traditional purpose of a corporation is to pursue maximized profit,and a corporation is only responsible to its shareholders.As corporate operations begin to have widespread influences on the society,corporate social responsibility (CSR) is being increasingly stressed.It is believed that corporations should have two identities as a legal person.They are not only entities in private law,but also true members of the society.Since corporations benefit from the society, they should also contribute to the society,i.e.,to bear their social responsibility.As the social aspect of the law looms large,private law (including commercial law) gradually shifts from individualism to socialism and requires people to pay attention to social environment and care for social interests.Therefore,the socialization of private law constitutes the solid legal foundation of CSR. CSR is one type of obligations a corporation owes to the society.It refers largely to social obligations required by law,moral obligations as well as obligations occurring during operations that are neither explicitly required by law nor of a moral nature.This last type of obligations is a problem that the board of directors needs to solve when it makes and implements business strategies. It is also a problem that requires solutions in both theory and practice. The beneficiaries of CSR are largely the same as the non—shareholder stakeholders of corporations. As the stakeholder theory poses the issue of CSR as one aspect of corporate governance, it makes it possible to realize CSR.Boards of directors should make necessary arrangements on the social consequences of corporate activities when they make and implement their business strategies. They must have an accurate understanding of the extent of their obligations in this respect and perform such obligations seriously.Directors' duty of care shall include not only to meet the corporations' revenue targets,but also to adjust the relationship amongst the corporation,its shareholders and other stakeholders and maintain equilibrium amongst various interests.Directors should primarily work for the long—term interests of all shareholders.Furthermore,they should also ascertain and respect other stakeholders and establish a harmonious and mutually beneficial cooperative relationship.

Abstract:Foundation ownership represents an alternative corporate governance model to many conventional ownership structures. We examine the effect of foundation ownership on creditor governance. By utilizing an international sample of 411 publicly listed companies between 2003 and 2021, we document that foundation ownership leads to lower credit risk. This negative effect is robust across several different credit measures. Foundation-controlled companies also fare better than family-controlled and institutional investor-controlled companies. Specifically, foundation-controlled companies have better access to bank loans, with more favorable loan contracting conditions. Our results are supported by a series of robustness tests. The results also have policy implications as the European Commission recommends companies move away from a short-term focus.

Abstract:Excessive earnings management can significantly reduce the quality of accounting information, consequently harming the interests of investors and creditors. In the Chinese market, research on earnings management focuses primarily on corporate governance and external environmental viewpoints, with limited literature addressing debt governance. This paper centers on exploring the protective impact of bond covenants, revealing their inhibitory effect on both accrual and real earnings management through two potential mechanisms (agency conflicts and risk-taking). Furthermore, this study conducts a heterogeneous analysis from various perspectives, identifying how bond covenants influence earnings management in different ways and underscoring the moderating role played by underwriters. The findings offer theoretical insights for the development of a high-quality information disclosure system.

On one hand, this paper attempts to reveal what kind of governance structure will help the company get rid of financial distress. It will contribute to strategic decisions of iital structure and financial risk management. On the other hand, this paper researches the impact of governance structure on corporate performance from another angle-financial distress.
