Abstract:While previous studies primarily use economy-wide indicators for political risk, Hassan et al. (Quart J Econ 134(4):2135–2202, 2019) propose that a significant portion of political risk manifests itself at the individual firm level. We use their measure of political risk to examine whether and how acquirers’ firm-level idiosyncratic political risks affect their mergers and acquisitions (M A) decisions based on a sample of U.S. firms. We find that firms exposed to a high level of perceived political risk are less likely to conduct M As. Furthermore, the negative association between firm-level political risk and M As is more pronounced when acquiring firms lack either financial capacities or non-financial political/social capacities. More importantly, while firms with high political risk generally delay M As, we find evidence suggesting that acquiring firms may hedge against their firm-level political risk by strategically choosing low-risk M A targets and conducting vertical integration. Finally, we show that effectively hedged deals exhibit superior post-M A performance in terms of higher announcement return, lower likelihood of subsequent divestiture and higher post-acquisition change in financial performance.

Abstract:While several studies have examined how economy-wide political uncertainty affects firms’ economic activities, little is known about the economic consequences of firm-level political uncertainty. This study sheds light on this issue by examining whether and how acquirers’ political risk affects the outcomes of their mergers and acquisitions (M&A) based on a sample of U.S. firms. We show that firm-level political risk lowers acquirers’ M&A activities and this could be explained by acquirers’ financial constraints and the costs of delaying the M&A investment. Consistent with the notion that firms conduct M&A to hedge their risks, our results show that high political risk firms are more likely to conduct vertical M&A and to acquire target firms with lower risks. Our additional analyses show that such deals take more time to complete, are more likely to include termination fees, exhibit higher bid premiums, and are more likely to be paid by shares. Finally, we find that investors react negatively to M&A deals initiated by high political risk firms and these deals have poor long-term stock market performance, suggesting the adverse implications of political risk for M&A deals.

Abstract:The economic links between firms created by customer and supplier relationships are critical determinants of those firms’ values and actions. We demonstrate that significant trade relationships and indirect economic links incrementally explain which firms are more likely to be involved in acquisitions, which pairs of firms are more likely to merge, and which mergers will have the greatest impact, both on value and in motivating follow-on mergers by rivals. Firms with major trade relationships are significantly less likely to acquire, or be acquired by, firms that do not share in those relationships. Abstract:This article investigates the moderating effect of political affinity between countries on investors' reactions to the premium in cross‐border acquisitions (CBAs). Based on a sample of 1,183 CBAs between 1999 and 2018, we find that political affinity positively moderates the relationship between the acquisition premium and the acquiring and target firms' stock market return. We argue that investors use political affinity to assess the reliability of the premium (i.e., management's overall perception of a given deal's synergistic potential). This is in line with prior literature reasoning that, unlike strong political affinity, weak political affinity increases the likelihood of government intervention, decreases the likelihood of deal completion, and results in higher premiums to mitigate the previous effects, thus potentially increasing the likelihood of value destruction.

Abstract:In this paper, we study the effects of political identity on firm market performance. Specifically, we investigate whether a shared political orientation between a firm's executives and Congress, or the President, affect the firm's stock performance. Using hand collected political contributions data from the Federal Election Commission (FEC) to identify an executive's political orientation, we find evidence that firms with executives' political orientations matching that of the President or the Senate are associated with higher excess and abnormal returns and outperform other firms. Our results are consistent with the hypothesis that the market perceives political alignment positively.

Partisan Asymmetries in Online Political Activity

Abstract:We examine partisan differences in the behavior, communication patterns and social interactions of more than 18,000 politically-active Twitter users to produce evidence that points to changing levels of partisan engagement with the American online political landscape. Analysis of a network defined by the communication activity of these users in proximity to the 2010 midterm congressional elections reveals a highly segregated, well clustered partisan community structure. Using cluster membership as a high-fidelity (87% accuracy) proxy for political affiliation, we characterize a wide range of differences in the behavior, communication and social connectivity of left- and right-leaning Twitter users. We find that in contrast to the online political dynamics of the 2008 campaign, right-leaning Twitter users exhibit greater levels of political activity, a more tightly interconnected social structure, and a communication network topology that facilitates the rapid and broad dissemination of political information.

Abstract:Abstract Does academic writing in economics reflect the political orientation of economists? We use machine learning to measure partisanship in academic economics articles. We predict observed political behavior of a subset of economists using the phrases from their academic articles, show good out-of-sample predictive accuracy, and then predict partisanship for all economists. We then use these predictions to examine patterns of political language in economics. We estimate journal-specific effects on predicted ideology, controlling for author and year fixed effects, that accord with existing survey-based measures. We show considerable sorting of economists into fields of research by predicted partisanship. We also show that partisanship is detectable even within fields, even across those estimating the same theoretical parameter. Using policy-relevant parameters collected from previous meta-analyses, we then show that imputed partisanship is correlated with estimated parameters, such that the implied policy prescription is consistent with partisan leaning. For example, we find that going from the most left-wing authored estimate of the taxable top income elasticity to the most right-wing authored estimate decreases the optimal tax rate from 84% to 58%.

Abstract:In these politically polarizing times, we suggest that political diversity (having both conservative and liberal employees) has implications for organizational culture and value satisfaction, primarily when political ingroup-outgroup identities are salient (i.e., U.S. Presidential elections). To test these organizational-level relationships over time, we obtain publicly available archival data for 15 years (four election cycles from 2008 to 2022) for Standard & Poor's 100 U.S. organizations. During years when organizations had greater political diversity (based on employee donations to politically affiliated groups), their employees tended to report less satisfaction with the organization's culture and values (based on Glassdoor ratings) than when organizations had less political diversity, controlling for variables like size and political leaning of the organization. Further, time-varying effect modeling (TVEM) shows stronger inflections for the effect of political diversity on dissatisfaction during the 2008, 2012, and 2016 Presidential election years, consistent with the idea that outgroup hostility becomes stronger when political identities are salient. The effect of political diversity diminished in 2020 in contrast to our predictions. However, the pattern of effects continues to follow our model and theoretical assumptions because the prevalent work-from-home requirements during the pandemic likely made political dissimilarities less salient and divisive. Overall, the costs to organizational culture and value satisfaction call for policies addressing political outgroup bias at work during election years.

Abstract:We study the link between political influence and industrial concentration. We present a joint model of political influence and market competition: an oligopoly lobbies the government over regulation, and competes in the product market shaped by this influence. We show broad conditions for mergers to increase lobbying, both on the intensive margin and the extensive margin. We combine data on mergers with data on lobbying expenditures and campaign contributions in the US from 1999 to 2017. We document a positive association between mergers and lobbying, both by individual firms and by industry trade associations. Mergers are also associated with extensive margin changes such as the formation of in-house lobbying teams and corporate PACs. We find some evidence for a positive association between mergers and higher campaign contributions.

Abstract:This research examines the effects of executive political connections on corporate performance by comparing firms with mergers and acquisitions (M&As) and firms without M&A activities in the energy sector using China Securities Regulatory Commission industry data from 2008 to 2018. We integrate two theoretical approaches, resource dependence and the agency view into one framework, and find that executives' political connections have a positive effect on corporate performance when there are no M&A activities, which is consistent with the resource dependence theory; however, well-connected executives harm firm performance through M&A activities. Our main results still hold after considering endogeneity issues, substituting relevant variables, comparing the effect of the global financial crisis, and controlling for market structure. Our study provides significant insight into the energy sector, which can help practitioners and policymakers who want to make advancements in firms' competitiveness through better implementation of policies related to M&A.

Abstract:Scholars warn that partisan divisions in the mass public threaten the health of American democracy. We conducted a megastudy ( n = 32,059 participants) testing 25 treatments designed by academics and practitioners to reduce Americans' partisan animosity and antidemocratic attitudes. We find that many treatments reduced partisan animosity, most strongly by highlighting relatable sympathetic individuals with different political beliefs or by emphasizing common identities shared by rival partisans. We also identify several treatments that reduced support for undemocratic practices—most strongly by correcting misperceptions of rival partisans' views or highlighting the threat of democratic collapse—which shows that antidemocratic attitudes are not intractable. Taken together, the study's findings identify promising general strategies for reducing partisan division and improving democratic attitudes, shedding theoretical light on challenges facing American democracy.

Abstract:Adverse political shocks, such as removing a regime from office, are a prominent yet underexplored institutional characteristic of emerging markets. Based on protection motivation theory, we propose that adverse political shocks may decrease cross-border mergers and acquisitions (M&A) financial performance of politically connected emerging market firms (EMFs). This is because disruptive threats from political shocks are more likely to lead CEOs of acquiring firms to focus on how to employ cross-border M&As to move assets overseas for self-protective purposes, thus giving less consideration to the strategic values of deals. Therefore, M&A's financial performance will be compromised. Such threat-led protection motivation is predicted to be stronger when the threats of adverse political shocks are appraised as being more severe and more likely to occur (i.e., when the politically connected EMFs engage in more bribery activity) and when CEOs believe they are capable of conducting protective actions to cope with threats (i.e., when CEOs have greater power). With a sample of 224 outbound cross-border M&A deals by Chinese firms two years (eight quarters) before and after the outbreak of the Bo Xilai scandal, the results support our predictions.

Abstract:We examine whether the Environmental Protection Agency (EPA) uniformly enforces the Clean Air Act for politically connected and unconnected firms using a close election setting. We find no difference in regulated pollutant emissions or EPA investigations between the two groups, although connected firms experience less regulatory enforcement and lower penalties. These results are more pronounced for firms connected to politicians capable of influencing regulatory bureaucrats and for connected firms that are more important to their supported politicians. Taken together, our results show that campaign contributions can indirectly benefit firms by way of reduced environmental regulatory enforcement and penalties. Abstract:Journal of Management, Ahead of Print. Many institutional investors are active political donors, but the impact that their political partisanship has on corporate practices and policies has mostly eluded academic examination. As political donations can reflect investors' views and values, we theorize that the nature of investors' political donations can shape managerial decision-making in important ways. We test this idea by examining changes in corporate social responsibility (CSR) activities, an area where managers have a high degree of discretion over how they account for investors' views and values. Our theory introduces two focal constructs: political position, which captures the average political affiliation of actors within a group, and political dispersion, which captures the variance in political positions across group members. After hypothesizing a positive relationship between liberal-positioned investors and a firm's CSR activities, we argue that political dispersion among investors mitigates this positive effect. To account for between-group dispersion, we also suggest that liberal-positioned investors have a stronger positive effect on CSR in firms with more conservative managers. Our analysis of 19 years of shareholder political donations data for 2,062 U.S.-based firms supports our theory. This paper lays new groundwork for research on shareholder politics in management, and contributes to research on investor influence, political ideology, and CSR.

Abstract:This paper examines the role of affiliation with the ruling Communist Party in the operation of private enterprises in China. Using a nationwide survey of private firms, we find that the Party membership of private entrepreneurs has a positive effect on the performance of their firms when human capital and other relevant variables are controlled. We further find that Party membership helps private entrepreneurs to obtain loans from banks or other state institutions, and affords them more confidence in the legal system. Finally, we find Party membership to be more important to firm performance in regions with weaker market institutions and weaker legal protection.

Abstract:Journal of Public Policy &Marketing, Ahead of Print. In recent years, firms have become increasingly involved in sociopolitical issues via corporate political advocacy (CPA) and corporate social responsibility (CSR) while consumers have become more politically polarized and skeptical of political institutions. Merging these developments, the present work examines similarities and differences in response to CPA and CSR, and the implications for consumer polarization and radicalization. Utilizing three studies across numerous domains, the authors demonstrate that (1) CPA results in increased negative sentiment and CSR results in increased positive sentiment on social media; (2) relative to CSR, CPA results in more negative and polarized reactions due to the controversial nature of CPA; and (3) polarized responses to CPA are stronger among consumers lower in political efficacy. Together, the findings shed light on the distinction between CPA and CSR and illustrate how (and among whom) CPA may contribute to polarization and radicalization via negative sentiment expressed through social media and consumer actions. Theoretical contributions, practical implications, and future research directions are detailed.
