Abstract:To cope with its rapid development and transformation from a planned economy toward a market-orientated economy, China has over the years strived to formulate a comprehensive and multifaceted competition law.1 Such a law is regarded as a way of regulating a chaotic economy that has experienced years of unruly competition. During the years of opening up of its economy, China has gradually realised that contemplated competition law will protect the process of competition, which will in the long term lead to lower prices, better products, and more choices for consumers, and enhance the overall efficiency of social welfare.2 So far the existing Chinese legal framework falls far short of ensuring an effective system of competition,3 and a comprehensive competition code has yet to be adopted. The call for a comprehensive competition law was reinforced by China’s accession to the World Trade Organisation in November 2001.4 Significant progress has been made in both the drafting of a new competition code and the reconstruction of existing laws and regulations on competition. In 2003, China’s National Development and Reform Commission (SDRC) announced ground-breaking provisional rules banning price-fixing alliances, monopoly profits, and predatory pricing. Abstract:After more than a decade of preparation, China finally passed the Anti-Monopoly Law (AML) on 30 August 2007. This paper examines the debate over whether or not administrative monopoly should be included in the ambit of the AML, which took place throughout the drafting process of this new law. Administrative monopoly refers to the abusive use of administrative power by government agencies to engage in monopolistic activities. Owing to the administrative nature of this type of monopoly, the intent to regulate it by an economic law, such as the AML, has stirred up much controversy. Having analyzed the arguments both in support of and in opposition to the inclusion, this paper suggests the need to adopt a more comprehensive scheme in tackling administrative monopoly. Also, the enforcement mechanism of the AML will have to be strengthened in order to prevent this new law from degenerating into ‘a toothless tiger’. Furthermore, the competition law regime of China will benefit from in-depth research in overseas anti-monopoly practices. In particular, the experiences of the former socialist states in Europe should be taken into account, given that they are similarly undergoing the transition from a planned economy to a market economy.

Abstract:ABSTRACT An important focus of China’s Anti-Monopoly Law (AML) is “administrative monopolies”—government-imposed restraints on competition. Since adopting the AML in 2008, China gradually has strengthened its efforts to curb administrative monopolies. Despite notable reforms such as the creation of the Fair Competition Review System (FCRS), government restrictions remain a major obstacle to competition in China’s economy. The 2008 legislation narrowly defined what constitutes improper government intervention, adopted a permissive standard for determining when public restraints were legitimate, and relied heavily on internal administrative controls to correct infringements. This paper draws upon experience in China and abroad to enhance the ability of China’s competition authorities to challenge administrative monopolies. Suggested upgrades include augmenting the robustness of FCRS, introducing new tools to improve competition advocacy, bolstering the ability of competition authorities to initiate or join litigation to attack administrative monopolies, and narrowing the range of justifications that can immunize public restraints.

Abstract:Purpose The anti‐monopoly law (AML) of the People's Republic of China (PRC), which had undergone ten years of debate among the whole spectrum of China's society, was finally issued on August 30, 2007 and took effect on August 1, 2008. This paper seeks to assess the impact of these new laws. Design/methodology/approach Through an examination of the latest anti‐monopoly cases since the AML came into force, this paper seeks to study the goals and regulations of the AML, and attempts to foresee features of those foreign‐invested enterprises (FIEs) who are most risky under the new Law. Findings The new AML, called by some scholars a “landmark of China's economic reform” and “a great achievement of international cooperation” has given birth to mass legal subjects and far‐reaching influence to business circle both explicitly and potentially(Wang, 2008). The new Law attracts concerns from many foreign companies, especially those MNCs and tycoons having business interests in China. Many foreign commentators take the Law as a positive sign for their future investment in China, whereas complaints about the uncertainties of some outstanding issues doubtless persist. Originality/value The study provides an insight into antitrust changes in China and signals areas of concern for potential competitors

Abstract:The development of AML after Reform and Openning can be divided into three phases,namely market gestation,market establishment,and market consummation,in which the genesis of AML is largely attributable to the evolution of "State-Market" yardstick.The focus of the implementation of Anti-monopoly Law is differed in various phases.And the main bottleneck of implementation are the institutional absence,enforcement deficiency and system malajustment.Under the framework "Autonomous-Responsive" law with referrence to the Berkeley Perspective Classification of legal genre,the implementation of AML can have a reasonable prospect.

Abstract:The creation of works in modern society is becoming more and more impersonal, and the majority of works are created as works made for hire. Reasonable property rules are required to minimize transaction cost and to facilitate smooth dissemination of such works. However, neither the current nor the envisaged amended version of Chinese Copyright Law provides works made for hire rules, which are fair and predictable enough. Rules with continental European origin and those with Anglo-American characteristics collide with each other, causing confusion in court practice and in research. Awareness of the imperfectness is important for both scholars and practitioners interested in the protection of intellectual properties in China. To bring the status quo into a fairer and more predictable set of rules, colliding rules should be harmonized. In pursuing this goal, the freedom of contract, as strengthened by the envisaged revision of copyright law, is not sufficient. It is also recommendable to make employment a pre-condition of Legal Entities' Works.
China’s Fair Competition Review System: A Single Case Study

Abstract:The case study methodology has proved to be a useful empirical tool for competition policy evaluation. However, as far as China’s Fair Competition Review System (FCRS) is concerned, empirical studies are scarce. This article aims to partly fill this gap by thoroughly studying the first litigation case in light of three questions: (1) does China’s FCRS contribute to a competitive market?; (2) does it face challenges regarding implementation, including judicial proceedings?; and (3) how to tackle these challenges? We find that China’s FCRS promotes a competitive market to some extent, but diverse issues need to be tackled in the coming years. Some policymakers still lack understanding of the system. Public antitrust enforcement also faces understanding and capability problems to fully implement the FCRS. The review standards are not specific enough. Regarding judicial scrutiny of the FCRS, we note that also judges lack knowledge of the FCRS, especially in primary courts. Court jurisdictions for filing administrative monopoly litigation are not of high enough rank. In addition, the nature of the FCRS brings up doubts when entering into litigation as the case has to be connected with the Anti-Monopoly Law (AML). Consequently, we formulate several suggestions for improvement: First, strengthening competition advocacy and FCRS training for policymakers, antitrust enforcement officials, and judges. Second, establishing disciplinary and incentive mechanisms. Third, increasing enforcement capacity. Fourth, specifying industry-specific review standards. In terms of judicial scrutiny, in addition to the training for judges, we also propose to reform the administrative proceeding system, adding corresponding clauses connected to Chapter V of the AML and the FCRS into the Administrative Procedure Law. Abstract administrative actions should also have the possibility to initiate litigation in the near future, and administrative monopoly cases should be filed at least to an intermediate court or intellectual property court, rather than to a primary court. The establishment of a dedicated competition court could also add value. Last, we recommend upgrading the FCRS to proper law. Abstract:China’s recent enforcement of its Anti-Monopoly Law (AML) has caused alarm and concern among Multinational Companies (MNCs). Many MNCs believe that the primary purpose of China’s AML is not to create open, fair, and market-based competition but is to serve the Industrial Policy goals of China’s ruling Communist Party. These goals result in the enforcement of the AML in favor of Chinese companies, especially China’s massive State-owned Enterprises, at the expense of MNCs doing business in China. In addition, China’s AML enforcement authorities seem to be using the AML to force MNCs to transfer their valuable technologies (intellectual property rights) at below market rates to Chinese firms and to force price reductions of their products sold in China. AML enforcement authorities also appear to be using the AML to protect famous Chinese brands from being acquired by foreign firms. China’s use of the AML appears to be consistent with China’s overall goal of strengthening its position as a global economic power.

Abstract:On June 24, 2022, at the 35th meeting of the Standing Committee of the 13th National People's Congress, the amendment to the Anti-monopoly Law of the People's Republic of China was passed. It was decided to go into effect on August 1st. This is the first amendment to China's Anti-monopoly Law since its implementation in 2008. A new purpose was proposed in maintaining an orderly market system. This amendment adds innovation encouragement to the legislative purpose of the Anti-monopoly Law, in line with Xi Jinping's leadership's keynote on state affairs, which has emphasized technological innovation. It is specified in this law that it is responsible. In the 2018 central organizational reorganization, the newly established State Administration for Market Regulation, the Anti-monopoly Bureau, which was in charge of anti-monopoly work that had been distributed among the Ministry of Commerce, Development and Development, and the General Administration of Industry and Trade, was separated into a vice-ministerial level organization and upgraded to the State Anti-monopoly Bureau. The amendment bans monopoly, exclusion, and competition restrictions that abuse administrative power, and strengthens the level of punishment, such as significantly increasing the level of fines and linking antitrust penalties with credit records. Clarify the criteria for screening and classifying managers to strengthen screening of managers related to the national economy and livelihood, while introducing a safe harbor rule to exclude managers from sanctions if they prove that their market share is lower than the anti-monopoly standards made with In addition, managers who provide “substantial help” in concluding and implementing monopoly agreements are also subject to sanctions. The amendment is a review of China's anti-monopoly law enforcement over the past 10 years during the deliberation of the revision of the Chinese anti-monopoly law, and can be seen as a summary of legal practice experience. This is a demand inherent in the development of China's socialist market economy, and can help meet the objective demand of the new development pattern. It is conducive to introducing Chinese anti-monopoly law supervision and strengthening anti-monopoly law enforcement, which will be scientifically and objectively conducive.

Abstract:This article focuses on non-financial, real estate listed companies in China's capital market as the research subjects, and empirically tests the impact of government antitrust policy implementation on corporate strategic transformation. The findings indicate that the implementation of a fair competition review system by the government can significantly enhance the degree of corporate strategic transformation. Further research reveals that this promotion effect is mainly concentrated in non-state-owned and large-scale enterprises.

Abstract:Karl Polanyi critically portrays how market practices have evolved from regulated to self-regulated at the end of the eighteenth century, which wholly changed the structure in European society thereafter. John Kenneth Galbraith elucidates how self-regulating markets have led to the expansion of corporate power which changed the sequence of the market order in twentieth century United States. In another part of the world, the development of the private sector market and expansion of corporate power in twenty-first century China and the anti-monopoly policy formulated and implemented by the Chinese government offer an alternative case to illustrate the importance of public planning and regulations in embedding markets in society. To this, I analyze and argue that the source of the growth of corporate power and its practices in China are particular to the contextual setting and process of its economic reform, which are unlike those in Europe and the United States. Specifically, empowered by the government, newly emerged Chinese e-commerce and internet finance corporations in China like Alibaba and its Ant Group have gained market power rapidly. Nevertheless, when the practices of their power evidently exceed the tolerance of the government in scope and pace of the market development in the different stages of its socialist-oriented economic reform, the government has the ultimate authority to re-institute the market behavior of these entities to ensure social good and stability.

Abstract:In this paper, we analyze a recent antitrust case of abuse of dominance that was decided by a Chinese administrative enforcement agency under China’s Anti-Monopoly Law (“AML”). A key issue in this case involved the impact of loyalty rebate programs used by a dominant firm. We provide an overview of the case, highlight the main points of the decision, and focus on the assessment of loyalty rebates. As the first antitrust ruling in China involving loyalty discounts, we expect that the decision will serve as an important reference in antitrust enforcement in China.
