Abstract:An analytic model of optimal financing contract was developed for venture companies,which takes the non-currency earnings,entrepreneurial spirit,realizability of investor's control right and its realizing cost as the main influencing factors on the optimal financing contract of a venture company. The influence of the disposition of control right on the financing structure of a venture company was discussed so as to propose the possible measures to take for improving its financing efficiency. The results showed that an effective financial market,bankrupt mechanism and guarantee system to ensure the control right of investors are crucial to the financing efficiency. To play the role of the control right on financial contracting,the following measures are advised to take,i.e.,reduce the non-currency earnings of entrepreneur and the control right realizing cost of investors,and enhance the realizability of investors' control right and the guaranteed value of company assets.

Abstract:High risk of VC worsens the agent problem,which is brought about by asymmetric information.The absence of venture capitalist with high ability make the main agent problem,that is adverse selection and moral hazard,not to be settled simultaneously.The main finding in signal screening model is that,on the one hand,high risk demands the venture capitalist with higher ability,on the other hand,even if the venture capitalist with higher ability would demand higher fixed income.So in research of venture capital,it is important to regard high risk as key clue.Incentive systems model deducts the theoretic relation between the fund injection and profit sharing.

Abstract:Abstract Recent data suggest that venture capital investments concentrate in the high-tech sector only in those countries where banks are not allowed to offer equity financing. To explain this fact, I develop a simple principal-agent model of start-up financing with both private information and hidden actions in which the equity investor can vary the level of control over the firm and the debt investor cannot. The model shows that when three commonly documented characteristics of the high-tech industry coexist, namely: (i) a high degree of information asymmetry, (ii) a high level of uncertainty about returns, and (iii) a large amount of R&D investments preceding production, then the ability to reallocate control rights that are contingent on performance becomes the key. Unlike debt contracts, equity contracts specify detailed provisions regarding the allocation of control rights. Thus, venture capitalists as equity holders have a clear advantage in financing young high-tech firms in places where banks are not allowed to offer equity contracts; in countries with no such restriction, they no longer have such an advantage. This result helps explain why most European governments’ efforts in promoting venture capital activities failed to attract such investments in the high-tech sector.

Abstract:This article points out that both the project owners and the contractors probably have moral hazard during the period of project construction, establishes a bilateral moral hazard model of “hidden behavior” applying the principal-agent theory. The model analysis shows that when the information is asymmetric, it is efficient to applying the linear contract mechanism of cost plus incentive fee, but the risk-neutral owners and the contractors only implement the second-best effort level. It also receives the conclusion that when the relative impact rate of the contractors on the project cost increases, the cost sharing coefficient of the linear contract increases too.

Abstract:Terms in venture capital limited partnership agreement seem very flexible.As a legal practicer,at the beginning,we are very worried that such arrangement might infringe the interests of limited partners.However,the fact proves that the ground that limited partners accept such arrangement is that reputation,instead of legal institution,is a valid mechanism to safeguard the benefit of limited partners.The paper includes five parts,in which the first part introduces the venture capital limited partnership agreement;the second part shows that such an agreement is the embodiment of contractarianism;the third part discusses the interest conflicts between general partners and limited partners;and the forth part shows that reputation,instead of legal institution,is a valid mechanism to safeguard the benefit of limited partners.Finally,a conclusion is made.

Abstract:We consider a contracting problem in which a principal hires an agent to manage a risky project. When the agent chooses volatility components of the output process and the principal observes the output continuously, the principal can compute the quadratic variation of the output, but not the individual components. This leads to moral hazard with respect to the risk choices of the agent. We identify a family of admissible contracts for which the optimal agent's action is explicitly characterized, and, using the recent theory of singular changes of measures for Itô processes, we study how restrictive this family is. In particular, in the special case of the standard Homlström-Milgrom model with fixed volatility, the family includes all possible contracts. We solve the principal-agent problem in the case of CARA preferences, and show that the optimal contract is linear in these factors: the contractible sources of risk, including the output, the quadratic variation of the output and the cross-variations between the output and the contractible risk sources. Thus, like sample Sharpe ratios used in practice, path-dependent contracts naturally arise when there is moral hazard with respect to risk management. In a numerical example, we show that the loss of efficiency can be significant if the principal does not use the quadratic variation component of the optimal contract.

Abstract:Due to the factors of asymmetric information and inconsistent interests, venture capitalists and venture entrepreneurs have the problem of principal-agent relationship. This paper mainly explores the design arrangements of four transaction structures, namely, phased financing, choice of financial instruments, corporate governance structure and gambling agreement, and their local practices in China. The analysis results show that due to the imperfectness of our legal system, the immaturity of the capital market environment and other objective conditions, some good system designs, such as convertible equity and gambling agreements, are facing many difficulties in their implementation. Therefore, even though China’s current venture capital is developing rapidly, the interests of China’s venture investors have not been properly protected and venture entrepreneurs have not received sufficient incentives and supervision. If the current situation is not changed, it will be unfavorable to the development of China’s venture capital industry in the long term.

Abstract:Construction projects are riddled with risks that should be shared by both owners and contractors alike. The principal-agent theory has proven to be an influential theoretical apparatus in designing optimal risk-sharing rules and provides contractors with proper incentives to improve project efficiencies. According to the principal-agent theory, it is optimal to let the contractor assume all of the risk if it is risk-neutral. However, this article argues that this theoretical model may lead to a biased incentive structure. To demonstrate this point, this article analyzes the necessity of risk-sharing between the owner and risk-neutral contractor in construction projects. Taking into account cases where the respective planning efforts of the owner and contractor are supposed to be unverifiable and mutually complementary in terms of cost overrun risk, we find that either double moral hazard (i.e., both parties take opportunistic strategies) or inefficient breach of contract by the contractor occurs if the contractor assumes the entire cost overrun risk. An optimal risk-sharing strategy, therefore, plays an important role in coordinating both parties to choose efficient strategies.

Abstract:This paper mainly analyzes relation and bonus design of executive compensition contract in corporate governance from the perspective of managerial moral hazard.There are two kinds of managerial moral hazard.One refers to the manager’s diversion,the other refers to the manager’s shirking.Our analyses show that when there is diversion-type mana-gerial moral hazard,the bonus decreases with the strength of relation,and that when there is shirking-type managerial moral hazard,the bonus does not vary with the strength of rela-tion if the strength of relation is less than a critical value,while increases with the strength of relation if the strength of relation is more than a critical value,and that when there is double managerial moral hazard,the bonus decreases with the strength of relation.When the firm-owner decides to design an executive compensition contract,he should identify different types of managerial moral hazard in the first place.

Abstract:As an important method of risk control in information systems and networks, cyber-insurance has attracted particular attention from both industry and academia. However, two prominent problems hamper the further growth of cyber-insurance. The correlated and interdependent properties of cyber-risks increase the economic risk of insurance companies considerably ; risk pooling can be impeded by these two properties. Further, this situation can be aggravated because cyber-insurance affects the investment for self-protection negatively. This phenomenon is regarded as the ex ante moral hazard. In this study, we establish a mathematical model based on a classic insurance theory to address the abovementioned problems, and propose an optimal cyber-insurance contract scheme that maximizes the expected utility of users. We also propose two personalized contract schemes to incentivize users to invest in self-protection under the no moral hazard and ex ante moral hazard conditions. Extensive experiments are conducted to evaluate the proposed approach, and the experimental results demonstrate the effectiveness and efficiency of the approach. (C) 2018 Published by Elsevier Inc.

Abstract:The incentives of control right transfer is an important element of the principal-agent incentives contracts,but the principal-agent incentives contract mechanism design under the dynamic learning mechanism still lack of in-depth study.Thus based on existing research,this paper considered the interaction between the project income risk and the professional managers' moral hazard,and integrated with the control right transfer incentives and the risk-averse behavior of professional managers.And based on those,this paper established the two-stage optimization and learning model of the principal-agent incentives contract including capital and labor input of professional managers of risk-aversion,and explored the learning mechanism and influential factors of venture investors,and found the interaction mechanism among the control right transfer incentives,the risk-averse professional managers' moral hazard behavior and the project income risk.The study found that the positive correlation between control right transfer incentives and project risk,and the scale compensation effect under the learning effects of risk investors.In addition,the study also found the significant enhanced effect of on-the-job consumption and the strategic benefits of risk project on the labor utility of professional managers of risk aversion through calculating the experiment,but the significant enhancement effect of the strategic benefits of risk project on the investment income of venture investors is sole.Integrating the control right transfer incentives,the risk-averse professional managers' moral risk and project income risk into the design of risk investment principalagent contract has stronger theory value,also have a certain reference significance for venture investors and professional managers.
VENTURE CAPITAL CONTRACT DESIGN: AN EMPIRICAL ANALYSIS OF THE CONNECTION BETWEEN BARGAINING POWER AND VENTURE FINANCING CONTRACT TERMS

Abstract:This Article presents an empirical analysis of the connection between bargaining power and contract design using an original dataset of over 5,500 equity and debt venture financings from 2004–2015. Using the total supply of venture capital in the U.S. as a measure of relative bargaining power between entrepreneurs and investors, this Article finds that venture capital supply has a statistically significant relationship with price and non-price terms in both equity and debt financings. These results contradict one of three theoretical accounts of bargaining power and support the other two.

Abstract:The situation of domestic and foreign financial markets is turbulent. How to effectively guide residents to make financial investment, improve the quality of financial investment and prevent investment risks is a very important topic. Venture capital is a kind of investment behavior which aims to promote the commercialization of high-tech achievements as soon as possible in order to obtain high capital returns. Venture capitalists should not only invest capital, but also play their long-term accumulated experience and knowledge as equity owners, and use the information network to help enterprise management. This paper studies the avoidance method of risk investment through the analysis of risk investment cases. Through the study of the failure cases of venture capital, it is found that the problems of venture capital mainly appear in the failure of technology commercialization, internal disputes of equity, defects in business model, and fierce competition environment. The study suggests that when using high-tech venture capital, technical research must follow the commercial model. All rules and systems of shareholder cooperation are very important, such as equity distribution, entry conditions, exit mechanism, conflict resolution mechanism, profit distribution, etc. When an enterprise introduces investors or engages in financing, it must design the basic path to control the control of the company. Otherwise, once you lose control of the company, it will be difficult to return. Also, venture capital should have a clear understanding of the business model, keep up with the changing sales environment, and understand people's needs to make venture capital. Abstract:Literatures have shown that the involvement of venture capital plays a promoting role in the growth of venture. However, there is no empirical study on the mechanism of venture capital’s positive impact on venture growth. Focusing on venture capital contract, we developed measuring scales for venture capital contract terms and venture growth performance based on case study and interviews with industry experts, conducted a questionnaire survey among venture executives, and analyzed the data of 129 valid questionnaires. Empirical results reveal that venture capital control, value-added service and share repurchase terms all have a positive effect on venture growth performance, while valuation adjustment term shows an inverted U-shaped relationship with venture growth performance.

Abstract:The development of behavioral finance has proposed an outstretched idea for traditional model, that the irrational behavior of venture entrepreneurs and venture capitalists has an important impact on the corporation's investment decision-making. This paper, based on the optimal effort model for double-sided moral hazard, has discussed the influence of the entrepreneurs’ and venture capitalists’ psychological and emotional factors on the venture enterprise value and the investment decision-making. And it turned out that moderate confidence of entrepreneurs and investors are able to offset the impact of moral hazard. Overconfidence of entrepreneurs may lead to lower corporate value, but it may also make the venture enterprise with a negative NPV get investment, while overconfidence of investors may cause overreaction in investment decision-making. Entrepreneurs’ negative and conservative psychology may result in the reduction of firm value, and the venture enterprise with positive net revenue may face the refusal to invest. The venture capitalists’ negative and conservative psychology may result in under reaction in the decision-making process. The research is helpful to the decision making when people analyze venture capitalist’ and entrepreneurs’ decisions under different circumstances of emotional psychology.
Research on Venture Capital’ s Impact on Venture Growth Performance Based on Contract and Trust

Abstract:In the relation-based society, contract and trust are the important forms of incentivizing and constraining venture enterprises. Based on 211 questionnaires survey of senior project managers,this paper uses empirical method analysis to show the impact of contract and trust between venture capital and venture enterprise on growth performance and further tests the relationship in the process. The results show that contract and trust are significantly positive correlated with venture enterprises’ growth performance, that is, the use of contract and trust can both promote performance. However, no interactive influence is found between contract and trust. The contributions of this paper are as follows. It breaks through the limitations of existing literature on the study sample and scope, and it introduces the theory of social trust and fully explains the relationship between venture capital and venture enterprise.

Abstract:We consider a stylized incentive management problem over an infinite time horizon, where the principal hires an agent to provide services to customers. Customers request service in one of two ways: either via an online or a traditional, offline, channel. The principal does not observe the offline customers' arrivals, nor does she observe whether the agent exerts (costly) effort that can increase the arrival rate of customers. This creates an opportunity for the agent (i) to divert cash (that is, to under-report the number of offline customers and pocket respective revenues) and also (ii) to shirk (that is, not to exert effort), thus, leading to a novel and so-far-unexplored double moral hazard problem. To address this problem, we formulate a constrained, continuous-time, stochastic optimal control problem and derive an optimal contract with a simple, intuitive structure, that includes a payment scheme and a potential termination time of the agent. We enrich the model to allow the principal to either (i) monitor the agent or (ii) dynamically adjust the prices for the services in both channels. Both tools help the principal to alleviate the double moral hazard problem. We derive respective optimal strategies for using those tools that guarantee highest profits. We show that the worse the agent's past performance is, the more the principal should monitor the agent and the lower the prices should be set. Finally, we demonstrate that sole monitoring of the offline arrivals can, sometimes, make the agent better off, as opposed to the situation when the principal monitors both the offline arrivals and effort, which always makes the agent worse off.

Abstract:Cyber insurance is a risk-sharing mechanism that can improve cyber-physical systems (CPS) security and resilience. The risk preference of the insured plays an important role in cyber insurance markets. With the advances in information technologies, it can be reshaped through nudging, marketing, or other types of information campaigns. In this paper, we propose a framework of risk preference design for a class of principal-agent cyber insurance problems. It creates an additional dimension of freedom for the insurer for designing incentive-compatible and welfare-maximizing cyber insurance contracts. Furthermore, this approach enables a quantitative approach to reduce the moral hazard that arises from information asymmetry between the insured and the insurer. We characterize the conditions under which the optimal contract is monotone in the outcome. This justifies the feasibility of linear contracts in practice. This work establishes a metric to quantify the intensity of moral hazard and create a theoretic underpinning for controlling moral hazard through risk preference design. We use a linear contract case study to show numerical results and demonstrate its role in strengthening CPS security.
