Abstract:Character regulation of collective land ownership is the key to perfect collective land ownership institution. Based on the eight representative viewpoints summary, the author objectively analyzes the character and cames to a conclusion that the eight viewpoints has more or less defect or shortage which can not become an ideal choice to perfect or reconstruct collective land ownership. The author insistes that the essence of collective land ownership should be the solo ownership enjoyed by farmer collectivity and the law should endow it a legal status of special civil subject, which will inevitablely establish a solid fundament for improving collective land ownership institution.

Abstract:In china's entrusted management system, without ounership, the managers don't take much responsibilities as owhers do. Therefore in the process of property right reform, it is necessary to pay actention to the establishmeat and perfection of power separation for corporate goverance, according to the partiadar back ground in state-owned entreprises. And the perfection should be acheved by reestablishment of organizational stracture, proper order of interactional relations, setting up arbitration agent, rearrangement of senior managers and redelimitation of their power, etc.
The Construction of Judicial Person' Double-layer Theory of Rights Capacity and Its Meaning in Corporation Law

Abstract:Since the foundation of ″rights capacity″ in the German civil code,this concept has been accepted by many nations in the world.However,there is a shortcoming neglected for a long time.In many scholars' works,rights capacity express not only qualification or status but the concrete scope of enjoying rights and taking on obligations,which has brought about many conflicts in theory and practice.Based on the origin of rights capacity and the viewpoints of the scholars,the paper introduces the double-layer theory of rights capacity that is classified into abstract rights capacity and concrete rights capacity.The former settles the problems of qualification that judicial person could be a civil main body from the angle of abstract civil legal relations;the latter settles the problems of the scope in which judicial person could take part in the civil intercourse from the angle of concrete civil legal relations.Furthermore,the former makes judicial person obtain the status of main body;the latter limits the scope in which judicial person could enjoy rights and take on obligations.Thus,the content contained in the system of traditional rights capacity is divided into two parts, establishing the rights capacity system characterized by layers.Based on the double-layer theory of rights capacity,the paper elaborates the relation between rights capacity and personality.In fact,the personality of judicial person is equivalent to abstract rights capacity,being independent of concrete rights capacity.Therefore,it is not proper to equate the personality with rights capacity.Regarding the application of the double-layer theory to corporation law,the paper addresses these three aspects:(1) The ultra vires act of corporation is just the enlargement of the concrete rights capacity,while the abstract rights capacity of corporation(namely,personality) is not negated at all;so the corporation should take on legal obligation for its ultra vires act.(2) The denial of corporate personality negates corporate personality(namely,abstract rights capacity) completely and the stockholders of the corporation shall directly be held responsible.Nevertheless,the corporation's concrete rights capacity is not necessarily affected,because the stockholders' irregularity act may not in the scope of intention.(3) None of the corporation's abstract rights capacity and concrete rights capacity is in forfeiture in liquidation.The former does not change at all and the latter is limited in the scope of liquidation. The two kinds of rights capacity die out only after the liquidation is over.So the corporation in liquidation could take part in the litigation and accomplish rights and debts in the name of its own.
The Level of Decentralization and Property Rights Protection––a Sociological Analysis of Property Rights

Abstract:Economists have used the mechanism of interjurisdictional competition to explain how decentralization affects the degree of property rights protection. This fails however to account for another significant question: In China, can the local decentralization from the provincial level to the prefectural (county) level be more effective in protecting the private property rights of investors, especially when goods and production factors cannot flow freely among regions? The social perspective of property rights can help answer this question. In this study, we find that within the governance structure of decentralization, the mechanism of vertical constraints is more significant than the mechanism of interjurisdictional competition in protecting the private property rights of investors. However, the effectiveness of the vertical constraints mechanism depends on the resistance costs of discontented investors. Decentralizing to the prefectural level, in comparison to the provincial level, lowers these resistance costs for investors while strengthening the mechanism of vertical constraints, thereby improving the degree of property rights protection for private investors.
The Social Construction Logic of Property Rights:A review on the property rights studies of Chinese sociologists from the perspective of game theory

Abstract:Chinese sociologists have made two contributions to the property rights studies of contemporary Chinese society. One contribution is that they have revealed that the property rights contracts of rural collective assets are based on principles of fairness—the principle of survival,the principle of equality to community members, the principle of taking land's boundary as delimitation, and the principle that benefits belongs to investors. The other contribution is that they have discovered that the rules of property rights delimitation are diverse and uncertain in China, and the clients often rely on their own might to choose rules and to advocate their rights. The first contribution can help us understand the logic of social construction of "collective ownership", but lacks logical inference in the end. The other contribution is a challenge to a conclusion of the game theory of evolution—the local confirmity affect of institutional evolution, however, the challenge needs more empirical evidence to be rigorous.

Under the restriction, the free transfer of housing ownership will be influenced. Finally, The authors propose some suggestions on how to improve the land use right re-leasing application system and the integrity of housing ownership at the expiration of the term of land use right.

Abstract:The ethics of a restrictive covenant is based upon the implicit obligation of employees in common law and is justified by the fact that competitions between businesses are becoming more and more fierce.Under the usage,an employee should promise not to compete with his/her business during the employment,for it is his/her implicit obligation to work faithfully for the employer.Where the employment is cancelled or terminated,whether a non-competition covenant is confirmed depends upon a consideration of both the interests of the employer and right to employment of the former employee.

Abstract:Who is the owner of the assets? It is not a laughing matter. In the rural area of China,both the individual farmer and the rural household could be regarded as the owner of assets (double-level owner system). Corresponding to the ownership by the working people adopted by Constitution,the laws and regulations optionally adopts the terms such as the collective economic organizations of village,township or town,the villagers' committee,the sub-committee of villagers,other forms of rural collective economic organizations in a village,and even the government in township or town level. Under current legal system,there is a familiar conception in Chinese suo you zhi (the system of ownership) which is quite different to the original words used by Karl Marx and F. Engels in Manifesto of the Communist Party,one of their greatest works. Under such circumstances,the law would be doomed to be a political proclamation rather than a purified and exercisable law on property rights; and therefore,the boundary between one's rights to another's would hardly be distinguishable.

Abstract:Professor Huang Shao an's article on the reformation of the deep struc- ture of ownership and the creation of enterprise system reveals internal logic link of stock-shared system and property rights,enterprise system and ownership.Several important conclusions were drawn out in this paper that enterprise system is micro- cosmic structure of ownership and stock-shared system is common organization form of diversiform ownership including public-owned system.These conclusions have been testified by the reform practice.We reveal the value of the theory and the microcosmic base of macrostructure of ownership by re-reading this article.The macrostructure of ownership is endogenous during the economic development and lies on microcosmic base.It is very important to develop the non-public-owned economy and build a fair competitive market during perfecting the modern enter- prise system.

Abstract:<span>Chinese homeowner associations (HAs) actions to protect rights have attracted scholarly attention due to beliefs that a new type of local governance or public sphere was being created from bottom-up representation in recent years. However, the current literature studies the impact of actions to protect the rights of HAs on community governance from different angles, but none have tried to analyze some structural factors that might have conditioned these. In general, they are descriptive or prescriptive, behavior-oriented, model-bounded, and case-specific. As a result, they are short of predictability or generalizability.This essay examines the external and internal structural factors for actions to protect rights and combines them as a politico-economic reinterpretation with a focus on the internal governance structure. It argues, the external environment of actions to protect the rights of HAs exhibits a 'political opportunity structure', which has fueled the uprising of a rights-protecting movement. Meanwhile, the internal structure shows that the nature of an 'incomplete contract' for property transfer between developers and homeowners is a condition of the development of community governance and its performance. When combined together, this internal-external nexus leads to different explanations and to some possible solutions to improve governance for commercial housing communities in urban China.</span>

The human capital and its owner are characterized as the tendency of quasi－ separat ion in essence, while the non－ human capital and its owner have essential tende ncy of quasi－ consolidation, thus modern corporations aren't the separation bet ween ownership and control rights but the better consolidation between ownership and control rights.“ Insiders control” among the state－ owned enterprises ( SOEs) in China is ineffective, which doesn't reflect the essence of human capita l and non－ human capital. So it must be controlled. It is demonstrated that“ i nsiders control” can be effective.

Abstract:While a state enjoying and exercising state ownership,it plays the role of an entity that enjoys public rights rather than an entity(a legal person) that enjoys private rights.Neither a rural nor a township can be an owner of real rights under the Real Rights Act.A legal person is permitted to own property,while an association other than a legal person cannot independently own a property,for it has no ownership or servitude.Under the Real Rights Act,only a natural person or a legal person can be an owner of real rights.A state,being a public entity that has state ownership and enjoys real rights,has a unique status in the Real Rights Act that differs from that of a natural or a legal person,while a collective or an organization rather than a legal person cannot be deemed as an owner of real rights.

Abstract:This study aims to deconstruct the collective, the subject of collective land ownership. With respect for the logic of the formation of collective land ownership, we propose the "transfreserve" mode to portray the division of rural land rights between the members and the organization in the transformation from private ownership to collective ownership. This idea can be expressed as, prompted by the public power of the state, each farmer as the owner of rural land having to transfer part of his/her rights to the organization when associating, meanwhile each one still reserves part of his/her rights. We term the rights transferred to the organization as special legal person ownership, while the rights reserved by each farmer are called membership rights. The rights exercised by all members on the basis of membership rights are the autonomous rights. In terms of the property rights, such as the distribution right of the collective income, farmers have to participate in decision-making to determine how to form the allocation scheme in a fair and reasonable way by exercising autonomous rights; then, organization fulfills the collective will to meet the needs of its members by exercising special legal person ownership. As for the right to use public infrastructure on the collective land, farmers, as the members, can use it reasonably by its own will, which is the process of exercising membership rights. If farmers' rights are infringed by other members, they can choose to negotiate with other members in a proper way. If farmers' rights are infringed when the organization carries out operation activity in the land market, they can obtain compensation from the organization, and the compensation standard is determined by the decision-making.

Abstract:The Property Law has been put into force for years,but the rules of the ownership transfer are still controversial.In the framework of the normative structure of "dingliches Rechtsgeschaeft",this paper proposes a systematic review on such rules by analyzing the positive legal norms.This paper hold that China's legislation has established the dichotomy structure of Obligation and Real Right.In the premise maintaining private autonomy,the separation of "obligatorische Rechtsgeschaefte" and "dingliche Rechtsgeschaefte" is obvious;furthermore,the basic effectiveness of real right's publication in China is public reliance,it means that the abstract principle of the ownership transfer has its institutional foundation.

Abstract:Among the building ownerships,when we decide whether the external walls,roof terraces,parking spaces,garages,basements belong to jointly owned parts or exclusive parts,the following factors must be considered comprehensively:(1) whether it is registered as an independent thing.If it has not been registered as a separate thing,it should be jointly owned part;otherwise,it can be an exclusive part or an object of separate ownership.(2) Nature of building ownership.The determination of nature and origin of such parts as external walls can not run counter to the natural character of building ownership.(3) Mandatory legal and administrative regulations.If laws and administrative rules have stipulated them compulsorily,their nature and attribution should be determined according to the given provisions.Of course,such mandatory requirements should not violate the aforementioned principles.(4) The agreement of the parties.If the partier's agreement do not violate the aforementioned(1)(2) premise,their agreement should be followed.

Abstract:Existing studies agree that owner dynamic capabilities are crucial in dynamic environments. Based on a systematic literature review of 44 research with CiteSpace and the content analysis method, this study aims to elucidate the dimensions and key factors of owner dynamic capabilities. Owner dynamic capabilities are studied in the context of a construction project due to their resource-constrained, goal-urgent, and uncertainty characteristics. Cognition capabilities, resilient change management capabilities, integrated organization capabilities, and strategic innovation capabilities are identified as the dimensions. Critical factors have also been analyzed at different levels. This study proposes a discriminatory framework of owner dynamic capabilities that combined organizational ambidexterity and resilience. Moreover, this study contributes to the clarification of the concept of owner dynamic capabilities and the enrichment of their knowledge hierarchy. Practitioners can track the main contradictions that owners are currently facing against the actual situation and seek strategies.

Abstract:World-wide, common interest development (CID) and its governance, homeowners’ associations (HOAs), are developing rapidly. However, numerous conflicts have given rise to the need to redefine governmental and market roles in current HOA governance. This paper examines the successful development of the NangKang Software Park (NKSP) in Taiwan and draws conclusions for alternative government and other parties involved in neighbourhood management. There are several factors contributing to NKSP’s success, one being early governmental participation in the institutional design, which assisted in minimising potential conflicts. Another is NKSP’s external property management company, whose rent-seeking incentives were hindered through market competition. A third element of NKSP’s success was its HOA’s human resource management in its industrial neighbourhood. The results from this study suggest that HOA governance may be very suitable for industrial districts and may also provide a globally applicable solution for CID and HOA development.
