Abstract:The paper reviews the argument about whether the practice of repricing ESO (executive stock option) should be viewed as beneficial. Then,several preconditions are analyzed under which firms had better reprice ESO. When firms have to reprice ESO,some factors such as shareholders and accounting treatment should be considered. At the end, the paper also offers some alternatives to ESO repricing,including indexed options and variable-exercise option. When such alternatives are adopted, the company can avoid the practice of repricing ESO which always has little and more negative effects.

Abstract:At present, the high development of Knowledge economy is promoting industries of our country unceasingly, and knowledge plays more and more a vital role in the economic development process. Too relied on the capital the industry originally, because of high energy consumption and high pollution, many companies do not meet the needs of the low-carbon economy to eliminate now; or carrying on the industrial upgrading to enhance the technique of production and the product technique content, increased to the knowledge and the technical request. The stock option incentive involves the question of price formulation. Many foreign scholars have proposed some models to study question, and we can attain profits from the significance but too complex. This article also studies the question of the stock option price. According to the HU theory, this article establishes a mathematics price model, causing the stimulators of the driving plan to be possible to participate fully. And simultaneously it avoids the inappropriate arbitrage behaviors. This article has also carried on mathematics proof to this model, confirming its superiority.

Abstract:Previous studies measure the pricing efficiency of initial public offerings (IPOs) using stochastic frontier analysis, but it is conventionally assumed that all IPOs have the same stochastic frontier function. We study how to measure IPO pricing efficiency under successional issuance policy reforms such as China's Growth Enterprise Market (GEM), where IPOs issued in different time periods might have their own pricing frontiers. In this article, we propose a stochastic frontier model with multiple change points in the time dimension based on the piecewise stochastic frontier function and develop a Bayesian inference and Markov Chain Monte Carlo sampling approach to estimate parameters. An empirical analysis finds two significant structural breaks in the frontier function for China's GEM from October 30, 2009, to January 9, 2018. China's developed provinces have more listed companies but lower average pricing efficiency. After 2012, the average IPO efficiency in public utilities dropped from the first place to the end, but the average IPO efficiency in the conglomerates rosed from the last to the first. Furthermore, a cross-efficiency analysis proves that gradual market-oriented issuance mechanism reforms have improved IPO pricing ability.

Abstract:The executive stock option mechanism connects manager's personnel and the market value of the company to lower the agency cost,increase the social welfare,stock option was subjected to worship with the western nation of the American leader.Currently,a few of Chinese business enterprises also gradually adopt this kind of salary system,the understanding of the executive option seem to be very necessary.Although the research of encourage problem concerning a lot of investigator,there still exist the certain controversy,especially concerning the quantitative analysis of stock option.This text takes economic analytical method for basic research method,assist with the demonstration study method to discuss the executive stock option.This paper researches on the option rate through entrust-act model analysis method to build up the superior ownership of stock option to encourage the executives,and carry on discussing the factors affecting the superior outcome of the mechanism to improve the result that should China achieve.

Abstract:Being extensively focused at home and abroad, stock option plan is becoming the primary means of inspiriting corporate managers. But because of the weak efficiency of stock market in our country, the stock option based on stock price can not verily reflect the managers' performance. So this paper introduces excess growth ratio of EVA and industrial stock price index to emend the active exercise price based on stock price and combine the incentive payment of managers with their performance. This article also introduces industrial sorting exponential change ratio to eliminate the influence that the stock market fluctuation has on exercise price on the exercise day. This paper thinks that the adjusted exercise price can reflect the managers' performance more authentic and has more advantages and it is also more significant in our country.

Abstract:Executive incentives have attracted a large of interest in recent years around the world. Especially, the recent stock options incentive mechanism adopted in Chinese stated-own listed firms has generated a lot of controversy. This paper started off with describing the current topic research on Executive stock options incentives, and constructed a model to study earnings manipulation behaviours of managers when the speculative bubbles exist. We conclude theoretically that current speculative bubbles in Chinese stock market is not very benefit to the implementation of stock options incentives plan, which may encourage managers' short-termist behaviours at the expense of long-run firm fundamental value. The paper suggest several hypothesis to indicate the relationship among executive compensation, speculative bubbles and earnings manipulation.

Abstract:While stock options are commonly used in managerial compensation to provide desirable incentives, they can create adverse incentives to distort the choice of investment risk. Relative to the risk level that maximizes firm value, call options in a compensation contract can induce too much or too little corporate risk-taking, depending on managerial risk aversion and the underlying investment technology. We show that inclusion of lookback call options in compensation packages has desirable countervailing effects on managerial choice of corporate risk policies and can induce risk policies that increase shareholder wealth. We argue that lookback call options are analogous to the observed practice of option repricing.

Abstract:This thesis compare executive stock option and restricted stock from the perspective of behavioral factors.We find option has three shortages.First option has a bigger psychological cost to agent than principle's anticipation.Second,option loses the long term incentive benefits which come from dividends.Third,option can not foster a positive reciprocity relation between principle and agent.So we draw a conclusion that restricted stock has behavioral advantages than option when we select long term tools.

Abstract:Since the Listed Company Stockholder's rights policing method was issued,stock incentives have been gradually implemented by more and more listed companies to reduce agency costs.However,this paper finds out that the earnings management follows the stock incentives.During the first performance evaluation year,the earnings managements are positively related to share options.And this relationship is statistically insignificant before the performance evaluation period with the same companies.In terms of the influential factors,the earnings managements are negatively related to the adoptions of various earning indexes.Besides,the long exercise period makes the earnings management becoming difficult,which especially restrains the earnings management in the later phase.

Abstract:Recent corporate scandals around the world have led many to single out executive stock options as one of the main culprits. More corporations are abandoning stock options and reverting to restricted stock. This paper argues that such a change is not entirely justifiable. We first provide a critical review of the pros and cons of executive stock options. We then compare option-based contracts with stock-based contracts using a simple principal-agent model with moral hazard. In a general environment without restrictions on preferences or technologies, option-based contracts are shown to weakly dominate stock-based contracts. The weak dominance relation becomes strict if the manager is risk neutral. Numerical examples are provided to show that, even if the manager is risk averse, strict dominance is more likely the case.

Abstract:Taking listed companies on Shanghai Stock Exchange as a sample, this article makes a research on a senior executive's remuneration. It finds out that a senior executive's annual remuneration is closely relevant to the performance and the size of an enterprise and the legal person share. It also studies the influence of professions and regions on a senior executive's remuneration, and finds out evident difference in certain professions and regions.

Abstract:This paper analyzes stock option awards to managers of 71 companies between 2006 and 2009.Comparing with other 348 companies who haven′t using stock options,I find three typical factors significantly influence the decision of using stock options: poorer cash liquidity,younger manager and lower ownership concentration.I also examine 22 companies using restricted stocks as incentives,finding that companies with lower asset liability ratio,higher cash payment to managers and lower ownership concentration are more likely to use restricted stocks.

Abstract:Purpose Based on the background of the restricted stock has gradually replaced stock option and has become the mainstream equity incentive model in China, this paper aims to investigate the which factors affect the choice of equity incentive model, and the impacts of equity incentive model. Design/methodology/approach The theoretical analysis is based on the game theory between shareholders and top executives. The empirical analysis is based on the detailed data of equity incentives in China's listed companies from 2006 to 2017; the logit method and least square method are implemented to estimate the regression coefficients and Black–Scholes options pricing model to estimate the value of restricted stock/option granted to the CEO. Findings This paper documents that enterprises with serious agency problems, high investment risks, high stock price synchronicity and great executive power are significantly and positively related to restricted stock. The main empirical findings still hold after several robust tests. In addition, restricted stock can significantly improve corporate performance when the performance evaluation index is strict and the validity period is long, while for the sample group with loose performance index and short validity period, restricted stock significantly reduces corporate performance. Originality/value This paper analyzes the "black box" of equity incentive model selection from the stakeholders' game perspective by constructing a game theory model to investigate the reasons for the choice of equity incentive model in various situations, which enriches the research in this field. Moreover, this paper finds that restricted stock has both incentive and welfare characteristics, and the rationality of performance appraisal goals is the key factor leading to the difference in incentive effects. Overall, the research indicates that only well-designed equity incentive plans can improve corporate performance, which contributes to regulators and practitioners to form a rational understanding of restricted stock model and provides a reference for their decision-making.
