Abstract:Executive incentives have attracted a large of interest in recent years around the world. Especially, the incentive mechanism adopted in Chinese stated-own enterprises has generated a lot of controversy. This paper starts off with describing the current trend in executive stock options and reviewing contemporary research on executive stock options incentives. The paper provides several issues that need be emphasized on executive incentives in Chinese enterprises. We need pay more attentions on the economics cost from non-tradable shareholder, amending the proviso of Company laws and Securities regulations to comply with granting practice in future researches.

Abstract:The incentive theory points out that it is necessary to design a system of management compensation to the managers' expectation on their revenue. So many enterprises have introduced the stock option plan to combine the interest of the managers and the stockholders tightly. Recently, some list companies in China begin to put the system into effect. But since Chinese market system is imperfect,there are many institute factors to prevent the stock option plan to carry out. Abstract:At present, the high development of Knowledge economy is promoting industries of our country unceasingly, and knowledge plays more and more a vital role in the economic development process. Too relied on the capital the industry originally, because of high energy consumption and high pollution, many companies do not meet the needs of the low-carbon economy to eliminate now; or carrying on the industrial upgrading to enhance the technique of production and the product technique content, increased to the knowledge and the technical request. The stock option incentive involves the question of price formulation. Many foreign scholars have proposed some models to study question, and we can attain profits from the significance but too complex. This article also studies the question of the stock option price. According to the HU theory, this article establishes a mathematics price model, causing the stimulators of the driving plan to be possible to participate fully. And simultaneously it avoids the inappropriate arbitrage behaviors. This article has also carried on mathematics proof to this model, confirming its superiority.

Abstract:Based on the comparison analysis of the stock-option-incentive plans promulgated in June 2006 and January 2010, respectively, by Lu Zhou Lao Jiao, this paper systematically investigates the dilemma of stock-option-incentive plan in state-owned enterprises. We find that, in the context of compensation regulation in SOEs, as the nature of stock-option-incentive plan in SOEs is mixed with incentive, welfare, and reward together, it inevitably will be in a dilemma. The paper concludes by proposing some policy implications on the stock-option-incentive plan in SOEs.

The other is how the managers get their shares. With references to foreign legislative experience and on the basis of Chinese enterprises′ practice, the paper makes two legal suggestions: acceptance of the eclectic authorized capital system allowing the managers to legally get their own shares to eliminate those two legal obstacles.

Abstract:At present, to improve their businesses and obtain more profits by enhancing enterprise competitiveness, more and more listed companies have been committed to the selection of executives and the study of motivation. Among the many forms of incentives, stock-based compensation play a vitally important role. Many scholars abroad did survey on the relationship between equity incentive and corporate performance, but so far they didn't reach same conclusion. Considering that option incentive system is far from perfect, particularly in our own, there is not definite answer to the question. So, in order to study how the management stock position proportion influence the corporate performance, this paper takes listed companies that have implemented stock-based stimulation between 2012 and 2015 as the research object.

Abstract:Purpose Based on the background of the restricted stock has gradually replaced stock option and has become the mainstream equity incentive model in China, this paper aims to investigate the which factors affect the choice of equity incentive model, and the impacts of equity incentive model. Design/methodology/approach The theoretical analysis is based on the game theory between shareholders and top executives. The empirical analysis is based on the detailed data of equity incentives in China's listed companies from 2006 to 2017; the logit method and least square method are implemented to estimate the regression coefficients and Black–Scholes options pricing model to estimate the value of restricted stock/option granted to the CEO. Findings This paper documents that enterprises with serious agency problems, high investment risks, high stock price synchronicity and great executive power are significantly and positively related to restricted stock. The main empirical findings still hold after several robust tests. In addition, restricted stock can significantly improve corporate performance when the performance evaluation index is strict and the validity period is long, while for the sample group with loose performance index and short validity period, restricted stock significantly reduces corporate performance. Originality/value This paper analyzes the "black box" of equity incentive model selection from the stakeholders' game perspective by constructing a game theory model to investigate the reasons for the choice of equity incentive model in various situations, which enriches the research in this field. Moreover, this paper finds that restricted stock has both incentive and welfare characteristics, and the rationality of performance appraisal goals is the key factor leading to the difference in incentive effects. Overall, the research indicates that only well-designed equity incentive plans can improve corporate performance, which contributes to regulators and practitioners to form a rational understanding of restricted stock model and provides a reference for their decision-making.

Abstract:Equity incentive can be divided into executive equity incentive (Executive Stock Option) and employee equity incentive (Employee Stock Option). Employees here refer to the intermediate managers, core technical personnel and other employees except for the senior executives of the company. The ESOP is a mechanism by which the employees of the company share the ownership of the company by holding the stock or options of the company. From the perspective of the implementation of the employee stock ownership plan motivation, its main theoretical basis can be divided into three categories, respectively is incentive theory (incentive theory, reduce agent costs, attract, retain quality employees and limited to financing constraints, reduce cash pressure), signal theory (undervalued company more inclined to internal equity incentives, let investors aware that the current company price relative to its internal value deviation) and major shareholders self-interest theory. From the theoretical point of view, this paper discusses the possible motives and results of domestic listed companies to launch the stock ownership plan, in order to provide theoretical support for small and medium investors to rationally understand the employee stock ownership plan, and provide regulatory suggestions to the regulatory authorities to be vigilant about the self-interest behavior of major shareholders.

Abstract:Executive incentives have attracted a large of interest in recent years around the world. Especially, the recent stock options incentive mechanism adopted in Chinese stated-own listed firms has generated a lot of controversy. This paper started off with describing the current topic research on Executive stock options incentives, and constructed a model to study earnings manipulation behaviours of managers when the speculative bubbles exist. We conclude theoretically that current speculative bubbles in Chinese stock market is not very benefit to the implementation of stock options incentives plan, which may encourage managers' short-termist behaviours at the expense of long-run firm fundamental value. The paper suggest several hypothesis to indicate the relationship among executive compensation, speculative bubbles and earnings manipulation.

Abstract:Firms widely use equity incentive plans to tackle agency problems, yet how they are adopted under wage rigidity remains unclear. We develop a simple principal–agent model with wage rigidity to study how performance–incentive sensitivity and wage rigidity affect the adoption of equity incentive plans. We show that a firm is more likely to adopt the equity incentive plan when a firm's performance is less sensitive to the managerial effort, when wages are less rigid, and when the certainty equivalent of outside options is higher. We empirically test these predictions using a sample of Chinese state-owned enterprises (SOEs). Consistent with our predictions, we find that non-SOEs, firms in more volatile industries, and firms with younger managers are more likely to adopt equity incentive plans.

Abstract:During the process of implementing employee stock ownership, many Chinese firms have not fitted. They cannot implement it as well as foreign enterprises. The author innovatively used the resource- based view of strategic management theory to analyze the employee stock ownership and drew a conclusion from the perspective of acquiring sustainable competitive advantage and maintaining excess profits. According to the conclusion of this paper, the ownership shouldn't be limited to business executives; the stock shares used to implement the incentive program must be based on the quantity of the excess profits created by the beneficiaries relative to the total profits; the beneficiaries can sell their stock shares only if the enterprise realizes its performance goals or their service times are up to scratch.

Abstract:This paper analyzes the effects of stock option incentives on inefficient investment. Specifically, based on the motive of design, we divide stock option incentives into incentive-driven and welfare-driven incentives. Our research is based on the panel data of 511 Chinese listed companies that declared stock option incentives from 2010 to 2014, including both incentive-driven and welfare-driven incentives. Our research shows that different types of stock option incentives have different effects on inefficient investment. Generally, incentive-driven stock option incentives reduce inefficient investment, whereas welfare-driven stock option incentives do not reduce inefficient investment, but increase it. However, there is a weakening effect in state-owned enterprises due to two opposite factors, numerous restrictions and more self-interested managers. Additionally, the paper provides implications that some stock options are manipulated by managers in the designing stage in order to pursue self-interests, and therefore monitoring abnormal share price movement and performance hurdles is important to safeguard the wealth of shareholders and promote effective motivation for managers.

Abstract:We examine the reason why some listed firms choose stock option and find that these firms take regulation and their own incentive into account during their decision-making about stock option.Moreover,regulation and corporate incentive have interaction with each other and the incentive from corporate governance is of primary importance.In order to attract and retain talents the firms will have incentive to choose stock option which is consistent with prior literatures.However,deficiency in corporate governance and severe agency problem will induce managers to choose stock option for their own welfare.Meanwhile,firms in highly marketized areas and less regulated fields are also inclined to choose stock option.The contribution of this paper is that we are the first to consider Chinese background into stock option and we find the real reason by this way.

Abstract:This paper analyzes stock option awards to managers of 71 companies between 2006 and 2009.Comparing with other 348 companies who haven′t using stock options,I find three typical factors significantly influence the decision of using stock options: poorer cash liquidity,younger manager and lower ownership concentration.I also examine 22 companies using restricted stocks as incentives,finding that companies with lower asset liability ratio,higher cash payment to managers and lower ownership concentration are more likely to use restricted stocks.
