Abstract:There is no appropriate definition of securities in our Securities Law and it is also lack of functional standards. Stocks, corporate bonds and the securities which identified by the State Department are the very securities listed by the Securities Law. With the narrow legal scope of securities, the essential activities can not be determined scientifically, enterprises are hard to apply other equity securities to financing, and the crackdown on illegal securities activities and illegal fund-raising is covering a wide range. Learning from the investment contracts, private placement and small issues exemption system in the U.S. Securities Act,broadening the range of securities, and giving discretionary power of identifying securities to regulators and courts can solve these problems.

Abstract:The meaning of the concept of illegal fund-raising has been changeable since it was created.During this process,it is confused with the concepts of illegal absorbing public savings and fraud in financing,which results in a serious logical flaw.Considering its meaning's evolution course,it is clear that the concept of illegal fund-raising has both broad and narrow senses.However,there is a deviation on the study of the narrow sense.In order to keep Non-governmental Finance develop in a healthy way,it is suggested that securities law should be used to regulate illegal fund-raising.The concept's development relies on the application of securities law theories.

Abstract:Previous research examined Chinese tax administration based on the perception of the lack of the rule of law, and the situation of a low rate of tax litigation in China is interpreted as a result of non-rule-based administration. This article, by looking at large enterprises' tax administration in China, establishes that the relatively harmonious relationship between taxpayers and tax authorities is a result of the implementation of preventive tax policies, in particular, a combination of incentives, punishment and respectful treatment of taxpayers. The Chinese government also adopts new legal measures and constraints to improve the legitimacy and fairness of tax administrative work. This article reflects the progress made in China in pursuit of the target of 'governing the country in accordance with law' (i.e. the rule by law) and indicates the potential in further developing the rule of law with Chinese hallmarks.

Abstract:Using daily data from A-share markets in Shanghai and Shenzhen,this paper examines the effects of stamp tax changes on market liquidity and volatility,as well as the abnormal return.The empirical results show that the market liquidity would decrease with an increase of stamp tax rate,but that is not always so significant.On the contrary to usual cogitation,market volatility is independent on stamp tax changes,which do not always lead to a significant difference to abnormal return of individual share.Based on that,the result shows that stamp tax is not an effective policy tool to regulate the stock market.

Abstract:This article investigates the effects of the securities transaction tax (STT) on market trading volume and return volatility using Chinese data. We found strong evidence to support a negative relationship between STT and market trading volume. The shrinking of the tax base casts doubt on the idea of using STT to increase government revenue. Furthermore, the impact of STT on market volatility is mixed. Examination of dually listed stocks in mainland China and Hong Kong further corroborates these findings.

Abstract:This paper examines whether and how tax enforcement affects corporate financial irregularities in China, utilizing the merger of the State Tax Bureau (STB) and Local Tax Bureaus (LTB) in 2018 as a quasi-natural experiment. Our findings show that stricter tax enforcement significantly reduces corporate financial irregularities, especially for firms with lower tax compliance, poorer internal governance, laxer external supervision, and lower economic status. Furthermore, the mechanism tests demonstrate that stricter tax enforcement forces firms to reduce tax avoidance and tax reporting irregularities. These findings are consistent with the effective supervision channel. Our findings suggest that stricter tax enforcement can improve the quality of corporate information disclosure, and providing useful insights for alleviating information asymmetry and improving information environment in the Chinese capital market.

Abstract:With the development of economy, the levy of real estate tax has become a hot spot in China's fiscal and taxation system reform. The levy of real estate tax is closely related with the market based price of real estate, urbanization and the promotion of income levels of residents. There are still some problems in the real estate tax levy, such as the narrow levy scope, double standard, unreasonable tax basis, etc. The government should take corresponding countermeasures to solve the problems, including law perfection, open budget, simplified tax, tax reduction and exemption and so on.

Abstract:With the increasing integration of the Chinese market into the global economy, China’s tax policy on transfer pricing and its tax administration influence extremely large numbers of cross-border transactions between China and other states. China has suffered heavy revenue loss from transfer pricing manipulation. Since 2008, Chinese tax authorities have paid special attention to such tax avoidance methods. By examining the Chinese approach to transfer pricing based on publicly available information, this article analyses the reasons for the perceived aggressiveness of Chinese tax authorities in dealing with transfer pricing issues, and the inconsistency between the statutory endorsement of the arm’s length principle and the approach adopted in practice by tax authorities. Measures to improve the efficiency of the administration of transfer pricing in China are proposed.

Abstract:Tax policy is a trade-off between return and cost.In the view of return,tax avoidance will bring the cash flow savings and enhance the corporate value.But tax avoidance also bring many explicit and hidden costs,such as the problem of asymmetric information,the tax avoidance may become the tools of managers and controlling shareholder to cover up their opportunistic behavior.At the same time,the complex tax avoidance behavior will interfere investors understanding the enterprise information,reducing the information content of stock prices,thus interfering with market pricing process.Therefore,the ultimate impact on the enterprise value of the tax avoidance will depend on whether it can be quickly and well understood by market participants.In this paper,the authors use the Chinese A-share stock market from 2005 to 2007 as a sample for empirical analysis.As a result,the authors find that the complexity and professional of tax avoidance will interfere market understanding and absorbing the information offered by enterprise.But the participation of market intermediaries,represented by analysts and institutional investors,can help to reveal and deliver the economic nature of tax avoidance,and then restrain the opportunistic factors.In this way,the analysts and institutional investors participation significant increases the positive impact of tax avoidance on corporation value.

Abstract:The amendments to the Securities Law of China solved many issues that had not been addressed in the old version. The Supreme People’s Court rules on securities fraud litigation further added life and meaning to enforcement against securities misconduct. However, problems remain as to the lack of private lawsuit remedy for investors who suffer losses arising from insider trading and market manipulation, the controversial requirement of a prior administrative or criminal ruling and difficulties in pursuing a class action against fraudulent disclosure. In contrast, the US securities fraud litigation is very dynamic yet rife with injustice and misallocation of incentives and liabilities. It has been showed that these troubles in the US system, rooted in the openness of issuers to suits, is probably the exact scenario sought to be avoided in China where the issuers of securities are still largely controlled by the state and the government is concerned about the social chaos that might accompany a wave of collective private lawsuits. After reviewing the experiments in Germany and Taiwan, this essay proposes to further coordinate the efforts of public and private securities enforcement and suggests that the “reform and opening up” policy should be further strengthened to encourage greater private participation in domestic markets.

Abstract:The capital gains tax influences both the quantity and the quality of venture capital investment. A significant negative correlation exists between changes in the capital gains tax and the quantity of venture capital. On the other hand, the capital gains tax may change the incentive of the venture capitalist to provide management assistance to affect the added values of venture enterprises and in turn to affect the quality of venture investment. The Chinese government should change its mode of direct venture capital support arid promote venture capital growth by establishing a uniform and relatively specific capital gains tax system.

Abstract:Based on the special stock exchange comment letter system in China, this paper explores the relationship between the exchange tax-related comment letters and corporate tax avoidance behavior from the standpoint of securities regulation. We document that firms that engage in more aggressive tax avoidance are more likely to receive a tax-related exchange comment letter. Also, relative to firms receiving a non-tax-related comment letter, firms receiving a tax-related comment letter reduce their tax avoidance behaviors in subsequent years. Further study shows that the more the number of questions and the greater the level of detail in the comment letter, the stronger the effect of tax-related comment letters on corporate tax avoidance. After examining the sample with different degrees of political connection, we find that tax-related comment letters inhibit tax avoidance among state-owned enterprises and private enterprises with close political connections. Finally, the monitoring effect of comment letters on corporate tax avoidance is more pronounced in regions where tax administration is weak, suggesting that the comment letter system can be used as a complementary mechanism for tax administration.

Abstract:Enactment of China’s new Enterprise Income Tax Law was announced on March 16 2007 (with effect from January 1 2008). The Enterprise Income Tax Law potentially increased the tax burden on foreign-invested enterprises (FIEs) and foreign investors as a whole (removing concessions), potentially lowering the tax burden for domestic companies (a fall in the nominal tax rate from 33 per cent to 25 per cent). The announcement of such significant changes to corporate tax arrangements provides a natural ‘experimental platform’ for research on the impact of regulatory change in a transition economy and developing capital market. This study uses the event study method to investigate the relationship between corporate tax aggressiveness and stock price reactions to the announcement of the new Enterprise Income Tax Law. To account for key features of China’s stock markets and corporate behavior, we address the impact of ownership structure, particularly high levels of state and foreign ownership, and differences in the regulatory environment between China’s Shanghai and Shenzhen stock markets. We conclude that the announcement of the Enterprise Income Tax Law had significant market value effects. Additionally, we find variations in market reaction for individual stocks based on tax aggressiveness, ownership, and location of listing.

Abstract:This study examines the impact of a stamp tax rate increase on market behavior, using data from two stock exchanges in China. We find that when the tax rate increases from 0.3 to 0.5% (which implies that the transaction cost increases by about 1/3) trading volume decreases by 1/3. This implies an elasticity of turnover with respect to a stamp tax of −50% and an elasticity of turnover with respect to transaction cost of −100%. The markets’ volatility significantly increases after the increase in the tax rate. Furthermore, the change in the volatility structure indicates that the markets become less efficient in the sense that shocks are less quickly assimilated in the markets.

Abstract:In the era of economic and political modernization,the construction of fiscal and tax system under the rule of law plays an important part in the progress of reform,and is also an effective method in creating a new situation.We face the conflicts between one interest and another.Similar conflicts exist between stability and transformation,and between representative democracy and administrative efficiency.Therefore,the prospects need to be studied.In order to make a breakthrough,we ought to set fiscal and tax law in the right position,adjust the structure of legislative bodies,accelerate the making and amending of laws,and straighten out the relationship between legislation and reform.During the integral construction,the power of revenue raising and budget approval of the National People's Congress should be particularly strengthened.Therefore,we can create a better fiscal and tax legal system,uphold the idea of the rule of law,make power allocation more harmoniously,and ultimately achieve the goal of good governance under the rule of law.
The Conflicts Between Income Tax Regulations of Executive Equity Incentives and Incentive Effect

Abstract:The realization of the expected aim of equity incentive system is closely related to national tax policies.Through the comparative analysis of income tax regulations of executive equity incentives in China and USA,the paper arrives at the conclusion that there are conflicts between income tax system and equity incentive effect in China.The main conflicts are as follows: firstly,the high marginal tax rate caused by progressive tax system according to the tax category of wages and salaries will curb the equity incentive effect;secondly,paying tax on exercise day will increase executives' tax burden,leading to their lack of enthusiasm for implementing equity incentive system or instant selling of the exercised stock to collect money for tax-paying,and the opportunistic behavior of executives will be apt to occur;thirdly,the returns of equity incentives do not match the tax base if tax is paid on exercise day.The paper provides some suggestions about the further perfection of tax regulations of equity incentives in China.

Abstract:Since the reform and opening-up,China has witnessed thirty years of the taxation law construction.During the process from the reform and opening-up in 1978 to joining into WTO formally in 2001,and from the reform of business taxation in 1984 to the reform of tax sharing in 1994,then to the consolidation of the taxes imposure on overseas-funded enterprises and domestic enterprises in 2008,taxation by law has experienced great changes in China.Facing increasingly tense international competition,we need to draw the lessons over thirty years in a sincere way and establish more solid foundation for future developments.
Privatization, tunneling, and tax avoidance in Chinese SOEs

Abstract:Purpose The purpose of this paper is to investigate the effect of ownership structure arising from China’s unique privatization process on listed firms’ tunneling activities and their interaction with tax avoidance. Design/methodology/approach Using hand-collected data on the incompletely restructured state-owned listed firms and their applicable tax rate, this paper conducts a multivariate regression to test research questions. It also employs a triple differences method to examine whether the observed interaction between tax avoidance and tunneling is mitigated for well-governed firms. Findings It documents that controlling shareholders’ tunneling increases as the percentage of shares owned by state-owned enterprises (SOEs) increases. Evidence also shows that the magnitude of tunneling increases when SOEs controlled by the central government engage in more tax avoidance, suggesting that these firms use tax avoidance to facilitate wealth expropriation. Social implications These findings advance the understanding of the tunneling incentive behind the tax avoidance behavior for a subset of Chinese SOEs and have implications for emerging capital markets that are characterized by concentrated government ownership and weak corporate governance. Originality/value This paper is the first paper to investigate the effect of the incomplete privatization process on tunneling and the interaction between tunneling and tax avoidance activities. It extends prior studies by investigating the incentives behind SOEs’ tax avoidance from the perspective of an agency problem and documenting that good corporate governance plays an important role in deterring the diversionary tax avoidance.
A study of the Securities Investment Funds Law and its amendment

Abstract:This article examines most of the key principles with respect to China's investment funds legislation as well as the amendments.Here are the conclusions:(i) rather than an unintended result,the current Securities Investment Funds Law is in fact a natural and logical product of the Chinese legislature's initial legislative intent;(ii) it is crucial to understand the differences among the three organizational forms of investment funds-companies,partnerships and unit trusts-and to avoid a narrow understanding that investment funds are all adopting the form of unit trusts;(iii) an investment fund is per se a"collective investment scheme"rather than a simple"pool of capital";(iv) any legislation and supervision should fully take into account the fundamental difference in risks posed by public offering and private placement investment funds respectively;(v) in order to regulate illegal fundraising activities,it is more effective to amend the Securities Law rather than the Securities Investment Funds Law;(vi) the elimination of various policy and regulatory obstacles impairing the development of investment funds should be achieved by improving the relevant legal system,rather than relying solely on amendments to the Securities Investment Funds Law;(vii) tax incentives should be accorded to venture capital funds instead of securities investment funds(which have already received outsized tax holidays);(viii) to promote private equity and venture capital investments,a more realistic approach would be to formulate specific legislation to govern this sort of activities,rather than using uniform legislation to cover all types of funds even though they are of fundamentally different natures;and(ix) even if uniform legislation is eventually called for,the legislature should take into consideration differences between private equity/venture capital fund and security investment fund and formulate laws accordingly.

Abstract:Abstract To encourage taxpayers to voluntarily disclose their illegal tax acts such as tax evasion and evasion and perform their tax obligations, the tax authorities implement tax voluntary disclosure to encourage them. Tax voluntary disclosure not only increases fiscal revenue, improves the information management ability of tax authorities, but also improves the tax compliance of taxpayers. The United States, Germany, and Australia have all established tax voluntary disclosure systems, and have gained some experience. The Tax Collection and Management Law is being revised, and it is also intended to establish the rule of law for tax voluntary disclosure. Based on China’s tax practice and drawing on the advanced experience of other countries’ tax voluntary disclosure laws, this article attempts to provide suggestions for improving China’s relevant legal systems: (i) clarify the applicable situations of permanent and temporary tax voluntary disclosure; (ii) Provisions on strengthening early communication between tax authorities and taxpayers; (iii) Standardize the content of voluntary disclosure by taxpayers, including supplementing and correcting information that was not reported or not truthfully reported in previous years, and disclosing tax related information such as overseas financial accounts, assets, offshore structures, etc. as required; (iv) Provide for voluntary disclosure of the legal consequences of tax violations, namely, making up the tax owed and paying the tax interest incurred due to delayed tax payment, but with administrative and criminal liability concessions; (v) Strengthen the construction of supporting systems, mainly including the protection of taxpayers’ tax related information and the strengthening of tax law enforcement.
