Abstract:The impact of managerial discretion upon CEO compensation and their relation with firm performance is studied in this paper.Based on the samples from the listed companies on Shenzhen and Shanghai stock exchanges,a multi-dimension-measurement model of discretion is established,which is proved to have important impact upon compensation and performance.Furthermore,it is found that compensation would have closer relation with discretion under better performance,and compensation will have closer relation with performance under high discretion.Then,a regulation dilemma is also pointed out.

Abstract:The fairness of compensation has been a prominent focus for non-family managers, and pay dispersion, which reflects compensation fairness, has attracted much attention from scholars. Based on social comparison theory, this study investigates the factors that affect the pay dispersion between CEO and non-family managers. In family firms, the role of CEO, which is central in corporate governance, can be filled by either a family or a non-family member. This study provides insights into how the identity of the CEO affects pay dispersion and investigates the moderating effects of CEO tenure and institutional environment. Using the data of Chinese listed family firms from 2009 to 2015, the results show that the presence of non-family CEOs could decrease the pay dispersion between CEO and non-family managers. Empirical evidence also supports that the negative relationship between CEO identity and pay dispersion weakens when CEO tenure increases and the institutional environment matures.

Abstract:In this study, managerial discretion in 37 industries in China is measured and ranked into high, medium and low groups. The results are compared with findings from Hambrick and Abrhamson's (1995) study in the U. S. context, and changes are examined in two dimensions of managerial discretion from 2001 to 2009. This study contributes a reliable measure of managerial discretion for future organizational and strategic studies, which can help explain the differences in managerial phenomena across different industries in China's institutional environment.

Abstract:This paper investigates the relationship between managerial cash compensation and firm leverage decision for a sample of China's publicly listed firms during the period of 2003 similar to 2015. This paper employs simultaneous equation models to address the potential endogeneity caused by joint determination between managerial compensation and leverage. We find that cash compensation will motivate risk-taking behavior in capital structure decision of the firm. And ownership type will moderate the relationship between managerial cash compensation and capital structure. Management of government controlled firms will be less risk-taking on capital structure decisions although the same level of cash compensation is provided. Our results have significant implications for the design of compensation packages to achieve an appropriate risk-taking level of firm capital structure decision.

Abstract:By bridging macro and micro domain,the concept of managerial discretion provides a new perspective to understand the formation mechanism of "institutional entrepreneurship" in the context of transitional economy.Using questionnaire survey,we collect ratings of 30-provincial CEO managerial discretion from 61 scholars and 84 top managers.We find that all regional institutions,including informal and formal,such as trust,government intervention,ownership disparity,financial development,local protectionism,foreign investment,legal justice,and labor flexibility,are associated with managerial discretion available to CEO in that region,as hypothesized.Additionally,CEO managerial discretion is proved to be positively associated with firm internationalization,innovation and labor productivity.Moreover,it mediates the relationships between regional institutions and firm strategic choices as well as performance.Most of above associations are verified by robust test.We then discuss how institutions shape managerial discretion and its implications for practice.Limitations and future research directions are also stated in the last part of this paper.

Abstract:Based on the data of listed companies in China from 2007to 2011,this paper investigates the relationship between executives' compensation justification and the implicit choice of accounting policy of development costs.It shows that with executives' greater demand for current compensation justification,namely under relatively poor current corporate performance,relatively higher current compensation or both,the companies tend to choose accounting policy based on the capitalization of development costs.The conclusion suggests that the companies employ the implicit choice of accounting policy of development costs to conduct earnings management for the purpose of justification for current compensation or greater compensation space in the future.

Abstract:ESSAYS ON EXECUTIVE COMPENSATION Qi Liu Alex Edmans I study executive compensation in various situations, including the cases where (i) CEOs have relative wealth concerns (RWCs); (ii) inside debt can be a part of an optimal contract; (iii) there are ambiguous information about firm value. The first chapter, Relative Wealth Concerns and Executive compensation, studies the implications of RWCs on executive compensation. I first study the case in which a CEO’s effort increases firm value without changing firm risk. In this case, RWCs will result in an increase in CEO incentives. This effect is larger if aggregate risk is higher, so RWCs can lead to a positive relation between CEO incentives and aggregate risk. CEOs with RWCs willingly risk exposure to aggregate shock to keep up with their peers. This help to reduce risk premium paid to the CEOs. As a result, RWCs can be beneficial to shareholders’ payoffs. I also provide a simple explanation for the pay-for-luck puzzle. I next examine the case in which the CEO’s effort affects both the mean and variance of firm value. I show that RWCs can lead to a negative relation between CEOs’ risk-taking behavior and their incentives, which is consistent with some empirical evidence. Lastly, I show that RWCs render options preferable to stock where aggregate risk is much larger than idiosyncratic risk. The second chapter, Inside Debt, is a coauthored paper with my advisor Alex Edmans. We justify the use of debt as efficient compensation. We show that inside debt is a superior solution to the agency costs of debt than the solvency-contingent bonuses proposed by prior literature, since its payoff depends not only on the incidence of bankruptcy but also firm value in bankruptcy. Abstract:: Senior executives control the operation of the enterprise. Whether the executive compensation management is reasonable and whether it can meet the needs of executives will directly affect the operation efficiency and management efficiency of the whole enterprise. In modern enterprises, the separation of ownership and management is a major feature, and the emergence of agency issues is inevitable, mainly due to adverse selection and moral hazard under the background of information asymmetry. Determining executive compensation by evaluating corporate performance, on the one hand, can mobilize the enthusiasm of executives; on the other hand, it can effectively reduce the agency cost caused by information asymmetry. Based on the principal-agent theory, this paper firstly discusses the agency problem caused by the information asymmetry between shareholders and executives, and then points out that executive compensation, as an incentive means, can effectively alleviate the agency conflict. Previous studies have shown that there is a positive correlation between executive compensation and corporate performance. Then, this paper summarizes the research on the compensation dispersion and compensation stickiness in executive compensation management, so as to put forward some considerations and suggestions for the design of executive compensation management system. Finally, it makes a summary and puts forward the prospect of future research on the shortcomings of existing studies.

Abstract:Tournament theory and behavioral theory held quite different ideas towards the relationship of compensation dispersion and organization performance.Based on these two theories,this paper proposed several dyadic competitive hypotheses on the relationship be- tween the compensation dispersion of core members in top management team and firm performance and the moderation of team coordination needs.Using the data of China listed companies in recent four years,we found that the relationship between compensation dispersion and firm performance was consistent with behavior perspective,and the moderation of team coordination needs partly support the behavior perspec- five.

Abstract:Purpose - The purpose of this paper is to empirically investigate how top executives' compensation is associated with environmental performance in the Chinese context and how this association varies with differing levels of industrial competition.Design/methodology/approach - Combining agency and institutional theories, the empirical study is based on a sample of 698 publicly listed firms in China's manufacturing sector.Findings - The authors find that top executives' cash pay has a positive association, and equity ownership a negative association, with corporate environmental performance. Furthermore, in more competitive industries, both pay and ownership are more strongly associated with environmental performance, indicating that industrial competition plays a moderating role in these relationships.Practical implications - The findings imply that different incentive schemes can motivate executives toward environmental management in the Chinese context in opposite directions. They highlight the importance of improving regulation in order to motivate firms to engage in further environmental management.Originality/value - Previous work on the relationship between executives' compensation and socially responsible activities has mainly focussed on developed countries. This study is set in an emerging economy, and identifies new evidence to show that the effect of executive incentives is institutionally specific. In addition, it explores the effect of industrial competition on executives' incentives to engage in environmental management, suggesting an explanation for the contradictory evidence found in previous research.

Abstract:This paper investigates the impact of subnational institutional contingencies on executive pay dispersion structure and the relationship between pay dispersion and firm performance. Using executive compensation data on Chinese listed firms between 2000 and 2011, we find that executive pay dispersion is significantly lower in state-owned enterprises (SOEs), while is significantly higher in cross-listed firms and to a smaller degree in firms located in developed regions. There is also evidence that executive pay dispersion is smaller during the voluntary compensation disclosure period. After controlling for endogeneity of pay determination, we find that executive pay dispersion is positively associated with firm performance. In addition, the positive link between executive pay dispersion and firm performance is stronger in non-SOEs than in SOEs, and stronger in firms located in more developed regions than those not. Our findings are also robust to alternative measures of pay dispersion and firm performance.

Abstract:This paper studies the role of unobservable firm and manager characteristics in executive compensation.Using executive compensation data of China A-share listed companies from 2000 to 2010,we construct several econometric models to add firm and manager fixed effects to the conventional compensation model.The results indicate that firm and manager fixed effects explain a significant proportion of the variations in both fixed executive compensation and executive equity compensation.In particular,the impact of manager fixed effects is significantly larger than that of firm fixed effects.This paper has important policy implications for executive compensation practice in China’s state-owned enterprises.
Can a decentralized power structure affect executive compensation? Evidence from Chinese business groups

Abstract:Using a unique sample of Chinese business group firms required by the government to disclose double financial statements to the parent and its subsidiaries, we examine the impact of a decentralized power structure on executive compensation and further test its mechanism. Our findings show that firms with a more decentralized power structure pay their group managers less, suggesting that such a power structure acts as a governance tool to mitigate astronomical salaries in the Chinese manager market. Additional analysis shows that management's bargaining power mitigates this negative relationship, whereas the information and competition environments reinforce this negative relationship. The main results are robust to an alternative decentralized power structure and executive compensation metrics, an instrumental variable approach, and propensity score matching. Furthermore, we document that firms with a decentralized power structure offer managers fewer stock options and less abnormal compensation, and managers respond by increasing the probability of leaving their jobs. Our results suggest that the allocation of decision rights determines executive compensation.

Abstract:Compensation is the primary factor in incentive system. It is a difficult problem for both native and overseas scholars to make clear the determination of executive's compensation. By reviewing overseas research in this field and analyzing the characteristics of Listed-companies in China, the paper suggests some hypothesis about the relation of executive's compensation and some factors including enterprise performance, firm scale, directorate control intensity. The Covariance Structural Model (CSM) is for the first time used to analyze the relation between the executive's compensation and its determinants in the listed-companies with the data of China listed-companies in 1999 and 2000. The model examines three factors including the enterprise's performance, the enterprise's scale and directorate control intensity. It turns out to be that the overall contribution rate of the three factors on the level of executive's compensation is 8. 9% in 1999 and 30.7% in 2000.

Abstract:To pursue higher compensation, the agent's earnings management behavior may damage the principal's interests. Can managers whose compensation reaches the expected level seek benefits for the company through earnings management? This study takes China's A-share listed companies from 2014 to 2018 as samples. The conclusions show that managers with higher compensation levels will carry out earnings management in favor of the company while taking their own interests into consideration. For companies with stronger profitability, the higher the managers' compensation is, the more they are inclined to reduce accrued earnings in the current period to further reduce taxes and fees. For companies with weaker profitability, managers with higher compensation tend to choose to increase real earnings to further optimize financial indicators. It has been found through further research that high pressure generated by media attention can make well-paid executives restrain the above earnings management behavior, which serves as an effective method to protect investors' rights and interests.

Abstract:Responding to the latest demand for strategic human resource management research, the paper investigates the links between the strategic choice of sustainable competitive advantage for firms and the executive-employee compensation gap (EECG), and the moderating role of marketization degree in influencing such links between the two. A balanced panel of data consisting of 3900 annual observations of companies listed in China’s Shanghai and Shenzhen A-share manufacturing industries from 2008 to 2017 is used as the research sample, using SPSS 23.0 and STATA 16.0 software. The paper makes empirical analysis using several methods, including factor analysis, correlation analysis, multiple linear regression analysis based on OLS/2SLS, and fixed effect regression analysis, respectively. The empirical results confirmed that the differentiation strategy had a positive effect on EECG, and the marketization degree would strengthen the positive effect; and that the cost leadership strategy had an inhibitory effect on EECG, and the marketization degree would strengthen the inhibitory effect. Further exploration has found that both differentiation and cost leadership strategies can effectively improve firm performance and enhance sustainable competitive advantage when matched with a moderately higher EECG; the level of participation of female executives in corporate governance would harm the performance consequences of differentiation strategy, while improving the performance consequences of cost leadership strategy.

Abstract:This paper studies how private information in hedging outcomes affects the design of managerial compensation when hedging instruments serve as a double-edged sword in that they may be used for both corporate hedging and earnings management. On the one hand, financial vehicles can offer customized contracts that are closely tailored to manage specific risk and improve hedging efficiency. On the other hand, involvement in hedging may give rise to manipulation through misstatement of the value estimates. We show that the use of privately-observed hedging may actually require greater pay-for-performance in managerial compensation. The cross-sectional variations in managerial compensation lend support to our model.
Managerial Labor Market During Institutional Transition: A Study of CEO Compensation and Voluntary Turnover

Abstract:Manuscript Type: EmpiricalResearch Question/Issue: This paper investigates the influence of CEO compensation on voluntary turnover and the moderating role of the managerial labor market. It explores how institutional contingencies related to labor market transparency, mobility, and competitiveness shape supply and demand conditions of the managerial labor market, and consequently affect the relationship between CEO underpayment and turnover.Research Findings/Insights: Using a sample of Chinese listed firms between 2002 and 2011, we document that underpaid CEOs are associated with a larger likelihood of voluntary turnover in China. Importantly, we find that CEO underpayment will increase the likelihood of voluntary turnover to a greater extent when executive compensation disclosure is mandatory, when regional labor mobility is higher, and when industry growth rate is larger. Overall, our study demonstrates that underpayment below the market rate motivates CEOs to exit their organizations and such a reaction is more likely to materialize when managerial labor market conditions are favorable enough to create a strong pull force.Theoretical/Academic Implications: This study adopts an interdisciplinary perspective built on institutional theory, organizational psychology, and labor economics to examine the role of the managerial labor market during institutional transition. It integrates the social psychological explanation of turnover with the perspective of labor economics by linking both pull side and push side drivers of organizational participation with demand and supply conditions of the managerial labor market.Practitioner/Policy Implications: This study suggests that the design of executive compensation should consider the ongoing labor market rate for retention and motivation reasons, especially when managerial talent is under tight supply and strong demand.

Abstract:This article studies the reason of enlargement of compensation gap between management and ordinary employees.We find that there is severe geometrid effect in the compensation system in China's public companies.When the performance of company increases management share more pay increase than ordinary employees,but the pay increase of management not less than ordinary employees when the performance of company decreases.And when the performance of company increases,the sensitivity of pay to performance of management is larger than ordinary employees,but the pay of management is sticky and the pay of ordinary employees is not when the performance of company decreases.
