Abstract:<p>This paper provides an overview of the academic literature on the market for corporate control, and focuses specifically on firms' performance around and after a takeover. Despite the aggregate M&A market amounting to several trillions USD on an annual basis, acquiring firms often underperform relative to non-acquiring firms, especially in public takeovers. Although hundreds of academic studies have investigated the deal- and firm-level factors associated with M&A announcement returns, short-run returns are often not sustained in the long run. Moreover, the wide variety of performance measures and heterogeneity in sample sizes complicates the drawing of accurate and unambiguous conclusions. In this light, our survey compiles the recent literature and aims to identify the areas of research for which short-run returns predict (or fail to predict) long-run performance. We find that post-takeover deal performance is affected by key determinants including serial acquisitions, CEO overconfidence, acquirer-target relatedness and complementarity, and shareholder intervention in the form of voting or activism.</p>

We find that even in mergers where bidding shareholders are worse off, bidding CEOs are better off three quarters of the time. Following a merger, a CEO's pay and overall wealth become insensitive to negative stock performance, but a CEO's wealth rises in step with positive stock performance. Corporate governance matters; bidding firms with stronger boards retain the sensitivity of their CEOs' compensation to poor performance following the merger. Abstract:We examine CEO pay and incentives around major corporate investments to explore whether compensation policies in investing firms counter or exacerbate the divergence in interests between CEOs and shareholders. We find that CEOs are richly rewarded for growth through acquisition, and to a lesser extent for growth via capital expenditure. Even in mergers where bidding shareholders are worse off, bidding CEOs are better off three quarters of the time. In the years following investments, CEOs of poorly performing firms continue receiving substantial option and stock grants that offset any effect of long-term underperformance on their wealth. As a result, the acquiring CEO’s pay and his overall wealth become insensitive to negative stock performance, but his wealth continues to rise in step with positive stock performance. However, CEOs making large capital expenditures do not receive the same downside protection. Corporate governance matters; bidding firms with stronger boards retain the sensitivity of their CEOs’ compensation to poor performance following the acquisition. Our results highlight that acquisitions are treated differently from other capital investments by the board in setting CEO compensation and our evidence is consistent with the self-serving management hypothesis in corporate investments.

Abstract:ABSTRACT Since 1983 expenditure on acquisitions in the UK has more than doubled in real terms, despite the fact that the consensus of opinion in the academic literature is that acquisitions are not, on average, performance enhancing for the acquiring firm. Such literature, however, relates mainly to the acquisition of large, public companies. Drawing on survey evidence from 146 of the UK's top 500 companies, this article reports the results from a survey which encompasses all takeovers. The study revealed that is the expected reward of increased profitabililty which is used in ex‐post evaluation. The major finding of the study is, however, that managers firmly perceive that their takeover activity has been performance enhancing for their company. The evidence presented does suggest that the integration of small acquisitions into an existing organizational structure may be achieved without severe problems of loss of control, and the subsequent decline in performance which beset large acquisitions

Abstract:We consider a two-stage principal-agent model with limited liability in which a CEO is employed as agent to gather information about suitable merger targets and to manage the merged corporation in case of an acquisition. Our results show that the CEO systematically recommends targets with low synergies—even when targets with high synergies are available—to obtain high-powered incentives and, hence, a high personal income at the merger-management stage.

Abstract:This paper examines the impact of the expectation gap of mispricing and growth opportunities on M&A motivation and performance from the perspective of the behavioral theory of the firm. The study proves that the expectation gap is a key factor that motivates firms to implement M&A decisions. When the expectation gap is negative, rational managers raise stock prices and improve the firm's operating conditions by implementing M&A. In addition, the firm's life cycle has a significant effect on the level of the expectation, while economic policy uncertainty weakens the effect of the expectation gap on M&A motivation and operating performance.

Abstract:Recent research has documented that firms’ social performances have huge impacts on mergers and acquisitions (M&A) outcomes. Using a large sample of U.S public firm data, I test several theories of whether and how the cultural differences measured by adjusted corporate social responsibility (CSR) scores of the acquirer and the target affect short- and long-term post-M&A performances. Consistent with the stakeholder value maximization view, I find that a firm’s shareholders react positively to the deals that involve high CSR acquirers buying targets with low CSR scores and targets without CSR ratings. These “cultural spillover” deals improve firms’ immediate announcement returns (CARs), post-M&A operating performances as well as long-term abnormal stock returns. Nonetheless, there is little evidence of positive reactions from investors for “cultural learning” deals consisted of low/no CSR acquirers and high CSR targets. These results suggest that acquirer-target cultural spillover measured by firms’ social responsibility scores is an important determinant of M&A performance, thus rejecting the alternative hypothesis that the cultural differences affect their immediate as well as the long-term abnormal returns. The paper also finds that deals with CSR-rated acquirers realize higher M&A announcement returns compared to the deals with non-rated acquirers, suggesting that CSR ratings produce valuable information to financial market. Additionally, the results of univariate tests on daily stock market trading volume reveal that investors tend to react more favorably to acquirers’ “responsible” news like being rated with CSR scores.

Abstract:It's no secret that the track record of corporate acquirers has been dismal. But there is a group that's had consistent success. A recent study on M&A reveals that between 1984 and 1994, fund investors at some 80% of LBO firms enjoyed returns equal to or greater than their cost of capital on their M&A investments. And this was true even though in many cases the prices paid for the companies were pushed up by competing bidders. Why are financial acquirers so much more successful than their corporate counterparts? It's because they approach the negotiation process differently. Most corporate managers treat acquisitions as a direct-march-up-the-hill kind of exercise: "I want to buy this company. Let's find out what it's worth, offer less, and see if we get it." The actual deal management is delegated to outside experts--investment bankers and lawyers. But fund investors treat deal management as a core part of their business conducted by a permanent group of experienced executives, and they have well-established processes that they stick to. The authors examine how the best acquirers approach all five stages of deal negotiations--screening potential deals, reaching initial agreement, conducting due diligence, setting final terms, and reaching closure--comparing good practice with bad, to reveal the secrets of their success.

Abstract:This paper models the maintenance of management quality through the simultaneous functioning of internal and external corporate control mechnism—board dismissals and takeovers. We examine how the information sets of the board and the acquiror are noisily aggregated, and how this affects the behaviour of the board and the acquiror. The board of directors, acting ion shareholders' interests will sometimes oppose a takeover, and this opposition can be good news for the firm. An unsuccessful takeover attempt may be followed by a high rate of management turnover, because a takeover attempt conveys adverse information possessed by the bidder about the manager. If there is a probability that the board is ineffective, then a forced resignation of the manager can be either good or bad news for the firm. A positive effect is predicted to dominate when there is more adverse public information avilable about the manager's performance and when there is a higher ex ante probability that the board is ineffective, for example, of the board is management-dominated rather than outsider-dominated.

Abstract:Purpose Mergers are an increasingly popular method to grow a business despite the fact that many fail to meet their pre-deal expectations. This paper outlines the benefits, and argues in favor, of managerial commitment to a well-defined, strategic communications plan from inception through completion of an organizational merger. The authors propose training leaders in areas such as cultural communication, crisis communication, and shared governance prior to developing an M&A-specific communication plan. Design/methodology/approach This article is primarily an integrative theoretical piece, drawing on prior literature and secondary research sources while also integrating the authors' academic and industry experience to offer best-practices for enhancing organizational communication efforts pre- and during mergers and acquisitions. Findings There are many financial and structural issues that can result in a failed merger. However, even when a deal makes sense financially M&A's still have a relatively low success rate. These failures are often people related. Two significant issues are presented; culture conflicts related to communication, and uncertainty of a changing environment. Communication is the key to a successful M&A. If effective communication is deployed pre-M&A and during integration, it can greatly reduce the chance of failure. Originality/value This report offers a novel approach to decreasing the likelihood of M&A failure, focusing specifically on people-specific causes of hindrance. It outlines two of the significant human-related issues; culture conflicts and uncertainty reduction, both as related to organizational communication.

Abstract:This article examines the potential relevance of corporate identity and corporate communication to the merger and acquisition process. Recent studies indicate that around 50 per cent of all mergers failed to produce the synergistic benefits that were expected of them. The authors argue that this failure rate may be attributable to the neglect of corporate identity and corporate communication issues and have identified nine reasons why mergers fail, chief among which are: the undue attention that is given to short‐term financial and legal issues to the detriment of long‐term identity and communication issues; inadequate recognition of the impact of leadership issues on identity and communication; and failure to secure the goodwill of a wide range of stakeholder groups common to both companies. The authors offer a template pertaining to corporate identity and corporate communication issues in the merger and acquisition process which they call the merger mix.

Abstract:There is an important research topic in behavioral finance: overconfidence. This paper studies the relationship between overconfidence and Merger and Acquisition decision-making from the perspective of managers' irrationality. This paper adopts the case study method, selects Dong Mingzhu of Gree Electric Appliances, an enterprise manager with a distinctive personality, and takes Gree's merger and acquisition of Zhuhai Yinlong as an example to explore and analyze how overconfidence affects the enterprise's merger and acquisition behavior and to further explore the reasons behind its merger and acquisition results. From the perspective of overestimating the value of M&A targets and adopting aggressive debt financing strategies, this paper analyzes how overconfident managers make irrational decisions in the M&A process. Finally, through the phenomenon that the actual situation of Zhuhai Yinlong did not reach Dong's valuation and the unfair financing scheme in the acquisition plan, it is concluded that the overconfident managers overestimated the value of the M&A target.

Abstract:Effective board monitoring prevents entrenched managers from undertaking acquisitions that are detrimental to shareholders. It also facilitates a smooth transition during the post-acquisition phase. We examine how independent board leadership affects M&A outcomes. Controlling for many firm, board, and CEO attributes, we find that acquirers with independent board chairpersons earn significantly higher CAR around M&A announcements. The positive effects of independent board chairpersons are more pronounced in acquirers with high monitoring needs. The boards led by independent chairpersons primarily add value by selecting targets with high synergetic gains, avoiding overpaying for targets, and facilitating smooth transition in the post-acquisition phase.

Abstract:Research summary: We develop and test a contingency theory of the influence of top management team (TMT) performance‐contingent incentives on manager–shareholder interest alignment. Our results support our theory by showing that although TMTs engage in significantly higher levels of acquisition investment when their average incentive levels increase, investors' responses to those large investments are generally negative. More importantly, however, we further find that within‐TMT incentive heterogeneity conditions that effect, such that investors evaluate TMTs' large acquisition investments more positively as the variance in those top managers' incentive values increases. Thus, within‐TMT incentive heterogeneity appears to increase manager–shareholder interest alignment, in the context of large acquisition investments. Managerial summary: We find that as the average value of TMTs' incentives increase, relative to their total pay, they invest more in acquisitions and investors' respond negatively to the announcement of those deals. However, we further show that investors respond more positively to acquisitions announced by TMTs whose members' incentive values vary (some TMT members hold higher incentives and others hold lower). Results imply that when TMT members hold differing incentives levels, they approach investments from divergent perspectives, scrutinize those investments more heavily, and make better decisions, relative to TMTs with similar incentives. They also suggest that boards seeking tighter manager–shareholder interest alignment may benefit from introducing variance into TMT members' incentive structures, as doing so appears to create divergent preferences that can improve team decision making. Abstract:Abstract Companies in difficult financial situations may seek to survive through mergers and acquisitions. Managers must be able to use company resources efficiently to maintain and improve competitiveness and sustainable advantages. Managers' ability to make strategic decisions may determine whether a merger and acquisition is successful. This study aims to reveal the role of the acquirer's managerial ability in mergers and acquisitions based on short- and long-term performance as well as the type of M&A. Two metrics are used to assess short- and long-term performance: the market-to-book ratio (MTBR) as an indicator of operating performance and the buy-and-hold abnormal return (BHAR) as an indicator of stock return performance. The research sample consists of 153 M&A cases conducted by companies registered with the Business Competition Supervisory Commission in Indonesia between 2010 and 2017, and the performance till 2020. We used regression and difference analysis to analyze the data. We find that managerial ability has a positive impact on MTBR operating and BHAR stock performance. This result confirms that the higher ability of the acquirer's manager will ensure a successful M&A in the long run. Investors and potential investors might consider managerial ability in choosing investments in companies after an M&A. This study contributes to the M&A literature by examining the role of MA in the short- and long-term performance of acquiring firms following M&As in Indonesia.

Abstract:Scholars have been conducting serious research on the human, organizational, and cultural aspects of mergers and acquisitions (M&A) for 30 years. Yet, over this period, there have only been modest improvements in the M&A success rate. In this article, we examine corporate combinations, describe how human factors contribute to their failure or success, and identify key research questions whose answers can help to improve the M&A success rate in both financial and human terms. We propose research questions for the key phases of a deal, including buying a company and putting companies together. And, reflecting an emerging trend among some frequent acquirers to build an internal competence in M&A execution, we also propose research questions for how to accelerate the process of learning from past combinations to better manage future ones.

Abstract:Investment decisions tend to affect outcomes beyond the decision-maker's tenure at the enterprise, and these outcomes, moreover, depend in part on the actions of the decision-maker's successors. Separation between ownership and management, with hired managers compensated by accounting-based performance pay, solves the resulting incentive horizon problem. By contrast, the standard solution to "sell the firm to the agent" or the use of stock-based compensation creates incentives to invest inefficiently. Optimal managerial incentive pay may in fact show weak or even inverse correlation with stock price and cash flow. Even in enterprises managed by their owners, the prospect of implementing accounting-based incentive compensation and separating ownership from management in the future can induce efficient decision incentives at present. The separation of management from ownership must, however, coincide with the sale of the business to a new owner under an accounting-based earn-out agreement.

Abstract:This paper examines mergers and acquisitions motivated by financial constraints. Synergy gain is measured as the cumulative abnormal return of a value‐weighted portfolio of the acquirer and the target around the acquisition announcement. By constructing a financial constraint difference between the target and the acquirer, we find a positive relationship between the financial constraint difference and synergy gains generated from the acquisition. The positive effect of the financial constraint difference is only significant for high growth targets and severely constrained targets. The acquirer's corporate governance also enhances the synergy gains created from the financial constraint difference. Additional evidence shows that both acquirer's and target's shareholders benefit from the financial constraint difference. Our results are robust for different measures of financial constraint.

Abstract:Aiming to support digital innovation endeavours, industrial-age companies increasingly acquire firms that heavily build upon digital technologies. Related research has raised serious concerns regarding the prospects of such plans, yet has not focused the particular context of digital mergers and acquisitions (M&A). Drawing on a knowledge-based perspective as well as the particularities of digital technologies and the context of digital innovation, we theorise the link between digital M&A, a digital knowledge base on the part of the acquirer, and the consequences for digital innovation and firm performance. We employ panel data regressions to a longitudinal dataset of the world's largest automobile manufacturers. Our findings suggest that executing digital M&A contributes to building the digital knowledge base of industrial-age firms, which in turn enables them to drive digital innovation. Our findings further indicate that digital innovation improves firm performance of industrial-age firms. We discuss implications for information systems research about M&A and digital innovation as well as recommendations for managerial practice.

Abstract:This article provides new evidence on the important role of institutional investors in affecting corporate strategy. Institutional cross-ownership between two firms not only increases the probability of them merging, but also affects the outcomes of mergers and acquisitions (M&As). Institutional cross-ownership reduces deal premiums, increases stock payment in M&A transactions, and lowers the completion probabilities of deals with negative acquirer announcement returns. Furthermore, deals with high institutional cross-ownership have lower transaction costs and disclose more transparent financial statement information. The effect of cross-ownership on the total deal synergies and post-deal long-term performance is positive, which can be attributed to independent and non-transient cross-owners. Our findings are robust after mitigating the cross-ownership asymmetry concern. Overall, our results suggest that the growth of institutional cross-holdings in U.S. stock markets may greatly change corporate strategies and decision-making processes.
