Abstract:The insider trading has been ceased and monitored by Securities Laws all over the world since it is the action that will damage the share market.However,Securities Law of the People's Republic of China has not established a feasible civil compensation system for victims of the insider trading.Especially,when the damage has been done,it is difficult to make compensation for the victims due to the lack of a uniform methodology to identify compensatory damages.From the standpoint of Chinese judicial practice and drawing on the experiences on fundamental ideas on such systems,the author proposes our country should combine the advantages of kinds of methods together and construct a formula to calculate the insider trading damages which are based on the Expedient Out of Pocket Measure.

Abstract:This study investigates whether and how federal judge ideology affects firm-specific stock price crash risk. Using a comprehensive sample of US firms, we find a decline in the likelihood of future stock price crashes for firms headquartered in more liberal circuits. In identifying potential mechanisms, we show that liberal judge ideology reduces information opacity, risk-taking behaviours and overinvestment, and thus curbs stock price crash risk. Furthermore, the curbing effect is more salient for firms with poor monitoring quality and those in low social capital areas. Overall, this study elucidates how federal judge ideology affects capital markets.

Abstract:In this paper, we investigate whether federal judge ideology, ceteris paribus, affects auditor litigation risk and auditor behavior. We find that auditors whose client firms are in jurisdictions dominated by liberal judges are more likely to be sued and make higher payouts to plaintiffs when sued. Furthermore, these client firms are more likely to receive going-concern opinions and pay higher audit fees. Finally, we find no evidence that the quality of audited financial statements is affected by judge ideology. The evidence documented in this paper indicates that federal judge ideology affects auditor litigation risk and some aspects of auditor behavior.

Abstract:We examine the impact of liberal judge ideology, as an exogenous proxy for litigation risk, on real earning management. Our main findings suggest that U.S. firms headquartered in circuits that are more likely to be dominated by liberal judges engage in less real earnings management. Our findings are robust to considerations of alternate measures of our main variables and after the exclusion of litigious industries and circuits that are traditionally more liberal. We also show that the negative association between liberal court and REM is more pronounced for firms with more financial constraints, firms with a higher level of institutional shareholding, when CEOs have higher incentives to engage in opportunistic real activity management, and when CEOs have higher managerial ability.

Abstract:The first judicial interpretation of securities and futures market crime, issued by the Supreme People's Court of PRC and the Supreme People's Prosecutorate of PRC, the Interpretation on Several Issues Concerning the Specific Application of the Law in Handling Criminal Cases of Insider Trading and Leaking of Insider Information, cannot solve all or even most of the complexities in the insider trading criminal justice. Rethinking the practical obstacles and flaws of the recently enforced judicial interpretation of insider trading not only can provide beneficial references to the judicial practice on the crime of insider trading, but also contributes to make preparatory work for the upcoming legislative reform and judicial interpretation of financial market crimes in China.

Abstract:"The normal management order of securities and futures markets " can be the objective contents of the insider trading crime.But the "legitimate rights and interests of investors" and "securities information confidentiality" is not appropriate for the objective contents of the insider trading crime."The insider trading of nonfeasance type" is in itself a contradiction of the formulation,which contains the opposition of "nonfeasance" and "insider trading"."The informed persons of inside information in securities trading" and "persons illegal access to securities trading inside information" belong to indirect intention,which doesn't constitute the crime of insider trading."The purpose to obtain illegal benefits" should not be regarded as the subjective element of the crime of insider trading.Due to "sure intentionally" fails to distinguish direct and indirect intention,it is not applicable to formulate "sure intentionally" in the subjective element of the insider trading crime.

Abstract:The determination of the time when the insider information has been in shape is the foundation of qualitative and quantitative analysis of the crime of insider trading.The recently published judicial interpretation of insider trading did not solve the core and difficult problems underlying the judgment of the time when the insider information has been in shape.The estimation of this time should be moderately advanced.But the possibility of materiality should be ruled out on the basis of the high risk nature of the nonpublic information.Mergers and acquisitions(M & A) are the severely affiliated area of the crime of insider trading.It is necessary to analyze the formation pattern of the insider information in the process of M & A intensively,on which the typed judicial rules can be established.And this can provide experiences to determine the time of formation of other types of insider information.The exceptional rules should be induced from the directive precedents which can reflect the exclusive characteristics of each piece of insider information.

Abstract:In criminal proceedings,judge-defendant is deemed an objective phenomenon, which,from the perspective of the court,can be divided into three categories: one based on suspicious facts, one on disputed laws and one on external factors.The judge with power and under pressure,the accused standing between passiveness and positivity,the prosecution serving as a bystander,and the ignorant orcompulsorily-compromisingvictim's rational choice all contribute to conclusion of the bargain.Judicial power's being subject to administrative operational patterns,unreasonable notion of genuineness in criminal proceedings,lack of alternatives for case solution and improper performance evaluation mechanism put great pressure upon the judge who has no way to release it but resort to bargain.While to some extent bargain between judge and the accusedhas been justified as of,it has lots of defects.To change the pressure-shirking judicial mode,lots of catalysts of judge-defendant bargainshould be restudied and relevant reform measures be taken.

Abstract:Using the Regulation SHO program as a quasi-experiment, we document that the threat of short selling has a negative effect on the volume of opportunistic insider selling and a positive effect on its profitability for each transaction. These effects are stronger among firms with higher litigation risk, greater media coverage, and executives who have more of their firms’ stock-related holdings. We further find robust evidence when we extend the analyses to short selling deregulations in the Chinese and Hong Kong stock exchanges. Overall, our findings suggest that short sellers play a disciplinary role in opportunistic insider selling.

Abstract:<p>We test news media's disciplining by dissemination role and predictive power in insider trading related issues with a large and novel dataset on Chinese firms between 2008 and 2017. We find that more media coverage is associated with significantly lower level of insider trading profitability, which confirms the disciplining by dissemination role of media documented in the developed market. However, as a new evidence to the media and insider trading literature, we also find that media's negative tone has a positive correlation with future insider trading profitability, which is consistent with the media predictive power argument. In addition, we find that media's predictive power is amplified by a firm's good governance structure and low level of information asymmetry. Our study shows news media's effectiveness in predicting opportunistic insider trading in China.</p>

Abstract:Judges rarely reveal their real reasoning in their opinions when they are influenced by factors that they know they should not consider. The natural next question is how, when a judge is improperly influenced, he or she reasons to justify a biased decision. In a set of experiments using incumbent Chinese judges, we first replicated the findings of previous studies that showed judges can be influenced by extra‐legal factors. More importantly, we showed that judges may employ a range of legal techniques to rationalize decision biases: they interpret legal standards and legal concepts strategically, finesse the applicability of law, infer or deny causation and foreseeability, and draw different conclusions from facts. Our findings provide a more realistic understanding of how judges behave, and cast doubt on reasoned elaboration as a guarantee of judicial transparency and trustworthiness.

Abstract:Based on the data from Shanghai and Shenzhen Stock Exchange and the research of Zeng(2008) about short-term market effect of insider's selling,this paper studies the short-term and long-term market effect of insider's buying and selling.We find out that insiders' buying results in significant positive short-term and long-term market impact,and that the trading volume and trading times in a day have positive relationship with this market impact.However,insiders' selling results in negative market impact which also is affected by trading volume and trading times in one day.Furthermore,we study the impact of corporate governance to market effect of insider trading,and find out that separation of control right and cash flow right will strengthen the positive market impact of insider buying,and that good legal environment may lighten this market impact.While,on the other hand,corporate governance has no such relationship with market impact of insider selling.

Abstract:It is well known that the principle of wealth maximization and the cost-benefit analysis are Judge Richard Posner's core concept and basic method in his theoretical system of law and economics.Based on most of Judge Posner's aca-demic writing and this speech draft, discussed some important theoretical issues in the economic analysis of law, such as the relationship of economics of law and legal pragmatism, the intrinsic difficulty of wealth maximization principle, the theory lim-itation of one dimensional view on law and economics, and the necessity of pragmatic consideration in Chinese judge's judicial decisions.So, in China, we might have more need a new economic analysis of law that starting from the perceptive of inter-action and based on cost-benefit analysis in the future.

Abstract:We study bank discrimination against private firms in transition countries. Theoretically, we show that banks may discriminate for non-profit reasons, but this discrimination diminishes with a bank???s incentives and human capital. Employing matching bank-firm data from China, we empirically examine the extent, sources and consequences of discrimination. Our unique survey design allows us to disentangle sample truncation, omitted variable bias, and endogeneity issues. Our empirical findings confirm the theoretical predictions. We also find that as a result of discrimination, private firms resort to more expensive trade credits.

Abstract:Judicial fairness and judiciary incentives are the most urgent and critical problems in judge area.This study uses game theory to simulate real trial process.For optimal judiciary choice based on maximum personal utility,we study the relationships between the following factors: judicial fairness and compliance degree with law,work diligence,income,effective allocation of judging rights,and external intervention.Judges for the different legal compliance,bribery,wages and other factors are different.The allocation of judging rights affect the social utility.Independent exclusive judging rights as the incentive mechanism and introduce incentive mechanisms in institutional arrangements are very important for establishment control rights incentives to accomplish social fairness.This solution to the current problems in the judicial field has provided a theoretical basis and methodology.

Abstract:In practice, judge ought to think comprehensively about all the factors, including justice, social effects and other factors, in adjudication. This is quite different from the traditional syllogism. To be precise, the judge's interpretation is the process of judge's searching for value-balancing and the key of the interpretation of law. Law-interpreting methods are different from the elements considered in adjudication. They should be clearly separated from each other. While giving full play to judge's initiative, restriction on the judge's right of discretion should be stressed. In this process, legal principles, law interpretation and procedural clauses would play their parts. Determinations of the judicial organs would have influences on the implementation of law in China. So, judges, as real exercisers of law, ought to effectively balance the relationship between law and the reality.

Abstract:This paper examines the choice of trade size by an illegal insider. Previous literature (i.e. Meulbroek 1992) tends to focus on the price impact of such a trader. Using a unique data set hand-collected from the litigation reports of the Securities and Exchange Commission and court cases, we provide evidence, which suggests that the size of an illegal insider's trade is a function of the value of his private information, the probability of detection and the expected penalty if detected. Our results have important implication for security market regulators.

Abstract:Multiple studies have documented racial, gender, political ideology, or ethnical biases in comparative judicial systems. Supplementing this literature, we investigate whether judges rule cases differently when one of the litigants is a politician. We suggest a theory of power collusion, according to which judges might use rulings to buy cooperation or threaten members of the other branches of government. We test this theory using a sample of small claims cases in the state of S\~ao Paulo, Brazil, where no collusion should exist. The results show a negative bias of 3.7 percentage points against litigant politicians, indicating that judges punish, rather than favor, politicians in court. This punishment in low-salience cases serves as a warning sign for politicians not to cross the judiciary when exercising checks and balances, suggesting yet another barrier to judicial independence in development settings.
