Mitigating Transaction Hazards--An Analysis of Alliance Governance Form and Contract Design Decisions

Abstract:This paper uses a transaction cost perspective to analyze factors that influence the governance form and contract design decisions that firms make when forming inter-firm alliances. We argue that these two governance decisions differently mitigate the transaction hazards associated with alliance formation. Focusing on alliances established by high-tech entrepreneurial ventures, we propose a number of hypotheses about the roles that the alliance intent and technological proximity of the partnering firms play in making alliance governance decisions to mitigate transaction hazards associated with appropriability and hold-up problems. We test these hypotheses on a sample of 239 alliances established by Italian high-tech entrepreneurial ventures with their partners. The empirical findings confirm that governance form and contract design decisions serve different purposes.
