Abstract:Purpose This study contributes to the literature on hypocrisy in corporate social responsibility by investigating how organizations adapt their nonfinancial disclosure after a social, environmental or governance scandal. Design/methodology/approach The present research employs content analysis of nonfinancial disclosures by 11 organizations during a 3-year timespan to investigate how they responded to major scandals in terms of social, environmental and sustainability reporting and a content analysis of independent counter accounts to detect the presence of views that contrast with the corporate disclosure and suggest hypocritical behaviors. Findings Four patterns in the adaptation of reporting – genuine, allusive, evasive, indifferent – emerge from information collected on scandals and socially responsible actions. The type of scandal and cultural factors can influence the response to a scandal, as environmental and social scandal can attract more scrutiny than financial scandals. Companies exposed to environmental and social scandals are more likely to disclose information about the scandal and receive more coverage by external parties in the form of counter accounts. Originality/value Using a theoretical framework based on legitimacy theory and organizational hypocrisy, the present research contributes to the investigation of the adaptation of reporting when a scandal occurs and during its aftermath.

Abstract:Patron-clientelism and corruption were traditionally viewed as problems endemic to underdeveloped marginal countries with weak states, powerful self-serving elites, and widespread civic disengagement. However, recent decades have seen a dramatic increase in corruption scandals in the Global North, particularly its more developed banking and financial sectors. Paradoxically, this has occurred despite a massive expansion in auditing by international accountancy firms (KPMG, PwC, Deloitte, EY) who often portray themselves as warriors of integrity, transparency, and ethical conduct. How are these trends connected? Drawing on anthropological studies of Mediterranean patron-clientelism, I illustrate how collusive relations between accountancy firms and their clients create ideal conditions for corruption to flourish. Finally, I ask how can these accountancy scandals help us rethink patron-clientelism in an age of “audit culture”?

Abstract:Purpose In the 1990s and beginning of the next decade, a series of financial accounting scandals occurred in the United States (USA or US) and in several other countries of the world. The USA and Italy (among others) responded with legislation to reform financial reporting and corporate governance in these jurisdictions. This paper aims to compare the regulatory response of Italy to that of the USA. Design/methodology/approach This paper includes a review of relevant literature and evaluation of the actions of the regulatory authorities. Findings In the case of the financial reporting crises, the rapid response put the USA into the role of the “first mover” with the European Union (EU) reacting to US initiatives and eventually converging to a large degree with the provisions of the US legislation. Italy has adopted many of the same regulatory reforms as the USA and has added some reforms that are directed to the specific needs to Italy. Research limitations/implications In conjunction with legislative initiatives like Sarbanes-Oxley, private enforcement mechanisms, such as shareholder class action suits in the USA, play an important role in discouraging and punishing financial accounting fraud. Practical implications In the absence of significant reforms of the Italian private enforcement system, corporate governance abuses and the potential for accounting scandals may still be persistent. As a whole, cooperative efforts continue between the USA and the EU. Such efforts are needed more and more, as companies become increasingly globalized. Originality/value This paper provides comparison and evaluation of corporate governance reform efforts in the USA and Italy.

Abstract:In the modern globalized and liberalized era, the firms are facing stiff competition and are under pressure to show the good financial results through financial reporting. In such an environment, they start using the creative accounting practices, especially in unsuitable situation to boost up the profit or manipulate the assets and liabilities to report to the stakeholders the image that is better than the actual image. Corporate accounting fraud is a major problem that is increasing both in its frequency and severity. Research evidence has shown that growing number of frauds have undermined the integrity of financial reports, contributed to substantial economic losses, and eroded investor’s confidence regarding the usefulness and reliability of financial statements. An attempt is made in this paper to examine in-depth and analyse India's Enron, Satyam Computer's " creative-accounting " scandal. Satyam was brought to its knee due to 'tunnelling' effect. The Satyam scandal highlights the importance of securities laws and Corporate Governance in emerging markets. Their scandal/fraud has put a big question mark on the entire corporate governance system in India. Indeed, Satyam fraud "spurred the government of India to tighten the CG norms to prevent recurrence of similar frauds in future. Thus, major financial reporting frauds need to be studied for “lessons-learned” and “strategies-tofollow” to reduce the incidents of such frauds in the future. Thus this paper is devoted to the case study of Satyam, its creative accounting scandal and the effect of it on the global market.

Abstract:Purpose This study aims to build on the well-documented case of the Olympus scandal to dissect how social networks and corporate culture enabled corporate elites to commit fraud across multiple generations of leaders. Design/methodology/approach A flexible pattern matching approach was used to identify matches and mismatches between behavioural theory in corporate governance and the patterns observed in data from diverse sources. Findings The study applies the behavioural theory of corporate governance from different perspectives. Social networks and relationships were essential for the execution of the fraud and keeping it secret. The group of corporate elites actively created opportunities for committing misappropriation. This research presents individuals committing embezzlement because the opportunity already exists, and they can enrich themselves. The group of insiders who committed the fraud elaborated the rationalizations to others and asked outside associates to help rationalise the activities, while usually individuals provide rationalizations to themselves only. Practical implications The social processes among actors described in this case can inform the design of mechanisms to detect these behaviours in similar contexts. Originality/value This study provides both perspectives on the fraud scandal: the one of the whistle-blowers, and the opposing side of the transgressors and their associates. The extant case studies on Olympus presented the timeframe of the scandal right after the exposure. The current study dissects the events during the fraud execution and presents the case in a neutral or a negative light.

Abstract:The article aims to determine the motivation, consequences and efforts to reduce fraud. The socio-economic impact of the scandal determines whether regulation becomes fundamentally tighter. This study uses a systematic literature review approach with a population of 235 articles published in reputable international journals. Based on the predetermined criteria, sixteen articles were obtained as research samples. As many as 62.5 percent of the articles discussed reviewed the Enron case because it was considered a case that shocked the world, involving companies and public accounting firms that were considered independent parties. The urge to commit fraud can be seen from the internal and external aspects of the company. The consequences of fraud that occur can drag the company and auditors as independent parties. The need for efforts to minimize the occurrence of fraud includes improvements to the company, improvements to the criminal and legislative processes and improvements to individual morality.

Abstract:Objective: The purpose of this study was to determine the effect of stimulus, capability, collusion, opportunity, rationalization, and ego on financial statement fraud moderated by the effectiveness of the board of commissioners which essential of corporate governance structure. This study also seeks to develop recommendations based on the analysis of financial statement fraud detection and empirically demonstrate the effectiveness of appropriate supervision in preventing financial statement fraud. Theoretical Framework: Management fraud in the context of the misstatement of financial information that can harm other parties for the sake of certain personal or group interests is referred to as a financial statement fraud. In recent years, the theory of financial statement fraud has developed, starting with the fraud triangle, fraud diamond, fraud pentagon, and fraud hexagon. The fraud hexagon theory expanded the previous theory by including the components of stimulus, capability, collusion, opportunity, rationalization, and ego. Furthermore, the model derived from the hexagon theory is known as the SCCORE model. Method: Quantitative research was developed to test the hypothesis in this study. The data observed is secondary data derived from the annual reports of publicly listed companies in the non-financial sector industry on the Indonesia Stock Exchange, which is the target population of the study. The sample was determined using the total sampling technique, and based on this, the observed data amounted to 529. The data were analyzed using multiple linear regression methods and moderated regression analysis methods processed with the SPSS program. Results and Discussion: The findings suggested that corporate governance could moderate the relationship among the SCCORE model and financial statement fraud. Additionally, according to the research findings, stimulus, collusion, opportunity, and ego affect financial statement fraud, even though capability and rationalization accomplish not. Research Implications: The theoretical implication of this research is to provide additional empirical evidence of fraud theory development into hexagon fraud, whereby collusion, which is proposed as an addition to the pentagon fraud theory, is proven to have an effect on financial statement fraud. The other theoretical implication is to empirically verify the relevance of agency theory to the oversight mitigation of the corporate governance structure. The practical implication of this research is to broaden the insights of practitioners in the accounting and finance fields in order to detect the likelihood of financial statement fraud based on historical financial data, which ultimately can assist in the financial decision-making process. Originality/Value: This study advanced to the state of knowledge on financial statement fraud through an inquiry into the interaction between the fraud hexagon theory's elements and corporate governance moderation, particularly the effectiveness of its oversight. The effectiveness of corporate governance in preventing financial statement fraud through appropriate oversight illustrates the study's relevance and value.

Organized Crime and Firms' Financial Statements: Evidence from Criminal Investigations in Italy

Abstract:We investigate how connections to organized crime manifest on firms' financial statements and analyze the impact of these connections on firm performance outcomes. Using a unique dataset that identifies Italian firms connected to organized crime, we find that connected firms have lower profitability, even though they report higher sales and lower labor cost. Connected firms also have higher bank debt, report lower cash holdings, experience quicker operating cycles, and are more likely to file for bankruptcy. Further, we find that connected firms are more tax aggressive and engage in downward earnings manipulation. To corroborate our results, we exploit an amendment to the Italian Anti-Money Laundering regulation as a shock to the extent to which criminal organizations could expropriate connected firms' resources through money laundering. Our collective evidence suggests that connections to organized crime can drain a firm's resources, possibly through money-laundering schemes, and jeopardize its existence, thereby harming its shareholders.

Abstract:Our minds are powerful, creative, forceful, and strong, controlling our thinking and behaviors. A series of high-profile accounting and financial scandals have been revealed in the past few decades, and the Enron case was the most representative of them all. Corporate decision-makers have traditionally enjoyed high remunerations, compensations, and social status. Hence, the underlying rationales and motivation drivers that motivate managers to conduct unethical behaviors have always been a heightened concern. This research aims to delineate the narratives of corporate governance misconducts and the underlying rationales of these unethical behaviors. This study incorporates independent variables of neuro-accounting, neuroeconomics, neuro-ethics, and human nature using a qualitative methodology. From this study, the social norm of fairness showed that the human nature of greed and selfishness would motivate corporate decision-makers to engage in any exchange that could benefit themselves, although it is unethical and illegal. Second, neuroeconomics revealed that scarcity of economic resources, level of risks and uncertainties, and expected rewards could be the factors that motivate managers to conduct unethical behaviors, especially when their remunerations are tightly linked to company performances. Third, neuro-ethics shows that managers who lack moral values, have unstable emotions, and possess negative moral intuitions or personal assumptions could be more likely to pursue their interests at the cost of others. Lastly, neuro-governance also proved that self-benefits and financial incentives will usually be the priority and would be a motivating factor for misconduct.

Abstract:Financial institutions increasingly need an integral and widespread culture, especially in terms of risks and relations with stakeholders, which guides corporate behaviour and organisation. When constructing this positive risk culture, financial institutions must be protagonists and not spectators. This means that risk governance professionals necessarily need to be involved in the process. In this paper, the importance of risk management in the organisational structure of financial institutions is analysed, taking into consideration the logical transition from risk culture to risk governance. The paper then examines how the main aspects of risk governance have been analysed in the recent literature in order to understand the possible relationship between bank profitability and risk. The paper finds that the governance literature has considerably developed since the outbreak of the global financial crisis, leading to the implementation of not only theoretical paradigms but also empirical analysis. Quantitative research generally makes use of multiple regression models — with or without fixed effects — but some innovative analysis techniques are also used for specific aspects of analysis such as the estimation of certain variables. The results of the literature review show a general trend towards greater attention by financial institutions to risk governance which tends to be linked to a better performance, although studies on the subject do not always agree. The importance of a well-structured, efficient and effective bank risk governance emerges as a key conclusion, although research into further risk governance analysis models is expected to continue, particularly in light of the recent international economic and financial context.

Abstract:The recognition of corporate governance as one of the solutions to scandal, fraud, and corruption has generated interest among scholars who seek to comprehend the underlying theoretical mechanism of corporate governance practices. Using scientific literature from the Web of Science and news media, this research attempts to probe the conceptual basis for corporate governance in preventing crimes in managing natural resources. Based on the theories of corporate governance, this study reviews the framework and elaborates the challenges of implementing the practices of corporate governance in reducing scandal, fraud, and corruption. Agency and stakeholder theories are mostly used to scrutinize the practice of doing good business. We also evaluate how news media serve as an effective avenue for the public to receive unbiased information. Some major corporate cases reported in news media have indeed provoked scholars to shed light on the role of corporate governance in the presence of the crisis.

Abstract:The international financial system is currently not yet prepared to face a foreseeable crisis mainly motivated by the dichotomy between the real economy and the virtual economy. Skepticism is widespread even when it comes to investments in sustainable economy. The concentration of capital in a few persons is one of the greatest risks for the possible reiteration of economic crises. The benevolent sentences of the courts to some of the fraudsters do not contribute to dispelling the ghost of fraud nor to the disappearance of tax havens. From the diachronic perspective, it is observed that economic crises are increasingly frequent and incidents always in the financial field; which forces us to rethink an economic model on an international scale in which there is a greater weight of the economic policy of governments over the power of multinational companies in the context of globalization. In the context of Corporate Social Responsibility, Corporate Governance is listed as one of the fundamental levers to curb large business fraud, but its efficiency seems insufficient due to the lack of international regulations and the ignorance of hidden forces in what has been known as fiscal and financial engineering. The application of liberal policies in an unorthodox way is causing real social gaps in the distribution of income and is undermining the current capitalist system. The need to implement corporate governments is recommended as one of the essential formulas for sustaining the international economic system.

Abstract:Corporate fraud committed under climate mitigation pressures is becoming more frequently observed in line with the ever increasing environmental standards and relevant regulation enforcements. One example is the Volkswagen Emission Gate Scandal. Using firm-level panel data of major automobile manufacturers from 2000 to 2015, this study empirically identifies the motives behind the corporate deception scandal. We develop a conceptual model summarising the factors affecting decision-making, and the firms' environmentally responsible investments (ERIs) including the truthfulness of related public communications. Our findings identify legal and regulatory pressures, the firm's existing level of ERIs competency and expertise, pressures from emission regulation, market competitors, consumers, owners, or shareholders as the key factors inducing the scandal. The empirical findings show that firms are more likely to experience corporate fraud if their senior managers are paid with substantial variable components that may lead them to engage in riskier business behaviour and to be more short-term focused, thereby supporting the well-established contract theory. To avoid corporate fraud and engage in legitimate business competitiveness, we suggest that firms should focus on technological innovation as well as improving corporate governance and leverage ratios to effectively control and monitor management. In addition, policy makers should be more realistic about practical and commercial limitations in the policy-setting process, and take on a more supporting role in achieving technological innovations and effective corporate governance. In summary, we argue that cleaner production is not only the result of technologically progress and research, but importantly it also involves issues associated with corporate governance and business ethics. Big Profits, Big Harm? Exploring the Link Between Firm Financial Performance and Human Rights Misbehavior

Abstract:Business &Society, Ahead of Print. We examine whether, relative to their global peers, the financial performance of firms from developing countries leads to increases in human rights abuses. We also study the institutional conditions that qualify this relationship. Based on a combination of behavioral and neo-institutional theories, we suggest there is a positive relationship between financial performance and human rights misbehavior as home country liabilities motivate firms to misbehave to achieve their primary goal of economic leadership. We also suggest that strong regulatory and normative pressures attenuate the abovementioned positive relationship, as failure to comply with norms endangers such firms' secondary goal of achieving international legitimacy. Our analysis, based on a sample of 245 large companies from eight developing countries studied over a 20-year period, supports our hypotheses. Our empirical results suggest that such companies misbehave when they endeavor to strike a balance between maintaining their global economic leadership and sustaining their social legitimacy.

Abstract:<span>Following the global financial crisis wrought by fraudulent activities of prominent US companies and considering the field's lack of understanding about precursors to such vast corporate illegalities, this study measured firm prominence and financial conditions to identify corporate-organizational factors related to twenty-first century corporate financial fraud. We compiled data on 250+ US public companies involved in corporate securities frauds identified in 1,000+ Securities and Exchange Commission filings over 2005–2013; we randomly selected a comparable control group of 500+ US public companies from Compustat. Based on logistic multivariate regression analyses, marginal profitability, a strong growth imperative, and firm prominence were significant fraud risk factors. Prominent Fortune 500 firms were more susceptible to marginal profitability and/or strong growth-opportunities as risk factors. Findings were robust to various empirical measures and additional controls for undetected fraud. Anomic growth pressures and profit constraints, especially among America's most prestigious firms, were linked to corporate securities fraud.</span>

Abstract:Purpose: This research explores the intersection of financial reporting and social responsibility by integrating Environmental, Social, and Governance (ESG) metrics into corporate financial reports. It aims to assess how sustainability reporting frameworks impact transparency and stakeholder engagement in the corporate sector. Research Design and Methodology: Utilizing a systematic literature review and interpretive analysis, this study examines existing theoretical and empirical literature to understand the evolution of financial reporting frameworks towards incorporating social responsibility. An interpretivist approach through thematic analysis identifies key patterns and insights. Findings and Discussion: The results show a significant paradigm shift in financial reporting, with an increasing inclusion of ESG metrics alongside traditional financial information. This change is driven by regulatory requirements and stakeholder demand, focusing on enhanced transparency and accountability. Challenges like greenwashing and the authenticity of social responsibility claims persist, affecting standardization and data assurance. Implications: The findings emphasize the need for more robust, standardized reporting frameworks to boost the credibility and comparability of sustainability reports. Highlighting corporate accountability, the study suggests that merging financial reporting with social responsibility is vital for future research, especially regarding its impact on corporate reputation and stakeholder relations.
