Abstract:Usually connecting factors in company law play a decisive role with regard to the corporate governance model of a company and with regard to the level of protection of stakeholders. Their importance generated a long-lasting debate on which connecting factor is “better” and which one is compatible with internal market rules. However, technological developments and digitalisation shed a different light on this discussion. In order to understand how the current developments impact the discussion on company law connecting factors, it should first be clear what is really understood by connecting factors in the jurisprudence of the Court of Justice. It is important to understand the relationship between substantive company law rules and those on conflict of laws. The outcome of the above analysis allows to add the digitalisation/new technologies factor into the equation. In this context, a closer look is given at the use of artificial intelligence applications in company law and the operation of a decentralised autonomous organisation within a blockchain network. It allows to question the effectiveness and usefulness of traditional connecting factors.

Abstract:The Commission’s Proposal 2018 / 0113 aims to promote the use of digital tools and procedures in company law. To this effect it introduces a compulsory procedure for the online incorporation of companies. The key principle of the proposal is that the incorporation can be done without the physical presence or the presentation of original documents. Member states must admit electronic identification means but can establish additional requirements to ensure the identity and capacity of the applicants and the compliance with national law, including the involvement of notaries. This study examines how this might be done in practice and how it might contribute to the security of transactions. As the proposal also provides for online filing of other documents and for the registration and filing or branches, we interpret that the same procedure should be applied to these transactions. The proposal also provides for an extension of the information of companies that has to be freely accessible in Commercial Registers. This is extremely useful for the internal market, so the proposal should guarantee that this information is reliable and easily proved by the applicant.

Abstract:The rules on the EU's digital single market are a milestone in consumer protection. They have harmonised the provision of digital content and online sales across Europe. The new commentary on "EU Digital Law" comments, article by article, on the most important European regulations on digital law in the EU: the Digital Content Directive; the EU Consumer Rights Directive; the E-Commerce Directive; the Portability Regulation. The legal framework for digital content is being fundamentally redefined. The authors are experts from all over the EU. Their contributions provide detailed explanations of the background and purpose of the provisions and show concrete ways of implementing them.

Abstract:This study questions the accountability gap in business-to-government data sharing: if most European policy efforts are being devoted to the objective of unlocking private datasets for the “public good” under the EU Strategy for data, less attention has been given to the subsequent moment of the performance and execution of business-to-government data sharing agreements in a transparent and accountable manner to the public that should benefit from these. Given the accountability gaps left open by both public and the data protection regulations in the context of business-to-government data sharing, the analysis focuses on the notion of corporate digital responsibility as a gap-filler between public law-based and data protection-law based accountability models. This specific responsibility of businesses handling digital assets, as data, is given by the match between businesses’ social accountability duties under the more general corporate social responsibility (CSR) framework and the legal and ethical obligations these bear in respect to the design and management of their datasets. The consideration of the specific problem of businesses’ accountability in B2G data sharing enables to contextualise the debate on the possible contribution of corporations to welfare objectives in the digital economy and to draw more general conclusions on the role of corporate law in strengthening businesses’ duties of accountability regarding enacted data and technology-related policies vis à vis external stakeholders.

Abstract:It is widely recognized that legislation is of critical importance for the proper functioning of economies and societies. However, the increasing complexity of the problems and challenges faced by modern economies and societies have resulted in the development of extensive, highly complex, and continuously evolving legislations. This makes it difficult for firms and administrations, as well as individual lawyers and public servants, to know the current applicable legislation on a particular topic of interest, as well as its evolution over time. This difficulty increases further due to the internationalization–globalization of economic activity, as well as the development of supranational organizations (such as the European Union (EU)), which make it necessary to continuously monitor legislations of several countries on various topics of interest. Existing national legal information platforms cannot satisfy the above highly complex requirements. This paper contributes to filling this gap, initially by describing the architecture and the capabilities/functionalities of an advanced "international" legal information platform, which has been developed as part of the European research program "ManyLaws," based on requirements collected through interviews with lawyers and public servants; it enables the advanced search and retrieval of relevant legal documents on a particular topic of interest from within the legislative corpuses of many different countries, as well as EU legislation, using existing sources of open legal information, and also the automated comparative analysis of them and identification of various types of relations among them. The evaluation of this advanced legal information platform, using an extension of the Technology Acceptance Model (TAM), provides evidence of the usefulness and the ease of use of its novel functionalities, as well as their positive contribution to the productivity of both national-level legal work and international-level legal work, especially within the EU. The proposed advanced legal information platform can be quite useful for firms and administrations, as well as individual lawyers and public servants, active in the modern globalized economic context.

Abstract:Value creation is increasingly based on knowledge and intangible assets. This trend has gained momentum with the development of the service sector, the rise in competition as a result of globalisation and deregulation, and the impact of the digital revolution.Innovation has proven to be a key factor in economic growth. In the aftermath of the global crisis; public authorities, states, European organisations (the EU and the Council of Europe) and transnational and international bodies (UN, OECD, WTO, IMF) have a major role to play in regulating the multi-dimensional potential of global growth and defending against the problems inherent in these new, unavoidable processes.The EU sees the Digital Single Market (DSM) and the capital markets union as two priority aspects in the completion of the European Single Market (ESM), This article aims to highlight the main political, technological, institutional and regulatory characteristics and contradictions of the DSM from a global perspective, tracing its development over time and particularly analysing the taxation of the digital economy. The article also examines the EU’s changing role in a complex system of players worldwide, its contribution in setting global standards on fiscal and technological development, its involvement in the governance of new networks. This research is based on a wide range of multilingual and multimedia sources, relevant statistics on the digital economy, and clarifications of notions and terminology as needed.

Abstract:The Court of Justice of the European Union has seen a dramatic and controversial increase in copyright cases during the last decade. This study investigates empirically two claims: (i) that the Court has failed to develop a coherent copyright jurisprudence (lacking domain expertise, copyright specific reasoning, and predictability); (ii) that the Court has pursued an activist, harmonising agenda (resorting to teleological interpretation of European law). We analyse the allocation of copyright and database right cases by Chambers of the Court, Advocate General (AG) and Reporting Judge, and investigate the biographical background of the Judges and AGs sitting. We trace patterns of reasoning in the Court's approach through quantitative content analysis. Legal topoi that are employed in the opinions and decisions are linked to the outcomes of each case.

Abstract:The digitalization of construction sector is becoming increasingly important. Based on European Community Directives, Italian legislation has defined a national strategy to start the process of digitization of the construction and public works sector. The purpose of this paper is to set a method for the digitalization of the building process, schematizing the workflow of the procedures that regulate construction management activities. A careful analysis of the state of the art of construction phase activities regulations is carried out; this analysis was based on construction management manuals, scientific publications, and direct contact with professional figures who are related to Construction Management. Critical issues have emerged due to the complexity of the process, bureaucracy, and the digital transition of the sector. The stakeholders involved, the phases, the activities, the documentation, and the timing of the process were identified and represented graphically through the Business Process Model and Notation (BPMN). The advantages of the methodology are reported in relation to the goals of speeding up and improving the development of the building process, not only for the correct sequence of activities but also for the digital management of documentation. The workflows were standardized for a first implementation on the case study of a Secondary School, where this process helped the structuring of the collaborative platform for the creation of the Document Management System that was used during construction phases.

The discursive construction of digitalization: a comparative analysis of national discourses on the digital future of work

Abstract:Abstract New forms of work intermediation – the gig economy – and the growing use of advanced digital technologies – the new knowledge economy – are changing the nature of work. The digitalization of work, however, is shaped by how countries respond to it. But how countries respond to digitalization, we argue, depends on how digitalization is perceived in the first place. Using text-as-data methods on a novel corpus of translated newspaper and policy documents from eight European countries as well as qualitative evidence from interviews and secondary sources, we show that there are clear country effects in how digitalization is framed and fought over. Drawing on discursive–institutionalist and coalitional approaches, we argue that institutional differences explain these discursive differences by structuring interpretative struggles in favor of the social coalitions that support them. Actors, however, can also challenge these institutions by using the discursive agency to change these underlying support coalitions.

Abstract:Digital platforms have become a core feature of the digital economy. They facilitate the exchange of goods, services, and information, and create much social value. But at the same time, they come with harmful structural features, namely the promotion of market concentration, the rise of new forms of power imbalances, the appropriation of user data on an unprecedented scale, the facilitation of infringements of protected rights and entitlements, and the endangerment of the integrity of public discourse. While the existing legal framework has not been able to address these problems and risks adequately, the EU legislature has experienced difficulties in capturing the specific regulatory challenges caused by digital platforms so far. Now the European Commission has attained a new level in the confrontation with a double strike: the proposals for a “Digital Services Act” (DSA) and a “Digital Markets Act” (DMA) are designed to provide a coherent regulatory framework for digital platforms. This article reflects on the DMA/DSA package and provides a normative analysis of the proposals structured along the lines of market failures.

Abstract:Abstract The digital landscape is characterized by the concentration of power in the hands of a few “gatekeepers.” Europe’s legal answer, the Digital Markets Act (DMA), constitutes a new legal approach. It aims at restricting this power and ensuring “fairness and contestability.” Traditionally, the tools of competition law were used to set the basic rules of how to operate in markets. The shift to a different technique, regulatory law, prompts three questions: First, why is it necessary to deviate from the path set in competition law? Second, what are the differences between the competition law approach and the regulatory approach of the DMA? Third, what are key decisions to be taken within the new regulatory framework? At the outset, the DMA is presented.

The Draft Digital Markets Act: A Legal and Institutional Analysis

Abstract:This paper considers the proposal for a Digital Markets Act. The single most notable aspect of the draft legislation is that it would give the European Commission substantial leewway to restructure, in the name of fairness and contestability, ecosystems and business models in the digital arena. The European Commission would also enjoy the same leeway to identify the firms that would be subject to intervention. The paper compares the approach proposed in the Draft DMA with that followed in competition law and the EU telecoms regime. It appears, first, that the legislative proposal dispenses from the need to engage in the sort of case-by-case, contex-specific evaluation that is characteristic of competition law regimes. Second, the Commission would not be subject to the legal and economic constraints that are common to competition law and the EU telecoms regime. Third, the burden of intervention is placed upon the firms, not the authority.Several implications follow from this regulatory design. Because the European Commission would not be subject to the constraints that derive from decades of EU competition law enforcement, its relationship with stakeholders might change as a result. A second question is whether the Draft DMA would allow for judicial review to be meaningful.

Abstract:In recent years, it has become common knowledge that culture is the main component for people’s creative communication as well as for the elimination of social differences and political contradictions, the encounter for people of different racial, ethnic, religious hues in a common place, leading thus to the achievement of world peace.Furthermore, the field of culture under proper management, can contribute substantially to improving the economic conditions of different countries, considering the multiple fields of production and dissemination potential of diverse cultural products which, combined with the explosive and rapid growth of telecommunications and the internet, create a considerable number of new jobs.As a result: the growing interest in this sector. However, the legal framework in which the digitization and management of cultural heritage should develop is not always clear enough or, even when it is clear, it is overturned by modern trends, which, for the sake of technology, become massive.It is therefore important to know basic relevant notions and principles for navigating and acting in a politically correct way in the vast and diverse universe of civilization: the present study constitutes an attempt both to specify the notions of cultural heritage and copyright, as well as to detect the possibilities and limitations of digitization and management of cultural heritage as defined by the current legal framework.The aim is the succinct quote of the afore-mentioned, in order that this project will serve as a concise manual easily understood and useful mainly to people not specialized in law.

This is due to the different geographic scope of the different rules, but will also vary according to the different obligations and prohibitions contained in the Articles 5-7 of the DMA. However, the increasing fragmentation of the internet can be expected to act as a complicating factor for this Brussels effect. All of these elements together imply that the DMA is unlikely to specifically help innovation ‘made in Europe’.
Leading the Charge on Digital Regulation: The More, the Better, or Policy Bubble?

Abstract:For about a decade, the concept of 'digital sovereignty' has been prominent in the European policy discourse. In the quest for digital sovereignty, the European Union has adopted a constitutional approach to protect fundamental rights and democratic values, and to ensure fair and competitive digital markets. Thus, 'digital constitutionalism' emerged as a twin discourse. A corollary of these discourses is a third phenomenon resulting from a regulatory externalisation of European law beyond the bloc's borders, the so-called 'Brussels Effect'. The dynamics arising from Europe's digital policy and regulatory activism imply increasing legal complexities. This paper argues that this phenomenon in policy-making is a case of a positive 'policy bubble' characterised by an oversupply of policies and legislative acts. The phenomenon can be explained by the amplification of values in the framing of digital policy issues. To unpack the policy frames and values at stake, this paper provides an overview of the digital policy landscape, followed by a critical assessment to showcase the practical implications of positive policy bubbles.

We discuss some policy concerns surrounding the data economy, such as concentration in the data economy, anticompetitive business practices in the data economy, access to data and data sharing, data reliability, distributional effects of the data economy, and cybercrime. Moreover, we provide an overview of some important EU legal initiatives and reforms and clarify how the papers in this special issue contribute to assessing these initiatives from an economic point of view.

Abstract:<p>This paper reviews the Academic Entrepreneurship literature according to the emergence of powerful Digital technologies, providing an overview of the state of research and outlining a future research agenda about Digital Academic Entrepreneurship. One hundred and sixty-five journal papers were initially extracted from Scopus and their content was analysed for the paper selection process by two researchers in parallel, plus a third one in case of uncertainty. Finally, fifty-nine papers dealing with digital academic entrepreneurship and published in a variety of academic journals have been analyzed through a content and a bibliometric analysis. Findings show that literature on Digital Academic Entrepreneurship is really scant and dominated by unrelated research. Content analysis provides the emergence of four major research streams: 1) Digital Technologies for Entrepreneurship Education; 2) The "maker space movement" for Academic Entrepreneurship; 3) Digital technologies for discovering entrepreneurial opportunities; 4) Creating entrepreneurial competences in the Digital "University-based" Entrepreneurial ecosystems. The paper presents the first attempt to provide a comprehensive structured literature review of the disruptive role of digital transformation for the Academic Entrepreneurship. Despite the growing literature on Digital Entrepreneurship, this research area is still fragmented and undertheorized. More systematic and holistic studies, considering both the technological, economic and the social aspects of Academic Entrepreneurship are required.</p>

The European Legal Framework on Electronic Evidence: Complex and in Need of Reform

Abstract:More and more, “electronic evidence”, defined as “any of potential probative value that is manipulated, generated through, stored on or communicated by any electronic device”, plays an important role in criminal trials. This is not surprising given that most of the activities we take part in daily are captured in an electronic way, for example, our electricity consumption is registered electronically by smart meters, our smart mobile phones store information on our calls, messaging, Internet behavior, lifestyle choices, etc., all of which may have some potential probative value in a criminal trial. Apart from, or because of, its particular nature, electronic evidence is not necessarily linked to the same territorial jurisdiction as where an alleged crime would have taken place or is being investigated. This paper focuses on three aspects of this cross-border nature: (a) where it may be due to the information provider “recording” the information; (b) where the actual digital information is stored; (c) where the crime itself has a cross-border nature. This paper reflects on these three effects of this “cross-border” nature of electronic evidence when regulating electronic evidence in the criminal law process. This paper shows how current national and international legal frameworks are insufficient to meet with the current needs. Further it is argued that solving the current shortcomings is not merely a matter of introducing new agreements but is more complex, needing new theoretical frameworks and the collaboration of a large variety of actors.
