Abstract:This study explores the impact of Environmental, Social, and Governance (ESG) components, CEO characteristics, and organizational frameworks on the downside risk among Chinese firms. Our results show that higher ESG total/management (risk) scores are generally associated with a decrease (an increase) in downside risk. The Social and Governance elements of ESG relate positively and negatively to downside risk, respectively. CEO traits, such as overseas background and duality, have a positive impact on downside risk, while the age of the CEO exerts the opposite effect. Finally, state-owned companies or those audited by Big 4 accounting firms can mitigate downside risk.

Abstract:Corporate governance attributes have varying effects on risk taking when variables are examined separately. We study the effects of a large range of corporate governance attributes on risk taking using a comprehensive US sample. Our findings confirm that although there are certain characteristics that drive this positive effect such as compensation structure, there are those which have the opposite effect such as board‐level attributes. Our paper contributes to the broader literature on the relationship between corporate governance and risk in financial institutions, which are often overlooked in traditional studies. We shed light on the importance of studying corporate governance at a granular level rather than using a single index. The findings offer insights to regulators in determining suitable corporate governance frameworks to ensure the protection of investors rights in financial institutions.

Abstract:We provide evidence on the effect of corporate governance on the extent of corporate risk-taking. Provided by the Institutional Shareholder Services (ISS), our governance metrics are among the most comprehensive in the literature. Our results show that firms with more effective governance exhibit corporate strategies that are significantly less risky. Left to their own devices, managers tend to take excessive risk. Effective governance, however, reduces the degree of risk-taking significantly. Exploiting the passage of the Sarbanes–Oxley Act of 2002 as an exogenous shock that improves governance quality, we show that the effect of corporate governance on risk-taking is likely causal.

Abstract:We analyse the impact of firm-level corporate governance practices on the riskiness of a firm’s stock returns in a setting that can be considered as less conducive to managerial risk-taking. Our empirical evidence, based on a comprehensive sample of New Zealand firms, shows that firms with large boards are associated with lower levels of risk-taking, ceteris paribus. Furthermore, our results indicate that multiple large shareholders facilitate higher levels of risk-taking by the firm. Finally, our results also show that concentrated shareholdings of inside directors have a negative relation to risk-taking. Our findings are robust to controls for the three potential sources of endogeneity. Since prior work documents results consistent with the view that institutional and market environments largely determine governance outcomes, our work has implications for managers, investors and policy makers, particularly in less developed capital markets with weaker corporate takeover regimes and less performance-oriented managerial compensation.

Abstract:The present study investigates the relationship between corporate governance (CG) mechanisms and the financial risk and performance of the companies enlisted in the Refinitiv ESG Database. The study drew on the agency theory of CG. It evaluated the effect of board diversity (BD), board independence (BI), CEO duality (CEOD), and gender diversity (GD) on financial risk (FR), comprising of credit (CR) and liquidity risk (LR) and financial performance (FP) measured by returns on asset (ROA) while controlling for firm size, age, and tangible assets. Data is obtained from 2009 to 2019 for panel data regression analysis. The study utilized the Hausman test for model specification. The findings specify that the size of the board positively and significantly impacts FR and FP. Gender diversity negatively and significantly affects credit risk and FP. Board independence positively and significantly influenced FP. The study provides significant implications for scholars and practitioners.

Abstract:This research focuses on how market sentiment affects corporate governance in the Chinese market. The sample covers the years from 2014 to 2023. Market sentiment is estimated using a cross-sectional absolute deviation (CSAD) model, and earnings quality is used as an indicator of the consequences of corporate governance. Both mutual fund shareholding and the number of firm visits by mutual fund analysts are verified as effective corporate governance instruments that work well in a regular market but become ineffective when the market sentiment is high. The reason for this is that managers' expectations change, and they may believe that disclosing good news during high-sentiment market periods significantly increases the share prices and helps them meet their performance requirements. In a high-sentiment market, an incentive contract encourages managers to take on projects with inappropriate risk or even manipulate earnings. One potential solution is to adopt venture capital firms' high-water mark and clawback clauses to prevent managers from focusing on short-term goals rather than seeking long-term business sustainability.

Abstract:Corporate finance theory indicates that risk management increases firm value by reducing expected costs of financial distress, agency costs,expected taxes,etc.The paper provides evidences on the hypothesis with the empirical research in China.By a regression model analysis,the data suggest that firms with less coverage ratio,larger leverage ratio,faster growth rate,and more management share ownership, will pay more on risk management.However,the data also show that the firms with higher distress cost do not pay attention on risk manage- ment,which is contradicting to the financial theory.The author believe that should be contribute to the protection by local government,and very few listing firm in China go bankrupt,even if they have large negative net assets.In the long run,the protection offered by the govern- ment will destroy the firm' s competitiveness and thus reduced the firm value.

Abstract:We use the difference-in-differences (DID) method to investigate the impact of strong financial regulation on corporate risk-taking via the issue of a capital control policy. Using a natural experiment, we find that strong financial regulation reduces both agency costs and risk-averse behavior among managers, which translates into an increased willingness to engage in high-risk investments. Our results provide evidence that strong financial regulation promotes corporate risk-taking. This positive effect persists after a series of robustness tests.

Abstract:This study analyzes the impact of corporate social responsibility (CSR) fulfillment on corporate risk-taking to assist stakeholders in identifying the “double-edged sword” role of CSR activities and provide empirical evidence for enterprises to properly carry out CSR activities. The results show that the self-interest instrumentalization of CSR activities intensifies agency conflict, and CSR fulfillment weakens risk-taking to a certain extent. When CSR fulfillment reaches a certain value, CSR activities can improve risk-taking. Then, CSR fulfillment and risk-taking show a U-shaped relationship. Further analysis shows that the impacts of CSR on debt financing and R&D input reflect the U-shaped effect pathways of CSR fulfillment on risk-taking. Finally, it is suggested that CSR activities should be avoided to become the “self-interest tool” of the management. The regulators guide enterprises to break through the inflection point of the U-shaped effect and consider more for the stakeholders’ overall interests. Additionally, the regulators establish an effective compensation system to ensure that the enterprises with adequate CSR fulfillment obtain high-quality capital resources and promote the sustainable development of the capital market.

Abstract:The previous literatures focus on gender identity theory to study the relationship between manager gender and corporate decisions, which ignore the gender roles theory.This paper theoretically analyzes the difference between male CEO and female CEO in corporate risk-taking, and takes listed companies in Chinese A-shares as research objects to discuss the applicability of gender identity theory or gender role theory on the gender differences in corporate risk-taking.We find that corporates with female CEO are more corporate risk-taking and the positive relationship between female CEO and corporate risk-taking is more significant in non-state owned corporates.The results suggest that gender roles theory is more applicable in corporate risk-taking research, which provide deeply understand and enlightenment for the relationship between CEO gender and corporate risk-taking.
Does Corporate Governance Matter More for High Financial Slack Firms?

Abstract:The effect of corporate governance may depend on a firm’s financial slack. On one hand, financial slack may be spent by managers for their private benefits; a high level is likely associated with severe agency conflicts. Thus corporate governance matters more for high financial slack firms (i.e., the wasteful spending hypothesis). On the other hand, financial slack provides insurance against future uncertainties; a low level may signal deviations from the best interests of shareholders. Then corporate governance is more effective for low financial slack firms (i.e., the precautionary needs hypothesis). We differentiate the two hypotheses using the passage of antitakeover laws to identify exogenous variation in governance. Consistent with the wasteful spending hypothesis, the laws’ passage has a larger negative impact on the operating and stock market performance of high financial slack firms. Further analysis shows that these firms do not invest more but become less efficient at cost management after the laws’ passage. This paper was accepted by Wei Jiang, finance.

Abstract:This study explores the relationship between a company’s Environmental, Social, and Governance (ESG) performance, and corporate risk. Moreover, the study emphasizes how CEO power moderates this relationship. Using a sample of Chinese A-share listed enterprises from 2011 to 2018, it is found that better ESG performance can reduce firms’ risk. The negative relationship between ESG performance and corporate is stronger for the company with greater CEO power. This link is weaker for state-owned firms and stronger for firms with lower institutional investor holdings. Furthermore, ESG performance mainly affects enterprise risk through three channels: firm reputation, information transparency, and internal control. Generally, firms with better ESG performance are more likely to have sound risk management frameworks. Our findings provide empirical evidence for implementing an ESG information disclosure system and promoting responsible investment in the capital market.

Abstract:This study aims to examine the impact of internal corporate governance mechanisms on insurance companies’ risk-taking in the UK context. The study uses a panel data of all listed insurance companies on FTSE 350 over the 2005-2014 period. Multivariate regression techniques are used to estimate the effect of internal corporate governance mechanisms on insurance companies’ risk-taking. The results show that the board size and board meetings are significantly and negatively related to risk-taking. In contrast, the results show that board independence and audit committee size are statistically insignificant but negatively related to risk-taking. The findings are robust to alternative measures and endogeneities. The findings have important implications for investors, managers, regulators of financial institutions and effectiveness of corporate governance reforms that have been pursued. Investors may further rely on internal corporate governance attributes to form expectations about risk-taking behaviour. Insurance companies need strong governance, as well as effective accounting and financial reporting standards, to enable proper insights into the company’s financial position. This study contributes to the corporate governance literature and creates significant evidence regarding the role of corporate governance in constraining risk-taking behaviour in an industry with significantly complex context.

Risk-Taking, Opportunistic Earnings Management and Corporate Opacity: Evidence from China

Abstract:This paper examines the effect of corporate risk-taking on the opportunistic earnings management and corporate opacity. Using a large sample of Chinese stocks spanning the period 2007-2015, we find that corporate risk-taking is positively related to both accrual based - and real transaction-based earnings management. We also find a statistically significant and positive association between corporate risk-taking and corporate opacity. We further make several additional tests which find: First, we find that the high leverage and capital expenditure are the main forms of corporate risk-taking in above relationships. Second, we find that corporate risk-taking is positively related to all forms of real transaction-based earnings management. Finally, we document that the positive effect of corporate risk-taking on opportunistic earnings management and corporate opacity is more pronounced for firms who have over-confident managers. Our all findings remain robust to alternative sensitivity checks.
Effect of C-Suite Members’ Social Network Capital on Tail Risk

Abstract:The purpose of this research is to analyze the impact of the CEO’s and CFO’s social network capital on tail risk. The CEO and CFO are the most dominant members of the top management team. Relationships between the CEO, CFO, and a firm’s stakeholder groups (shareholders, employees, customers and suppliers, society, the environment, and government) form to create a social network that can evolve into social capital. I tested whether the CEO and CFO, with high social capital, can reduce the probability of their company stock persistently landing in the bottom 10% of yearly returns. Various stakeholders in the hierarchy of a social capital network can contribute to this prevention. I found the CFO total connections variable significant in the base model, the overall model, and several subsample models. The interesting result was that CFO and CEO total connections were significant with market risk but not idiosyncratic risk.
Corporate Risk-Taking, Opportunistic Earnings Management and Information Opacity: Evidence from China

Abstract:This article examines the effect of corporate risk-taking decisions on opportunistic earnings management and information opacity. Using a large sample of Chinese stocks spanning the period 2010-2018, we find that corporate risk-taking is positively related to both accrual-based and real transaction-based earnings management. Additionally, the study finds that the concealment of material information regarding risky investments in various accrual accounts leads to decreased transparency in financial statements, thereby increasing information asymmetry between insiders and outsiders. Furthermore, we document that the positive effect of corporate risk-taking on opportunistic earnings management and information opacity is more pronounced for firms that have overconfident managers. The results of this article extend the application of agency theory on explaining corporate risk-taking decision from ex-ante to ex-post, highlight managerial opportunism and opaque information as potential costs of corporate risk-taking, and provide an explanation for the existence of Bowman's paradox.

Abstract:A superlative combination of the Board of Directors (BOD) with diverse members is considered a sign of a good governance structure. Meanwhile, the key decision taken by BOD to make organizations profitable is the capital structure with the optimal mix of debt and equity. Unfortunately, previous literature has reported this relationship with a mixed trend, which may be due to research gaps in the statistical analysis. Moreover, it also shows that the relationship between them has not yet been fully predicted and can still be completely understood. This study contains time-variant and time-invariant variables, and these variables usually have an outlier's problem. As we know that the OLS estimators are more sensitive to react adversely to this problem, yet we have not received enough evidence from similar researches that cares about it. Consistent with these arguments, this study focuses primarily on exploring the influence of corporate governance structure and the capital structure on firms' market-oriented and accounting-based performance, especially with the contemplation of outliers. Hypotheses have been evaluated using M-estimators and S-estimators of robust regression for 45 listed firms for the period from 2013 to 2017. The findings reveal that the governance structure of firms with BOD, independent director, institutional investors, audit committee and female directors accelerates its performance. Further, we find that the leverage ratio improves accounting performance, but it has a downward impact on the share prices of listed firms. Our study contributes to the prevailing literature by proving that the kind of governance structure that based on diverse expert members and a capital structure with a high volume of debt is of utmost importance to the performance of firms as a whole.
