Religiosity, Higher Purpose, and the Effectiveness of Intense Board Oversight

Abstract:Using a novel measure, we show that directors who attended religious-affiliated tertiary institutions significantly enhance the well-known active board oversight benefits—e.g., better accounting earnings quality and less excess CEO compensation. More strikingly, they take a characteristically longer-term perspective on CEO performance evaluation, which, in turn, prevents reductions in long-term investments and preserves firm value. The oversight-benefits-enhancements are more salient when the directors also have significant power or influence but non-existent when board oversight is passive. Our results highlight that directors’ attributes matter and active corporate board oversight may not always be ruinous for strategic long-term investments and firm value.
