Reflection of the Banking Crisis Management in China from a Legal Perspective

Abstract:We can't deny the fact that banks play a key role in our society, while it is impossible to avoid banking crisis even under the strictest supervision. The current legal system in China for banking crisis management is imperfect. It lacks both sufficient means to resort to, and enough protection for individual depositors in case of a crisis. The main practices in foreign developed countries are the lender of last resort (LOLR), the deposit insurance system and Market-withdrawal system. LOLR aims to save the banks which run into payment crisis temporarily. Usually this operation is performed by a country's central bank. The deposit insurance system is designed to divert the risk. Once a bank crisis occurs, the deposit insurance institution will repay the depositors' deposit in certain proportion. In order to make banks adaptable to market competition, we should enact banks market withdrawal legislation.We need to improve our bank crisis management mechanism in following aspects: (a) improving the restructuring mechanism; (b) constructing the emergency measures; (c) improving the merge and bankruptcy system; (d) reforming the lender of last resort system; and (e) establishing the deposit insurance system as soon as possible. We need to enact detail rules to regulate the take-over system, including the definition, precondition, object, terms, limitation and redress of the take-over action. Apart from take-over system, we should form certain short-term contingency plans. Banks tend to merge to improve their competitiveness and some of them can't avoid bankruptcy in market economy, so we should enact relevant laws and regulations. Since abuses of LOLR system will result in disrupting the market competitive system and lead to moral hazard, it is necessary to formulate strict standards in order to apply LOLR system cautiously. The deposit insurance system, which has proven satisfactory in western developed countries for decades, needs to be established in our country as soon as possible.

Abstract:Legal textbooks are the primary carrier of the disciplinary system, academic system, and discourse system of law. They systematically present and reflect the development achievements of the disciplinary system, academic system, and discourse system of law, and directly determine the overall structural arrangement and priorities of law teaching. Overall, the dichotomization of legal textbooks into the sub-systems of basic law and departmental law has lagged behind the progress on socialist rule of law with Chinese characteristics, and the system of textbooks relying on this traditional academic division is also in need of further improvement and reform. “Law-related,” “jurisprudence-related,” and “rule-of-law-related,” the three relatively independent but closely linked sub-systems of legal textbooks can better reflect the current evolution of the rule of law system in China. China’ s legal textbook system should be improved in terms of promoting the development of the main textbooks on law, vigorously promoting the development of textbooks on emerging disciplines and inter-disciplinarity, and courageously innovating the content and form of textbooks.

Abstract:China's new bankruptcy law does not resolve the problem of judicial confirmation to the reconciliation outside the court.China's mainland and Taiwan have the same origin,the same historical tradition and cultural background.Therefore,China's mainland bankruptcy law can draw reference from the Chamber of Commerce reconciliation system of Taiwan region's bankruptcy law.Of course,in constructing the Chamber of Commerce reconciliation system,we should prevent the malpractice from Taiwan 's system,regulate the related to the reconciliation system outside the court,strictly control the application,and give creditors adequate relief means.

Abstract:In this article, we review the literature on the recent growth of corporate debt in China and present stylized facts on the evolution of debt composition, nonperforming loans, defaults, and bankruptcy filings. We then describe the legal and political institutions that characterize the system for restructuring and liquidating financially distressed firms, including recent reforms of China's bankruptcy law. Finally, we discuss the main challenges faced by China in the implementation of these reforms, including frictions in judicial enforcement.We also propose potential avenues for future research.

Abstract:In recent years, the need to enact a personal bankruptcy system has become progressively urgent in China. With increased social acceptance, the practice of personal debt solutions in local courts has been booming. The promulgation of the Personal Bankruptcy Ordinance of the Shenzhen Special Economic Zone in 2021 is an important event of epoch‐making significance in China's bankruptcy legislative history. The revision of the Enterprise Bankruptcy Law 2006 has been included in the legislator's working plan. Whether a personal bankruptcy system could be introduced during the revision has become a major focus. The challenges to personal bankruptcy legislation in China include the public concern that debtors abuse the system to evade debts; the judicial pressure caused by too many cases; and the lack of an out‐of‐court mediation mechanism. The personal bankruptcy system is one of the most inconsistent legal fields in the world. China's future personal bankruptcy law will confine its discussion to the subjects of law, bankruptcy discharge period, and regulation of debtors' debt evasion. Legislators should refer to the advanced legislative experience and set up the personal bankruptcy system by combining it with China's national situation.

Abstract:Cross-border insolvency issues are a domain attracting much concern from international community and various countries in the process of economic globalization,how to resolve these problems by legislation has already been paid much attention to by various nations.Current reforms of cross-border insolvency law in the USA,which are changes from Article 304 of Bankruptcy Code of 1978 to Chapter 15 of Bankruptcy Code of 1978,shows that USA has been made drastic adjustment in cross-border insolvency legislation,and leads new tendency of cross-border insolvency legislation.As one of the strongest powers,the reform of the American cross-border insolvency law will have remarkable impact on other counties' legislative reform.Accordingly,study on the reform of American cross-border insolvency law will help to the improvement of Chinese cross-border insolvency system.

Abstract:We compare China's financial system to those of the developed countries, in particular, the US system dominated by financial markets, and the German system dominated by the banking sector. We examine financial systems' properties, including risk sharing, information provision, funding new and mature industries, financial crisis, corporate governance, and the relation between the financial and legal systems and economic growth. We find that there are many fundamental differences between China's financial system and the US system, and simply adopting the US system is not optimal. Understanding the German system and reform China's banking system should be as important as developing US-style financial markets. Our findings also suggest that China differs from most countries studied in the law, finance, and growth and comparative financial systems literature: Despite its poor legal and financial systems, it has the largest, and one of the fastest growing economies in the world. We find that there are effective, informal financing channels and governance mechanisms to support the growth of various firms in the economy. Therefore, it may be best for China to develop its existing financial system, and to ensure that the informal financing channels and governance mechanisms continue to work along with the development of the legal and financial systems.

Abstract:Modern system of Bankruptcy Law mainly consists of check-count system,reconciliation system and reorganization system.With the system reconstruction of our Bankruptcy Law,the question how to design the relationship between check-count system and reconciliation system projects gradually.There are two legislative patterns on it in the world:reconciliation-preposition doctrine and reconciliation-separation.On the basis of criticism on relative regulations and in the light of our current national situation,this thesis suggests that we should have the reconciliation-preposition doctrine as a fundamental principle to design the relationship between check-count system and reconciliationpreposition doctrine,and then safeguard social public benefits better.

Abstract:The topics of laws and finance have attracted widespread academic interest. We investigate whether and how bankruptcy judicial system reform affects corporate financial litigation risk using the unique litigation data disclosed by Chinese listed companies. The results show that the bankruptcy judicial system reform positively reduces the corporate risk of being sued in financial disputes. Further research shows that the association between bankruptcy judicial system reforms and corporate financial litigation risk is more pronounced for firms with greater economic policy uncertainty and market competition. We also find that the bankruptcy judicial system reform increases the threat of bankruptcy, thus stimulating corporations to implement steady business strategies and increase their cash holdings. These measures reduce the risk of corporate financial litigation. This study emphasizes the role of the bankruptcy judicial system reform in regulating the behavior of listed companies.

Abstract:Bankruptcy reorganization is a legal mechanism through which firms in distress get out of financial distress.Based on the economic theory of law enforcement,this paper chose the reorganization event of Baoshuo Co.,Ltd.to study the efficiency of bankruptcy reorganization of listed companies after the new bankruptcy law was enforced.The research shows that although Baoshuo Co.,Ltd.temporarily avoided bankruptcy liquidation by taking advantage of the restructing mechanism,its reorganization procedure as a whole was not efficient.The enforcement of the new bankruptcy law deviated from the original expectations of legislation,and the relatively less favorable environment of law enforcement resulted in dissimilation of stakeholders' objective functions and game behaviors,and thus the less efficient reorganization.This paper reveals a typical path through which a less favorable environment of law enforcement restrains the efficiency of bankruptcy reorganization,and finally,it puts forward some policy suggestions about enhancing the efficiency of reorganization.

Abstract:The existence of the possibility that secured creditors and the owners of a cor- poration can make use of the priority position and the limited liability to exploit the involuntary unsecured creditors make the priority of secured creditors unjustified.However,empirical re- searches show that both in Germany and in the US there is barely any case in which a corpora- tion turns bankrupt on account of involuntary unsecured debt.The reason may lie in the fact that in these countries the enforcement of security interests in bankruptcy is limited.By con- trast,the Chinese Bankruptcy Law offers an excessively strong protection for the secured credi- tor,which may lead to inefficiency and need to be amended.

Abstract:In this paper, we rely on an exogenous shock to examine the impact of bankruptcy judicial reform on firms' trade credit financing. We employ a staggered difference-in-differences design based on the introduction of bankruptcy courts in China and find that the implementation of bankruptcy judicial reform significantly reduces firms' trade credit financing. Mechanism tests reveal that improved judicial efficiency increases the risk perception of local firms, which discourages trade credit financing. Heterogeneity tests show that the above effect is more pronounced in firms with higher bankruptcy risks, firms with state ownership, and in regions where bankruptcy administrators have been established. Conversely, higher supplier concentration attenuates the inhibitory effect of bankruptcy judicial reform. Further analyses show that the reform mainly reduces firms' trade credit provided by customers and the trade credit with financial attributes. In addition, the reform lowers the sales of firms' suppliers but does not affect their earnings performance, while customers benefit from the reform as their earnings increase while sales do not change significantly. The findings of this paper shed light on the impact of bankruptcy judicial efficiency on corporate financing structure, and provide policy implications for promoting the construction of China's bankruptcy rule of law and preventing financial risks.

Abstract:Bankruptcy reorganization is one of the important procedures for enterprises to maintain operational value and realize the hope of regeneration. The effective application of the reorganization system is of great significance for debtors to complete debt repayment and safeguard the legitimate rights and interests of creditors. However, in practice, the information asymmetry among stakeholders, the lack of creditor protection mechanism, and the conflict of interests of multiple subjects damage the legitimate rights and interests of creditors, and are not conducive to the bankruptcy and reorganization system to play its due role. In order to protect the legitimate rights and interests of the creditors of bankrupt enterprises and optimize the business environment, this paper puts forward targeted suggestions from the aspects of establishing an information disclosure system, improving the creditor protection mechanism, and improving the judicial active response mechanism, so as to help protect the rights and interests of creditors in the bankruptcy reorganization process. , so as to promote the further development of my country's economy.

Abstract:Through an introduction and analysis of the US system on secured interests in movables and especially in account receivables,this paper offers advices on how to improve the system of pledge of account receivables in China.It insists that the relevant system of China should be based on the civil law system,although the Uniform Commercial Code of the United States may provide valuable references.On the one hand,the concept of using the account receivables as collateral comes from UCC article 9,but the pledge of the account receivables is part of the civil law of the continental legal system;on the other hand,the relevant provisions of the UCC article 9,such as those governing registration and realization of the secured interests in the movables will be beneficial to us if adopted in China.

Abstract:Enterprises in China are changing to the modern corporations by reorganization. But some debtors used reorganization process to escape debts. Depending on the environment of Chinese court system, the established rules can't deal with the situation. The Supreme Court of China developed a new principle to meet this new challenge: “Principle of Debt Changing with Assets of Enterprise.” The analysis tells more details of how to use the principle and some problems of the principle. So the court should use the principle with caution.
