Abstract:With the current severe employment situation,it's inevitable that a part of graduates will become independent entrepreneurs.Government is trying to institute corresponding policy to provide useful and effective supporting system.But on the whole,the current policy is still not perfect.In order to guide and support the graduates' entrepreneurial act better,the institution of relative policy needs to draw lessons from successful business experience,for example,the experience of venture capital.The American venture capital's mechanism of startup,running and withdrawal is a successful model of business circles for supporting entrepreneurship,which will provide inspiration for the institution of the entrepreneurial policy for Chinese graduates in higher education,and will be conducive to setting up graduates' entrepreneurial venture capital mechanism with Chinese special features.

A Study of Incentive and Constraint Mechanism of Venture Capital Investment Institutions in China

Abstract:In order to solve incentive and constraint problems between capital providers and venture capitalists, venture capitalists and venture firms, venture capital institutions in developed countries like US have adopted limited partnership as main organizational form since 1980s. Rights and liabilities between limited partners and general partners in limited partnership of venture capital investment institutions are symmetric; limited partnership has fixed duration; and there are explicit contract provisions to constrain the behavior of general partners; there are also certain incentive mechanism provided for in limited partnership. All of above advantages of limited partnership, combined with advantages of general partnership firms, have circumvented sophisticated balance mechanism of corporate institutions, therefore, are more suitable for characteristics of venture capital investment. In addition, limited partnership has advantages of lower operation costs and more financing conveniences.At present, venture capital investment institutions in China are basically business corporate under public undertaking system, which not only makes it difficult to resolve property rights agency relationship between venture capital providers and venture capitalists, but also bears disadvantage of higher operation costs incurred by information asymmetry between agents and principals. Therefore, main solution to incentive and constraint problems between venture capital providers and venture capitalists is to establish limited partnership system, which is also one of urgent tasks of venture capital investment institutions in our country at present. Firstly, legal barriers which would affect the establishment of limited partnership system of venture capital investment institutions such as those found in General Rules of Civil Law, Partnership Enterprise Law, Insurance Law, Commercial Banks Law and Administration Measures of Pension Funds, must be overcome. At the same time, the building of two main subjects of limited partnership must be enforced.

Abstract:Due to the factors of asymmetric information and inconsistent interests, venture capitalists and venture entrepreneurs have the problem of principal-agent relationship. This paper mainly explores the design arrangements of four transaction structures, namely, phased financing, choice of financial instruments, corporate governance structure and gambling agreement, and their local practices in China. The analysis results show that due to the imperfectness of our legal system, the immaturity of the capital market environment and other objective conditions, some good system designs, such as convertible equity and gambling agreements, are facing many difficulties in their implementation. Therefore, even though China’s current venture capital is developing rapidly, the interests of China’s venture investors have not been properly protected and venture entrepreneurs have not received sufficient incentives and supervision. If the current situation is not changed, it will be unfavorable to the development of China’s venture capital industry in the long term.

Abstract:The paper has been structured venture capital supportive environment index system,which includes first-degree index,i.e.economic environment(EE),scientific and technological environment(STE),government supportive policies environment(GSPE) and 21 two-degree index.Through factor analysis,the paper divides this supporting environment of VC into five core factors such as the development level of economy(DLE),the development pattern of economy(DPE),the corporation leading STE(CLSTE),the government leading STE(GLSTE) and the government supportive policies synthesis level(GSPSL).Using the structural equation modeling(SEM),the empirical analysis results show that,the CLSTE and the GSPSL have direct effects on the development of VC,and the DLE and the CLSTE,the DPE and the GSPSL interact to promote the development of VC.Therefore,in order to develop VC,it must optimize the EE,cultivate the CLSTE and perfect the GSPSL.

Through analyzing the governance efficiency of the limited partnership, the paper comes to the conclusion that other organizational arrangements could simulate the characteristics of the limited partnership in different law context. Abstract:Venture capital plays a vital role in boosting economic growth by providing an inexhaustible impetus for economic innovation and development. We use all the joint venture capital events of Chinese listed companies in the past 10 years to describe the characteristics of the joint venture capital network structure, identify the dynamic evolution characteristics of the community, and introduce random attacks and deliberate attacks to explore the resilience of joint venture capital cooperation. The study finds that the joint venture capital network in China has expanded in scale, with an increasing number of participants and a diversified investment industry. However, the connection between members within the network remains relatively loose, indicating fragmentation and a need to improve network quality. The community structure of core members is significant, with evident differences in scale. The network exhibits weak robustness, relying heavily on key enterprises and demonstrating a poor ability to resist external interference. The study proposes countermeasures and suggestions for optimizing the network structure of joint venture capital, aiming to enhance the environment and performance of joint venture capital and promote the high-quality development of China’s joint venture capital market.

Abstract:The situation of domestic and foreign financial markets is turbulent. How to effectively guide residents to make financial investment, improve the quality of financial investment and prevent investment risks is a very important topic. Venture capital is a kind of investment behavior which aims to promote the commercialization of high-tech achievements as soon as possible in order to obtain high capital returns. Venture capitalists should not only invest capital, but also play their long-term accumulated experience and knowledge as equity owners, and use the information network to help enterprise management. This paper studies the avoidance method of risk investment through the analysis of risk investment cases. Through the study of the failure cases of venture capital, it is found that the problems of venture capital mainly appear in the failure of technology commercialization, internal disputes of equity, defects in business model, and fierce competition environment. The study suggests that when using high-tech venture capital, technical research must follow the commercial model. All rules and systems of shareholder cooperation are very important, such as equity distribution, entry conditions, exit mechanism, conflict resolution mechanism, profit distribution, etc. When an enterprise introduces investors or engages in financing, it must design the basic path to control the control of the company. Otherwise, once you lose control of the company, it will be difficult to return. Also, venture capital should have a clear understanding of the business model, keep up with the changing sales environment, and understand people's needs to make venture capital.
