Abstract:The introduction of ethical factors in decision-making activities is beneficial to adjusting the relationship of enterprises and their stakeholders,strengthening their core competitiveness,and promoting social harmony and progress.This paper reviews research results of west scholars,which are built from psychological and behavioral aspects,and raises ideas to build a decision-making model of ethics in enterprises based stakeholders from the perspective of management science.And it builds the decision-making systems from aspects of the major stakeholders in society,the secondary social stakeholders,the main non-community stakeholders and the secondary non-community stakeholders,and establishes the practical mathematical model to analyze an example.Finally,it draws some conclusions and puts forward suggestions.

Abstract:Shareholder -supremacies are the core of corporate governance in Anglo-Saxon system.Some management paradoxes emerged because this thought has been neglecting the stakeholders' claims.The stakeholder theory,however,argues that whether or not a firm can survive and develop depends on how effectively it deals with various stakeholders,among which shareholder is just one.In the era of new economy characterized by knowledge,information and globalization,the stakeholders' participation determines the corporate performance.In this context,it is argued that enterprises should abandon shareholder -supremacies,focus on fostering and developing human capital value of employees,and satisfy stakeholders' interests appropriately.

Abstract:Based on the stakeholders theory,corporate social responsibility that an enterprise should take for its stakeholders may have some effects to the enterprise′ value.This paper selects 11 typical indicators of social responsibility and 2 indicators of enterprises′ value by Mandatory Factor Analysis.And this paper takes sample data of 328 listed companies from Shenzhen and Shanghai Exchange from the year 2008-2010,and constructs the Structural Equation Model to examine the relationship between the value of corporations and their social responsibility by running SPSS 16.0 statistic software and LISREL 8.7 SEM software.The results show that the enterprises′ social responsibilities to the shareholders,employees,government,consumers,and creditors have a positive correlation with the enterprises′ value.But the influences are quite different between them;the responsibility to the shareholders influences the enterprises′ value most.In addition,the enterprises′ social responsibilities to different stakeholders are interrelated.

Abstract:The"stakeholder"theory describes the relation between enterprises and other social bodies,but it has not made clear the nature of various relations. If we consider it as the evidence for defining enterprise ownership,we'll confound the subjects and objects of all kinds of property rights,reverse the statuses and roles of ownership and contract relationship,and be confused about the principle for dealing with specific economic relationship,which may lead to series of misunderstanding on property right theory. Alternatively,the stakeholder theory points out that enterprises depend on social support; they ought to deal with the relationship with other social bodies,especially the employees,in a proper way; and that they should give beneficial implication by improving management,having social sense of responsibility,and establishing normal market relationship. However,the interests inside socialist public ownership,which are the reliable foundation for constructing harmonious socialist society,have been far beyond the context of the"stakeholder"theory based on capitalism. It is ridiculous to prove the "stakeholder"theory by socialist relationship and its formation mechanism or to explain and deal with the inner relations inside socialist public ownership according to the theory.

Abstract:The stakeholder theory emphasizes that a corporation should not only seek maximal benefits for its stockholders,but also pay attention to the benefit of other stakeholders.The theory reflects new concepts on the essence of corporations and emphases on the value of human capital,and therefore meets the demands of economic democracy and proves to be of referential importance to the improvement of corporate management in China.In addition,this paper suggests that employees' participation should be practiced in the internal management of the corporation,and that the bank as the principal creditor should be allowed a limited access to the internal management,but not the suppliers,the consumers,the community and the government.

Abstract:The article,based on stakeholders' theory,builds the function diagrams between corporate social responsibility standards and competitive advantage.The result comes to three conclusions: Firstly,the enterprise wins a variety of competitive advantages by taking the corporate social responsibility of different stakeholders.Secondly,enterprises should take on more social responsibility than competitors and make the corresponding costs no more than profits.Thirdly,enterprises as an organic body,should identify key stakeholders and general stakeholders,and give priority to take on the social responsibility of key stakeholders to promote the formation of competitive advantage.

Abstract:With the development of economic globalization, corporate social responsibility has become a research focus. Firstly, based on Carroll's social responsibility theory, the scope of corporate social responsibility, including economic responsibility, legal responsibility, ethical responsibility and philanthropic responsibility (or self-responsibility), was defined. It is shown that corporate social responsibility is dynamic because of social expectation from its scope and basic elements. Then, this paper suggests that the implementation body of corporate social responsibility includes not only the enterprise but also the other stakeholders. It is concluded that corporate social responsibility is embodied in the effect of stockholders. Lastly, based on the above, an evaluation index framework of corporate social responsibility is put forward, which can provide support for measurement of corporate social responsibility.

Abstract:The construction industry plays an important role in promoting China's economic development, but it also brings a series of social problems. The social responsibility of construction enterprise has aroused widespread concern and is worthy of further study. Domestic scholars' research on corporate social responsibility usually stays in the broadest sense, and has not been specific to a particular industry. Through literature survey, conceptual analysis and comparative research methods, this paper defines the concept of the social responsibility of construction enterprise. Embarking from the stakeholder theory and combining with the characteristics of construction industry, we propose a five-dimensional model of the construction enterprise social responsibility, including employees, communities, the environment, property owners and subcontractors. Then, based on the literature study and practical understanding of construction corporation, this paper recognizes factors which affect social responsibility behaviors of constructing corporations, namely corporate strength and external pressures. Finally, considering the impact of the corporate life cycle, it shall be treated differently when we evaluate and manage the social responsibility of construction enterprise.

Abstract:The theory of corporate social responsibility holds that a company must not only fulfill its economic responsibility of making profits for its shareholders, but also undertake broad legal, ethical and philanthropic responsibilities. The notion of corporate social responsibility is most vulnerable to the argument that fulfillment of social responsibility will affect the companyâ??s financial performance and competitiveness, which will in turn undermine the efficiency of the economy at large. To find an answer to this question, this paper draws upon the logical core of the stakeholder theory to design a framework for analyzing social responsibility and enterprise long-term competitiveness. This framework is then used to examine the Mengniu case, and the results show that fulfillment of social responsibility is a fountain of enterprise long-term competitiveness, fulfillment of social responsibility may reduce short-term financial performance somehow, but it will greatly increase long-term financial performance and enterprise long-term competitiveness.

Abstract:Based on the stakeholder theory, the paper buids a relationship model among social responsibility of the enterprise behavior and the social responsibility of the enterprise internal and external effect by correlation analysis and regression analysis of the sample of China top 100 listed companies. The results show that the social responsibility of the enterprise effect follows the outside-inside path to influence the economic consequences of enterprise value so as to have enterprise fulfilled social responsibility.

Abstract:The traditional purpose of a corporation is to pursue maximized profit,and a corporation is only responsible to its shareholders.As corporate operations begin to have widespread influences on the society,corporate social responsibility (CSR) is being increasingly stressed.It is believed that corporations should have two identities as a legal person.They are not only entities in private law,but also true members of the society.Since corporations benefit from the society, they should also contribute to the society,i.e.,to bear their social responsibility.As the social aspect of the law looms large,private law (including commercial law) gradually shifts from individualism to socialism and requires people to pay attention to social environment and care for social interests.Therefore,the socialization of private law constitutes the solid legal foundation of CSR. CSR is one type of obligations a corporation owes to the society.It refers largely to social obligations required by law,moral obligations as well as obligations occurring during operations that are neither explicitly required by law nor of a moral nature.This last type of obligations is a problem that the board of directors needs to solve when it makes and implements business strategies. It is also a problem that requires solutions in both theory and practice. The beneficiaries of CSR are largely the same as the non—shareholder stakeholders of corporations. As the stakeholder theory poses the issue of CSR as one aspect of corporate governance, it makes it possible to realize CSR.Boards of directors should make necessary arrangements on the social consequences of corporate activities when they make and implement their business strategies. They must have an accurate understanding of the extent of their obligations in this respect and perform such obligations seriously.Directors' duty of care shall include not only to meet the corporations' revenue targets,but also to adjust the relationship amongst the corporation,its shareholders and other stakeholders and maintain equilibrium amongst various interests.Directors should primarily work for the long—term interests of all shareholders.Furthermore,they should also ascertain and respect other stakeholders and establish a harmonious and mutually beneficial cooperative relationship.
A Comparative Study on Corporate Reputation and Corporate Social Responsibility——Based on Stakeholder Perspective

Abstract:In recent years, it is a new angle to study the relationship of corporate reputation and corporate social responsibility.However, what is the relationship between corporate reputation and corporate social responsibility? The current domestic and foreign literatures did not give a clear answer as well. One of the point in is paper is that the theory of stakeholders is a reasonable theoretical basis for the analysis through reviewing and analyzing the concepts of corporate reputation and corporate social responsibility, combined two kinds of different research conclusions about the relationship between the two in the present literature. Thereby, it is from the stakeholders' perspective to compare and analyze the relationship between corporate reputation and corporate social responsibility. The results show that there are no obvious differences between corporate social responsibility and corporate reputation from stakeholders' perspective, and there are a lot of overlaps between the two. Therefore, these two concepts are not two separate concepts, but two sides of the same coin. Also, it means that the measurement and management of corporate reputation and corporate social responsibility are very similar, and the silimarity provides a theoretical basis for the two concepts of enterprise integration management.
