Abstract:Most recent studies on the emergence of family firms have focused on their social context,such as the firms' culture,ideas or traditions.These elements are also fundamentals of this study; although they are abstract explanations from social capital perspective and lack stringent and concrete economic evidence.This paper sets out for the first time how the formation of contemporary family firms in China is linked with core employee turnover and the behavior of these employees in then starting their own businesses,which is particularly important in a transitional economy.During the marketization and development of a modern economy,corporation competitiveness is usually embodied in its human resources,while core employees are the major foundation of such competitive advantage. For instance,in a customer-oriented trading company,key customer information is held by the sales-persons.Likewise,in a technology-oriented high-tech company,the technology personnel have access to its most valuable-asset-technological information.When an economy is in transformation,certain institutional barriers exist,(e.g. intellectual property rights or business secrets are not well protected by law),general barriers to start a business are low and the professional manager market is underdeveloped.This paper argues that under such conditions,companies have the tendency to operate as a family firm to prevent new competition from its former employees in the same industry,and such measures are regarded as a means of self-protection.The paper confirms the above conclusion with analysis of theoretical models as well as examples.The objective of the paper is to display the rationality of family firms in a transitional economy.If China is to establish modern institutions for business management with separate ownership and management rights,it will be necessary to protect business property rights,particularly in keeping business secrets safe from short-term personnel.The paper sets out original thinking linking‘start-up'and‘entrepreneurial management'-two important areas in business administration-as a way to explain the incentives of family firms in a transitional system .
