Does Good Corporate Governance Reduce the Information Content of Insider Trades

Abstract:This paper examines the role of corporate governance on reducing the information content of insider trading. Our evidence suggests that in firms with better corporate governance, insiders less likely utilize their private information advantage in their trading and correspondingly their trading has less impact on price informativeness and earns less abnormal profits. Our evidence further suggests that corporate governance plays the role beyond the insider trading policy and suppress the information content of insider trading in both restricted period and allowed period as specified in insider trading policy; corporate governance restricts officer trades more than director trades in terms of the information content; and corporate governance attenuates the adverse effect of insider trading on bid-ask spread.
