Interim CEO as A Firm Strategy: An Information Asymmetry Framework

Abstract:Interim CEOs have been adopted more and more often by firms around the globe. Drawing on CEO succession and information asymmetry literature, we argue interim succession is an active firm strategy under information asymmetry. Based on a sample of 5344 CEO succession events (including 352 interim CEO succession events) in Chinese listed firms from 2000 to 2016, we find that (a) interim succession is more likely to be used when firm strategic instability is high, (b) the relationship between firm strategic instability and interim succession is negatively moderated by a positive performance trajectory and predecessor CEO tenure, (c) internal candidates are more likely to be appointed as interim CEOs than external candidates, and (d) the likelihood of internal candidates being appointed as interim CEOs will be negatively moderated by their vice CEO experience and position variety.
