Abstract:Using 29 recent high level anti-corruption cases in China as a natural experiment, we examine the patterns in merger and acquisition (M&A) decisions and performance in Chinese non-state owned enterprises (non-SOEs) before and after the exogenous severing of political connections. We identify a set of listed related non-SOEs whose managers bribed or had connections, through past working and educational experience, with corrupt bureaucrats from 2005 to 2011. We document that, after the arrest of corrupt bureaucrats, corruption related non-SOEs lose their competitive advantages in the M&A market. We observe a significant reduction in the likelihood of conducting M&As and the ability to access local and state-owned targets for these firms. They pay a higher takeover premium and consequently have worse post-M&A performance. Our results are robust when we exclude bribing firms, and firms whose related corrupt bureaucrats are arrested within a year before the announcement of the M&A. Furthermore, the influence of anti-corruption events varies across regions that have different levels of corruption index and industries with different levels of government support and competition. Overall, our study provides direct evidence to the question of why firms seek to establish connections with government officials through bribery or personal connections, and we reveal the benefits and costs of such connections.
Corporate Philanthropy and Corporate Misconduct: Evidence from China

Abstract:This paper examines the association between corporate philanthropy and corporate misconduct. Using panel data from China, we find a negative relationship between philanthropic engagement and the likelihood of subsequent corporate misconduct. In addition, we find that the favorable effect of philanthropy on corporate misconduct is stronger when a company's philanthropic giving is more sustained, when a company is located in a region with a stronger external institutional environment, and when a company is not a state-owned enterprise. Our results suggest that companies engaging in philanthropy have incentives to enhance their reputations and build their relationships with stakeholders. Our research extends the extant literature on corporate misconduct by identifying a new antecedent relating to corporate philanthropy and provides valuable insights for practitioners in terms of how to assess and predict the link between corporate philanthropy and the likelihood of its subsequent misconduct.

Abstract:PurposeThis study aims to take advantage of the unprecedented anti-corruption campaign launched in China in December 2012 and examine the effect of improved public governance on tunneling.Design/methodology/approachThis study uses a sample of Shanghai and Shenzhen Stock Exchange listed companies from 2010 to 2014 and conduct regression analyses to investigate the effect of improved public governance attributed to the anti-corruption campaign on tunneling.FindingsThis study finds that the level of tunneling decreased significantly after the anti-corruption campaign, suggesting that increased public governance effectively curbs tunneling. Cross-sectional results show that this mitigating effect is more pronounced for non-SOE firms, especially non-SOE firms with political connections, firms audited by non-Big 8 auditors, firms with a large divergence between control rights and cash flow rights and firms located in areas with lower marketization.Practical implicationsThis study highlights the importance of anti-corruption initiatives in improving public governance and in turn reducing tunneling. This study provides important implications for many other emerging economies to improve public governance.Originality/valueThis study contributes to the literature on the role of public governance in constraining corporate agency problems and advances the understanding of the economic consequences of China's anti-corruption campaign in the context of tunneling.

Abstract:This paper investigates the impact of anti-corruption efforts on firms' cash holdings using detailed hand-collected data on the downfall of corrupt politicians in China from 2010 to 2015. We find that firms increase cash holdings after their local political leaders are investigated for political corruption. The effect is less prominent for firms with more investment and growth opportunities, and the anti-corruption measures increase the value relevance of cash. Results are robust to a battery of tests. Overall, our results reveal the causal relationship between anti-corruption efforts and firms' cash policy and support the precautionary effect of cash holdings.

Abstract:We consider the effect of anti-corruption at the corporate level, using the Eight-Point Austerity Rules (EPAR) in China as the natural experiment. The EPAR significantly decreases the sales of politically-connected companies, while the firms' profitability remains unchanged in the associated industries. The companies pass through the negative effects of the EPAR shock to the labor market by the layoff and the wage strategies. Furthermore, there exist the regional and the size heterogeneities. State-owned companies, who have the natural political connections, have weaker negative effect than politically-connected private companies. These empirical results are robust.

Abstract:While the literature has well-documented economic consequences of corruption on economic development, whether and how corruption affects corporate tax evasion is unclear. This study uses anti-corruption investigations in China as an exogenous shock to local corruption to identify the link between corruption and firms' tax evasion behavior in a difference-in-differences framework. We present strong evidence that the anti-corruption campaign has a negative effect on corporate tax evasion. One plausible explanation is that the anti-corruption campaign conducted by the central inspection team undermined the political umbrella of companies and increased the chances of local government-enterprise collusion being detected, thereby inhibiting tax avoidance. This effect is more significant among firms in provinces with high inspection intensity, firms in economically-developed regions, large firms and firms in politically-sensitive industries. Our findings enrich the existing studies on the economic and fiscal effects of anti-corruption campaigns.

Abstract:This paper examines the anti-corruption campaign in China as an exogenous shock using data on Chinese energy firms from 2010 to 2016. It conducts a quasi-natural experiment using a difference-in-differences model to examine the effect of anti-corruption policies on corporate environmental responsibility. Our findings show that the anti-corruption campaign makes energy firms improve their corporate environmental responsibility. The greater the degree of marketization in the province where the firm is headquartered, the larger the campaign's impact on corporate environmental responsibility. Furthermore, anti-corruption policies have a greater impact on firms with more financial resources and higher analyst coverage. The paper provides the regulator with several policy recommendations for improving corporate environmental responsibility.

Abstract:We exploit the public enforcement of the anti-corruption campaign across China to identify a causal role of political corruption in corporate takeover flows through a difference-in-differences (DID) analysis. We find that a reduction in corruption increases cross-region takeover activities by 40% and that deal volume more than doubles. Further analyses reveal that treatment effects are more evident for non-SOEs, politically unconnected acquirers, and acquirers that are less corrupt ex ante . We also show that the impact of the anti-corruption campaign is more pronounced in segmented cities where corruption practices are more entrenched. The reduction in corruption leads to higher bidder returns, improves post-acquisition performance, and markedly strengthens local economic development. The evidence indicates that the anti-corruption campaign was effective in attracting inbound corporate investments and supporting economic growth.

Abstract:We study whether greater social trust is associated with a lower incidence of corporate misconduct. Both social norm and network theory suggest that social trust can affect managerial behavior and reduce the likelihood of misconduct behavior. Consistent with this prediction, we find that social trust is negatively associated with corporate misconduct behavior. Moreover, we show that, when media coverage is higher, the negative relation between social trust and corporate misconduct behavior is more pronounced. Further analyses suggest that social trust can help mitigate both disclosure-related and nondisclosure-related misconduct.
Anti-corruption campaign, political connections, and court bias: Evidence from Chinese corporate lawsuits

Abstract:This paper establishes the presence of political corruption in court and identifies a novel channel—interfering with court decisions—through which local corrupt politicians provide political favors for politically connected firms. Using a unique data set of 11,238 commercial lawsuits involving Chinese listed firms, we examine how China's recent anti-corruption campaign, one of whose goals is to combat political interference in the courts, affects court advantages of politically connected firms. We find that connected firms' win rates dropped by 6.3% after the anti-corruption, suggesting that the campaign stopped corrupt politicians transferring 1.8% of total monetary amounts of commercial disputes from unconnected to politically connected parties by influencing trials. The effect is more salient for firms connected to more powerful officials, noncontract-based cases, lower-level courts, regions with weak legal environments, and courts that depend more on local government. Moreover, anti-corruption promotes a better judicial environment, not only improves the quality of judicial decisions, but also boosts public confidence in the judicial system, and encourages firms to settle conflicts through court. Finally, we explore the campaign's broader economic influences and find that after the campaign, cities with initially poorly functioning judiciaries gained more investment, employed more labor, produced more output, and attracted more new firms, particularly in those industries with high contract intensity. Overall, the anti-corruption campaign significantly improved the judicial and economic environment in China.

Real effect of anticorruption on acquisition premium: Evidence from China

Abstract:Anticorruption is a prevalent global phenomenon and has yielded many good results. This study empirically tests the real effect of China's anticorruption on corporate acquisition premiums and explores its mechanisms. We find that after the exposure of and crackdown on corrupt provincial officials, firms without political connections had lower mergers and acquisitions (M&A) premiums than those with political connections. Cross‐sectional test results show that when firms are private or in areas with high marketization, the anticorruption event has a greater impact on their acquisition premiums. The channel test demonstrates that anticorruption reduces the value of political connections and improves the negotiation advantages of nonpolitically connected firms, enabling them to pay lower M&A premiums. Our findings indicate that anticorruption can create a considerably fair business environment. Moreover, we confirm the real effects of anticorruption on the distortion of resource allocation at the firm level. Finally, the results of this research have policy implications for the world's largest emerging market.

Abstract:Taking advantage of China’s vigorous anti-corruption campaign implemented in 2013, this study examines the impact of anti-corruption activities on the corporate environmental responsibility (CER) performance of listed Chinese enterprises from 2010 to 2016. The empirical analysis employs a Difference-in-Differences design to identify the causal effect by using the anti-corruption campaign as an exogenous policy shock. Results indicate that China’s unprecedented anti-corruption campaign launched in 2013 significantly improves the CER performance of high-corruption enterprises. Such an effect is most evident for state-owned enterprises, especially local government-owned ones and those in pollution-intensive industries. These results remain after a series of robustness tests. The mechanism results suggest that the promotion effects of the anti-corruption campaign on CER performance can be achieved through environmental regulations, corporate rent-seeking, and innovation behaviors. Moreover, anti-corruption improves the profitability of enterprises, but the effect is significantly offset by increased CER activities.

Abstract:To bolster its legitimacy, China's authoritarian regime has launched numerous anticorruption campaigns. Many of these anticorruption campaigns seemed tainted by intra-elite competition and only effective at deterring low- and mid-level cadres (i.e., 'flies'). Yet, Xi's campaign differs notably from previous ones in his targeting of senior officials (i.e., 'tigers') and introduction of institutional changes. By integrating anti-corruption data with three waves of nationwide surveys conducted in 36 major cities in China (2011, 2012, and 2015), we explore and compare the impacts of anti-corruption campaigns on popular political support under Hu and Xi. Our analysis shows that the overall popular support has declined steadily overtime, despite the positive effects of Xi's anti-corruption campaign. Specifically, ordinary Chinese did react positively to Xi's anticorruption campaign. Xi's campaign, particularly his crackdown on 'tigers,' increased people's trust in the central government. However, the campaign fell short in restoring the decline of central and local government legitimacy.

Abstract:We examine the targeting and motivations of the first phase of China's anti-corruption campaign under Xi Jinping (2012-2015). Combining data on officials' personal networks revealed during the campaign with biographical and economic data, we find evidence that the campaign indeed targeted corruption. In addition, individuals, networks, and geographic regions that departed sharply from meritocratic governance practices appear to have been a primary target, with higher rates of indictment. This is consistent with the party's own claim that the crackdown was designed to reduce corruption and strengthen party-led meritocracy. However, individuals with personal ties to Xi Jinping appear to be exempt from investigation while, individuals with ties to the other six members of the Politburo Standing Committee had no special protection. Taken together, these findings indicate that the crackdown served both its stated goal of strengthening the party and the unstated goal of consolidating Xi's power.

Abstract:We examine the impact of politically connected directors on accounting quality using a natural experiment in China. In October 2013, “Rule 18” was issued to prohibit government and party officials, who were concurrently holding public offices or had recently retired from such positions within the last three years, from serving as directors for publicly listed firms. The regulation is part of China’s anti-corruption campaign, and it has led to a large number of politically connected directors resigning from their roles as directors involuntarily. As such, Rule 18 has effectively weakened, if not fully discontinued, the political connections of the firms that previously hired government officials as directors. Our empirical analyses employ a difference-in-differences research design with firm fixed effects to examine the pre- and post- period accounting quality around the enactment of Rule 18. We find that, compared to propensity-score-matched control firms, the accounting quality of firms with politically connected directors increases after Rule 18, and that the effect is stronger for non-SOE firms than for SOE firms. We further examine the channels through which politically connected directors affect accounting quality. The evidence suggests that connected firms have better access to preferential financing and are under lax regulations, which reduce firms’ incentives to provide transparent information.

Abstract:Based on the difference-in-difference (DID) methodology, this paper empirically investigates the impact of the current anti-corruption campaign on the share of labour income in China. Using a firm-level data on Chinese corporations listed on Shanghai and Shenzhen Stock Exchanges from 2009 to 2015, we find that the campaign contributes to the rise in the labour income share, while there is considerable heterogeneity. The magnitude of the effect depends on firm's ownership and market power. This paper advances the existing studies examining the nexus between corruption and income distribution from a novel perspective.

As an important component of the anti-corruption campaign, in October 2013, "Rule 18" was issued to prohibit party and government officials from serving as directors for publicly listed firms. The regulation led to a large number of official directors resigning from their roles as directors involuntarily. As such, Rule 18 has effectively weakened, if not fully discontinued, the political connections of the firms that previously hired officials as directors. Our empirical analyses employ a difference-in-differences research design with firm fixed effects and PSM to examine the pre- and post- period FRQ around the enactment of Rule 18. We find that, compared to propensity-score-matched control firms, FRQ of firms with resigned official director increases after Rule 18. Further evidence suggests that the impact is stronger when firms are located in regions with more developed financial markets and in regions with higher judiciary efficiency. We also find that the effect is more pronounced when firms are non-state-owned, received preferential credits, and face refinancing pressure.
