Abstract:This study focuses on the determinants of board size and board independence during an economic transition in China. It contributes to the body of Chinese corporate governance studies by applying the most comprehensive analytical framework to the periods before and after the split-share structure reform. Both static and dynamic estimation methods have been used. Overall, the study found that Chinese board size and independence are jointly determined by the scope of operation, cost and benefit of monitoring, CEO's influence and other governance factors. Among these factors, the government was the most important player in constituting corporate boards before the split-share structure reform; after the reform, board independence became more important than other governance factors. In addition, when constituting corporate boards, private and market-oriented state enterprises are more concerned about cost than are government-controlled enterprises.

Abstract:While corporate governance continues to play an important role in economic development, corporate governance issues are more complex in transition economies than in the developed market economies. Consequently, policy makers in transition economies have been busy attempting to establish a sound corporate governance system in their countries. This study uses China as a laboratory to explore corporate governance issues, as China is not only the most populous economy in the world, it is also undergoing transition from a socialist to a market economy since 1978. The need for strengthening corporate governance in the country has become all the more pressing as rapid economic growth has transformed the economy since especially the 1990s. China experienced a watershed in corporate governance when the split-share structure reform was introduced. Hence, we analyse in this thesis the impact of this reform on board composition, firm performance, and firm risk over the period before and after the introduction of the reform. Firms are classified by ownership into central government, local government, state owned enterprise (SOE) and privately controlled firms based on ultimate controlling shareholders. The study deploys static and dynamic panel data estimation methods to examine the determinants of corporate board composition, relationships between corporate governance mechanisms and firm performance, and the relationships between corporate governance mechanisms and firm risk. The results show that Chinese corporate board composition is jointly determined by the scope of operation (resource dependent theory), monitoring (agency theory), bargaining (power theory), other governance mechanisms (stakeholder theory) and regulations (institution theory). The government was the most important player in constituting board composition before the split-share structure reform was introduced, but independent directors became more important than other governance mechanisms after that. Private firms and SOEs are more concerned about cost than other factors when adding independent directors. Also, corporate board exerts a positive influence on firm performance once the share of independent directors reached 30 percent. Although the supervisory board can make up for the inadequate number of independent directors, its role became insignificant after the reform. Central government controlled firms show outstanding accounting and market performance. While increasing corporate board size reduced firm risk, its independence increased firm risk. State ownership and ownership concentration increased firm risk after reforms. Overall, the findings confirm the applicability of corporate governance theories to China. Other transition economies can draw lessons from the institutional change that have played a significant role in the evolving Chinese corporate governance system. Government-controlled firms should be more market-oriented so as to reduce the unnecessary influence of political power on firms activities. It also sheds light on the partial privatization approach that may work for other transition economies.

Abstract:This study explores the determinants of board size and independence in the Chinese manufacturing industry during the periods before and after the split share structure reform. The results show that with the implementation of the Chinese split share structure reform, corporate governance was impacted positively in terms of the greater board independence. Meanwhile, the mainstream view that non-state enterprises are better governed than state enterprises has found no support. Overall the study suggests that one board size and one type of board independence may not fit all firms under different corporate governance environments.

Abstract:This paper surveys corporate governance in China, as described in a growing literature published in top journals. Unlike the classical vertical agency problems in Western countries, the dominant agency problem in China is the horizontal agency conflict between controlling and minority shareholders arising from concentrated ownership structure; thus one cannot automatically apply what is known about the U.S. to China. As these features are also prevalent in many other countries, insights from this survey can also be applied to countries far beyond China. We start by describing controlling shareholder and agency problems in China, and then discuss how law and institutions are particularly important for China, where controlling shareholders have great power. As state-owned enterprises have their own features, we separately discuss their corporate governance. We also briefly discuss corporate social responsibility in China. Finally, we provide an agenda for future research.

Abstract:The split-share structure reform cause a fundamental change to China's capital market.Many researches have unanimously affirmed its positive role.Whether the split-share structure reform has improved the corporate governance of China's listed companies? Using the principal component analysis,we construct the Corporate Governance Index(CGI) including the controlling shareholder,board of directors,managers,the information disclosure in four dimensions,then we analysis the role of the split-share structure reform on Corporate Governance Index.The empirical results find that:①The split-share structure reform has significantly improved the corporate governance of listed companies;②Within the four dimensions of corporate governance,the split-share structure reform have the most notable influence on the controlling shareholder;③Those companies having the ultimate ownership of the state-owned shares and those companies having the concentrated ownership have a bigger improvement on corporate governance;④Considering the stage of the split-share structure reform,after we control the self-selection of the sample,we find the effects of the reform are gradually manifested,those companies implemented the reform have a bigger improvement on corporate governance than those companies haven't implemented it.
Corporate Governance and Financial Reporting Quality : Evidence from the Split Share Structure Reform in China

Abstract:We examine the changes in financial reporting quality after the split share structure reform in China. The non-tradable shares of controlling shareholders were prohibited from trading before the reform, resulting in severe incentive misalignment and controlling shareholders’ strong motivations to manipulate earnings. The reform removes this market friction by converting non-tradable shares into tradable shares, therefore aligns the interests of controlling and minority shareholders. We measure financial reporting quality based on five proxies including discretionary accrual, earnings smoothness, earnings persistence, value relevance, and conservatism. The empirical results show that firms’ financial reporting quality increases significantly after the reform, especially for firms with weaker pre-reform corporate governance and non-SOEs. The findings imply that corporate governance causally affects firms’ information environment, and shed light on the consequences of privatization in emerging markets.

Abstract:This article provides a preliminary survey of the burgeoning literature on the Chinese listed firms' corporate governance. We structure the existing research around three themes: (1) What are the current corporate governance practices in China? (2) How do these corporate governance practices affect the Chinese listed firms' valuation and various corporate decisions? (3) How does China's unique institutional setting pre-determine the governance model adopted in China? The evidence indicates that the current governance practice adopted in China can be best described as a control-based model, which contrasts strikingly with the market-oriented model commonly used in the US and UK, and championed by most corporate governance advocates. The evidence also shows that Chinese firms, whose corporate governance practices deviate from the control-based model, demonstrate stronger performance, and tend to make decisions in line with the shareholders' interest. The evidence from the literature also suggests that the control-based model is rooted in the 'administrative governance' approach adopted by the Chinese regulatory authorities, and is tailed to China's specific institutional setting.

Abstract:In the last thirty years, China has undergone three stages of corporate governance mechanisms, namely, (1) the “power-delegating and profit-sharing” system; (2) the “contracted managerial responsibility” system; and (3) the corporatization of large stateowned enterprises (SOEs). This paper will explore each mechanism, their advantages and disadvantages in detail. The main finding is that the various practices of corporate governance of SOEs are not suitable for China’s SOEs mainly due to the lack of sufficient incentive. Instead, a mixed mechanism of the “control-based” and the “marketoriented” mechanisms is more attractive given China’s unique institutional setting

Abstract:Abstract This article analyses the role of the Chinese Communist Party (CCP) in the corporate governance of Chinese state-owned enterprises (SOEs), including a case study of a central-level SOE holding group. Relying on official documents, secondary literature and interviews with enterprise managers, government officials and academics, the article documents how the CCP has actively formalized its role in Chinese business by embedding itself in the corporate governance structure of SOEs. Through the application of Chinese indigenous administrative corporate governance concepts such as “bidirectional entry, cross appointment” and “three majors, one big,” the CCP has consolidated its dominance of enterprise decision-making procedures and personnel appointment and created a hybrid, Party-led model of corporate governance. While this hybrid model can secure enterprise compliance, communication with higher state and Party organs, as well as long-term development planning, it is unlikely to help solve SOE efficiency problems and may even undermine other SOE reforms.

Abstract:This article investigates the peculiar and contradictory nature of the ongoing construction of a system of corporate governance in China. The analysis attempts to overcome the limits of traditional corporate studies that tend to focus on enterprise management, and puts the issue within the framework of the systemic and political relationships that shape economic management and state intervention in large enterprises in transitional socialist systems. The emergence of a specific managerial culture within the market and of winners among the enterprises is related to the position still held by the state in the enterprise and by the access to competitive markets available to enterprises. State-owned enterprises enjoy the protection of their status but they are more successful and adopt a more profit-oriented management culture if they operate in internationalised and competitive markets rather than in the strategic low-profit, state-dominated sectors. Owing to continuous interaction between enterprise management and external (policy or macroeconomic) factors, and to the absence or underdevelopment of most of the institutions generally necessary for a sound corporate governance system (financial markets, bank independence, free press etc.) privatisation does not seem sufficient to engender all-round market-led governance.

Abstract:A great deal of prior literature on corporate governance in China has asserted that state-owned enterprises (SOEs) are inefficiently run and badly governed—either worse than privately-owned enterprises (POEs) or just as bad. There is, however, no solid empirical evidence that underpins either claim. Using a unique, hand-coded dataset on corporate charter provisions with a random sample of nearly 300 publicly listed Chinese firms, this paper demonstrates that political hierarchy, state shareholding level, and political compliance are key factors in the governance and performance of Chinese SOEs. The corporate governance of SOEs that are firmly controlled by the Chinese central government favours minority shareholders, whereas that of SOEs firmly controlled by provincial governments appears to be less protective of them. Overall, SOEs, particularly those controlled by the central government, do not perform any worse than POEs, as measured by Tobin's Q. Nonetheless, more politically compliant firms do perform worse.

Abstract:Globalization has provided Chinese companies with a great opportunity to access international capital markets through various channels such as overseas listing and overseas incorporation. This movement has led to three main sets of corporate governance regimes that are applicable, respectively, to overseas issuers including H shares (listed in Hong Kong), red chips (incorporated out of Mainland China and listed in Hong Kong) and N shares (listed on the New York Stock Exchange). In various governance dimensions, these regimes differ from those subject to Chinese domestic issuers of A/B shares. Although the trend of implementing more internationalized corporate governance in China is clearly defined by Chinese authorities, the domestic issuers are obliged to comply with several governance regulations designed specifically to account for the current transitional Chinese economy. For investors, it is then interesting to reveal, to which extent, in which aspects, Chinese corporate governance has been or will be internationalized, in order to better understand the uniqueness of Chinese business and governance environments. Our study contributes to such questions.

Abstract:Emerging economies provide interesting scenarios for examining how institutional context influences the financing behavior of firms. In this study, we examine the capital structure of Chinese listed firms following the Split-Share Structure Reform of 2005. This reform allowed a reduction of government ownership by making government shares tradable. We find that the impact of government ownership on leverage is dependent on whether the government is the largest shareholder in a firm and whether the government ownership is through a parent state-owned enterprise. In addition, we document that the largest non-government shareholder positively influences leverage. Overall, our results reveal that the largest controlling shareholder, either government or non-government, has a significant impact on the capital structure of Chinese firms.

Abstract:This paper investigates the relationship between two characteristics of corporate governance (concentrated and state ownership) and firm financial performance by bringing new and extensive evidence from an emerging market. Further, this study examines the impact of the recent stock split reform in China on the corporate ownership characteristics–firm performance relationship. The final sample of this study is comprised of 234 firms with 2340 annual observation values. The study hypotheses are examined using regression analysis of panel data. We found that concentrated ownership is positively and significantly related to firm performance. However, state ownership has a significant negative impact on firm performance. Further, we observed that the stock split reform has a substantial and positive effect on the ownership–corporate financial performance relationship. In particular, the positive relationship between ownership concentration and firm performance has increased following the split-share structure reform. The negative relationship between state ownership and corporate financial performance has been mitigated following the split-share structure reform. We contribute to the existing literature on corporate governance by investigating the ownership–corporate financial performance relationship in a unique research setting based on the impact of an exogenous regulatory change, namely, the split-share structure reform in China. The study presents implications for regulators, investors, and researchers interested in examining developing markets such as China. Our results imply that the institutional reform of the Chinese stock market has benefitted investors through enhancing corporate financial performance. The findings suggest that the reform of the Chinese stock market has significantly shaped the impact of ownership structure on corporate financial performance in a valuable way for effective capital allocation. Thus, collectively, the split-share structure reform enhances the quality of corporate governance, which is pivotal to the growth of the country's economy. This, in turn, has policy implications for other emerging economies.

Abstract:The state-owned enterprise (SOE) is the most significant business form in China. In the planned economy era, the state employed SOEs to implement economic policy and to provide employment opportunities. After entering the marketization era, the state still expects SOEs to preserve the state assets and fulfill political goals, notwithstanding the governance issues facing SOEs. SOEs do not generally perform as well as private corporations worldwide and the existing literature attempts to explain the reasons for poor governance problems from many different perspectives. SOEs in China have many distinctive characteristics compared to their counterparts overseas. The ways in which the state exercises its control over SOEs are the primary reasons for creating the vital distinctive characteristics that invite SOEs' poor governance problems in China. The three most significant problems are discussed here. First, over-politicization and bureaucracy lower SOEs' operational efficiency. Second, the board of directors (BOD) fails to perform its traditional role in corporate governance in serving the corporate interests. Third, the comprehensive involvement of the Communist Party in China (CPC) needs to be regulated and the accountability of internal organs should be extended to the party committees within the companies. We submit that the existing SOE supervision and control methods need to be changed to clarify the for-profit purpose of SOEs. The BOD needs uninterrupted business management power and the party activities should follow party rules and company law to make party cadres accountable for their business decisions.

Abstract:One of the most commonly used ways to restructure big and medium-sized state-owned enterprises (SOEs) in China is through shareholding reform. This article classifies the shareholding reform into four modes and explores the relationship among these modes, in terms of the degree of control over controlled listed companies and governance efficiency. Using data of 285 SOEs during 1997–2000 (three years after their IPO), we find that restructuring modes affect the degree of control by controlling shareholders over listed companies. Furthermore, the controlling shareholder of incompletely restructured enterprises prefers a higher degree of control. In addition, the higher the degree of control, the more serious the problems of related trading and tunneling behaviors. We also find that restructuring modes affect the governance structure of listed companies, which in turn affect the degree of related trading and tunneling behaviors. These findings reveal that incomplete restructuring of SOEs before their listing is likely to make these enterprises be vulnerable to external control and thus negatively affects their governance efficiency.
