Abstract:This paper examines the impact of the expectation gap of mispricing and growth opportunities on M&A motivation and performance from the perspective of the behavioral theory of the firm. The study proves that the expectation gap is a key factor that motivates firms to implement M&A decisions. When the expectation gap is negative, rational managers raise stock prices and improve the firm's operating conditions by implementing M&A. In addition, the firm's life cycle has a significant effect on the level of the expectation, while economic policy uncertainty weakens the effect of the expectation gap on M&A motivation and operating performance.

Abstract:This paper tries to develop a theoretical framework of organizational confidence in MA based on the case study of Beijing No.1 Machine Tool acquiring Waldrich Coburg.The study offers organizational confidence as a new factor affecting the success of MA and finds out that there is a confidence system in MA which includes each participant's several confidence conditions.These confidence conditions affect each other and play an important role in the process of transaction and integration of a MA.The acquirer should leverage or adjust all the participants' confidence conditions to make a MA succeed.

Abstract:We explored the relationship between knowledge workers' perceptions of psychological contract violation and their interpersonal trust during mergers and acquisitions (M&As) to determine whether or not perceived commitment human resource (HR) practices can moderate the relationship between psychological contract violation and interpersonal trust. We collected 210 questionnaire responses from enterprises that were in the process of M&As in China, and structural equation modeling and regression analyses were used to analyze the data. We found that in certain contexts organizational trust (or distrust) can transfer to interpersonal trust (or distrust). This issue merits further discussion.

As an external mechanism of corporate governance, merger and acquisitions not only have a lot of influences on the performances of companies, but also their risks. The models in this paper combine the measurement of the degree of fluctuations after merger and acquisition and the package fmancial indicators. With these models, we could weigh the risks of M&A according to the performances of the companies. These models focus on the risks of the comprehensive capability, the debt-paying ability, the operation capability, the profitability and the development potential.

Abstract:Under the background of globalisation and information technology revolution, cross-border mergers and acquisitions (M&A) have become a key strategy for corporate strategic transformation and market expansion. Taking the acquisition of YOUJIUSHIDAI by SACE as an example, this study adopts the methods of literature review, case study analysis and AMPS model to explore in depth the motives, effects and impacts of cross-border M&A on corporate performance. This study finds that although M&A enhances shareholder wealth in the short term, long-term profitability falls short of expectations, which is mainly limited by the lack of R&D capability and market alignment problems. This study emphasises the importance of synergies and points out that high-premium M&As may lead to goodwill impairment risk, thus affecting the financial status of the firms and the interests of shareholders, and puts forward suggestions to optimise M&A strategies and strengthen regulation, in order to protect the interests of small and medium-sized investors and to promote the healthy development of the capital market.

Can M&A Goodwill Enhance Firm Value?——Empirical Evidence Based on Dual Perspective of Accounting Performance and Market Performance

Abstract:With the development of merger and acquisition(M&A) market in recent years,more and more listed companies take M&A as the epitaxial growth mode. Since goodwill derives only from the premium paid during M&A,this article attempts to measure the M&A of listed companies by goodwill and test whether M&A can enhance the firm value. The findings are as follows:First,the promotion effect of M&A goodwill on accounting performance and market performance is in a shape of inverted U. Sec-ond,the promotion effect of M&A goodwill on market performance is of more obvious reversal characteristics than that on account-ing performance,indicating that investors overestimate the effect of M&A on the improvement of accounting performance in the short term. Third,using the management expense ratio to measure the severity of the agency problem,we find the positive effect of M&A goodwill on the accounting performance and market performance is only significant in the sub-sample whose agency prob-lem is weak,but not significant when the agency problem is high. The above result is still valid after the use of instrumental vari-ables to control endogeneity. Therefore,the policy implication of this article is that policymakers should regulate and restrict the inefficient M&A and give better play to the role of M&A market in optimizing the resource allocation and improving the firm val-ue.
Modeling the Factors That Influence Knowledge Transfer in Mergers and Acquisitions

Abstract:This paper constructs a model on the factors that influence knowledge transfer in mergers and acquisitions（M＆A）and validates it via questionnaire surveys.Using 125valid collected questionnaires,multiple linear regression analysis and hierarchical regression analysis showed that five out of the ten factors had a positive effect on knowledge transfer effect.The ranking of factor importance,from high to low,was knowledge explicitness,relationship quality,learning intent,advanced transfer activities,and learning capability,which is fairly consistent with positive factors observed in other interorganizational knowledge transfer researches.Our results also showed that one of the control variables（size of acquired firm）had neither a direct or indirect effect on knowledge transfer in M＆A.Additionally,our research found that knowledge distance and degree of M＆A integration had a positive influence on knowledge transfer effect at the early stage after M＆A,but had a negative influence at the late stage.Based on this research,several suggestions for knowledge transfer in M＆A are proposed.
An Empirical Analysis on M&A Performance of the Public Companies of the Growing, Mature and Declining Industries

Abstract:There are three types of MA according to the relations between the buyer and the target companies: horizontal MA, vertical MA and conglomerate MA. Since in a certain time period, an industry may be in different phases such as the growing phase, the mature phase and the declining phase, in our opinion, the phases of the concerned companies can, to a great extent, influence the performance of the MA when different types are adopted. In this thesis, we empirically analyzed the 336 MAs which happened among the public companies of China from 1995 to 1999, and our conclusion is that the mature companies may perform the vertical MA relatively best, the companies of growing phase can achieve best MA performance when they implement the MA horizontally while the companies in declining period often result in the worst MA performance once they choose the horizontal method,too.

Abstract:There is an important research topic in behavioral finance: overconfidence. This paper studies the relationship between overconfidence and Merger and Acquisition decision-making from the perspective of managers' irrationality. This paper adopts the case study method, selects Dong Mingzhu of Gree Electric Appliances, an enterprise manager with a distinctive personality, and takes Gree's merger and acquisition of Zhuhai Yinlong as an example to explore and analyze how overconfidence affects the enterprise's merger and acquisition behavior and to further explore the reasons behind its merger and acquisition results. From the perspective of overestimating the value of M&A targets and adopting aggressive debt financing strategies, this paper analyzes how overconfident managers make irrational decisions in the M&A process. Finally, through the phenomenon that the actual situation of Zhuhai Yinlong did not reach Dong's valuation and the unfair financing scheme in the acquisition plan, it is concluded that the overconfident managers overestimated the value of the M&A target.
Financial Constraints, the Method of Payment and the M & A Performance

Abstract:This paper takes the domestic MA events initiated by the listed companies from 2009 to 2011 as the study sample.Firstly, it empirically tests the effect of acquirers' financial constraint on their payment choices using financial constraint index created by Logit model, and the acquirers' MA performance of the different payments using event studying method. Moreover, the interacted effect of financial constraint and the payment methods on MA performance is tested. The results indicate that, financially constrained acquirers are more likely to use stock in acquisitions; The CAR of stock payments is positive and significant, and also greater than cash payments. Further test of the subsample according to the financial constraint, the results show that this conclusion is only established in financially constrained acquirers, and there is no significant difference in different payment choices of unconstrained acquirers. The findings complements that the pecking order of capital structure is violated for the payments choice of constrained acquirers,and it is rational for them offering stock to maintain financial flexibility for future investments after the acquisition.

Abstract:Merger and acquisition (M&A) is one of the most important investment methods for enterprises. In recent years, sales in the household appliance manufacturing industry have been slowing down gradually. Facing fierce market competition, many household appliance enterprises try to find a new profit growth point through M&A. This paper takes Midea Group's M&A of KUKA as an example to analyze the motivation of M&A through the dimensions of industry and enterprise. It also systematically evaluates the financial and non-financial performance of Midea Group before and after the M&A. It finds that this M&A effectively mitigated the impact of industry cyclicity on Midea Group's financial performance. However, overall, the performance indicators are not significantly improved after the M&A. Therefore, this paper suggests that Midea Group slow down the speed of M&A, pay attention to the existing resources integration, and strengthen the training of professional talents.

Abstract:This article studies whether and how mergers and acquisitions (M&A) intensity makes an impact on a firm's postacquisition innovation. By differentiating the types of innovation, we show that M&A has differential effects on postacquisition radical innovation and incremental innovation. Using a publicly listed firm sample in China from 2011 to 2015, our empirical results provide support that M&A intensity has an inverted U-shaped effect on radical innovation, and has a positive and significant impact on incremental innovation. Furthermore, we introduce Chief Executive Officer (CEO) career background as a contingency factor, showing that the inverted U-shaped relationship between M&A intensity and radical innovation is more pronounced in firms with technical CEOs than in those with nontechnical CEOs, and the positive relationship between M&A intensity and incremental innovation is more pronounced in firms with nontechnical CEOs than in those with technical CEOs. Our findings add to the understanding of organizational consequences of M&A and the role of strategical leadership in the relationship between M&A intensity and firm innovation.

The Effect of Financing Choice on M＆A Performance： from the Perspective of Functional Fixation

Abstract:Using largest 232 M＆As with the same means of cash payment executed by publicly traded Chinese companies between 2002 and 2006, We analyze the effect of M＆A financing choice （including internally generated cash, debt financing and equity financing） on accounting-based and market-based performance of the acquiring firms. We find that the market-based performance of the firms using equity financing is significantly better than firms using debt financing, namely, equity financing benefits increasing the bidders＇ shareholders wealth but debt financing is in contrary. Our result is different from western empirical research and theory, but the weak efficiency capital market of ours country and investor＇s functional fixation on the accounting-based profit can exactly explain the difference. Further analysis shows that there exists the consistency between market-based performance and accounting-based performance for the M＆A using the form of equity financing and debt financing. The results enforce the explanations of different result from functional fixation hypothesis. These findings will help government supervisor and investors to deeply understand the implication behind the M＆A.
M & As and the Value of Control

Abstract:We propose a novel approach to study the value of corporate control based on the M&A of firms across business groups. Particularly, business groups often use some central firms to retain the control of others. When central firms become an M&A target, however, the buying business group may not obtain a same value of assets through control (VoC) as the selling group does. Based on a new dataset of worldwide ownership of private and publicly listed firms for the 2000-2010 period, we show that the buyer typically pays an acquisition premium when the VoC of the seller exceeds that of the buyer. The stock market, however, responds negatively to this VoC gap. The market is correct: M&As involving high VoC gap typically exhibit poorer long-term performance, suggesting that the buyer pays a price to buy out the control of the seller while failing to create a same degree of benefit for the target. Overall, our results confirm that corporate control is priced in M&As, whereas the transfer of control may not be value creating. JEL Classification: G12, G3, G32

Abstract:According to the mergers and acquisitions (M&A) that occurred in the Chinese A-share market from 2012 to 2016, the study utilizes the relevant data from 2011 to 2018 to verify the mechanism of the impact of due diligence on the M&A performance based on multivariate regression model. We found that the diligence level of due diligence had a positive impact on the M&A performance, that is, the higher the diligence level of due diligence, the higher the M&A performance level of enterprises. Performance commitment may promote the target enterprise to disclose the true operating conditions, and inspire the original shareholders or management to enhance the initiative to participate in integration tasks under the pressure of the compensation duty. Therefore, performance commitment affects the relationship between due diligence and the performance of M&A, i.e., the correlation between due diligence and M&A performance is weakened.

Abstract:Mergers and Acquisitions (M&A) are critical strategies that significantly shape a company's direction. By drawing upon imprinting theory, this study analyzes the data of publicly traded companies spanning the years 2007 to 2018 in order to explore the formation of executives' imprints from their rural experiences and their positive impact on M&A decisions. Furthermore, based on the corporate behavior theory, it was also verified that the cooperate aspiration gap is an important factor in promoting the dynamic changes of imprints formed by the rural experiences of executives, which in turn affects the relationship between the rural experiences of executives and corporate M&A decisions. The study reveals that the senior executives' rural experiences significantly boost the propensity of a company adopting M&A as a growth strategy. This tendency is particularly pronounced for younger executives and those less affected by a culture of familism. In addition, the study notes a progressive change in these imprints due to the corporate aspiration gap, which affects M&A strategies. Specifically, when a firm's performance fails to meet its objectives and societal expectations, it strengthens the link between an executive's rural background and the pursuit of M&A for expansion. Conversely, when a firm exceeds these aspirations, the correlation is weakened. By examining how individual imprints are formed, evolve, and impact decision-making, this study provides fresh perspectives on the factors driving corporate M&A decisions.
