Abstract:This article follows recent development on the socioemotional wealth perspective to examine the impact of family involvement on corporate charitable donations. Based on data collected from 2,821 Chinese private firms, we find that (a) family ownership and the duration of family control positively affect charitable donations and (b) when the next generation is unwilling to take over the business, the positive relationship between family ownership and charitable donations becomes weaker. These findings show that firms’ proactive stakeholder engagement is susceptible to family involvement. They also highlight the possible existence of the “dark” effect of certain socioemotional wealth dimensions on firms’ proactive stakeholder engagement.

Abstract:This study examines whether CFO gender is associated with corporate cash holdings in the context of China, one of the largest emerging market countries. We find that firms with female CFOs have more cash holdings than those with male CFOs. Next, we find that the positive relationship between female CFOs and cash holdings is less pronounced in firms with high financial leverage than those with low financial leverage. We further find that the negative moderating effect of financial leverage on the relationship between female CFOs and cash holdings is stronger for firms with a lower presence of female board members. Our main result is robust to an alternative measure of cash holdings and endogeneity concerns. This study provides meaningful implications for developing and emerging market countries by elucidating the relationship between female CFOs and cash holdings. The empirical evidence can also help shareholders and bondholders better understand the female CFO—cash holdings nexus in light of financial leverage and the presence of female board members.

Abstract:This paper explores whether duality in the chief financial officer’s (CFO’s) job role (i.e. also serving as board secretary) reduces information asymmetry through higher levels of information transparency, focusing on Chinese publicly listed companies from 2001 to 2018. Our findings reveal that CFOs serving as board secretaries contribute to greater information transparency. The positive effect of CFO duality on information transparency appears to be more pronounced in state-owned enterprises (SOEs) and in firms whose CFO is female and have had a longer tenure. Knowledge of these impacts is critical to building appropriate investment strategies.

Do Market Value Market-Based Governance? Case of Cross-Border Acquisitions by Chinese Firms

Abstract:This study empirically tests shareholder wealth effects at the announcement of acquisitions of foreign firms by Chinese firms. Listed firms in China are unique in that the ratio of shareholding by the state or state-owned enterprises is high in many firms, and their shares listed sorely in Chinese domestic stock markets are restricted for foreign investors to trade. We find that, although abnormal return of acquiring firm is not significant for the entire sample, it is positive and significant for sub-sample that acquiring firms are listed on either the U.S. or Hong Kong stock exchange. In addition, abnormal return is significantly lower in cases that major shareholders of acquiring firms are state or enterprises owned by state. These results are consistent with the argument that market-based governance is more effective than large-shareholder-based governance.
Conflicts of Interests among Shareholders: the Case of Corporate Acquisitions

Abstract:We identify important conflicts of interests among shareholders and examine their effects on corporate decisions. When a firm is considering an action that affects other firms in its shareholders' portfolios, shareholders with heterogeneous portfolios may disagree about whether to proceed. This effect is measurable and potentially large in the case of corporate acquisitions, where bidder shareholders with holdings in the target want management to maximize a weighted average of both firms' equity values. Empirically, we show that such cross-holdings are large for a significant group of institutional shareholders in the average acquisition and for a majority of institutional shareholders in a significant number of deals. We find evidence that managers consider cross-holdings when identifying potential targets and that they trade off cross-holdings with synergies when selecting them. Overall, we conclude that conflicts of interests among shareholders are sizeable and, at least in the case of acquisitions, affect managerial decisions.

Abstract:Performance commitment (PC hereafter), as a mechanism to reduce information asymmetry, has been increasingly applied to the acquisitions and reorganizations of listed companies in China. This study uses catering theory to analyze PC. We propose that managers/controlling shareholders cater to the investors' preferences when deciding whether to adopt PC in acquisitions. PC adoption generates a higher abnormal return in the short run but a lower abnormal return in the long run. Managers/controlling shareholders are motivated to adopt PC to gain short-run benefits by selling stocks after PC's announcement. The study helps to deepen the understanding of performance commitment from a new perspective and contributes to the field of research that views managerial decisions as rational responses to investor sentiment. Our study shows the speculative short-termism effect of regulatory policy in the Chinese capital market, and managers/controlling shareholders capitalize on opportunities in the inefficient market via PC adoption.

Abstract:The role of the CEO in an enterprise's management decisions renders their individual characteristics influential in decisions about mergers and acquisitions (M&As). Personal characteristics are based on many aspects, therefore, we provide a multi-angle insight into the personal characteristics of managers. Drawing on the upper echelons theory, we examine whether CEOs' proactive personality affects merger and acquisition decisions. The fuzzy-set qualitative comparative analysis (fsQCA) is performed using a sample of 64 listed firms in China for the period 2010-2019. There are three solutions for cross-industry mergers, and five for intra-industry mergers. The results suggest that: (a) proactive and overconfident CEOs are inclined toward cross-industry mergers; (b) non-proactive and low-educated CEOs are inclined toward intra-industry mergers; (c) emerging industry enterprises tend to choose intra-industry mergers; (d) overconfident CEOs are more likely to undertake cross-industry mergers in traditional industries.

Abstract:With scientific progress and intense environmental changes, soft power has received increasing attention, and human initiatives can greatly influence society. Corporate CFO s play a crucial role in the process of internal control of enterprises. Therefore, this study selected the data of A-share listed companies in China from 2010–2021 as the research sample. Taking the CFO s' background characteristics as the independent variable and the nature of property rights as the moderating variable, this study established regression models based on the professional and financial background to explore the relationship with the dependent variable, internal control quality. It was found that the CFO 's professional and financial background was positively related to the quality of internal controls, and the CFO 's background characteristics significantly improved the quality of internal controls in non-state-owned enterprises compared to state-owned enterprises.

Abstract:This paper took the selected data listed companies in Shenzhen Stock Exchange in 2008-2015 as samples to study the relationship between the CFO’s working as the Board Secretary concurrently and corporate disclosure quality, and also to examine the impact of different government intervention levels and nature of property rights. The results indicate that the CFO’s doubling as the Board Secretary can distinctly improve the quality of corporate disclosure in listed companies; the CFO’s holding concurrently the post of the Board Secretary can improve noticeably the disclosure quality of listed companies in regions with a high degree of government intervention; the CFO’s also serving as the Board Secretary can improve the disclosure quality of non-state-owned listed companies. Moreover, this paper presents a reasonable explanation for the phenomenon that increasingly more CFOs are serving as the Board Secretaries simultaneously via empirical study. Lastly, conclusions of this study can provide empirical evidence for the appointment of the Board Secretary in listed companies.

Abstract:This paper analyzes the social connections between a firm’s chief executive officer (CEO) and its chief financial officer (CFO). We focus on French educational networks and examine the corporate governance and performance of firms whose CEO and CFO attended the same elite college (Grande école). Given the strong involvement of CEOs and CFOs in the takeover process, we investigate acquisition policies and observe that strong social ties within the top management team are associated with higher acquisitiveness and lower returns for bidder shareholders. These results are consistent with excessive managerial homogeneity reducing CEO monitoring and reinforcing decisional biases such as overconfidence. We find that CEOs are more likely to choose socially connected CFOs when CEOs are more powerful and are employed at firms with lower board monitoring. We also show that CEOs are less likely to be fired when the firms’ CFOs are drawn from the same network. These results suggest that social connections within executive committees come at the cost of CEO entrenchment and corporate governance failures.
Aligning the Interests of Multiple Principals: Ownership Concentration and Profitability in China's Publicly-Traded Firms

Abstract:Across the social sciences, agency theory has become one of the basic frameworks through which to analyze the organizational problem of aligning interests between owners (principals) and those who carry out the work of the corporation (agents). Less often analyzed within this framework is the problem of multiple principals with different incentives and agendas. In today's global economy, this is a problem that institutional investors from around the world encounter on a regular basis. We argue that ownership concentration holds the key to dealing with the collective action problems that emerge in these circumstances. To provide empirical insight into these issues, we analyze the impact of ownership concentration in multiple-principal firms that have been listed on the Shanghai and Shenzhen stock exchanges over the last decade. Through these data, we show that the strongest factor shaping performance among this population of firms is ownership concentration: the higher a firm's ownership concentration, the better it performs, both in terms of profitability and in terms of efficiency. Further, as markets in this context have become more competitive over the last decade, overall profitability has declined, but the effect of ownership concentration has increased, suggesting that ownership concentration becomes even more important for achieving corporate goals as markets become more competitive.
The Functions of the Board of Directors in Corporate Philanthropy: An Empirical Study From China

Abstract:As an important way for enterprises to fulfill social responsibility, corporate philanthropy (CP) has attracted much attention from the academic community. But there are still few well-targeted theoretical and empirical studies on what functions the board of directors (BOD) should perform to better fulfill philanthropic responsibilities. Taking this deficiency as a breakthrough, this study focuses on Chinese state-owned and private enterprises to analyze and test the functions performed by the BOD in CP. Based on the sample of Chinese A-share listed companies from 2008 to 2019, the empirical results show that the BOD of state-owned enterprises mainly performs a monitoring function in CP while that of private enterprises mainly performs a consulting function. The above findings remain valid when potential biases in the quantitative analysis are considered. Further research shows that environmental dynamism and board fault lines inhibit the performance of the above two functions. The contributions of the study include clarifying the functional characteristics of the BOD in CP and its influencing factors, revealing new theories to the formation mechanism of CP, which provide references for enterprises to optimize philanthropic decision-making. The limitation should also be emphasized that our findings are based only on Chinese contexts.

Abstract:In this article, we examine foreign corporate shareholders in China. We find that they play an active and effective corporate governance role that improves firm performance. The results are robust to tests that address endogeneity, selection bias, and direction‐of‐causality concerns. The methods for which foreign corporations exert effective oversight are identified: (1) they actively and effectively monitor firms (i.e., they are more likely to fire [reward] managers for poor [good] firm performance), (2) they invest more in innovation, (3) they are better at selecting investment projects, and (4) they help generate more foreign sales.

Abstract:This study examines whether and how chairperson facial masculinity, a personality trait that signifies dominant power, influences firm value of mergers and acquisitions (M&As) over the 2004–2016 period. Using facial width-to-height ratio (FWHR) to assess personality from 1225 facial images (photos) of chairpersons of 1780 Chinese acquiring firms, we find chairpersons with high FWHR to exert a negative and significant influence on acquirer stock returns surrounding acquisition announcements, returns on assets and Tobin's Q, suggesting that chairpersons with high FWHR destroy the value of acquiring firms in both the short and long term. Further analysis examining the potential channels through which the chairperson's dominant power destroys firm value of M&As suggests that the time taken to complete the M&A transaction, the use of more leverage and the non-employment of professional transaction advisors explain the results. Our results remain robust after controlling for acquirer and deal characteristics, corporate governance variables and chairperson's personal characteristics and accounting for endogeneity concerns.

Abstract:Based on the new market corporate social responsibility theory, enterprises try their best to achieve a win-win situation between environmental social responsibility and corporate financial performance. This paper quantifies corporate environmental social responsibility from the perspective of enterprise front-end governance, back-end governance and employee green behavior, based on the data of Chinese A-share listed companies from 2010 to 2022. Return on assets is used to measure the corporate financial performance. Then, from the perspective of executive social capital, this paper explores the threshold effect of environmental social responsibility on financial performance and draws the following conclusions: (1) In the short term, corporate environmental social responsibility exerts a negative effect on financial performance by augmenting R&D investment. In the long term, corporate environmental social responsibility has a positive effect on financial performance by enhancing reputation or reducing financing costs; (2) Specifically, compared with employee green behavior, front-end and back-end governance have a notably substantial adverse effect on corporate financial performance; (3) When executive social capital crosses a specific threshold, the negative impact of corporate environmental social responsibility commitment on financial performance becomes insignificant. Consequently, this study suggests that bolstering executive social capital is essential for concurrently advancing corporate environmental social responsibility and financial performance.

Abstract:While there is much evidence on corporate boards mitigating agency problems, there is little on whether boards help managers make better decisions. We provide evidence that strong and independent boards help overconfident CEOs avoid honest mistakes when they seek to acquire other companies. In addition, we find that once-overconfident CEOs make better acquisition decisions after they experience personal stock trading losses, providing evidence that a manager's recent personal experience, and not just educational and early career experience, influences firm investment policy. Finally, we develop and validate a new CEO overconfidence measure that is easily constructed from machinereadable insider trading data, unlike previously-used measures.

Abstract:<p>Chinese firms' increasing cross-border acquisitions (CBAs) in recent years seem to challenge the explanatory power of received theories of multinational enterprise (MNE) due to their relatively unique characteristics and the active role of the Chinese government. In this study, we seek to revisit and contextualize the OLI paradigm in conjunction with the institution-based view and examine how Chinese firms' post-CBA long term performance is associated with government ownership. Our study shows that Chinese firms with more government ownership demonstrate better post-CBA long term performance. However, the above relationship is differentially moderated by such firm-level boundary conditions as political connections and financial slack, and the country-level institutional boundary conditions (i.e., the host country formal institutions and the home-host country cultural distance). We discuss our findings in detail and explore theoretical and practical implications for both Chinese firms and other emerging economy (EE) firms.</p>

Corporate social responsibility overinvestment in mergers and acquisitions

Abstract:Corporate social responsibility (CSR) has been advocated by scholars and practitioners whereas overinvestment in CSR can destroy value. This paper investigates how CSR overinvestment influences firm value in the context of mergers and acquisitions (M&As). Specifically, we examine the shareholder wealth and financial performance of firms who bid on targets with CSR overinvestment. The results suggest that firms purchasing CSR-overinvesting targets experience significant declining market reactions to the M&A announcements and deteriorating financial performance following the M&A transactions. We further show significant improvement in CSR ratings and CEO pay among acquirers purchasing CSR-overinvesting targets. Moreover, the adverse effects of CSR-overinvesting targets on M&A outcomes are more pronounced for the acquiring firms with weak corporate governance or with retiring CEOs. Our findings suggest that a firm makes a value-destroying M&A with a CSR-overinvesting target probably for the benefit of improved CSR and CEO gains. This study provides evidence for the agency view of CSR investment in the context of M&As.

Abstract:We investigate acquiring firms of 1148 M&A in the two Chinese stock markets. Using the market model, the CAPM model and the buy-and-hold method, we find significantly positive abnormal returns before (6months) and upon M&A announcements, while the long-run abnormal returns (6months) after M&A are insignificant. Cash is the dominant payment method and the competition during M&A is low. The cross-sectional analysis shows that the political advantages of acquiring firms have a significantly positive impact on the acquirers' performance, while the economic advantages do not. Finally, cross-provincial M&A and better corporate governance create value to acquiring firms.

Abstract:In this paper, we investigate the impact of ownership structure on corporate advertising expenditures. Using mutual fund mergers as an exogenous shock to ownership structure, we find that competing firms owned by the same institutional blockholders experience a significant reduction in advertising expenditure. The reduction in advertising expenditure is more likely to occur in the presence of higher coordination benefits or lower coordination costs. Specifically, this effect is more pronounced for firms in more competitive industries, in higher advertising-intensity industries, with greater common ownership, with more concentrated institutional ownership, and with headquarters located in the same state. Overall, our empirical evidence indicates that ownership by common institutional investors significantly affects corporate advertising strategy. This paper was accepted by Matthew Shum, marketing.
