Abstract:The unspecificity,movability of chattel determine its formidable defect and serious irrationality.The only solution to the problem is to limit the security right to real chattel and to introduce a registration-publication mechanism in this area.Also the method of labeling should be introduced as reinforcement.

Abstract:The registration-publication system of mortgage of movables impairs the uniformity of choice of publications. As a consequence, a conflict appears between the mortgage of movables that is notified by registration and the ownership that is notified by possession, which may ultimately result in a sharp conflict of interests with the mortgagee who gains a competitive right by way of registration at one side and the third person who gains a protection by way of possession at the other. Existing legislations and doctrines can do nothing at harmonizing the two interests. In these authors’ opinion, the only way reasonable to solve this problem is to limit the security right to chattel real and to adopt a registration-publication system in this area.

Abstract:On the basis of exploring the attitudes, theories and effects of the system of chattel hypothecation in civil law countries, it is clear that the system of chattel hypothecation and the system of chattel mortgage are totally the same in the aspects of function, the methods of creation, the methods of publication and effects. Accordingly, there is no room, no need as well as no basis for the coexistence of chattel hypothecation and chattel mortgage. However, chattel hypothecation and chattel mortgage are both stipulated by Property Law of the People's Republic of China (the draft edition). The existence of the system of chattel mortgage do not confuse the theories relating to the right of hypothecation and destroy the system of right of things as a whole. As Law of the People's Republic of China Security adopted in 1995 has stipulated chattel mortgage, chattel hypothecation shouldn't be transplanted.

Abstract:According to the principle of idea autonomy,and under the premise that the mortgage and other real rights for security shall not be affected to realize its legal purpose,and the interests of a third person shall not be damaged,the special agreement the parties make as to the related items,which was not clearly prohibited by law,shall be deemed to be valid,generally including the agreement to transfer the mortgaged property,and the agreement of the duration of mortgage after the debt was due;when the mortgagor is a third person,the chattel mortgage without registration mainly has the effect of creditor's rights,and shall not apply the acquisition in good faith;claims such as "the validity of the mortgaged property and the new accessories from it" shall be completely unable to establish;in the case of "mortgage before rent",if without justifiable reasons,the mortgagee shall not deny the validity of the lease;when the common mortgagees are all the third parties,if without contract or the agreement is not clear,the creditor shall have the right to choose the priority or exercise all mortgages at the same time,and the mortgagor who bears the guarantee responsibility has the right to recourse against the debtor,but shall not be entitled to recourse against any other mortgagor.
Defining the Mortgage Practice of Movables in the Property Right Law

Abstract:The rules relating to mortgages over movables under the current version of the Property Right Law(Draft) are not reasonable because the scope of movables which may be mortgaged are too narrow. The restrictions on transferring movable collaterals are against the inherent needs of a market-orientated economy and are obviously unfair to the assignees. The Property Right Law(Draft) should expressly permit creating mortgage interests over all legilimate movables and delete the requirement for mortgagee's consent to transfer any collaterals. In order to balance the interests of mortgagees and assignees and protect the safety of transactions, the Property Right Law (Draft) will have to provide different treatments to transactions relating to collateral transfers depending on the existence and reasonableness of the consideration.

Abstract:The purpose of this paper is to clarify the subject of family contract and management right as well as the relationship among internal members of rural households, and thereby to maintain the multi-functionality of the right. The method employed in this paper are literature analysis and legal text analysis. The results show that the subject of family contract and management right should be farmers rather than household and the relationship among internal members should be quasi-coownership. It is concluded that the multi-functionality of family contract and management right will persist for a long time due to the particularity of farmland, however the current ambiguous enactment about it cannot adapt to new situation characterized by rapid urbanization, raising land price and the awakening of right consciousness. Therefore, the new legislation mode for family contract and management right should include clear subject and relationship among members, and complement special provisions about particular problems to maintain other functions of right like social security and food security while enhancing poverty function of it.

Abstract:The transference of rural land contract and operation rights mostly includes transfer,subcontracting,hiring,exchanging,buy a share and mortgage.At present,the juristic character of main types of transference of rural land contract and operation rights in academe is different from the praxis.Thus,it makes against to let the behavior of the transference of rural land contract and operation rights to be legitimate,presentable and accurate.For letting the transference of rural land contract and operation rights to be "conditional,voluntary,canonical,orderly and legitimate " and sticking up for the two parties in the transference of rural land contract and operation rights,it is especially important to define the juristic character of main types of transference of rural land contract and operation rights.The conclusion of this study is: transfer,exchanging and mortgage belong to the nature of real rights;subcontracting and hiring belong to creditor's claim;buy a share belongs to creditor's claim.

Abstract:In order to realize the circulation of the right to land contractual management according to law, on a conditional and voluntary basis and with standards and order, as well as to really protect legal rights of both parties in the circulation, it is very important to classify the circulation of the right to land contractual management, which is valuable in theory and significant in practice. Besides the classification by the circulation form, there are 11 kinds of classification of the circulation of the right to land contractual management according to different criteria. Among them three kinds are of great value to both theory and practice. They are classification by the circulation form, contracting form, and the criterion whether the assigning party should lose or retain the real right.

Abstract:The contractual operation right of rural land is a very important civil right with specific Chinese socialist features.The paper considers that the main problems of the contractual operation right are the legal deficiency of its real right system and the real right legal deficiency of its content,force and changes on the basis of the study on the distinctions between the real right standards of the contractual operation right and the credit right standards of that.The author argues that the countermeasure should be the real-rightize of the contractural operation right so that it becomes a new type of benefited real right which has a real right character according to the law.

Abstract:With the deepening of the reform in China's rural economy, the system of contracted responsibility linking remuneration to output of whose core lies in the right of management of contracted land has come into being and been perfected. This land contracting management right is a real right in nature, belonging both to the real right over the property of another, and to the usufructuary right over the property of another, or rather, a new type of usufructuary right. Land contracting management right has become one of the very important contents in the enactment of real right law. Real right law (draft) enacted by Legal Committee of SCNCPR has stipulated explicitly the appellation of agriculture land management right as land contracting management right, which is a usufructuary right in the nature. The paper attempts to make an analysis of the following existing imperfections in real right law (draft): undefined concept of land contracting management right; implicit provision of targets; the unscientific design of ways of establishment; unreasonable or inconclusive alterations; substandard withdrawal or adjustment of land contracting form and imperfect variety of termination for land contracting management right. Using tenure right and ususfructus for reference from overseas usufructuary right law and absorbing achievement in relevant domestic theoretical research, the paper systematically puts forward a comprehensive draft suggestion on clause design for land contracting management right. The main contents of the draft covers the concept of land contracting management right, its targets, its involving party, its term, establishment, change, transferring and transferred-contracting and its termination.

Abstract:Nowadays, pledge system is among the most important creditor's rights guarantee forms. Logistics companies' intervention may be helpful for small-sized enterprises to obtain loans through chattel mortgage from financial institutions. This paper proposes a new concept that logistics companies and financial organization should set up an information system in which financial organizations can share information they want and build an investment service organization together, this paper also discusses the framework of credit assurance of pledge system under the intervention of logistics companies. Under such a mode, the borrowing enterprises may improve its operation efficiency while the lending institutions' loan safety is guaranteed.

Abstract:Any construction of sound legal system calls for an internal balance between rights and duties. Traditional civil law focuses on the functional analysis of hypothec,that is,the protection of the benefits of the mortgagees or the creditors,but the interests of the mortgagers do ont receive enough attention. The unequal attention given respectively to the mortgagees and the mortgagers shows that the system of hypothec is not perfect on this respect. When there is a disregard of the protection of the mortgagers,the development of the system of mortgage is consequently hindered. The system of hypothec should pay due attention to the protection of the mortgagers in order to perfect its inner legal relations and the best way to achieve this is to give the mortgagers the right of demur at the time of the alteration of the main contract and to impose some legal duties on creditors with mortgage.

Abstract:The analysis in this study is the contents of the characteristics of mortgage rights revealed in the Chinese Civil Code. The mortgage system plays an important role in the process of economic development by enabling individuals or companies in need of funds to obtain credit by providing certain collateral for financing. This study has great significance in that it analyzed the core contents of the mortgage rights stipulated in the Civil Code for the first time in Korea. It is also characteristic that China, unlike Korea, widely recognizes the object of mortgage by using the term 'mortgage property', which includes movables. In addition, although it is not yet regulated in our civil law, the fact that China has accepted and implemented the floating charge system, which is being implemented in advanced countries, has many implications for us. In China, buildings can be the object of mortgage, but land is unique in that only land use rights, not land ownership, are the object of mortgage. In particular, the Civil Code supplemented provisions related to land contract management rights, a property right unique to China, in order to protect the stability of life and the minimum basic right to live for farmers, who account for half of China's population. In this respect, the Civil Code seems to reflect the intention to protect the rights of farmers, and to revitalize the rural economy. Such differences in mortgage systems between Korea and China are fundamentally derived from differences in the political and economic systems of the two countries. Lastly, the Civil Code is evaluated as an 'encyclopedia of social life' because it establishes rules for basic conduct in the process of individual participation in social and economic life and deals with many contents related to social life. Therefore, individuals and foreign corporations doing business in China have to understand the mortgage system which have a very important meaning in the course of economic activities.

Abstract:The development of the financing leasing system in China has been relatively slow. This paper primarily introduces the regulations on the financing leasing system by Article 388 of the Chinese Civil Code and related clauses. It addresses the characterization of ownership or security rights, as well as regulations on priority of rights, defective security responsibility, liability for damage to others, maintenance obligations, risk of destruction or loss, public notice, breach remedies, and right enforcement. Furthermore, this paper highlights the differences in regulatory frameworks for movable and immovable property financing leasing in China. Chinese law does not explicitly address issues related to immovable property financing leasing, as it focuses on the functionality of guarantees for movable property and rights due to the clear ownership registration authorities for immovable property, eliminating the issue of "hidden guarantees." Article 65 of the Interpretation of the Civil Code provides comprehensive regulations on the functionalization of financing leasing guarantees.

Abstract:Through an introduction and analysis of the US system on secured interests in movables and especially in account receivables,this paper offers advices on how to improve the system of pledge of account receivables in China.It insists that the relevant system of China should be based on the civil law system,although the Uniform Commercial Code of the United States may provide valuable references.On the one hand,the concept of using the account receivables as collateral comes from UCC article 9,but the pledge of the account receivables is part of the civil law of the continental legal system;on the other hand,the relevant provisions of the UCC article 9,such as those governing registration and realization of the secured interests in the movables will be beneficial to us if adopted in China.

Since the floating mortgagee can't resistant the buyer in good faith,the mortgagee and the mortgager will often agree to restrict or forbid the mortgager to transfer the mortgage,or restrict or forbid the mortgager to remortgage,to make its right of priority into force.But this article can not be used to resist the buyer in good faith,or the remortgagee in good faith either,if the provisory clause has been registered and published,it can be used to resist the remortgagee.When the floating mortgage conflicts with the fixed mortgage,we should solve it according to whether the fixed mortgage is on real property or on movables.While when there is a confliction between two floating mortgages,it should be on the principle of registered priority.
