Abstract:There are two kinds of contract of carriage of goods by sea The one is the voyage charter party and the other is the contract for the carriage of particular goods The voyage charter party is concluded under the equal bargaining power between the carrier and the cargo owner, whereas the contract for the carnage of particular goods is concluded under the unequal bargaining power in favor of the carrier. The contract for the carriage of particular goods is one of good example of a adhesion contract Therefore, the necessity of protecting the cargo owner is raised. These necessity is embodied in the several international maritime convention such as Hague or Hague-Visby rule The Korean Commercial Code also has a strong provision to protect the cargo owner in the Article 790; Lessening or excluding the carrier's liability will be null and void. From the perspective of the principle of the freedom of contract, it is one example of limiting the principle of the freedom of contract Recently, new type of the way of the carnage of particular goods brought about It is called as a service contract in the US. The service contract is one type of transportation in the carriage of particular goods. The large and long-tenn cargo owner would make long tenn contract of particular goods with the carrier In this circumstances, the cargo owner rather than the carrier has more bargaining power than the carrier Therefore, there is a movement that the carrier should not be punished by the compulsory provision such as Article 3(8) of Hague-Visby. These ideas are remarkable in the Proposed Revision of U.S COGSA and working group's discussion on the transport law of UNCITRAL The writer suggest that Korean Commercial Code can be reviewed by tills trend, limiting the review to the extent that the protection of the carrier and the cargo owner as well, including the holder of Bill of Lading, remain balanced.
