An Achilles' Heel of Manager's Interest Conflict Legal Institutions in China:Without the Concept of Corporation as a Common Pool

Abstract:The rules of conflict of interest dominate the corporate law as well in China with a "learning process" our legal system adopted from other advanced legal domains.But in China the rules follow up the civil legal tradition,taking a property rule model rather than treating it as a liability rule.The corporate act tries to make a clear definition for ownership of corporation ex ante,but not to protect the independent interest of corporation.Therefore,the rules of managerial conflicts of interest lack of a benchmark of comparison between the personal interest and the collective interest.The author takes an analysis for the flaws of current legal regimes,and traces the theoretical and political reasons for missing of the concept of corporate as a common pool.
