Study on How Venture Capital Affects IPO of Listed Enterprises: Based on the Empirical Analysis in Growth Enterprises Market

Abstract:There are two main theories explaining VC-backed enterprises IPO performances among foreign academies, Certification/Monitoring Effect and Grandstanding Effect. This paper collected a data set consisting of 261 enterprises from the 281 enterprises listed on the Chinese GME board from October 2009 to December 2011 and divided them into VC-backed and non-VC backed groups. It analyzed the differences of pre- and post-IPO performance and differences of market characters on the first day of IPO between two groups to test the applicability of the two theories. Empirical results show that VC mainly plays the role of Grandstanding Effect, which means VC-backed enterprises may have higher cost and poorer operating post-IPO performance because VC is eager to build a reputation and takes the enterprises public too soon. The results show that the Certification/Monitoring Effect is not widely recognized on Chinese GME board because VC-backed enterprises do not have less distribution cost and lower under pricing.
