Abstract:Study design: Analysis of federal laws, regulations, and commentary relevant to gainsharing and other physician-hospital collaborations. Review of health, legal, and medical literature to identify relevant case studies, primarily from 2000 to the present. Objective: To illustrate a number of physician-hospital collaboration and joint venture models to explore opportunities for physicians and hospital partners to enhance revenues and contain costs in the provision of health care. Summary of background data: There are numerous physician-hospital joint ventures throughout the United States and 8 approved gainsharing programs. Few comparisons of gainsharing as compared to other joint venture structures are available to hospitals and physicians. Methods: A narrative review of health, legal, and business literature, regulations, and commentary to identify physician-hospital collaborations and ventures as well as applicable regulatory authorities. Results: There are numerous joint venture and collaboration models used throughout the country for physician-hospital collaborations with varying degrees of success. Eight approved gainsharing programs have been implemented. Conclusions: Physician-hospital collaborations, gainsharing, and joint ventures are expanding throughout the country in response to reimbursement pressures and movement of care into the ambulatory setting. These partnerships can be successful where there is sufficient alignment of interests to offset the operational and regulatory complexities that such partnerships present.

Abstract:The distribution of management structures in health care has been shifting from independent ownership to interorganizational relationships with other firms. A shortage of resources has been cited as one cause for such collaboration among health care entities. The resource- based view of the firm suggests that organizations differentiate between strategic alliances and acquisition strategies based on a firm's internal resources and the types of resources a potential partner organization possesses. This paper provides a review of the literature using the resource-based theory of the firm to understand what conditions foster different types of health care partnerships. A model of partnership alliances using the resource-based view is presented, strategic linkages are presented, managerial implications are outlined, and directions for future research are given.
Negotiating roadblocks to IDS-physician equity joint ventures

Abstract:Integrated delivery systems (IDSs) may find that forming an equity joint venture relationship with a physician group practice is the best way to integrate physicians into their networks. IDSs have a choice between two basic equity structures: affiliated group practice, in which a management services organization (MSO) handles all practice management infrastructure and the physician group is a physician-only organization; and integrated group practice, in which the physician group encompasses both the physician practice and the administrative infrastructure. The choice of equity structure and how it should be implemented hinge on several legal issues, including the existence of a corporate-practice-of-medicine statute in the IDS's state, compliance with the Federal antikickback statute and Stark laws, and various issues regarding the IDS's tax-exempt status. IDSs also should consider pragmatic issues, particularly those associated with aligning the economic incentives of the two partners.

Abstract:Provider consolidation may enable improved care coordination, but raises concerns about lack of competition. Physician patient-sharing relationships play a key role in constructing patient care teams, but it is unknown how organization affiliations affect these. We use the Massachusetts All Payer Claims Database to examine whether patient-sharing relationships are associated with sharing a practice site, medical group, and/or physician contracting network. Physicians were 17 percentage points more likely to have a patient-sharing relationship if they shared a practice site and 4 percentage points more likely if they shared a medical group, as compared with sharing no affiliation. However, there was no detectable increased probability of a patient-sharing relationship within the same physician contracting network. Our finding that physician patient-sharing relationships are concentrated within organizational boundaries at practice site and medical group levels helps illuminate referral incentives and provide insight into the role of organizational affiliations in patient care team construction.

The physician as a source of hospital capital

Abstract:As hospitals search for means of financing renovation during the next decade, physicians will represent a source of capital through tax-shelter financing. Limited partnerships, condominiums , and joint ventures in acquiring medical equipment or syndicating existing facilities are among the most promising investment vehicles for taking advantage of tax benefits that normally do not apply to nonprofit institutions. In a hospital-physician limited partnership, tax deductions are passed through to the partners, of which there are two kinds: general partners and limited partners. Income (or loss) and tax credits from the entire venture can be divided among the partners and reflected on an individual limited partner's tax return. Rather than shouldering the whole cost of renovating a medical office building, thereby losing the potential tax credit, a hospital could carry out the renovation through a limited partnership with physicians. This would reduce the hospital's capital costs and debt requirements, maintain its credit, and enable it to take advantage of the depreciation deduction. In a condominium venture, the individual physician actually owns the office within which he or she works. As with the limited partnership, the hospital will want to restrict physicians' ability to dispose of their ownership interests.(ABSTRACT TRUNCATED AT 250 WORDS)

Abstract:The effects of age and smoking on the media of muscular pulmonary arteries were studied in 23 subjects without cardio‐pulmonary disease. The group ranged in age from 19 to 81 years and included 12 non‐smokers and 11 smokers. Twelve representative tissue blocks were taken from each subject and all cross‐sectionally cut arteries were measured from histological sections using a digitizer. Medial area was measured and artery size defined as total length of internal elastic lamina. Only arteries measuring less than 1500 μm length of internal elastic lamina were studied.

Abstract:INTRODUCTION: Current U.S. policy and payment initiatives aim to encourage health care provider accountability for population health and higher value care, resulting in efforts to integrate providers along the continuum. Providers work together through diverse organizational structures, yet evidence is limited regarding how to best organize the delivery system to achieve higher value care.METHODS: In 2016, we conducted a narrative review of 10 years of literature to identify definitional components of key organizational structures in the United States. A clear accounting of common organizational structures is foundational for understanding the system attributes that are associated with higher value care.RESULTS: We distinguish between structures characterized by the horizontal integration of providers delivering similar services and the vertical integration of providers fulfilling different functions along the care continuum. We characterize these structures in terms of their origins, included providers and services, care management functions, and governance.CONCLUSIONS AND DISCUSSION: Increasingly, U.S. policymakers seek to promote provider integration and coordination. Emerging evidence suggests that organizational structures, composition, and other characteristics influence cost and quality performance. Given current efforts to reform the U.S. delivery system, future research should seek to systematically examine the role of organizational structure in cost and quality outcomes.

Virtual partnerships: aligning hospital and surgeon incentives

Abstract:Background: Payment schemes exist for health care in the United States that are perverse and, in many cases, antithetical to the goals of all concerned. A fundamental reorganization will be required if care is to be broadened and sensible economies achieved. Methods: For some time, we have experimented intellectually with reorganization of the specialist/hospital axis in contemporary medical care, seeking a more functional relationship among the parties (ie, doctors, nurses, hospitals, and their patients). Results: A virtual partnership between surgical specialists and the hospital provides many of the favored factors for productive and mutually respected care for patients with a feasible method for limiting costs. Conclusions: A virtual partnership, as exemplified for 3 major surgeries, could create a relationship that benefits the patient, the surgical specialist, the hospital, and the ethical payer.
Partnerships in health care: creating a strong value chain

Abstract:The health care climate is one of stormy relations between various entities. Employers, managed care organizations, hospitals, and physicians battle over premiums, inpatient rates, fee schedules, and percent of premium dollars. Patients are angry at health plans over problems with access, choice, and quality of care. Employers dicker with managed care organizations over prices, benefits, and access. Hospitals struggle to maintain operations, as occupancy rates decline and the shift to ambulatory care continues. Physicians strive to assure their patients get quality care while they try to maintain stable incomes. Businesses, faced with similar challenges in the competitive marketplace, have formed partnerships for mutual benefit. Successful partnerships are based upon trust and the concept of "win-win." Communication, ongoing evaluation, long-term relations, and shared values are also essential. In Japan, the keiretsu contains the elements of a bonafide partnership. Examples in U.S. businesses abound. In health care, partnerships will improve quality and access. When health care purchasers and providers link together, these partnerships create a new value chain that has patients as the focal point.

Abstract:Although collaboration between healthcare professionals is essential for the delivery of effective, efficient, and high-quality care, it remains an ongoing and critical challenge across health systems. As a result, many countries are experimenting with innovative payment and employment models. The literature tends to focus on improving collaboration across organizational and sectoral boundaries, and largely ignores potential barriers to collaborative work between members of the same profession within a single organization. Despite intergroup dynamics and professional boundaries having been shown to restrict patient flow and collaboration between specialties, studies have so far tended to overlook the potential effects of differentiated organizational and payment models on physicians' behaviors and intergroup dynamics. In the present study, we seek to unpack the influence of physicians' payment and employment models on their collaborative behaviors and on intergroup dynamics between specialties, adding to the current scholarship on physician payment and employment by considering how physicians' view and act in response to different structural arrangements. The findings suggest that adopting hybrid models, in which physicians are employed or paid differently within the same organization or practice, creates a bifurcation of the profession whereby physicians across different models are perceived to behave differently and have conflicting professional values. These models are perceived to inhibit collaboration between physicians and complicate hospital governance, restricting the ability to move towards new models of care delivery. These findings can be used as a basis for future work that aims to unpack the reality of physician payment and offer important insights for policies surrounding physician employment.

Abstract:Objective To examine how a novel payer‐provider joint venture (JV) between one payer and multiple competitive delivery systems in New Hampshire (NH), which included value‐based payment, care management, and non‐financial supports, impacted healthcare value and payer and provider group experiences. Study Setting and Design We conducted a mixed‐methods study. We used a quasi‐experimental longitudinal difference‐in‐differences design to examine the impact of the JV (which started in January 2016 and ended in December 2020) on healthcare utilization, quality, and spending, using members in Maine (ME) as a control group. We also analyzed patient uptake of the JV's care management program using routinely collected administrative data and assessed payer and provider group leaders' perspectives about the JV via semi‐structured interviews. Data Sources and Analytic Sample We used administrative and claims data from 2013 to 2019 in a commercially insured population under 65 years in NH and ME. We also used administrative data on care management eligibility and uptake and conducted semi‐structured interviews with payer and provider group leaders affiliated with the JV. Principal Findings The JV was associated with no sustained change in medical utilization, quality, and spending throughout the study period. In the first year of the JV, there was a 41, $243) increase in pharmaceutical spending per member and a 13% (4.4%, 25%) relative increase in days covered for diabetes medications. Only 15% of eligible members engaged in care management, which was a key component of the JV's multi‐pronged approach. In a disconnect from the empirical findings, payer and provider group leaders believed that the JV reduced healthcare costs and improved quality. Conclusions Our findings provide evidence for future payer‐provider JVs and demonstrate the importance of having a valid control group when evaluating JVs and value‐based payment arrangements.

Abstract:The mechanism of organizational partnership is a complex process. In the scientific literature, there are factors that can influence the existence of an effective organizational partnership. These factors are usually associated with power relations established between stakeholders; not finding a common vision; different and sometimes competing interests; lack of dialogue and leadership and different communication styles and culture etc. The authors formulate the purpose of the research - to identify opportunities for improving regional partnership in the health tourism industry during the expert evaluation. The authors of the article assume that regional partnership management is initiated by applying and creating various instruments. The role of the state in initiating regional cooperation (e.g. in the health tourism industry, using the available resources of each region to create health and wellness services) and the importance of the regional management of the region itself, in organizing cooperation and networking, identifying and involving significant actors, is emphasized. In order to determine the effectiveness of regional cooperation, efforts towards the goal of movement, and the allocation of resources, it is useful to carry out evaluations.

Abstract:Today, three of four US physicians are employed by hospitals, health systems or corporations. Forward-thinking healthcare leaders are looking for ways to leverage the intellectual capital of their employed and affiliated physicians and tighten physician–hospital integration as a means to improve care management and coordination, improve access and quality and reduce costs. Structured medical group governance is one such approach taken by healthcare leaders to enable meaningful and intentional physician–hospital joint decision making and better integration. Governance enables providers to unify and speak with one collective voice, influence the business side of clinical matters, build a unified brand and culture within the organisation and set policy or standards needed to be adopted at scale, to name just a few. Since 2019, Providence Health, a national not-for-profit Catholic Health System providing services across seven states with nearly 9,000 employed or affiliated physicians, has developed a multi-tiered medical group governance structure to coalesce on strategic direction and the major decisions that influence the clinical practice. This paper describes Providence Health’s journey in designing and maturing its medical group governance structure. In this case study, the authors describe the why, the what and the how of medical group governance and provide lessons learned and specific examples of the impact Providence Medical Group boards have had on clinician integration, engagement and alignment across the system.

Abstract:In the future, a need-base health care system should be ensured by cooperation between the service providers. To promote this, the current legal framework is being adjusted to include the introduction of "day treatment at hospitals", distribution of "service groups" to individual clinics, and the establishment of integrated control centers and emergency centers. Healthcare providers are to be motivated to collaborate via financial support, and also the utilization of synergistic effects and the need of training of future professionals. However, the pursuit of collaboration is limited by professional law, regulations regarding anti-corruption, and the patients' interest in freedom of choice, up to competition law to antitrust law. Collaborations between hospitals and contracted physicians/practices are based on the specifications of the Hospital Remuneration Act (collaboration on a fee basis or in an employment relationship) and the German Social Code (contractual forms of collaboration for emergency services, medical care centers, before/after in-patient treatment, outpatient surgery, specialized medical care on outpatient basis, cooperating with attending physicians, and special healthcare services), as well as being employed at the hospital. Due to their precarious situation, hospitals increasingly cooperate with each other through strategic alliances, up to mergers. To make these collaborations successful, certain principles need to be considered. These concepts entail risks and require trust and a well-balanced relationship between costs and benefits for all partners. The bold path of fair collaborations, focusing on high-quality and efficient patient care, can represent a disruptive innovation for addressing our challenges in urology and healthcare in general.

Abstract:Asia is witnessing the emergence and significant growth of incorporated joint venture airlines. The joint venture model has been a functional approach since most states restrict foreign ownership in an airline to less than 50% and require it to be effectively controlled by locals. A typical business model is for a parent airline group to have a minority share while local owners hold a majority share. This model was pioneered by AirAsia, and Jetstar, Lion Air, Singapore Airlines, Spring Airlines, and VietJet have managed to establish a presence in foreign countries through such joint venture arrangements with local investors. In the joint venture model, local investors can be categorized as either strategic investors or financial investors. Strategic investors are typically local airlines that choose to be a joint venture partner so as to create synergy with their own business and to undertake a new business model. In contrast, financial investors are companies that do not necessarily have a strong interest in the airline industry. For the past 15 years, foreign airlines have learned that management conflicts can arise when they partner with strong local airlines. Although foreign airlines want to maximize their corporate control power in their joint venture airlines, they should be mindful of regulatory hurdles in the airline industry. This unique circumstance creates interesting corporate governance issues. This article examines the opportunities gained, lessons learned, and challenges faced by joint venture airlines in Asia from a corporate governance perspective.
